Exodus Facts
Exodus business continues to grow, with $200 million of gross annualized contracts in the first quarter of the year. Exodus will have over $550 million in cash at the end of June 2001. The significant capital investments in Internet Data Center facilities and network assets made during 2000 and the first half of 2001 provides Exodus with the foundation to continue to attract, acquire and service new and existing customers with only minimal capital outlays in the future. Exodus business plan is fully funded. Exodus expects to become free cash flow positive by the third quarter of 2002. (Free cash flow positive means the cash they bring in will
be greater than all of the cash required for operations, debt service and capital expenditures. )

Contract Terms
TERM: Both agreements run through January 10, 2003; automatically renew for 1 year terms; and can be terminated after October 8, 2002 with 90 days notice. HOSTING: Exodus is the exclusive provider of Internet Web-Hosting services for Global Crossing, includes resale and internal use. Global Crossing may resell all Exodus services unless restricted by third party agreements. NETWORK SERVICES: Global Crossing is the preferred provider of Network Services for Exodus, includes resale and internal use. Exodus may resell DIA, Frame Relay, ATM, Private Line (not to exceed OC48), Collocation, Premise Access, and Voice. Exodus may not resell IRU products. PRICING: Each company will ensure that the pricing it provides to the other for the resale of services allows the reselling company to be competitive with third parties in the marketplace. SALES:The agreements have been structured to use a Sell With approach. When brought into an
opportunity, each sales organization fully supports the other as if it were their opportunity.
ACGX: Asia Global Crossing is excluded from the agreements; there is a joint venture agreement between Exodus and Asia Global Crossing that defines the relationship. CHARGES: Each company can cancel services with a 90 day termination fee for 1 year deals, and a 30 day termination in the second year of 2 year deals, however all non-recoverable fees must be paid in full. BRANDING: All Exodus Services sold will be identified as services provided by Exodus or Global Crossing. GCFM: GCFM is excluded from these agreements with regards to exclusivity.
