COOPERATION AGREEMENT
FOR MOBILE VOUCHER

Chili’s (the “First Party”) and PT Digital Mobile
Commerce (the “Second Party”) enter into
cooperation agreement in performing the various
duties and an agreement relating to the mobile
platform offered by Second Party to First Party,
about the issuance and distribution of mobile
vouchers with the terms and conditions as
follows:
ARTICLE 1
DUTIES AND RESPONSIBILITIES OF FIRST
PARTY
1. In connection with produces and distributes
mobile vouchers on behalf of First Party,
First Party must pays mobile voucher
platform using & operating fee in the form of
discount to Second Party depending on the
discount rate of Exhibit 1.
2. In the sale of the product, the First Party
determines the discount rate offered to the
Second Party according to the price at
Exhibit 1, and the Second Party will assign
discount to all customers. The amount of
the discount may change as per the First
Party's policy with notice to the Second
Party 5 working days prior to its entry into

Chili’s (“Pihak Pertama”) dan PT Digital Mobile
Commerce (“Pihak Kedua”) sepakat untuk
membuat perjanjian kerjasama dalam
melaksanakan berbagai tugas dan kesepakatan
yang berkaitan dengan mobile platform yang
ditawarkan oleh Pihak Kedua kepada Pihak
Pertama mengenai penerbitan dan penjualan
mobile voucher dengan syarat-syarat dan
ketentuan-ketentuan sebagai berikut:
PASAL 1
HAK DAN KEWAJIBAN PIHAK PERTAMA
1. Sehubungan dengan penerbitan dan
pendistribusian mobile voucher atas nama
Pihak Pertama, Pihak Pertama wajib
membayar biaya penggunaan dan biaya
pengoperasian mobile platform dalam
bentuk diskon kepada Pihak Kedua sesuai
dengan harga di Exhibit 1.
2. Dalam penjualan produk, Pihak Pertama
menetapkan tingkat diskon yang ditawarkan
kepada Pihak Kedua sesuai dengan harga di
Exhibit 1, dan Pihak Kedua akan
menetapkan diskon kepada seluruh
pelanggan. Besarnya diskon dapat berubah
sesuai kebijakan Pihak Pertama dengan
pemberitahuan kepada Pihak Kedua 5 hari

force.
3. First Party shall notice and guide the
customers who purchase/receive mobile
vouchers how to handle and use them so
that the customers should be familiar with
and to make full use of mobile vouchers.
ARTICLE 2
DUTIES AND RESPONSIBILITIES OF
SECOND PARTY
1. Second Party shall notice & educate the
affiliated stores on handling and verification of
mobile vouchers.
2. Second Party shall direct the affiliated stores
to provide the customers with flawless
products, and handles customer complaints
regarding use of mobile vouchers.
ARTICLE 3
SETTLEMENT AND PAYMENT
1. The First Party will collect the second party
based on First Party POS data for the period
1-15 and the 16th end of the month. The
invoice date will be sent within 5 working
days after the data period.
2. Payment for the product price apply to Exhibit
1 shall be 5 working days from the date of
withdrawal request.
3. If there is a change in the promo product and
selling price, the First Party will request
payment of payment based on the first price
agreed upon by both parties (excluding
cancellation, refund and exchange) and the
Second Party will confirm and pay. changes
in product promos and selling prices can be
changed at any time with the agreement of
both parties.
4. Merchant settlement is based on Voucher
used from POS First Party.
5. Second Party shall have the obligation to

3. Pihak Pertama akan memberikan informasi
dan memandu pelanggan yang membeli/
menerima mobile voucher bagaimana cara
penggunaan voucher tersebut sehingga
pelanggan mengerti penuh penggunaan
mobile voucher tersebut.
PASAL 2
HAK DAN KEWAJIBAN PIHAK KEDUA
1. Pihak Kedua akan memberikan informasi dan
melatih karyawan toko Pihak Pertama
mengenai penanganan dan verifikasi mobile
voucher.
2. Pihak Kedua akan meminta toko Pihak
pertama untuk menyediakan produk jual
tanpa cacat ke pelanggan, dan untuk
menangani keluhan pelanggan tentang
penggunaan mobile voucher.
PASAL 3
PEMBAYARAN DAN PELUNASAN
1. Pihak Pertama akan melakukan penagihan
kepada Pihak Kedua berdasarkan data POS
Pihak Pertama untuk periode setiap akhir
bulan. Invoice akan di kirimkan dalam 5 hari
kerja setelah periode data tersebut.
2. Pembayaran untuk harga produk
sebagaimana dimaksud pada Exhibit 1
adalah 5 hari kerja dari tanggal penagihan.
3. Jika ada perubahan dalam produk promo dan
harga jual, Pihak Pertama akan meminta
pelunasan pembayaran berdasarkan harga
pertama yang di sepekati kedua belah pihak
(tidak termasuk pembatalan, pengembalian,
dan penukaran) dan Pihak Kedua akan
mengkonfirmasi dan membayar. perubahan
promo produk dan harga jual bisa di ubah
sewaktu-waktu dengan kesepakatan kedua
belah pihak.
4. Penyelesaian ke Pihak Pertama adalah
berdasarkan voucher yang digunakan /
ditukar berdasarkan data dari POS Pihak
Pertama.

ARTICLE 4
TERM OF THE AGREEMENT
1. The term of this agreement is 6 (six) months
from the date of the signature. First Party will
ask for confirmation of continuation to Second
Party if this coorperation will expire. Party
informs the other of termination or
modification of this agreement in writing, no
later than 30 calender days before the
contract period expires.
ARTICLE 5
MOBILE VOUCHER
REFUND AND EXCHANGE POLICY
1. The voucher is valid for 30 calendar days from
the date of costumer payment.
2. First Party shall have the obligation to provide
goods/services to the remaining validity
period even after the voucher sales is over
according to the voucher expiration date.
3. Second Party is responsible for refunds and
exchanges, carries out the necessary work
directly to the customer.
ARTICLE 6
OBLIGATIONS AND CONFIDENTIALITY
1. Any rights or obligations arising under this
agreement cannot be delegated or
transferred, to third parties without mutual
consent between First Party and Second
Party in writing.
2. Any kind of information acquired from the
other party in connection with this agreement
cannot be provided to the third party or used
for another purpose without prior written
consent.
5. Pihak Kedua memiliki kewajiban untuk
menyediakan secara real-time sejarah
pertukaran voucher melalui dashboard
website.
PASAL 4
JANGKA WAKTU PELAKSANAAN
1. Jangka waktu perjanjian ini adalah 6 (enam)
bulan dari tanggal penandatanganan. Pihak
Pertama akan menanyakan konfirmasi
kelanjutan kepada Pihak Kedua jika
perjanjian kerjasama ini akan berakhir. Salah
satu pihak menginformasikan pihak yang lain
mengenai penghentian ini secara tertulis,
selambat-lambatnya 30 hari kalender
sebelum jangka waktu perjanjian berakhir.
PASAL 5
KEBIJAKAN PENGEMBALIAN DAN
PENUKARAN MOBILE VOUCHER
1. Voucher berlaku untuk jangka waktu selama
30 hari Kalender dari tanggal pembayaran
pelanggan.
2. Pihak Pertama akan memiliki kewajiban
untuk menyediakan barang/jasa untuk masa
berlaku yang tersisa bahkan setelah
penjualan voucher berakhir sesuai tanggal
kadaluarsa voucher.
3. Pihak Kedua akan bertanggung jawab untuk
pengembalian dan pertukaran mobile
voucher, dan melakukan hal-hal yang
diperlukan langsung ke pelanggan.
PASAL 6
KEWAJIBAN DAN KERAHASIAAN
1. Setiap hak atau kewajiban yang timbul
berdasarkan perjanjian ini tidak dapat
didelegasikan atau ditransfer, kepada pihak
ketiga tanpa persetujuan bersama antara
Pihak Pertama dan Pihak Kedua secara
tertulis.
2. Setiap jenis informasi yang diperoleh dari
pihak lain sehubungan dengan perjanjian ini
tidak bisa diberikan kepada pihak ketiga
atau digunakan untuk tujuan lain tanpa
persetujuan tertulis terlebih dahulu dari
pihak lainnya.

3. First Party or Second Party may terminate the
contract immediately by a written notice to the
other party in the event of following matters:
1) In case the breach of contract is not
corrected within 10 calendar days from the

2) In case either one party is unable to do
normal business activities, such as seizure,
injunction, compulsory execution by a third
party or bankruptcy, the company clean up
and so on, or if the termination of this
contract is inevitable by reason of

3) In case it’s difficult to perform the service or
to maintain this agreement by reason of
natural disasters, changes in legislation or
government policy or other reasons. In this
case, either party is not liable for damage
resulting from circumstances above.
ARTICLE 7
OTHER PROVISIONS
1. In the event of a dispute in relation to the
interpretation and the performance of this
agreement, the parties agree to settle the
dispute amicably between the parties within
30 calendar days since one party has notified
the other party regarding the dispute.
2. In the event that the dispute cannot be settled
amicably, the parties agree to settle the
dispute through the district court of Central
Jakarta in Jakarta.
This agreement is executed in the Indonesian
and English languages. In case of any
inconsistency between the Indonesian and
English language versions, the Indonesia
language version shall prevail.
This agreement is made in good faith of the
parties within two (2) original copies, each
signed on paper duly stamped having the force
3. Pihak Pertama atau Pihak Kedua dapat
mengakhiri segera dengan pemberitahuan
tertulis kepada pihak lainnya jika ada
kejadian menyangkut hal hal sebagai
berikut:
(1) Dalam hal terjadi pelanggaran perjanjian
waktu 10 hari kalender dari tanggal
permintaan tertulis.
(2) Dalam hal salah satu pihak tidak dapat
melakukan kegiatan bisnis normal, seperti
penyitaan, perintah pengadilan, eksekusi
wajib oleh pihak ketiga atau kebangkrutan,
pembersihan internal perusahaan dan
sebagainya, atau jika pemutusan perjanjian
ini tidak bisa dihindari dengan alasan
ketiadaan kepercayaan.
(3) Dalam hal kesulitan melakukan layanan
atau untuk mempertahankan perjanjian ini
dengan alasan bencana alam, perubahan
undang-undang atau kebijakan pemerintah
atau alasan lainnya. Dalam hal ini, salah
satu pihak tidak bertanggung jawab atas
kerusakan akibat dari keadaan di atas.
PASAL 7
KETENTUAN LAIN-LAIN
1. Apabila timbul perselisihan sehubungan
dengan penafsiran dan pelaksanaan
perjanjian ini, para pihak sepakat untuk
menyelesaikan perselisihan secara
musyawarah dalam waktu 30 hari kalender
sejak salah satu pihak menyampaikan
pemberitahuan mengenai adanya sengketa.
2. Apabila perselisihan tidak dapat diselesaikan
secara musyawarah dalam jangka waktu
sebagaimana disebutkan di atas, para pihak
sepakat untuk menyelesaikan perselisihan
melalui kantor Pengadilan Negeri Jakarta
Pusat di Jakarta.
Perjanjian ini ditandatangani dalam bahasa
Indonesia dan bahasa Inggris. Jika terjadi
ketidaksesuaian antara versi bahasa Indonesia
dan bahasa Inggris, versi bahasa Indonesia
yang akan berlaku.
Perjanjian ini dibuat dengan itikad baik dari
kedua pihak dalam dua (2) salinan asli,
masing-masing ditandatangani di atas kertas

of law and the same evidence and each party
get one (1) original copy to be carried out with
full responsibility and entered into force since
this agreement was signed.

Price update’ is based on the first day of the
month. The same price will be maintained
unless either party informs of ‘price update’ no
later than 7 days before the last day of the
previous month.
Harga update adalah berdasarkan hari pertama di
awal bulan. Harga yang sama akan berlaku
kecuali salah satu pihak menginformasikan ‘harga
update’ tidak kurang dari 7 hari sebelum hari
terakhir bulan sebelumnya.
