PTLOTTE CHEMICAL TITAN NUSANTARA, suatu perseroan terbatas, yang didirikan berdasarkan dan tunduk pada hukum Republik indonesia, berkedudukan di Jakarta Selatan, beralamat di Mangkuluhur City Tower One, Lantai 32, Jl. Jenderal Gatot Subroto Kav. 1-3, Karet Semanggi, Setiabudi, Jakarta 12980 - Indonesia, dengan pabriknya yang berlokasi di Jl. Raya Merak KM. 116, Rawa ‘Arum, Pulomerak, Cilegon, Banten 42436 — Indonesia, dalam hal ini diwakili oleh JANG SEON PYO, bertindak dalam kedudukannya selaku PRESIDEN DIREKTUR, dari dan demikian sah bertindak untuk dan tas nama serta mewakili PT LOTTE CHEMICAL TITAN NUSANTARA (salanjutnya disebut “PIHAK PERTAMA'); dan PT LOTTE CHEMICAL INDONESIA, suatu persercan terbatas, yang __didirken berdesarkan den tunduk pada ‘tokum Republik Indonesia, betkedudukan i Jakarta Selatan, beralamat di Mangkuluhur City Tower One, Lantai 32, ul. Jenderal Gatot Subroto Kav. 1-3, Karet Semanggi, Setiabudi, Jakarta 12930 - Indonesia, dengan proyeknya yang berlokasi di Jl, Raya Merak KM. 116, Rawa ‘Arum, Pulomerak, Cilegon, Banten 42436 — Indonesia, dalam hal ini diwakiii oleh LEE KWAN HO, bertindak dalam kedudukannya selaku DIREKTUR UTAMA, dari dan demikian sah bertindak untuk dan atas nama serta_mewakill PT LOTTE CHEMICAL INDONESIA (selanjutnya disebut “PIHAK PERTAMA’). PIHAK PERTAMA dan PIHAK KEDUA selanjutnya secara_bersama-sama disebut sebagai “PARA PIHAK’ dan secara sendiri-sendiri disebut sebagai ‘PIHAK". Jenderal Gatot Subroto Kav. 1-3, Karet Semanggi, Setiabual, Jakarta 12930 — Indonesia, with its plant located at JI Raya Merak KM, 116, Rawa Arum, Pulomerak, Gliegon, Banten 42436 — Indonesia, in this matter being represented by JANG SEON PYO, acting in his capacity es PRESIDENT DIRECTOR, of and as such shall be lawfully acting for and on behalf of and representing PT LOTTE CHEMICAL TITAN NUSANTARA (hereinafter referred to as the “FIRST PARTY); and PT LOTTE CHEMICAL INDONESIA, a limited liability company, duly established under and subject to the laws of the Republic of Indonesia, having domicited in South Jakarta, having addressed at Mangkuluhur City Tower One, 324 Floor, Ji, Jenderal Gatot Subroto Kav. 1-3, Keret Semanggi, Setiabucl, Jakarta 12930 - Indonesia, with its project located at JI. Raya Merak KM. 116, Rawa Arum, Pulomerak, Citegon, Banten | 42436 ~ Indonesia, in this matter being represented by LEE KWAN HO, acting in his capacity as PRESIDENT DIRECTOR, of and as such shall be lawfully acting for and on behalf of and representing PT LOTTE CHEMICAL INDONESIA hereinafter referred to as the ‘FIRST PARTY). 1 The FIRST PARTY and the SECOND PARTY hereinafter jointly referred to as the “PARTIES” and individually referred to as @ ‘PARTY’. S a | \PARA PIHAK terlebih dahulu menerangkan hal- hal sebagai berikut: 1, PIHAK PERTAMA adalah perseroan terbatas yang bergerak di bidang polyethylene, perdagangan besar, dan melakuken kegiatan di bidang real estate (membeli, menjval, kan, dan mengoperasikan) yang lahan sebagaimana dimeksud dalam Perjanjien — (sebagaimana —_didefinisikan dibawah), PIHAK KEDUA adalah perseroan terbates yang bergerak ai bidang industri kimia dasar organi yang bersumber dari minyak bumi, gas alam, dan batu bara yang memerlukan lahan untuk disewa dan dimanfaatkan untuk ‘membangun kompleks petrokimia oleh PIHAK KEDUA, Bahwa PARA PIHAK telah menandatangani Perjanjian Sewa Lahan No.: O40/AGR/LCTN- LGLIVIV2019 dan No: O29/AGRILCI- LGLIVIN2019 pada tenggal 1 Juli 2019 sebagaimana diubah berdasarkan Perubehan | atas —Perjanjian = Sewa —Lahan No006/AGRILCTN-BODI/2022 den No003/AGRILCI-BOD/IU/2022 pada tanggal 2 Februari 2022 (selanjutnya disebut *Perjanjian’). Bahwa PARA PIHAK bermaksud dan sepakat untuk mengubah Perjanjian dengan syarat dan ketentuan sebagaimana diatur dalam Perubahan Il 4 Berdasarkan hal-hal tersebut di atas, PARA PIHAK sepakat untuk membuat Perubahan I ini dengan syarat-syarat dan ketentuan-ketentuen sebagai berikut: 4. PARA PIHAK sepakat untuk mengubah ketentuan-ketentuan berikut ini: |. (tiga ratus dua puluh empat ribu dua ratus sembilan uluh tiga mater persegi) "HGB 20"); 214 The PARTIES firstly state the matters, as follows: 1. The FIRST PARTY is limited liability company engaged in polyethylene industry, trading, and real estate activities (purchase, sel, lease, and operating) which owns the land as referred fo in the Agreement (as defined below). The SECOND PARTY is a limited tiabilty company engaged in basic organic chemical industries which sourced from oil, natural gas and coal which requires a land to be leased and utilized by the SECOND PARTY for constructing a petrochemical complex. Whereas the PARTIES has signed Land Lease Agreement No.’ O40/AGR/LCTN-LGL/VIV/2019 and No.; 029/AGR/.CHLGL/VI/2019 dated 1 July 2019 as amended under Amendment I to Land Lease Agreement No.:006/AGR/LCTN- BOD//2022 and No 004/AGR/LCI- BOD/V2022 dated February 2%, 2022 (hereinafter referred to as the “Agreement’) Whereas the PARTIES intend and agree to amend the Agreement with terms and conditions as stipulated in this Amendment I. Based on the matters mentioned above, the PARTIES agree to enter into this Amendment Il with the terms and conditions as follows: 1. The PARTIES agree to amend the provisions as follows: 1. To amend the provision of Article 1 of the Agreement so that hereinafter shall be as follows: : ARTICLE 4 LEASED OBJECT The FIRST PARTY agrees to lease to the SECOND PARTY and the SECOND PARTY agrees to lease from the FIRST PARTY a vacant land with ownership evidence as the following: a. Right to Build Certificate Number 20/Rawa Arum (remaining) registered under the name of PT Lotte Chemical Titan Nusantera which located in Village of Rawa Arum, District of Pulomerak, Cilegon Ci, Banten Province (as stated in the certifcate)of 324,203 m2 (three hundred twenty four thousand two hundred ninety three square meter) ("HGB 20"); ER a v3 b. Sertipiket Hak Guna Bangunan Nomor 17/Rawa Arum terdaftar atas nama PT Lotte Chemical Titan Nusantara yang ferletak di Desa Rawa Arum, Kecamatan Pulo Merak, Kota Cilegon, Provinsi Banten (sebagaimana tercantum dalam sortifkat) dengen total luas sebagian dari Jehan yaitu 68,255 m2 (delapan puluh delapan ribu dua ratus lima putuh lima meter persegi) (‘HGB 17); c. Sertipiket Hak Guna Bangunan Nomor 19/Rawe Arum terdeftar atas nama PT Lotte Chemical Titan Nusantara yang terletak di Desa Rava Arum, Kecamatan Pulo Merak, Kota Cilegon, Provinsi Benten (sebagaimana tercantum dalam sertifiket) dengen luas 8.148 m2 (delapan rou seratus empat puluh delepan moter porsegi) ("HGB 18"). (HGB 20, HGB 17 dan HGB 18 secara bersama-sama disebut sebagai “Obyek Sewa’)” 3 ayat 4 Mengubah ketentuan Pasal menjadi Perjanjian sehingga selanjutnye sebagai berikut: a Untuk HGB 20 adalah sebesar 021.727.631.000 (dua puiuh satu miliar tujuh ratus dua puluh tujuh juta enam ratus tiga puluh satu ribu rupiah) per tahun; b. Untuk HGB 17 adalah _sebesar Rp8.319.512.000 (delapan millar tiga ratus sembilan belas juta lima ratus dua elas ribu rupiah) per tahun;dan c. Untuk HGB 18 adalah sebesar R0977.760.000 _(sembilan ratus tujuh puluh tujun jute tuyjuh ratus enam puluh ribu rupiah) per tahun.” Mengubah lampiran Peta Obyek Sewa sehingga menjadi sebagaimana terlampir dalam Perubahan I ini, Perubahan Il ini merupakan satu kesatuan dan bagian yang tidak terpisahkan dari Perjanjian dan mengesampingkan ketentuan yang diubah daripadanya. ‘Syarat dan ketentuan dalam Perjanjian yang tidak diubah berdesarkan Perubahan Il ini tetap berlaku dan mengikat Para Pihak. ‘Syarat atau ketentuan dalam Perjanjian yang bertentangan dengan syarat atau ketentuan dalam Perubahan Il ini harus dibaca dan diartikan sesuai dengan ketentuan dalam Perubahan | ini. 3l4 u uw 2 4. b. Right to Build Certificate Number 17/Rawa Arum registered under the name of PT Lotte Chemical Titan Nusantara which located in Village of Rawa Arum, District of Pulo Merak, Cilegon City, Banten Province as stated in the certificate) with total erea of a part of the land of 88,255 m2 ( (eighty eight thousand two hundred fifty five square meter) (HGB 17°); Right to Build Certificate Number 18/Rawa Arum registered under the name of PT Lotte Chemical Titan Nusantara which located in Village of Rawa Arum, District of Pulo Merak, Cilegon City, Banten Province (as stated in the certifcate)of 8,148 m2 (Cighty thousand one hundred forty eight square meter) (HGB 18". (HGB 20, HGB 17 and HGB 18 jointly referred fo.as “Leased Object’).” To amend the provision of Article 3 paragraph 1 of the Agreement so that hereinafter shall be as follows: a For HGB 20 is in amount of 1DR21,727,631,000 (twenty one billion seven hundred twenty seven million six hundred thirty one thousand rupiah) per annum; b. For HGB 17 is in amount of 1DR8,319,512,000 (eight billion three hundred ninety nine million five hundred twelve thousand rupieh) per annum; and For HGB 18 is in amount of 1DR977,760,000 (nine hundred seventy seven million seven hundred sixty thousand ruplah) per annum.” To.amend the attachment of Land Lease Object Map so it shall become as attached in this Amendment Il This Amendment ll shall constitute an Integral and inseparable part of the Agreement and override the amended provision thereof. Terms and conditions of the Agreement which are not amended under this Amendment il remains valid and binding to. the Parties. Any terms or conditions under the Agreement which are contrary to the terms or conditions hereunder must be read and interpreted in accordance with the provisions hereunder. ke. |6.
