Perjanjian Kontrak
THIS AGREEMENT made the ________

_____, between …….. (hereinafter “the
Employer”), of the one part, and …..
(hereinafter “the Contractor”), of the other
part:
WHEREAS the Employer desires that the
Works known as Package-1 …. with
Contract Price IDR. …….. (……………
million rupiahs) excluded VAT (Value
Added Tax) 10%, should be executed by
the Contractor, and has accepted a Bid by
the Contractor for the execution and
completion of these Works and the
remedying of any defects therein,
The Employer and the Contractor agree as
follows:
1. In this Agreement words and
expressions shall have the same
meanings as are respectively assigned
to them in the Contract documents
referred to.
2. The following documents shall be
deemed to form and be read and
construed as part of this Agreement.
This Agreement shall prevail over all
other Contract documents.
(i) Letter of Acceptance;
(ii) Letter of Technical Bid;
(iii) Letter of Price Bid;
(iv) Addenda Nos [insert addenda
numbers if any](if any);
(v) Particular Conditions;
(vi) General Conditions;
(vii) Specification;
(viii) Drawings;
(ix) Completed Schedules; and
(x) Acknowledgment of
Compliance with Guidelines for
Procurement under Japanese
ODA Loans
PERJANJIAN ini dibuat pada…………..

“Pengguna Jasa”), sebagai Pihak Kesatu,
dan ………………… (selanjutnya disebut
“Kontraktor”), sebagai Pihak Kedua.
MENIMBANG bahwa Pengguna Jasa
berkeinginan bahwa pekerjaan yang
diketahui sebagai Paket-1 ....... dengan
harga kontrak Rp. ....; (........... juta rupiah)
tidak termasuk Pajak Pertambahan Nilai
(PPN) 10%, akan dilaksanakan oleh
Kontraktor, dan telah menerima
penawaran Kontraktor untuk pelaksanaan
dan penyelesaian pekerjaan ini dan
perbaikan cacat mutu,
Pengguna Jasa dan Kontraktor
menyepakati sebagai berikut:
1. Dalam Perjanjian ini, kata-kata dan
istilah harus memiliki arti yang sama
sebagaimana yang ditentukan dalam
dokumen Kontrak dimaksud.
2. Dokumen berikut ini harus dianggap
merupakan serta di baca dan ditafsirkan
sebagai bagian dari Perjanjian ini.
Perjanjian ini akan berlaku di atas
dokumen Kontrak lainnya.
(i) Surat Penunjukkan Penyedia
Barang / Jasa;
(ii) Surat Penawaran Teknis;
(iii) Surat Penawaran Harga;
(iv) Addenda No…. [masukkan
nomor addenda jika ada] (jika
ada);
(v) Persyaratan Khusus;
(vi) Persyaratan Umum;
(vii) Spesifikasi;
(viii) Gambar-gambar;
(ix) Jadual lengkap, dan
(x) Pernyataan Tunduk pada
Pedoman Pengadaan Pinjaman
ODA Jepang
3. In consideration of the payments to be
made by the Employer to the Contractor
as indicated in this Agreement, the
Contractor hereby covenants with the
Employer to execute the Works and to
remedy defects therein in conformity in
all respects with the provisions of the
Contract.
4. The Employer hereby covenants to pay
the Contractor in consideration of the
execution and completion of the Works
and the remedying of defects therein,
the Contract Price or such other sum as
may become payable under the
provisions of the Contract at the times
and in the manner prescribed by the
Contract.
IN WITNESS where of the parties here to
have caused this Agreement to be executed
in accordance with the laws of the
Republic of Indonesia on the day, month
and year indicated above.

3. Mengingat bahwa pembayaran akan
dilakukan oleh Pengguna Jasa kepada
Kontraktor sebagaimana dinyatakan
dalam Perjanjian ini, Kontraktor dengan
ini bermufakat dengan Pengguna Jasa
untuk melaksanakan Pekerjaan dan
memperbaiki cacat mutu untuk
memenuhi segala persyaratan Kontrak.
4. Pengguna Jasa dengan ini berjanji
akan membayar Kontraktor
sehubungan dengan pelaksanaan dan
penyelesaian Pekerjaan dan perbaikan
cacat mutu, Harga Kontrak atau jumlah
lain yang harus dibayarkan menurut
persyaratan Kontrak pada waktu dan
cara sebagaimana ditetapkan oleh
Kontrak.
Dengan disaksikan, para pihak telah
menyebabkan Perjanjian ini dilaksanakan
sesuai dengan hukum Republik Indonesia,
pada tanggal, bulan dan tahun yang
dinyatakan di atas.
