PRINSIP-PRINSIP CORPORATE GOVERNANCE
Kesuksesan dari suatu
perusahaan dalam mencapai
kinerja yang maksimal dan tetap
memperhatikan kepentingan
stakeholders-nya adalah sangat
diperlukan adanya prinsip yang
kuat.
Menurut Buku Pedoman Umum
Good Corporate Governance
(GCG) Indonesia,yang disusun
oleh Komite Nasional Kebijakan
Governance/KNKG, (2006) ada 5
prinsip yang mesti diterapkan
untuk mencapai tata kelola
perusahaan yang baik.

Prinsip-prinsip GCG menurut
KNKG (2006) yaitu :

1. Transparansi(transparency)
2. Akuntabilitas (accountability)
3. Responsibilitas (responsibility)
4. Independensi (independency)
5. Serta kewajaran dan kesetaraan
(fairness).

 “ 1. Transparansi (Transparency)
Untuk menjaga obyektivitas dalam menjalankan bisnis,
perusahaan harus menyediakan informasi yang material dan
relevan dengan cara yang mudah diakses dan dipahami oleh
pemangku kepentingan. Perusahaan harus mengambil
inisiatif untuk mengungkapkan tidak hanya masalah yang
disyaratkan oleh peraturan perundang-undangan, tetapi juga
hal yang penting untuk pengambilan keputusan oleh
pemegang saham, kreditur dan pemangku kepentingan
lainnya.

Pedoman Pokok Pelaksanaan
1) Perusahaan harus menyediakan informasi secara tepat waktu,
memadai, jelas, akurat dan dapat diperbandingkan serta mudah diakses
oleh pemangku kepentingan sesuai dengan haknya.
2) Informasi yang harus diungkapkan meliputi, tetapi tidak terbatas pada,
visi, misi, sasaran usaha dan strategi perusahaan, kondisi keuangan,
susunan dan kompensasi pengurus, pemegang saham pengendali,
kepemilikan saham oleh anggota Direksi dan anggota Dewan
Komisaris beserta anggota keluarganya dalam perusahaan dan
perusahaan lainnya yang memiliki benturan kepentingan, sistem
manajemen risiko, system pengawasan dan pengendalian internal, sistem
dan pelaksanaan Good Corporate Governance serta tingkat
kepatuhannya, dan kejadian penting yang dapat mempengaruhi kondisi
perusahaan.

3) Prinsip keterbukaan yang dianut oleh perusahaan tidak
mengurangi kewajiban untuk memenuhi ketentuan
kerahasiaan perusahaan sesuai dengan peraturan
perundang-undangan, rahasia jabatan dan hak-hak pribadi.
4) Kebijakan perusahaan harus tertulis dan secara
proporsional dikomunikasikan kepada pemangku
kepentingan.

Transparansi artinya ada keterbukaan dalam
melaksanakan suatu proses kegiatan
perusahaan.Transparansi mendorong
diungkapkannya kondisi perusahaan yang
sebenarnya sehingga setiap pihak yang
berkepentingan (stakeholders) dapat mengukur
dan mengantisipasi segala sesuatu yang

menyangkut perusahaan.

Transparansi dapat dimplementasikan dengan
penyajian secara terbuka laporan keuangan yang
akurat dan tepat waktu, kriteria yang terbuka
tentang seleksi personil, informasi adanya seleksi,
pengungkapan transaksi atau kontrak dengan
pihak-pihak yang memiliki hubungan atau
kedudukan istimewa, struktur kepemilikan,
kemungkinan risiko yang dihadapi oleh
perusahaan.
