Faktor yang harus dipertimbangkan dalam
pemilihan bentuk usaha
1. Bagaimana hubungan antara tarif pajak penghasilan orang pribadi dan tarif
pajak penghasilan wajib pajak, termasuk ketentuan khusus yang mengatur
hal itu.
2. Pengenaan pajak penghasilan secara berganda, baik atas laba bruto
usaha, maupun penghasilan dari pembagian keuntungan (dividen) kepada
para pemegang sahamnya.
3. Kesempatan untuk menunda pengenaan pajak pada tarif pajak penghasilan
lebih kecil/besar apabila dibandingkan dengan kesempatan yang terdapat
pada tarif pajak penghasilan akumulasi penghasilan perusahaan. (ex:
pengurangan angsuran PPh pasal 25)
4. Adanya ketentuan mengenai kerugian hasil usaha neto (kompensasi
kerugian) dan kredit investasi yang berlaku bagi bentuk usaha tertentu.
5. Liberalisasi ketentuan yang mengatur fringe benefit dan atau payment
in kind. (PMK-83/PMK.03/2009 - Penyediaan makanan dan minuman bagi

Perseroan Terbatas (PT)

▸ PT adalah badan hukum yang merupakan persekutuan modal yang didirikan

berdasarkan perjanjian, melakukan kegiatan usaha dengan modal dasar yang
seluruhnya terbagi dalam saham, dan memenuhi persyaratan yang
ditetapkan dalam UU serta peraturan pelaksanaannya
▸ PT Tbk adalah Perseroan Publik atau Perseroan yang melakukan penawaran
umum saham sesuai dengan ketentuan UU di bidang pasar modal
▸ Tanggung jawab PT dibebankan pada direksi, bukan pemegang saham
(selama pemegang saham tidak merangkap sebagai pengurus perusahaan
▸ Pengenaan Pajak PT dikenakan pada level net income sebelum pembagian
dividen perusahaan kepada pemegang saham (UU Nomor 36 Tahun 2008)

Dengan demikian, secara total investor WPOP akan Rp700.000.000
terbebani pajak keuntungan yang diperoleh dari
badan usaha PT tersebut sebesar 32,5%

Persekutuan (CV, Firma, Kongsi)
▸ Pendirian Firma walaupun di daftarkan di Kepaniteraan Pengadilan Negeri dan
diumumkan dalam Tambahan Berita Negara RI, tidak diperlukan adanya pengesahan
dari Kemenkumham (PT butuh pengesahan Kemenkumham)
▸ Belum ada UU yang mengatur masalah Firma, CV dan Persekutuan Perdata, maka dari
itu kembali kepada KUHD dan KUHP
▸ Apabila CV pailit dan asset CV tidak mencukupi untuk pelunasan utang-utangnya,
maka asset pribadi pengurus dapat dipertanggungjawabkan untuk melunasi utang
perusahaan
▸ Pengenaan pajak pada CV hanya dikenakan sekali pada level net income. Ketika
didistribusikan kepada shareholder tidak dikenakan pajak dividen lagi karena
dianggap sebagai satu kesatuan (UU no 38 tahun 2008 tentang PPh pasal 4 ayat 3:
“Yang dikecualikan dari objek pajak yakni bagian laba yang diterima atau diperoleh
anggota dari perseroan komanditer yang modalnya tidak terbagi atas saham-saham,
persekutan, perkumpulan, firma, dan kongsi, termasuk pemegang unit penyertaan
kontrak investasi kolektif)

Usaha Perseorangan

▸ Dalam perhitungan pajak perseorangan, ada beberapa

faktor pengurang seperti PTKP dan biaya jabatan
▸ PPh perseorangan menggunakan tarif progresif dari
lapisan tarif 5% hingga tarif maksimum 30%

Beberapa hal penting yang perlu kita catat:
▸ Beban pajak yang ditanggung investor melalui persekutuan
ternyata lebih kecil daripada usaha berbentuk PT
▸ Bisnis perseorangan bisa memberikan tingkat efisiensi pajak
yang jauh lebih besar dari bentuk usaha lainnya. Namun, tidak
boleh tergesa-gesa mengambil keputusan atas dasar
pertimbangan ini semata, harus memperhatikan pertimbangan
lain
▸ Pemilihan salah satu entitas bisnis dapat dijadikan referensi
dalam pengambilan keputusan oleh para investor untuk
meminimalkan beban pajak. Namun, faktor pajak bukan satu-
satunya pertimbangan dalam pengambilan keputusan bisnis.
Masih banyak variable lain yang harus diperhatikan

▸ Investor konvensional lebih sering mengandalkan intuisi bisnis
daripada perhitungan di atas kertas.
▸ Pengelolaan bisnis modern dilakukan secara professional dan tidak
bisa mengandalkan intuisi semata
▸ Di antara sederatan pertimbangan dalam proses pengambilan
keputusan bisnis modern, harus juga diakomodasi masalah
permodalan, risk management, lingkungan, tanggung jawab
persero pula terjadi klaim pihak ketiga, business dan market
development, serta hak dan kewajiban lainnya yang timbul dari
pemilihan bentuk usaha
