Article VI. Arbitration

This Contract will be settled by the Indonesia Arbitration Pasal VI. Arbitrasi
center.
Aturan arbitrase berasal dari Hukum Indonesia.

Article VII. Effective date and Validity terms

Pasal VII. Masa Berlaku
1. The sale is irrevocable.

Article VIII. Inspection
Weight, Quantity, Quality, Packing and condition of

inspected and certified by Buyers appointed

Seller shall do pre shipment inspection before shipment
Surveyor at loading port shall issue complete
certificate(s) and or report(s) on weight by random
sampling of 0.5% goods, Quantity, Quality and Packing.
Article IX. Force Majeure
Should the Shipment be delayed or prevented by the
reasons including:
1. Natural Disaster (Flood, Earthquake, Thunder
and other natural Disaster)
2. Pandemic nCov 19, Social Unrest,
Demonstrations, War, etc or delay/cessation of
work, the failure of the working system of one of
the parties
3. The rules or the Decision of The Government in
the field of Politics, Monetary and Legislation
which has direct on business activities of the
parties
The party under Force Majeure case must inform the
event to the other party within 14 (fourteen) days of force
majeure from the date of occurrence of event by email a
notice of Force Majeure and both the parties are
required to hold talks about the continuation of the
implementation of this Contract.
Article X. General / Other Conditions
1. A plus minus variation of 5% in quantity will be
acceptable.
2. The parties have committed to carry out this
contract fully and fairly. Any changes during
implementation of the contract shall be mutual
agreed in writing.
3. The parties have signed this contract in 2 (two)
originals with equal legal value, 1(one) of which
be kept by each party. However, should there be

Pasal VIII. Inspeksi
Berat, Kuantiti, Kualitas, Kemasan dan kondisi Jahe
diperiksa akhir inspeksi di pelabuhan muat dan
sertifikasi oleh pembeli menunjuk independent surveyor
yang disetujui sebanyak 29 MT dan biaya menjadi
tanggungan penjual
Penjual harus melakukan ‘Pre Shipment Inspection’
sebelum pengapalan
Surveyor di pelabuhan muat menerbitkan sertifikat dan
laporan dengan berat sampling acak lengkap dari 0,5%
jumlah barang, kuantitas, kualitas dan kemasan
Pasal IX. Force Majeure
Kedua belah pihak setuju terhadap kejadian Force
Majeure seperti :
1. Bencana Alam (Banjir, Gempa Bumi, Petir dan
atau benca lainnya)
2. Pandemic nCov 19, Gejolak Sosial,
Demonstrasi, Perang, lainnya yang
menyebabkan penundaan, kegagalan sistem
pekerjaan dari salah satu pihak
3. Kebijakan Pemerintah menyangkut Politik,
Moneter dan Legislasi yang berpengaruh
langsung pada kegiatan bisnis dari kedua belah
pihak
Pihak dalam kasus Force Majeure harus
menginformasikan acara tersebut kepada pihak lain
dalam waktu 14 (empat belas) hari dari force majeure
sejak tanggal terjadinya peristiwa melalui email
pemberitahuan Force Majeure dan kedua belah pihak
diharuskan untuk mengadakan pembicaraan tentang
kelanjutan dari pelaksanaan Kontrak ini
Pasal X. Lain-Lain
1. Toleransi plus minus 5% Quantity masih dapat
diterima.
2. Kedua belah pihak setuju untuk membawa
kontrak secara penuh dan adil . Perubahan
