M e n i n g k a t n ya p e r m i n t a a n d a n h a rg a b a t u b a ra
sebagai salah satu sumber energi domestik maupun
global, membuat kegiatan sektor pertambangan
semakin bergairah. Kendati menghadapi kendala yang
berat, yakni tingginya curah hujan sepanjang periode
pelaporan, segmen usaha Kontraktor Penambangan,
m e l a l u i P T P a m a p e r s a d a N u s a n t a ra , m e r e s p o n
naiknya permintaan jasa penambangan batu bara
dengan kembali mencatat kinerja terbaiknya yakni
memproduksi 77,9 juta ton batu bara dan melakukan
651,5 juta bcm pemindahan tanah. Hasilnya, nilai
pendapatan segmen usaha Kontraktor Penambangan
pada tahun 2010 meningkat 9,8% menjadi Rp16,93triliun
dari Rp15,42 triliun di tahun sebelumnya.

diperkirakan masih memiliki cadangan batu bara tertambang
14 juta ton (gross) dengan kualitas 6.700 kcal/kg (adb).

K o m i t e GCG m e m p u n y a i t u g a s d a n t a n g g u n g
jawab utama membantu Direksi untuk memastikan
bahwa dengan mekanisme operasional yang ada,
GCG sudah memenuhi seluruh kaidah tata kelola
perusahaan. Komite GCG juga bertugas menelaah
d a n m e re ko m e n d a s i k a n p e r u b a h a n a t u ra n d a n
kebijakan perusahaan yang masih belum memenuhi
kaidah praktek GCG agar sesuai dengan peraturan
perundangan terbaru.
T h e p r i m a r y d u t y a n d r e s p o n s i b i l i t y o f GCG
Committee is to assist Board of Directors in ensuring
that with the existing operating mechanism, GCG
C o m m i t t e e h a s a l re a d y a p p l i e d a l l c o r p o ra t e
governance principles. GCG Committee is also in
charge of reviewing and recommending changes
to corporate policy and rules which are still lacking
in GCG practice in order to comply with the laws
and regulations.

Ultimate
recoupment
of
exploration
expenditure deferred is dependent upon
successful development and commercial
exploitation, or alternatively, sale of the
respective area. Each area of interest is

Exploration expenditure in respect of an area
of interest, which has been abandoned, if any,
or for which a decision has been made by the
Groups director against the commercial
viability of the area of interest, is written off in
the period the decision is made.

Administrasi
Berdasarkan Undang-Undang Perpajakan yang
berlaku di Indonesia, perusahaan-perusahaan
dalam Grup menghitung, menetapkan dan
membayar sendiri besarnya jumlah pajak yang
terhutang. DJP dapat menetapkan atau
mengubah kewajiban pajak dalam batas waktu
sepuluh tahun sejak saat terhutangnya pajak,
atau akhir tahun 2013, mana yang lebih awal.
Ketentuan baru yang diberlakukan terhadap
tahun pajak 2008 dan tahun-tahun selanjutnya
menentukan bahwa DJP dapat menetapkan
dan mengubah kewajiban pajak tersebut dalam
batas waktu lima tahun sejak saat terhutangnya
pajak.

Under the taxation laws of Indonesia, the
companies within the Group submit tax returns
on the basis of self assessment. The DGT may
assess or amend taxes within ten years of the
time the tax becomes due, or until the end of
2013, whichever is earlier. There are new rules
applicable to the fiscal year 2008 and
subsequent years stipulating that the DGT may
assess or amend taxes within five years of the
time the tax becomes due.

Fasilitas kredit
Pada tanggal 31 Desember 2010, Perusahaan
dan anak perusahaan tertentu mempunyai
fasilitas bank garansi dan letters of credit
sejumlah USD 130,3 juta dan Rp 5 miliar (2009:
USD 144,8 juta dan Rp 5 miliar), fasilitas kontrak
valuta asing berjangka sejumlah USD 1,5 juta
(2009: USD 1,5 juta) dan fasilitas swap suku
bunga sejumlah USD 259,9 juta dan JPY 1,99
miliar (2009: USD 248,3 juta dan JPY 3 miliar)
yang diperoleh dari berbagai bank. Fasilitas yang
belum digunakan oleh Perusahaan dan anak
perusahaan tertentu berjumlah USD 191,5 juta
dan Rp 3,8 miliar pada tanggal 31 Desember
2010 (2009: USD 186,1 juta, Rp 4,8 miliar, dan
JPY 14,9 juta).
Penggunaan fasilitas bank garansi dan letters of
credit di atas dijamin dengan deposito berjangka
yang dibatasi penggunaannya (lihat Catatan 4c).

Credit facilities
As at 31 December 2010, the Company and
certain subsidiaries had bank guarantee and
letters of credit facilities of USD 130.3 million and
Rp 5 billion (2009: USD 144.8 million and Rp 5
billion), foreign exchange contract facilities of
USD 1.5 million (2009: USD 1.5 million) and
interest rate swap facilities of USD 259.9 million
and JPY 1.99 billion (2009: USD 248.3 million
and JPY 3 billion) obtained from various banks.
Unused facilities of the Company and certain
subsidiaries were USD 191.5 million and Rp 3.8
billion as at 31 December 2010 (2009: USD
186.1 million, Rp 4.8 billion, and JPY 14.9
million).
The utilisation of the above bank guarantees and
letters of credit facilities are secured by restricted
time deposits (refer to Note 4c).

b. Business Agreement
On 26 November, 2010, UTPE agreed to a joint
venture agreement with PT Komatsu Indonesia
and Maruei Ltd. as the basis for the
establishment of the PT Komatsu Patria
Attachment. The authorised and issued share
capital is 2,250,000 shares with par value of USD
1 or equivalent to a total amount of USD
2,250,000. UTPE owns 45% of the shares whilst
the remaining is owned by PT Komatsu
Indonesia and Maruei Ltd at 50.5% and 4.5%,
respectively. Issued capital has been fully paid
on 31 January 2011.

U n t u k m e n i n g k a t k a n k u a l i t a s ke r j a , ke a m a n a n
dan kenyamanan kerja, Perseroan berusaha
mengimplementasikan sistem manajemen ISO 9001:2008
tentang Mutu, ISO 14001:2004 tentang Lingkungan dan
OHSAS 18001:2007 tentang Keselamatan dan Kesehatan
Kerja dan pada Desember 2010, Perseroan berhasil meraih
sertifikasi ketiga sistem tersebut dalam suatu sistem yang
terintegrasi untuk menunjang peningkatan prestasi dan
perbaikan yang berkelanjutan, sehingga mampu memenuhi
persyaratan pelanggan. Dalam Grup Astra Heavy
Equipment Mining & Energy (AHEME), salah satu anak
perusahaan, yaitu PT United Tractors Pandu Engineering
(UTPE), telah memperoleh sertifikat ISO 9001:2008. Begitu
pula dengan PT Pamapersada Nusantara (Pama) kantor
pusat, site Adaro, site Indominco, site MTBU, site BAYA,
site KIDECO, site ABKL telah memperoleh sertifikat ISO
9001:2008, ISO 14001:2004 dan OHSAS 18001:2007.

service improvement and fulfillment of stakeholder
satisfaction, the Company implemented Triple Bottom
Line by incorporating the Environment, Health and

Perseroan berhasil menurunkan tingkat kecelakaan ratarata selama tahun 2010 untuk cabang dan jobsite UT.
Frequency Rate (FR) atau tingkat kekerapan terjadinya
kecelakaan pada tahun 2010 adalah 0,11 atau turun
dibandingkan tahun 2009 pada tingkat 0,25. Demikian
pula dengan Severity Rate (SR) yaitu kecelakaan kerja yang
menyebabkan hari hilang (Lost Time Injury Severity Rate)
pada tahun 2010 adalah 1,51 atau turun dibandingkan tahun
2009 pada tingkat 2,18. Penurunan FR dan SR ini tak lepas
dari peran seluruh pemangku kepentingan dalam kegiatan
dan program yang terintegrasi di berbagai aspek, sehingga
ke depannya diharapkan dapat tercapai Zero Accident.

Bidang Lingkungan
Perseroan memiliki perhatian dan bersikap tanggap
terhadap tantangan di bidang lingkungan seperti
pemanasan global dan perubahan iklim, dengan
mulai membudayakan perilaku hidup hemat energi di
kehidupan sehari-hari. Kegiatan tersebut direalisasikan
melalui program UTREES (United Tractors for Nature and
Environment Sustainability) yang merupakan wadah dari
seluruh kegiatan CSR Perseroan bertema lingkungan.
Selama tahun 2010, berbagai kegiatan UTREES telah
dilakukan, yaitu sebagai berikut:
Environmental
The Company underscores the importance and is
responsive to the challenge in the environmental
field, such as global warming and climate changes
by starting to socialize the energy saving life style in
daily living. Such activities were realized through the
UTREES (United Tractors for Nature and Environment
Sustainability) program, which become a medium for all
the Companys CSR activities bearing the Environmental
subject. During 2010, several UTREES activities were
carried out, such as:
a) Mangrove Planting
The Company has contributed donation from the
sales of Komatsu Hydraulic Excavator PC 200-8, for
mangrove rehabilitation program in the Municipality
District of Jakarta, which functions as protection
against land abrasion and capable of reducing
emission two times larger than ordinary plants. The
mangrove planting was amounted to 17 guludan
and 6,700 trees conducted in the ecotourism
area of Sedyatmo toll road and the Angke Kapuk
forest. A series of activities conducted in relation
to the mangrove planting, which covers among
others, on April 20, 2010, attended by the Minister
of Forestry, representative from the Minister of
Living Environtment, UT management board, and
representatives of UT employees. The program
was held in cooperation with Indonesian Mangrove
Analysis and Development Foundation. The program
was continued by AHEME Group Mangrove Planting
Program, named One Company, One Guludan on May
25, 2010. The Company conducted the plantation of
1,200 mangrove trees, consisted of 12 guludan for the
purpose of realizing AHEMEs Group care in the field
of environmental preservation as Green Companies
and improved relationship among AHEMEs Group
and the government of Jakarta Municipality District.
The Company also conducted Volunteer Day on the
2010 Living Environment Day with the theme Many
Species, One Planet, One Future, in which UT held
5,000 mangrove trees planting in Cengkareng Drain
Protection Forest, Angke Kapuk, Jakarta. The planting
ceremony was also attended by the boards of AHEME
Group, and around 200 employees and their relatives,
and members of the Companys Hobbies Clubs.

Bidang Pendidikan
Perseroan melaksanakan program pendidikan,
peningkatan keterampilan dan pengetahuan di seluruh
wilayah operasi dan seluruh Grup AHEME sebagai wujud
partisipasi dalam pembangunan generasi bangsa melalui

Bidang Kesehatan
Untuk bidang kesehatan, Perseroan mempunyai program
UT CARE (United Tractors for Health Community).
Kegiatan UT CARE di antaranya adalah seminar kesehatan
mengenai Ergonomi, yang dilanjutkan dengan survey
ergonomi dan pencegahannya, serta kegiatan kampanye
gizi sehat, yang bertujuan untuk membentuk pola makan
sehat. Bekerjasama dengan Palang Merah Indonesia, UT
melaksanakan kegiatan donor darah yang dilakukan secara
rutin setiap tiga bulan, dan hingga akhir tahun 2010 telah
berhasil disumbangkan sebanyak 1.340 kantong darah.
Health
As healthcare, the Company carried out UT CARE
(United Tractors for Health Community) Program. UT
CARE activities include among others Health Seminar
on Ergonomics, followed by ergonomic survey and
how to prevent ergonomic problems, in addition to
Healthy Nutrition Campaign, aiming to create healthy
menu. Iin cooperation with the Indonesian Red Cross,
the Company conducted routine blood donor activities
every three months, and by end of 2010 was successful
in collecting 1,340 packs of blood

Each year the Company, both in the branches and
jobsites, conducts family gathering event in which

UT memfasilitasi adanya Klub Hobi sebagai ajang
karyawan untuk mengekspresikan minat dan keahlian
di luar pekerjaan. Klub Hobi mencakup berbagai
bidang di antaranya:
1. OMC ( O w n e r M o t o r C o m m u n i t y ) y a i t u
perkumpulan pemilik dan pengendara motor yang
sering berpartisipasi melakukan social touring di
beberapa daerah.
2. SeMUT (Sepeda Mania UT) yaitu perkumpulan
karyawan penggemar olah raga ber sepeda yang
sering berpartisipasi dalam acara car free day
serta fun bike.

UT facilitates theset up of Hobby Club as medium
for employees in expressing their interests and skills
outside work. Hobby Club conveys of several fields,
such as:

owners who are actively taking part in social
touring programs to several regions.

f) Perayaan Keagamaan
Perayaan hari besar keagamaan yang diselenggarakan
Perseroan pada tahun ini di antaranya meliputi Idul
Adha, Idul Fitri, Paskah, dan Natal. Khusus untuk
menyambut Idul Fitri, diselenggarakan kegiatan
buka puasa bersama serta mudik bersama yang
memfasilitasi tidak hanya karyawan, tetapi juga
karyawan pemasok yang bekerja di kantor pusat.
Hari besar Idul Adha yang dirayakan di kantor
pusat, cabang dan jobsite Perseroan, ditandai
dengan penyerahan bantuan hewan korban kepada
beberapa instansi dan masyarakat. Di kantor pusat,

f) Religious Commemoration
Commemoration religious holidays are conducted by
the Company in 2010, including among others the
Eid el Adha, Eid el Fitr, Good Friday, and Christmas.
During el Fitr festive, such events of breaking the fast
and collective home-coming program were carried
out, facilitating not only UT employees, but also
suppliers employees who are working in the head
office. The Eid el Adha holiday was commemorated
at the head office, branches and Companys job sites,
signified by giving out qurban animals for several
organizations and communities. At the head office,
the qurban animals were given out to communities
in RW 01 West Cakung, RW 07 West Cakung, RW 04
Rawaterate, RW 08 Penggilingan, Cakung Village and
the Al Furqon Mosque.

sebagai Manajer Sales Engineering di Daimler-Benz Indonesia.
Memperoleh gelar Dipl.-Ing. bidang Teknik Mesin dari
University of A. Sc. Konstanz, Jerman pada tahun 1984 dan
Dipl.-Wirtschaftsing bidang Administrasi Niaga dari University
of A. Sc. Bochum, Jerman.

Company since May 2005. He was appointed as President
Director of PT Astra International Tbk (Astra) since March
2010. He has overall responsibility for the Astra Groups
businesses. He was previously Director of Astra from May

Wakil Presiden Direktur Astra Sedaya Finance pada tahun 1983,
General Manager bidang Keuangan dan Corporate Treasurer
Astra pada tahun 1980-1985, Direktur Bank Perkembangan Asia
pada tahun 1986-1990 dan Presiden Direktur Bank Universal
pada tahun 1990-2002. Pada tahun 2002 menjabat sebagai
Ketua Tim Pengawas Pasca Penggabungan Bank Universal.
Memperoleh gelar sarjana di bidang Akuntansi dari Universitas
Indonesia pada tahun 1967.
