Bahwa, sehubungan dengan keikutsertaan Whereas, in connection with the participation of

Supplier dalam pengadaan barang dan/atau
jasa yang diadakan oleh Wilmar Group
Indonesia [WGI] (“Perusahaan”), dengan ini
Supplier menyatakan tunduk pada persyaratan-
persyaratan yang berlaku sebagai berikut:
Supplier in the procurement of goods and / or
services held by Wilmar Group Indonesia [WGI]
("Company"), the Supplier hereby declares that
they are subject to the following terms required:

1. Supplier telah memperoleh penjelasan- 1. The Supplier has obtained complete

syarat-syarat pengadaan tersebut, serta

2. Supplier tidak akan melakukan praktek
korupsi, kolusi dan nepotisme dengan
karyawan dari Perusahaan atau pihak
ketiga yang ditunjuk oleh Perusahaan
untuk melakukan evaluasi atau
kelayakan atas penawaran yang
diajukan oleh Supplier dan/atau
perbuatan lainnya yang bertentangan
dengan peraturan hukum yang berlaku
atau kode etik yang dapat merugikan
kepentingan Perusahaan.
3. Supplier akan menyampaikan informasi
yang benar dan dapat
dipertanggungjawabkan serta
melaksanakan tugas secara bersih,
transparan, professional dan
mengerahkan segala kemampuan dan
sumber daya yang dimiliki secara
optimal untuk memberikan hasil kerja
terbaik mulai dari penyiapan
penawaran, pelaksanaan dan
penyelesaian pengadaan barang
dan/atau jasa yang diberikan oleh
Perusahaan.
4. Supplier beserta dengan Pemegang
Saham, Direksi, Komisaris, Karyawan,
Konsultan dan pihak terafiliasi dari
Supplier tidak pernah dan tidak akan
memberikan hadiah dan/atau imbalan
dan/atau memberikan keuntungan
dan/atau manfaat dalam bentuk dan
cara apapun baik langsung maupun
tidak langsung kepada Direksi,
Komisaris atau Karyawan Perusahaan,
maupun pihak ketiga yang ditunjuk
Indonesia prevailing regulation,
including but not limited to tax
provisions that must be adhered to by
the Supplier. Furthermore, the Supplier
warrants that Shareholders, Directors,
Commissioners, Employees,
Consultants and affiliated parties of the
Supplier understand, recognize and
comply with each provision and
conditions of procurement as well as
applicable laws and regulations.
2. The Supplier will not practice
corruption, collusion and nepotism with
employees of the Company or third
parties appointed by the Company to
evaluate or feasibility of offers
submitted by Suppliers and / or other
actions that conflict with applicable
laws or code of ethics that may harm
the interests of the Company.
3. The Supplier will deliver factual and
accountable information and carry out
their duties in a clean, transparent,
professional manner and organize all
owned capabilities and resources
optimally to provide the best work
results starting from the preparation of
bids, implementation and completion
of procurement of goods and / or
services provided by the Company.
4. The Supplier and shareholders,
directors, commissioners, employees,
consultants and affiliated parties of
Supplier have never and will not give
gifts and / or rewards and / or provide
benefits and / or benefits in any form or
method, directly or indirectly to
Directors, Commissioners or Employees
of the Company, or third parties
appointed as Corporate Consultants in
the procurement of goods and / or

5. Dalam mengambil keputusan Supplier

tujuan untuk melakukan sesuatu untuk

Supplier, termasuk tidak terbatas pada
adanya hubungan baik sedarah
maupun hubungan semenda antara
Supplier (manajemen dan/atau
karyawannya) dengan Perusahaan
(manajemen dan/atau karyawannya)
dan dengan demikian tidak memiliki
posisi yang mengandung potensi
benturan kepentingan (conflict of
interest), termasuk dengan seluruh
pihak yang terlibat dengan tindakan di
atas.
6. Supplier wajib memberikan laporan
kepada Direktur Perusahaan, apabila
mengetahui atau ditemukan indikasi
adanya permintaan hadiah dan/atau
imbalan sebagai penyimpangan dari
ketentuan Poin 4 dan indikasi adanya
benturan kepentingan sebagaimana
dimaksud dalam Poin 5.
7. Supplier akan menjaga kerahasiaan
informasi yang bersifat rahasia
mengenai Perusahaan kepada pihak
lain, baik secara langsung maupun tidak
langsung, kecuali dengan persetujuan
tertulis dari Perusahaan atau
diwajibkan oleh hukum.
8. Apabila dikemudian hari Supplier
mengingkari dan/atau melanggar
pernyataan-pernyataan di atas atau
ditemui bahwa pernyataan yang
disampaikan oleh Supplier tidak benar,
maka Supplier menyatakan bersedia
untuk dituntut di muka pengadilan
dan/atau dikenakan sanksi oleh
Perusahaan termasuk tidak terbatas
pada:
a) Pemutusan/ pembatalan; dan/atau
b) Penghentian penunjukan yang
services.
5. In making a decision the Supplier does
not have any personal interest or
purpose to do something for his own
benefit, as well as the interests of the
parties related to the Supplier,
including but not limited to the blood
and marital relationship between the
Supplier (management and/or
employee) and the Company
(management and/or employee) and
thus, does not have a position that
contains a potential conflict of interest,
including with all parties involved with
the above actions.
6. The Supplier must provide reports to
the Director of the Company, if they
know or find indications of a request for
gifts and / or rewards as a deviation
from the provisions of Point 4 and
indication of conflict of interest as
stipulated in Point 5.
7. The Supplier will maintain the
confidentiality of confidential
information about the Company to
other parties, both directly and
indirectly, except with written approval
from the Company or obligatory of law.
8. If in the future the Supplier denies and
/ or violates the above statements or is
found that the statement submitted by
the Supplier is incorrect, then the
Supplier agrees to be prosecuted and /
or sanctioned by the Company
including but not limited to:
a) Termination/cancellation; and/or
b) Termination of appointment granted
by the Company; and/or
c) Dropping Supplier’s name from the
list of the Company partners; and/or

yang telah atau akan dibuat dan ditandatangani
oleh Supplier dan Perusahaan.
This Statement Letter is an integral and
inseparable part of the Cooperation Agreement
/ Purchase Order / Contract that has been or
will be made and signed by the Supplier and the
Company.
