(“POJK No. 14”) dan Keputusan Direksi PT Bursa Efek
Indonesia No:Kep-00066/BEI/09-2022 tentang
Perubahan Peraturan Nomor I-E tentang Kewajiban
Penyampaian Informasi (“Peraturan BEI I-E”), dimana
diatur pada bagian III.1.1.4, apabila terdapat
perubahan lebih dari 20% pada Jumlah Aset dan/ atau
Liabilitas pada Laporan Keuangan Auditan tahunan
terakhir, maka Perseroan wajib memberikan
penjelasan tentang penyebab perubahan berikut
pendapat manajemen tentang dampak perubahan
tersebut terhadap kinerja keuangan Perseroan pada
tahun berjalan, maka melalui surat ini Perseroan
menyampaikan:
Terdapat penurunan sebesar Rp85,1 trilliun atau
setara dengan 61,1% pada total aset Perseroan pada
tanggal 31 Desember 2023 apabila dibandingkan
dengan tahun sebelumnya. Penurunan ini terutama
disebabkan oleh penurunan pada goodwill sebesar
Rp78,7 triliun.
Penurunan goodwill tersebut disebabkan oleh
penurunan nilai atas saldo goodwill yang dialokasikan
pada e-Commerce serta jasa pengiriman. Nilai
terpulihkan goodwill ditentukan berdasarkan nilai
wajar dikurangi biaya untuk menjual, menggunakan
harga transaksi dari Kemitraan Strategis antara PT
Tokopedia dan TikTok, dimana transaksi tersebut
telah diungkapkan Perseroan pada 31 Januari 2024
serta memperhitungkan pengaturan untuk
penghentian pengakuan seluruh aset bersih terkait

Dear Sir,
Referring to the Financial Services Authority Regulation
No. 14/POJK.04/2022 concerning the Submission of
Periodic Financial Statements of Issuers or Public
Companies ("POJK No. 14") and the Decree of the
Board of Directors of the Indonesia Stock Exchange No:
Kep-00066/IDX/09-2022 on the Amendments to
Regulation Number I-E concerning Information
Submission Obligations ("IDX Regulation I-E"), where
stipulated on chapter III.1.1.4 if there is more than 20%
change of the total asset and/ or liabilities on the latest
audited consolidated financial statements, the
Company must provide explanation on such changes
including the management’s opinion on the changes to
the performance of the Company in the current year, the
Company would like to convey as follows:
There was a decrease of IDR 85.1 trillion or equivalent
to 61.1% of the total assets of the Company as of
December 31, 2023 compared to the previous year.
This decrease is mainly caused by the decrease in
goodwill amounting to IDR 78.7 trillion.
Decrease in goodwill is due to decrease in goodwill
balances allocated to e-commerce and delivery
services. The recoverable amount of goodwill was
determined based on the fair value less cost to sell
using the transaction price from the Strategic
Partnership of PT Tokopedia and TikTok, in which the
transaction has been disclosed by the Company on
January 31, 2024 and taking into consideration the
requirement to derecognise all net assets related to
Tokopedia (including goodwill) upon loss of control.
