License Agreement
This license agreement (the “Agreement”) is made and
entered into as of 2023-03-08 (the “Effective Date”) and will
form a legally binding agreement between:
Cv. BUDAYA PALEMBANG NIAN, a private limited
company organized and existing under the laws of Republic of
Indonesia, with its registered address at Jl. Wirajaya 6 No. 755
Desa/Kelurahan Siring agung Kec. Ilir Barat Satu Kota
Palembang Sumatera Selatan (“you” or “Licensor”), which
expression shall, where the context permits, include the
Licensor’s successors and authorized assignees, however
denominated,
AND
TikTok Technology Limited, a private limited company with
its registered address at 10 EARLSFORT TERRACE,
DUBLIN 2, D02 T380, IRELAND (hereinafter referred to as
“we”, “Licensee” or “Company”), which expression shall,
where the context permits, include Company’s Affiliates,
executors, administrators, permitted assigns and successors in
business.
Company and the Licensor will be referred to individually as
"Party" and, collectively, as "Parties".
1. Your Relationship with Us and Your Acceptance
of this Agreement
a) You understand that by accessing Company’s
platform currently branded “SoundOn” (the “Service”) and
signing this Agreement, you agree to be bound by the terms
set forth below. The Terms of Service
(https://www.soundon.global/legal/terms-of-service, or such
other URL as may be determined by Company in its discretion
from time to time) (“Terms of Service”) and the Privacy
Policy (https://www.soundon.global/legal/privacy-policy, or
such other URL as may be determined by Company in its
discretion from time to time) (“Privacy Policy”) of the
Service, respectively, are hereby incorporated into and made a
part of this Agreement. To the extent there is a conflict
between this Agreement, the Terms of Service, and the
Perjanjian Lisensi
Perjanjian lisensi (“Perjanjian”) ini dibuat dan
ditandatangani sejak 2023-03-08 (“Tanggal Efektif”) dan
merupakan perjanjian yang mengikat secara hukum
antara:
Cv. BUDAYA PALEMBANG NIAN perseroan terbatas
swasta yang dibentuk dan didirikan berdasarkan undang-
undang Negara Republik Indonesia, dengan alamat
terdaftar di Jl. Wirajaya 6 No. 755 Desa/Kelurahan
Siring agung Kec. Ilir Barat Satu Kota Palembang
Sumatera Selatan(“Anda” atau “Pemberi Lisensi”), yang
ungkapannya harus, jika konteksnya memungkinkan,
termasuk penerus dan penerima yang berwenang dari
Pemberi Lisensi, sebagaimana ditunjuk,
DAN
TikTok Technology Limited, sebuah perseroan terbatas
dengan alamat di 10 EARLSFORT TERRACE, DUBLIN
2, D02 T380, IRELAND (selanjutnya disebut sebagai
“kami”, “Penerima Lisensi” atau “Perseroan”), yang
ungkapannya harus, jika konteksnya memungkinkan,
termasuk Afiliasi-Afiliasi, pelaksana, administrator,
penerima hak dan penerus yang diizinkan Perseroan dalam
bisnis.
Perseroan dan Pemberi Lisensi akan disebut masing-
masing sebagai "Pihak" dan, bersama-sama, sebagai "Para
Pihak".
1. Hubungan Anda dengan Kami dan
Persetujuan Anda terhadap Perjanjian ini
a) Anda memahami bahwa dengan mengakses
platform Perseroan yang saat ini bermerek "SoundOn"
("Layanan") dan menandatangani Perjanjian ini, Anda
setuju untuk terikat dengan persyaratan yang ditetapkan di
bawah ini. Persyaratan Layanan

URL sejenis lainnya yang mungkin ditentukan oleh
Perseroan atas diskresinya dari waktu ke waktu)
("Persyaratan Layanan") dan Kebijakan Privasi
(https://www.soundon.global/legal/privacy-policy, atau
URL sejenis lainnya yang mungkin ditentukan oleh
Perseroan dalam diskresinya dari waktu ke waktu)
("Kebijakan Privasi") dari Layanan, masing-masing,
Privacy Policy, the terms of this Agreement shall control. Any
capitalized terms used but not otherwise defined in this
Agreement shall have the meanings ascribed to them in the
Terms of Service and the Privacy Policy, respectively.
b) If you access the Service within a jurisdiction for
which there are separate or additional terms applicable to the
use of the Service and/or Distribution Platforms
(“Supplemental Terms”), you also hereby agree to the
Supplemental Terms applicable to users in each jurisdiction as
set forth below, and in the event of a conflict between the
provisions of any applicable Supplemental Terms that are
relevant to your jurisdiction from which you access the
Service and the rest of this Agreement, the applicable
Supplemental Terms that are relevant to your jurisdiction will
supersede and control. Any applicable Supplemental Terms
that are relevant to your jurisdiction from which you access
the Service are also hereby incorporated by reference and will
also form a part of and constitute this Agreement.
c) If you do not agree with the terms and conditions set
forth in this Agreement, please do not electronically accept or
sign this Agreement.
2. Participation in the Service
You hereby agree voluntarily to participate in the Service. As
a participant, you may upload Licensed Content to the Service
through your account in Service for exploitation by Company
and its Affiliates including on the Distribution Platforms
during the Term and throughout the Territory in accordance
with the terms of this Agreement. The Licensed Content you
upload is entirely within your discretion.
a) “Licensed Content” includes Licensed Recordings,
Licensed Underlying Works, Licensed Marks, Licensed
Artwork and Other Materials.

Perjanjian ini. Dalam hal terdapat pertentangan antara
Perjanjian ini, Persyaratan Layanan, dan Kebijakan
Privasi, maka ketentuan Perjanjian ini yang akan berlaku.
Setiap istilah dalam huruf kapital yang digunakan tetapi
tidak didefinisikan dalam Perjanjian ini akan memiliki arti
yang ditetapkan padanya masing-masing dalam
Persyaratan Layanan dan Kebijakan Privasi.
b) Jika Anda mengakses Layanan dalam yurisdiksi
di mana terdapat ketentuan terpisah atau tambahan yang
berlaku untuk penggunaan Layanan dan/atau Platform
Distribusi ("Ketentuan Tambahan"), Anda juga dengan
ini menyetujui Ketentuan Tambahan yang berlaku untuk
pengguna di masing-masing yurisdiksi sebagaimana
ditetapkan di bawah ini, dan jika terjadi konflik antara
ketentuan dari Ketentuan Tambahan yang berlaku yang
relevan dengan yurisdiksi Anda dari mana Anda
mengakses Layanan dan bagian lain dari Perjanjian ini,
Ketentuan Tambahan yang berlaku yang relevan dengan
yurisdiksi Anda akan menggantikan dan mengendalikan.
Ketentuan Tambahan apa pun yang berlaku yang relevan
dengan yurisdiksi Anda dari mana Anda mengakses
Layanan juga dengan ini dimasukkan sebagai referensi dan
juga akan menjadi bagian dari dan merupakan Perjanjian
ini.
c) Jika Anda tidak setuju dengan syarat dan
ketentuan yang ditetapkan dalam Perjanjian ini, mohon
untuk tidak menerima atau menandatangani Perjanjian ini
secara elektronik.
2. Partisipasi dalam Layanan
Anda dengan ini setuju secara sukarela untuk
berpartisipasi dalam Layanan. Sebagai peserta, Anda
dapat mengunggah Konten Berlisensi ke Layanan melalui
akun Anda di Layanan untuk dieksploitasi oleh Perseroan
dan Afiliasi-Afiliasinya termasuk di Platform Distribusi
selama Jangka Waktu dan di seluruh Wilayah sesuai
dengan ketentuan Perjanjian ini. Konten Berlisensi yang
Anda unggah sepenuhnya dalam diskresi Anda.
a) "Konten Berlisensi" termasuk Rekaman
Berlisensi, Karya Dasar Berlisensi, Merek Berlisensi,
Karya Seni Berlisensi, dan Materi Lain.
b) “Licensed Recordings” means each individual sound
recording (including excerpts thereof) that is uploaded by you
on the Service.
c) “Licensed Underlying Works” means the musical
works (i.e., musical compositions) embodied in the Licensed
Recordings.
d) “Licensed Commercial Recordings” means any
Licensed Recordings which you expressly allow (by checking
the Commercial Music Usage box during “Upload Music”
stage) for commercial usage on any media and platform as
deemed appropriate by Company and/or its Affiliates.
e) “Licensed Marks” means each individual name,
logo, brand, trade name, trademark, service mark or other
proprietary designation of Licensor and any Other Personnel,
whether registered or unregistered, that is uploaded by you on
the Service.
f) “Licensed Artwork” means each individual item of
artwork, including booklets, graphics, images and textual
materials (including liner notes) associated with a Licensed
Recording that is uploaded by you on the Service.
g) “Other Materials” means each individual item of
metadata, Licensed Recording titles, Licensed Underlying
Works titles, names/images/likenesses of Licensor and Other
Personnel, Licensed Artwork, Licensed Marks, electronic
press kits (“EPKs”) that is uploaded by you on the Service.
Company shall have the right to: (i) create, edit or modify
metadata you provide to correct errors; and (ii) add additional
categories of information to the associated metadata,
including, for example, a “Distributed by SoundOn” tag or
such other designation as determined by Company in its
reasonable discretion (which may be publicly displayed in
proximity to the copyright line), genres, biographical
information and product reviews, and such corrected and/or
created metadata may be used by Company, with respect to or
in connection with the applicable Licensed Content in any and
all media during the Term (subject to the Minimum
Exploitation Period).
h) “Other Personnel” means, for each Licensed
Recording, any and all items of Licensed Artwork and item of

d) "Rekaman Komersial Berlisensi" berarti setiap
Rekaman Berlisensi yang secara tegas Anda izinkan
(dengan mencentang kotak Penggunaan Musik Komersial
pada tahap "Unggah Musik") untuk penggunaan komersial
pada media dan platform apa pun yang dianggap sesuai
oleh Perseroan dan/atau Afiliasi-Afiliasinya.
e) "Merek Berlisensi" berarti setiap nama individu,
logo, merek, nama dagang, merek dagang, merek jasa atau
penunjukan kepemilikan lainnya dari Pemberi Lisensi dan
Personel Lain, baik terdaftar atau tidak, yang diunggah
oleh Anda di Layanan.
f) "Karya Seni Berlisensi" berarti setiap item karya
seni, termasuk buklet, grafik, gambar, dan materi tekstual
(termasuk liner notes) yang terkait dengan Rekaman
Berlisensi yang diunggah oleh Anda di Layanan.
g) “Materi Lain” berarti setiap item metadata, judul
Rekaman Berlisensi, judul Karya Dasar Berlisensi,
nama/gambar/keserupaan Pemberi Lisensi dan Personel
Lainnya, Karya Seni Berlisensi, Merek Berlisensi, kit pers
elektronik (“EPK-EPK”) yang diunggah oleh Anda di
Layanan. Perseroan berhak untuk: (i) membuat, mengedit,
atau memodifikasi metadata yang Anda berikan untuk
memperbaiki kesalahan; dan (ii) menambahkan kategori
informasi tambahan ke metadata terkait, termasuk,
misalnya, tag “Distributed by SoundOn” atau sebutan lain
yang ditentukan oleh Perseroan dalam diskresi Perseroan
yang wajar (yang dapat ditampilkan secara publik di dekat
garis hak cipta ), genre, informasi biografi dan ulasan
produk, dan metadata yang dikoreksi dan/atau dibuat
tersebut dapat digunakan oleh Perseroan, sehubungan
dengan atau sehubungan dengan Konten Berlisensi yang
berlaku di setiap dan semua media selama Jangka Waktu
(tunduk pada Periode Eksploitasi Minimum).
h) "Personel Lain" berarti, untuk setiap Rekaman
Berlisensi, setiap dan semua item Karya Seni Berlisensi
Other Materials that is uploaded during the Term, any and all
recording artists (other than you), producers, lyricists,
composers, engineers, mixers, remixers, A&R executives, and
all other persons and entities contributing to the creation,
recording and production, as applicable, of the Licensed
Recording, item of Licensed Artwork and item of Other
Materials concerned.
i) “Video” means an audiovisual recording that may
include sound recording(s) if and as selected and determined
solely by a user from a selection of sound recordings made
available by or on behalf of Company or an Affiliate or
uploaded by other users on the Distribution Platforms.
j) “Bytedance Platforms” shall collectively mean all
products, services and platforms owned, controlled or
operated by Company or any Affiliate in the Territory, during
the Term, including but not limited to, the applications,
websites and platforms branded as (a) “TikTok” and “TikTok
Lite”, respectively (collectively, the “TikTok Platforms”);
(b) “Resso”; (c) “CapCut”; and (d) “Helo”. Any of the
Bytedance Platforms, as well as the Service (currently branded
as “SoundOn”), may be rebranded by Company or Affiliates
(as applicable) from time to time during the Term in
Company’s or its Affiliate’s (as applicable) sole discretion.
k) “Third Party Stores” means digital platforms,
stores, and services that are not owned, controlled, or operated
by Company or any Affiliate (e.g., Spotify, Apple Music,
Amazon, Tidal, subject to Company’s choice and
adjustments), as disclosed on the Service and chosen by you.
l) “Distribution Platforms” means the Bytedance
Platforms and the Third Party Stores if you checked the “Other
Global Stores” box(es) during “Upload Music” stage, or
Bytedance Platforms if you did not check the “Other Global
Stores” box(es) during “Upload Music” stage.
m) “Affiliate” or “Affiliates” means any parent
corporation, subsidiary, affiliate, related corporation, licensee
or sublicensee of Company.

Waktu, setiap dan semua artis rekaman (selain Anda),
produser, penulis lirik, komposer, insinyur, mixer,
remixer, eksekutif A&R, dan semua orang dan entitas lain
yang berkontribusi pada pembuatan, perekaman, dan
produksi, sebagaimana berlaku, dari Rekaman Berlisensi,
item Karya Seni Berlisensi, dan item Materi Lain terkait.
i) "Video" berarti rekaman audiovisual yang dapat
mencakup rekaman suara jika dan sebagaimana dipilih dan
ditentukan semata-mata oleh pengguna dari pilihan
rekaman suara yang disediakan oleh atau atas nama
Perseroan atau Afiliasi atau diunggah oleh pengguna lain
di Platform Distribusi.
j) "Platform Distribusi" secara bersama-sama
berarti semua produk, layanan, dan platform yang dimiliki,
dikendalikan, atau dioperasikan oleh Perseroan atau
Afiliasi mana pun di Wilayah, selama Jangka Waktu,
termasuk namun tidak terbatas pada, aplikasi, situs web,
dan platform yang diberi merek sebagai (a) “TikTok” dan
“TikTok Lite”, masing-masing (secara bersama-sama,
“Platform TikTok”); (b) "Resso"; (c) "CapCut"; dan (d)
“Helo”. Setiap Platform Distribusi, serta Layanan (saat ini
diberi merek sebagai "SoundOn"), dapat diganti namanya
oleh Perseroan atau Afiliasi-Afiliasi (sebagaimana
berlaku) dari waktu ke waktu selama Jangka Waktu atas
diskresi Perseroan atau Afiliasinya sendiri (sebagaimana
berlaku).
k) “Toko Pihak Ketiga” berarti platform, toko, dan
layanan digital yang tidak dimiliki, dikendalikan, atau
dioperasikan oleh Perusahaan atau Afiliasi mana pun
(misalnya, Spotify, Apple Music, Amazon, Tidal,
tergantung pada pilihan dan penyesuaian Perusahaan),
sebagaimana diungkapkan pada Layanan dan dipilih oleh
Anda.
l) “Platform Distribusi” berarti Platform
Bytedance dan Toko Pihak Ketiga jika Anda mencentang
kotak “Toko Global Lainnya” selama tahap “Unggah
Musik”, atau Platform Bytedance jika Anda tidak
mencentang kotak “Toko Global Lainnya” selama tahap
“Unggah Musik”.
m) "Afiliasi" atau "Afiliasi-Afiliasi" berarti setiap
perusahaan induk, anak perusahaan, afiliasi, korporasi

n) “Net Third Party Store Income” means Company’s
actual receipts from Third Party Stores in connection with the
distribution of the Licensed Recordings that Licensor
expressly allow to distribute to Third Party Stores, less (i) any
tax, fee or other charge related to the distribution of such
Licensed Recordings; (ii) any returns or amounts which a
Third Party Store has requested be returned (via a so-called
“claw back”, or similar accounting adjustment); and (iii) less
any amounts which Company, in its good faith discretion,
believes to be the result of copyright infringement and/or
Fraudulent Videos/Plays.
3. Distribution of Licensed Content
a) During the Term, you shall not enter an agreement with a
third-party pursuant to which you grant such third-party the
right to deliver the Licensed Content, in whole or in part, to
the ByteDance Platforms or Third Party Stores (if you checked
the “Other Global Stores” box(es) during “Upload Music”
stage), or any of them , i.e., the sound recordings, musical
compositions, artwork and other materials which comprise the
Licensed Content shall be made available on the ByteDance
Platforms or Third Party Stores (if you checked the “Other
Global Stores” box(es) during “Upload Music” stage) solely
through your upload thereof to the Service and shall not be
delivered to the Service by or through a third-party such as a
digital music distributor, aggregator, etc. For the avoidance of
doubts, you retain the rights to deliver the Licensed Content,
directly or via third-party, to platforms other than the
ByteDance Platforms or Third Party Stores (if you checked the
“Other Global Stores” box(es) during “Upload Music” stage).
4. Your Representations and Warranties
By signing this Agreement, you represent, warrant and affirm
as of the Effective Date and on a present and continuing basis
throughout the Term, each of the following:

n) “Pendapatan Toko Pihak Ketiga Bersih”
berarti penerimaan aktual Perusahaan dari Toko Pihak
Ketiga sehubungan dengan distribusi Rekaman Berlisensi
yang secara tegas diperbolehkan oleh Pemberi Lisensi
untuk didistribusikan ke Toko Pihak Ketiga, dikurangi (i)
pajak, biaya, atau biaya lain apa pun yang terkait dengan
distribusi Rekaman Berlisensi tersebut; (ii) setiap
pengembalian atau jumlah yang diminta oleh Toko Pihak
Ketiga untuk dikembalikan (melalui apa yang disebut
"cakar balik", atau penyesuaian akuntansi serupa); dan (iii)
dikurangi jumlah apa pun yang diyakini oleh Perusahaan,
atas kebijaksanaannya dengan itikad baik, sebagai akibat
dari pelanggaran hak cipta dan/atau Video/Pemutaran
Penipuan.
3. Distribusi Konten Berlisensi
a) Selama Jangka Waktu, Anda tidak boleh membuat
perjanjian dengan pihak ketiga yang dengannya Anda
memberikan hak kepada pihak ketiga tersebut untuk
menyampaikan Konten Berlisensi, secara keseluruhan
atau sebagian, kePlatform ByteDance atau Toko Pihak
Ketiga (jika Anda mencentang kotak “Toko Global
Lainnya” selama tahap “Unggah Musik”), atau salah
satunya, yaitu, rekaman suara, komposisi musik, karya
seni dan materi lainnya yang merupakan bagian dari
Konten Berlisensi akan dibuat tersedia pada Platform
ByteDance atau Toko Pihak Ketiga (jika Anda
mencentang kotak “Toko Global Lainnya” selama tahap
“Unggah Musik”) hanya melalui unggahan yang Anda
lakukan pada Platform Distribusi ke Layanan dan tidak
akan diserahkan ke Layanan oleh atau melalui pihak ketiga
seperti distributor musik digital, agregator dan lain-lain.
Untuk menghindari keraguan, Anda memiliki hak untuk
menyampaikan Konten Berlisensi, secara langsung atau
melalui pihak ketiga, ke platform selainPlatform
ByteDance atau Toko Pihak Ketiga (jika Anda
mencentang kotak “Toko Global Lainnya” selama tahap
“Unggah Musik”).
4. Pernyataan dan Jaminan Anda
Dengan menandatangani Perjanjian ini, Anda
menyatakan, menjamin, dan menegaskan sejak Tanggal

a) Authority. You have the full authority to act on
behalf of any and all Other Personnel, and any and all other
persons and entities owning or controlling any right, title or
interest in and to Licensed Content.
b) Intellectual Property Rights. The Licensed Content
is your own original work, you own the entire right, title and
interest in and to the Licensed Content and you exclusively
own or control all of the necessary rights in and to all of the
Licensed Content in order to make the grants of rights,
licenses, authorizations and permissions herein, and the
exercise of such rights, licenses, authorizations and
permissions by or on behalf of Company and its Affiliates, will
not violate or infringe the rights of any third party (including,
but not limited to, copyrights, and industrial property, image,
voice, name, likeness, and personal data rights), and will
otherwise be free of any claims, suits, proceedings and/or
assertions that will prevent the Licensor from performing any
of its obligations under this Agreement. None of the Licensed
Content constitutes a so-called “cover” recording or “cover”
version of a musical composition, a “remix”, a mixtape or DJ
set, an audio-only recording (e.g., spoken word material or a
podcast), or contains any uncleared or unauthorized “samples”
of copyrighted sound recordings and/or musical compositions.
You are not a party to an existing exclusive agreement with a
third party in respect of your recording services as a musical
artist or your services as a songwriter or composer. The
Licensed Content is not subject to an exclusive license
agreement, distribution agreement or any other type of
agreement which grants a third party exclusive rights in and to
the Licensed Content. Although we may review and remove
particular Licensed Content from time-to-time, we take no
responsibility for the Licensed Content you upload and share
through the Service or on the Distribution Platforms. You
have obtained, and during the Term will maintain, all rights
and licenses necessary from each third party that owns or
controls any and all interest in and to the corresponding
Licensed Content necessary to make the uses permitted under
this Agreement, free of any claims, suits, proceedings and/or
assertions. To the extent you are required under this
Agreement to make any payments to third parties, you will
timely do so. As of the Effective Date, you have not received

Waktu, masing-masing dari yang berikut:
a) Kewenangan. Anda memiliki kewenangan
penuh untuk bertindak atas nama setiap dan semua
Personel Lainnya, dan setiap dan semua orang dan entitas
lain yang memiliki atau mengendalikan hak, kepemilikan,
atau kepentingan apa pun dalam dan atas Konten
Berlisensi.
b) Hak Kekayaan Intelektual. Konten Berlisensi
adalah karya asli Anda sendiri, Anda memiliki seluruh
hak, kepemilikan, dan kepentingan dalam dan atas Konten
Berlisensi dan Anda secara eksklusif memiliki atau
mengontrol semua hak yang diperlukan di dan untuk
semua Konten Berlisensi untuk memberikan hibah hak,
lisensi, otorisasi, dan izin di sini, dan pelaksanaan hak,
lisensi, otorisasi, dan izin tersebut oleh atau atas nama
Perseroan dan Afiliasi-Afiliasinya, tidak akan melanggar
atau melanggar hak pihak ketiga mana pun (termasuk,
tetapi tidak terbatas pada, hak cipta, dan hak kekayaan
industri, gambar, suara, nama, keserupaan, dan hak data
pribadi), dan sebaliknya akan bebas dari klaim, gugatan,
proses dan/atau pernyataan yang akan mencegah Pemberi
Lisensi untuk melakukan kewajibannya berdasarkan
Perjanjian ini. Tak satu pun dari Konten Berlisensi
merupakan apa yang disebut rekaman "cover" atau versi
"cover" dari komposisi musik, "remix", kumpulan lagu
atau DJ, rekaman audio saja (misalnya, materi kata yang
diucapkan atau podcast), atau berisi "sampel" rekaman
suara dan/atau komposisi musik berhak cipta yang tidak
jelas atau tidak sah. Anda bukanlah pihak dalam perjanjian
eksklusif yang ada dengan pihak ketiga sehubungan
dengan jasa rekaman Anda sebagai artis musik atau jasa
Anda sebagai penulis lagu atau komposer. Konten
Berlisensi tidak tunduk pada perjanjian lisensi eksklusif,
perjanjian distribusi, atau jenis perjanjian lainnya yang
memberikan hak eksklusif pihak ketiga dalam dan atas
Konten Berlisensi. Meskipun kami dapat meninjau dan
menghapus Konten Berlisensi tertentu dari waktu ke

any claim or are not aware of any pending or threatened claim,
from any third party contrary to the foregoing provisions.
c) Registration Information. Any and all registration
information that you submit to the Service for use in
connection with this Agreement is true, accurate, and
complete, and you agree to keep it that way at all times until
this Agreement expires or is sooner terminated by either you
or Company pursuant to the provisions below.
d) Further Documentation. You shall execute and
shall ensure that all Other Personnel execute such further
documentation as may be required by Company in connection
with the rights granted to Company and its Affiliates under
this Agreement and provide Artist Confirmation signed by the
artists as specified in Schedule AA. Upon request, you will
assist the Company and/or its Affiliates (as applicable), in
obtaining any other documents as may be necessary in
connection with the rights granted to Company and its
Affiliates under this Agreement.
5. Term / Minimum Exploitation Period
The Term of this Agreement shall commence as of the
Effective Date and continue for a period of three (3) years (the
“Initial Period”), unless sooner terminated in accordance
with the provisions set forth elsewhere in this Agreement.
Following the Initial Period, the Term shall automatically
renew and be extended for additional, successive periods of
one (1) year each (each, a “Renewal Period”) (the Initial
Period and Renewal Period(s) (if any) are collectively referred
to herein as the “Term”), unless sooner terminated in
accordance with the provisions set forth elsewhere in this
Agreement; provided, however, either Party may terminate the
Term by notice to the other Party that is sent not later than the
date that is ninety (90) days prior to the expiration of the Initial
Period or the then-current Renewal Period (each, a “Term
Termination Notice”). If either Party sends a Term

c) Informasi Registrasi. Setiap dan semua
informasi pendaftaran yang Anda kirimkan ke Layanan
untuk digunakan sehubungan dengan Perjanjian ini adalah
benar, akurat, dan lengkap, dan Anda setuju untuk tetap
seperti itu setiap saat hingga Perjanjian ini berakhir atau
lebih cepat diakhiri oleh Anda atau Perseroan sesuai
dengan ketentuan di bawah ini.
d) Dokumentasi Lebih Lanjut. Anda harus
melaksanakan dan akan memastikan bahwa semua
Personel Lain melaksanakan dokumentasi lebih lanjut
yang mungkin diperlukan oleh Perseroan sehubungan
dengan hak yang diberikan kepada Perseroan dan Afiliasi-
Afiliasinya berdasarkan Perjanjian ini dan menyediakan
Konfirmasi Artis yang ditandatangani oleh artis
sebagaimana dijelaskan dalam Lampiran B. Atas
permintaan, Anda akan membantu Perseroan dan/atau
Afiliasi-Afiliasinya (sebagaimana berlaku), dalam
memperoleh dokumen lain yang mungkin diperlukan
sehubungan dengan hak yang diberikan kepada Perseroan
dan Afiliasi-Afiliasinya berdasarkan Perjanjian ini.
5. Jangka Waktu / Periode Eksploitasi Minimum
Jangka Waktu Perjanjian ini akan dimulai sejak Tanggal
Efektif dan berlanjut untuk periode tiga (3) tahun
("Periode Awal"), kecuali lebih cepat diakhiri sesuai
dengan ketentuan yang ditetapkan di bagian lain dalam
Perjanjian ini. Setelah Periode Awal, Jangka Waktu akan
secara otomatis memperbarui dan diperpanjang untuk
periode tambahan berturut-turut selama satu (1) tahun
masing-masing (masing-masing disebut "Periode
Pembaruan") (Periode Awal dan Periode Pembaruan)
(jika ada) secara bersama-sama disebut di sini sebagai
"Jangka Waktu"), kecuali jika diakhiri lebih cepat sesuai
dengan ketentuan yang ditetapkan di bagian lain dalam
Perjanjian ini; asalkan, bagaimanapun, salah satu Pihak
dapat mengakhiri Jangka Waktu dengan pemberitahuan

shall end as of the expiration of the Initial Period or the then-
current Renewal Period, as applicable, unless sooner
terminated in accordance with the provisions set forth
elsewhere in this Agreement. Notwithstanding anything in
this Section 5 or otherwise, in respect of all Licensed Content,
Company and its Affiliates shall have all rights granted under
this Agreement for a period of not less than two (2) years from
the date of upload of the Licensed Content concerned,
notwithstanding the expiration or termination of the Term (the
“Minimum Exploitation Period”).
6. Territory
The territory of this Agreement is the world (the “Territory”).
7. Grant of Rights to Bytedance Platforms
Licensor hereby grants to Company and its Affiliates, on a
non-exclusive, sublicensable and assignable basis, during the
Term, in the Territory, all rights necessary with respect to the
sound recordings in the Licensed Content including, without
limitation, all reproduction, distribution, transmission, public
performance, public display, adaptation, synchronization,
communication to the public and making available rights, to
do (and to authorize users of the Bytedance Platforms to do,
as the case may be) the following:
a) make available Licensed Recordings and Live
Recordings, in whole or in part, to users of the Bytedance
Platforms as on-demand streams and to the general public via
the Bytedance Platforms in order to promote the availability
of Licensed Content thereon, and to reproduce and display
Licensed Content on the Bytedance Platforms;
b) permit users of the Bytedance Platforms to download
to devices Licensed Content and Live Recordings as

lambatnya tanggal sembilan puluh (90) hari sebelum
berakhirnya Periode Awal atau Periode Pembaruan saat itu
(masing-masing, "Pemberitahuan Pengakhiran Jangka
Waktu"). Jika salah satu Pihak mengirimkan
Pemberitahuan Pengakhiran Jangka Waktu sebagaimana
dan jika disyaratkan dengan ini, Jangka Waktu akan
berakhir setelah berakhirnya Periode Awal atau Periode
Pembaruan saat itu, sebagaimana berlaku, kecuali jika
diakhiri lebih cepat sesuai dengan ketentuan yang
ditetapkan di tempat lain dalam Perjanjian ini. Tanpa
mengesampingkan apa pun dalam bagian 5 ini atau
sebaliknya, sehubungan dengan semua Konten Berlisensi,
Perseroan dan Afiliasi-Afiliasinya akan memiliki semua
hak yang diberikan berdasarkan Perjanjian ini untuk
periode tidak kurang dari dua (2) tahun sejak tanggal
pengunggahan Konten Berlisensi yang bersangkutan,
tanpa mengesampingkan dari berakhirnya atau
pengakhiran Jangka Waktu ("Periode Eksploitasi
Minimum").
6. Wilayah.
Wilayah Perjanjian ini adalah dunia ("Wilayah").
7. Pemberian Hak
Pemberi Lisensi dengan ini memberikan kepada Perseroan
dan Afiliasi-Afiliasinya, secara non-eksklusif, dapat
disublisensikan, dan dapat dialihkan, selama Jangka
Waktu, di Wilayah, semua hak yang diperlukan
sehubungan dengan rekaman suara dalam Konten
Berlisensi termasuk, tanpa batasan, semua reproduksi,
distribusi, transmisi, kinerja publik, tampilan publik,
adaptasi, sinkronisasi, komunikasi kepada publik dan
menyediakan hak, untuk melakukan (dan untuk memberi
wewenang kepada pengguna Platform Distribusi untuk
melakukan, tergantung kasusnya) hal-hal berikut:
a) menyediakan Rekaman Berlisensi dan Rekaman
Langsung, secara keseluruhan atau sebagian, kepada
pengguna Platform Distribusi sebagai aliran sesuai
permintaan dan untuk masyarakat umum melalui Platform
Distribusi untuk mempromosikan ketersediaan Konten
Berlisensi di atasnya, dan untuk mereproduksi dan
menampilkan Konten Berlisensi di Platform Distribusi;
b) mengizinkan pengguna Platform Distribusi untuk
mengunduh ke perangkat Konten Berlisensi dan Rekaman
conditional and / or permanent digital copies (each, a
“Download”);
c) reproduce and store on servers Licensed Recordings
and Live Recordings, and make available the Licensed
Recordings and Live Recordings in the form of streams for
purposes of enabling users of the Bytedance Platforms to listen
and decide whether to use an excerpt of a Licensed Recording
or a Live Recording in a Video;
d) synchronize, incorporate, and/or enable users to
synchronize and incorporate Licensed Recordings, Live
Recordings and/or excerpts thereof into a Video (e.g., from the
licensed library of sound recordings on the Bytedance
Platforms, from the local library of recordings on the user’s
device via the upload, recording, and/or microphone features
of the Bytedance Platforms, or via selecting the audio portion
of another user’s Video on the Bytedance Platforms);
e) permit users of the Bytedance Platforms to receive
playbacks of Videos created by users with incorporated
Licensed Recordings and Live Recordings, and permit users
to save Videos with incorporated Licensed Recordings, and
Live Recordings, to their devices (or storage clouds) and share
such Videos and Live Recordings with private or public
audiences via the Bytedance Platforms, email or messaging
services and / or other third party platforms, in each case
whether by way of an attached file or a link to the Video hosted
on computer servers owned or controlled by or on behalf of
Company or its Affiliates;
f) display and use the Licensed Content and Videos
which embody Licensed Recordings or Live Recordings, in
any media, whether on or off the Bytedance Platforms, in
promotions, marketing, advertising and/or publicity related to
the Company, its Affiliates, the Bytedance Platforms and/or
the Service;
g) subject to Licensor’s prior consent, modify, adapt,
edit, remix, alter, make derivative works of the Licensed

memungkinkan pengguna untuk menyinkronkan dan
menggabungkan Rekaman Berlisensi, Rekaman Langsung
dan/atau kutipannya ke dalam Video (misalnya, dari
perpustakaan rekaman suara berlisensi di Platform
Distribusi, dari perpustakaan lokal rekaman pada
perangkat pengguna melalui fitur unggah, perekaman,
dan/atau mikrofon dari Platform Distribusi, atau melalui
pemilihan bagian audio dari Video pengguna lain di
Platform Distribusi);
e) mengizinkan pengguna Platform Distribusi untuk
menerima pemutaran Video yang dibuat oleh pengguna
dengan Rekaman Berlisensi yang tergabung dan Rekaman
Langsung, dan mengizinkan pengguna untuk menyimpan
Video dengan Rekaman Berlisensi yang tergabung, dan
Rekaman Langsung, ke perangkat mereka (atau cloud
penyimpanan) dan membagikan Video dan Rekaman
Langsung tersebut dengan penonton pribadi atau publik
melalui Platform Distribusi, layanan email atau
perpesanan dan/atau platform pihak ketiga lainnya, dalam
setiap kasus baik melalui file terlampir atau tautan ke
Video yang dihosting di server komputer yang dimiliki
atau dikendalikan oleh atau atas nama Perseroan atau
Afiliasi-Afiliasinya;
f) menampilkan dan menggunakan Konten
Berlisensi dan Video yang mencakup Rekaman Berlisensi
atau Rekaman Langsung, di media apa pun, baik di dalam
atau di luar Platform Distribusi, dalam promosi,
pemasaran, periklanan dan/atau publisitas terkait dengan
Perseroan, Afiliasi-Afiliasinya, Platform Distribusi
dan/atau Layanannya;
g) tunduk terhadap persetujuan Pemberi Lisensi
sebelumnya, memodifikasi, mengadaptasi, mengedit,
melakukan remix, mengubah, membuat karya turunan dari
Rekaman Berlisensi atau Rekaman Langsung dan
Recordings or Live Recordings and exploit same on the
Bytedance Platforms or otherwise;
h) publicly perform / communicate to the public the
Licensed Recordings in the content which is live streamed
content (i.e., transmitted in so-called “real time”) on the
Bytedance Platforms;
i) record and store content transmitted in so-called “real
time” that may include performances of one or more pre-
recorded Licensed Recordings (each, a “Live Recording”) on
users’ devices (or storage clouds) and computer servers owned
or controlled by or on behalf of Company or its Affiliates,
respectively;
j) to communicate to the public / publicly perform
Licensed Recordings and Live Recordings which are
embodied in audiovisual promotions and/or advertisements on
the Bytedance Platforms;
k) to allow business users on the Bytedance Platforms,
including without limitation, brands, commercial entities,
business, and advertisers (collectively, the “Business Users”),
to synchronize the Licensed Commercial Recordings in a
Video with or without the Business Users’ brand, logo,
trademark or other brand-identifying characteristics, and
further display the Video in any media, whether on or off the
Bytedance Platforms;
l) to grant any third parties (including, without
limitation, brands, commercial entities, and advertisers) the
right to synchronize the Licensed Commercial Recordings in
paid advertisements (including, without limitation, paid
hashtag challenges, paid branded effects, promoted videos,
and paid advertisements displayed in any other format), and
other audiovisual productions (e.g. motion pictures, television
programs, video games, etc.) on the Bytedance Platforms, or
any of them, or in any other media (each, a “Paid Synch
License”); and/or
m) make all reproductions and distributions necessary to
facilitate any and all of the above-described activities.
8. Distribution to Third Party Stores

dikirimkan dalam apa yang disebut "waktu nyata" yang
dapat mencakup penampilan dari satu atau lebih Rekaman
Berlisensi yang telah direkam sebelumnya (masing-
masing disebut sebagai “Rekaman Langsung”) pada
perangkat pengguna (atau cloud penyimpanan) dan server
komputer yang masing-masing dimiliki atau dikendalikan
oleh atau atas nama Perseroan atau Afiliasi-Afiliasinya;
j) untuk mengkomunikasikan kepada publik/secara
publik melakukan Rekaman Berlisensi dan Rekaman
Langsung yang diwujudkan dalam promosi audiovisual
dan/atau iklan di Platform Distribusi;
k) untuk mengizinkan pengguna bisnis pada
Platform Distribusi, termasuk namun tidak terbatas pada,
merek, entitas komersial, bisnis, dan pengiklan (secara
bersama-sama, "Pengguna Bisnis"), untuk
menyinkronkan Rekaman Komersial Berlisensi di Video
dengan atau tanpa merek, logo, merek dagang, atau
karakteristik pengenal merek Pengguna Bisnis lainnya,
dan selanjutnya menampilkan Video di media apa pun,
baik di dalam atau di luar Platform Distribusi;
l) untuk memberikan kepada pihak ketiga mana pun
(termasuk, tanpa batasan, merek, entitas komersial, dan
pengiklan) hak untuk menyinkronkan Rekaman Komersial
Berlisensi dalam iklan berbayar (termasuk, tanpa batasan,
tantangan hashtag berbayar, efek bermerek berbayar,
video yang dipromosikan, dan iklan berbayar ditampilkan
dalam format lain), dan produksi audiovisual lainnya
(misalnya film, program televisi, video game, dll.) di
Platform Distribusi, atau salah satunya, atau di media

8. Distribusi ke Toko Pihak Ketiga
a) With respect to Licensed Recordings that Licensor
expressly allow to distribute to Third Party Stores, Licensor
further grants to Company and its Affiliates and its third party
distribution partners, on a sublicensable and assignable basis,
during the Term, in the Territory, all rights necessary with
respect to the sound recordings in the Licensed Recordings,
including, without limitation, all reproduction, distribution,
transmission, public performance, public display, adaptation,
synchronization, communication to the public and making
available rights, to do the following:
(i) on an exclusive and irrevocable basis, to grant Third Party
Stores the sublicense, directly or via multiple tiers of
sublicense, to distribute Licensed Recordings by digital
downloads and/or streaming, and to collect all income
deriving therefrom;
(ii)on an exclusive and irrevocable basis, to grant Third Party
Stores and/or their users the sublicense, directly or via
multiple tiers of sublicense, to synchronize the Licensed
Recordings in timed relation with visual images, and any
necessary rights of performance and reproduction required for
the operation of such Third Party Stores; and
(iii) on a non-exclusive basis, to grant Third Party Stores the
sublicense, directly or via multiple tiers of sublicense, to use
Licensor’s name(s), photographs and likenesses, artwork
images, biographical and other information in the Licensed
Marks, Licensed Artwork, and Other Materials.
b) Neither Company nor its Affiliates, or any third party
distribution partner of Company, shall be liable for, or have
any liability in connection with, (i) the failure by a third party
to deliver the Licensed Content (in whole or part) to a
particular Third Party Store; (ii) the removal by a Third Party
Store of the Licensed Content (in whole or part) from its
service, without regard to the reason for doing so; (iii) the use
or misuse of the Licensed Content by a Third Party Store; or
(iv) the failure by a Third Party Store to account to Company,
its Affiliates or any third party distribution partner of
Company.

a) Sehubungan dengan Rekaman Berlisensi yang secara
tegas diizinkan Pemberi Lisensi untuk didistribusikan
ke Toko Pihak Ketiga, Pemberi Lisensi selanjutnya
memberikan kepada Perusahaan dan Afiliasinya dan
mitra distribusi pihak ketiganya, atas dasar yang dapat
disublisensikan dan dialihkan, selama Jangka Waktu, di
Wilayah, semua hak yang diperlukan sehubungan
dengan rekaman suara dalam Rekaman Berlisensi,
termasuk, tanpa batasan, semua reproduksi, distribusi,
transmisi, pertunjukan publik, tampilan publik,
adaptasi, sinkronisasi, komunikasi kepada publik dan
menyediakan hak, untuk melakukan hal-hal berikut:
(i) secara eksklusif dan tidak dapat dibatalkan, untuk
memberikan Sublisensi kepada Toko Pihak Ketiga, secara
langsung atau melalui beberapa tingkat sublisensi, untuk
mendistribusikan Rekaman Berlisensi melalui unduhan
dan/atau streaming digital, dan untuk mengumpulkan
semua pendapatan yang berasal darinya;
(ii) secara eksklusif dan tidak dapat dibatalkan, untuk
memberikan Sublisensi kepada Toko Pihak Ketiga
dan/atau penggunanya, secara langsung atau melalui
beberapa tingkat sublisensi, untuk menyinkronkan
Rekaman Berlisensi dalam kaitannya dengan waktu
dengan gambar visual, dan setiap hak yang diperlukan
untuk kinerja dan reproduksi diperlukan untuk
pengoperasian Toko Pihak Ketiga tersebut; dan
(iii) secara non-eksklusif, untuk memberikan Sublisensi
kepada Toko Pihak Ketiga, secara langsung atau melalui
beberapa tingkat sublisensi, untuk menggunakan nama(-
nama), foto dan kemiripan, gambar karya seni, biografi,
dan informasi lain Pemberi Lisensi dalam Merek
Berlisensi, Karya Seni Berlisensi, dan Bahan Lainnya.
b) Baik Perseroan maupun Afiliasi-Afiliasinya, atau
mitra distribusi pihak ketiga mana pun dari Perseroan,
tidak bertanggung jawab atas, atau memiliki kewajiban
apa pun sehubungan dengan, (i) kegagalan pihak ketiga
untuk mengirimkan Konten Berlisensi (seluruhnya atau
sebagian) ke Toko Pihak Ketiga tertentu; (ii) penghapusan
Konten Berlisensi oleh Toko Pihak Ketiga (seluruhnya
atau sebagian) dari layanannya, tanpa memperhatikan
alasan untuk melakukannya; (iii) penggunaan atau
penyalahgunaan Konten Berlisensi oleh Toko Pihak
Ketiga; atau (iv) kegagalan Toko Pihak Ketiga untuk

9. Right of First Refusal
During the Term, Company shall have the first opportunity to
acquire ownership of intellectual property rights (including
copyright) in any or all Licensed Content on terms to be
mutually agreed upon by the Parties in good faith. In the event
that Licensor receives a third party offer during the Term to
acquire ownership of intellectual property rights (including
copyright) in any Licensed Content, Licensor will advise the
third party concerned of Company’s right of first refusal
hereunder and will notify Company of such offer, and the
specific terms of such offer, in writing within two (2) days of
Licensor’s initial receipt of such third party offer. Company
shall then have forty-five (45) days to exercise its right to
acquire intellectual property rights (including copyright) in the
Licensed Content concerned, on the same terms as contained
in such third party offer (the “Third Party Offer Terms”). In
the event that Company elects not to exercise its rights under
this paragraph, Licensor may assign the Licensed Content
concerned to the offering party in accordance with the Third
Party Offer Terms, subject always to the rights granted to
Company under this Agreement. In the event the offering third
party does not acquire the Licensed Content concerned on the
Third Party Offer Terms, then Company’s right of first refusal
pursuant to this paragraph shall continue to apply to the
Licensed Content concerned.
10. License Payments
In consideration for the rights granted in this Agreement and
the representations, warranties and covenants are made by
Licensor in this Agreement:
a) Licensed Recordings on the TikTok Platforms:
(i) on a monthly basis, in respect of each video created by a
user on the TikTok Platforms which embodies an identified
excerpt of a Licensed Recording, Company shall pay you (A)
one hundred percent (100%) of the TikTok Royalty (defined

atau mitra distribusi pihak ketiga mana pun dari Perseroan.
9. Hak Penolakan Terlebih Dahulu
Selama Jangka Waktu, Perseroan akan memiliki
kesempatan pertama untuk memperoleh kepemilikan hak
kekayaan intelektual (termasuk hak cipta) di salah satu
atau semua Konten Berlisensi dengan ketentuan yang akan
disepakati bersama oleh Para Pihak dengan itikad baik.
Jika Pemberi Lisensi menerima tawaran pihak ketiga
selama Jangka Waktu untuk memperoleh kepemilikan hak
kekayaan intelektual (termasuk hak cipta) dalam Konten
Berlisensi apa pun, Pemberi Lisensi akan memberi tahu
pihak ketiga yang bersangkutan tentang hak penolakan
terlebih dahulu berdasarkan perjanjian ini dan akan
memberi tahu Perseroan tentang tawaran tersebut., dan
persyaratan khusus dari tawaran tersebut, secara tertulis
dalam dua (2) hari sejak diterimanya awal Pemberi Lisensi
atas tawaran pihak ketiga tersebut. Perseroan kemudian
akan memiliki empat puluh lima (45) hari untuk
menggunakan haknya untuk memperoleh hak kekayaan
intelektual (termasuk hak cipta) dalam Konten Berlisensi
terkait, dengan ketentuan yang sama seperti yang terdapat
dalam penawaran pihak ketiga tersebut ("Ketentuan
Penawaran Pihak Ketiga"). Jika Perseroan memilih
untuk tidak menggunakan haknya berdasarkan ayat ini,
Pemberi Lisensi dapat mengalihkan Konten Berlisensi
terkait kepada pihak yang menawarkan sesuai dengan
Ketentuan Penawaran Pihak Ketiga, dengan selalu tunduk
pada hak yang diberikan kepada Perseroan berdasarkan
Perjanjian ini. Jika pihak ketiga yang menawarkan tidak
memperoleh Konten Berlisensi yang terkait dengan
Persyaratan Penawaran Pihak Ketiga, maka hak penolakan
terlebih dahulu Perseroan sesuai dengan ayat ini akan terus
berlaku untuk Konten Berlisensi yang bersangkutan.
10. Pembayaran Lisensi
Dengan mempertimbangkan hak yang diberikan dalam
Perjanjian ini dan pernyataan, jaminan, dan janji-janji
yang dibuat oleh Pemberi Lisensi dalam Perjanjian ini:
a) Rekaman Berlisensi di Platform TikTok:
(i) setiap bulan, sehubungan dengan setiap video yang
dibuat oleh pengguna di Platform TikTok yang berisi
kutipan teridentifikasi dari Rekaman Berlisensi, Perseroan
akan membayar Anda (A) seratus persen (100%) dari
below) you earn during the first year from your delivery date
of the Licensed Recording concerned, and (B) ninety percent
(90%) of the TikTok Royalty (defined below) you earn during
the remaining period of the Term, as reported to you or
disclosed on the Service’s reporting system on a monthly
basis. The “TikTok Royalty” equals a pro-rata share of a
sound recording royalty pool from which licensors of sound
recordings to the TikTok Platforms are compensated in respect
of videos created by users which embody their sound
recordings, such pro-rata share calculated by multiplying the
applicable royalty pool by a fraction, the numerator of which
is the total number of Videos created in the Territory
embodying an identified Licensed Recording, the denominator
of which is the total number of Videos created embodying an
identified sound recording in the Territory during the same
period;
(ii) the respective royalty data and information described in
sections 10(a)(i), above, will be reported to you or disclosed
on the Service's reporting system on a monthly basis;
b) Licensed Recordings on Resso:
(i) in respect of each play of a Licensed Recording for more
than thirty (30) consecutive seconds (each, a “Play”) on the
free, ad-supported tier and the premium subscription tier, in
the month concerned, Company shall pay you (A) one hundred
percent (100%) of the royalty you earn during the first year
from your delivery date of the Licensed Recording concerned,
and (B) ninety percent (90%) of the royalty you earn during
the remaining period of the Term, as reported to you or
disclosed on the Service’s reporting system on a monthly
basis;
(ii) notwithstanding sections (b)(i), above, no royalties shall
be payable in respect of Plays of Licensed Recordings during
a user’s free trial or other special program (e.g., VIP days) of
Resso;

kompensasi sehubungan dengan video yang dibuat oleh
para pengguna yang menggunakan suara rekaman mereka,
bagian pro-rata tersebut dihitung dengan mengalikan
kumpulan royalti yang berlaku dengan pecahan, yang
pembilangnya adalah jumlah total Video yang dibuat di
Wilayah yang mewujudkan Rekaman Berlisensi yang
teridentifikasi, denominator dengan jumlah total Video
yang dibuat dengan rekaman suara yang teridentifikasi di
Wilayah selama periode yang sama;
(ii) masing-masing informasi dan data royalti yang
dijelaskan dalam bagian 10(a)(i), di atas, akan dilaporkan
kepada Anda atau diungkapkan pada sistem pelaporan
Layanan setiap bulan;
b) Rekaman Berlisensi di Resso:
(i) sehubungan dengan setiap pemutaran Rekaman
Berlisensi selama lebih dari tiga puluh (30) detik berturut-
turut (masing-masing, "Pemutaran") pada tingkat gratis
yang didukung iklan dan tingkat langganan premium, pada
bulan yang bersangkutan, Perseroan akan membayar Anda
(A) seratus persen (100%) royalti yang Anda dapatkan
selama tahun pertama Anda dari tanggal pengiriman
Rekaman Berlisensi terkait, dan (B) Sembilan puluh
persen (90%) royalti yang Anda dapatkan selama sisa
periode Jangka Waktu, sebagaimana dilaporkan kepada
Anda atau diungkapkan pada sistem pelaporan Layanan
setiap bulannya;
(ii) tanpa mengesampingkan bagian (b)(i), di atas, tidak
ada royalti yang harus dibayarkan sehubungan dengan
Pemutaran Rekaman Berlisensi selama uji coba gratis
pengguna atau program khusus lainnya (misalnya, hari
VIP) dari Resso;
c) Business Users’ Videos on the TikTok Platforms:
in respect of the exploitation of a Licensed Commercial
Recording which is incorporated by a Business User in a
Video, Company shall pay you one hundred percent (100%)
of the royalty you earn in an amount which equals a pro-rata
share of the sound recording royalty pool from which licensors
of sound recordings to the TikTok Platforms are compensated
in respect of videos created by users which embody their
sound recordings. Company will also pay you an additional
amount, based on the number of views of the Video concerned,
in a total amount to be disclosed on the Service’s reporting
system on a monthly basis;
d) Paid Synch Licenses: in respect of a Paid Synch
License in respect of a Licensed Commercial Recording
granted by Company or an Affiliate to a third-party, Company
or its Affiliate (as applicable) shall pay you sixty-five percent
(65%) of the Net Synch Receipts in connection with such Paid
Synch License.
e) Licensed Recordings on Other ByteDance
Platforms: In respect of the exploitation of Licensed
Recordings on other ByteDance Platforms not specifically
described above, Company shall credit to your Service
account a certain portion of the royalty you earn in accordance
with Company’s then-current royalty calculation
methodology for the ByteDance Platform concerned, as
detailed and made available to you on the Service’s reporting
system on a monthly basis.
f) Third Party Stores Distribution: in respect of the
exploitation of a Licensed Recording on the Third Party
Stores, Company shall pay you ninety percent (90%) of the
Net Third Party Store Income received during the Term, as
reported to you or disclosed on the Service’s reporting system.
11. Payments and Reporting
a) Payments required by section 10 above (collectively,
“License Royalties”), will be determined and computed on a
calendar monthly reported and paid to you via the Service,
provided that License Royalties under section 10 c) will be

sehubungan dengan pemanfaatan Rekaman Komersial
Berlisensi yang dimasukkan oleh Pengguna Bisnis ke
dalam suatu Video, Perseroan akan membayar Anda
seratus persen (100%) dari royalti yang Anda dapatkan
dalam suatu jumlah yang setara dengan suatu bagian pro-
rata dari kumpulan (pool) royalti atas rekaman suara dari
mana para pemberi lisensi suara rekaman ke Platform
TikTok mendapatkan kompensasi sehubungan dengan
video yang dibuat oleh para pengguna yang menggunakan
suara rekaman mereka. Perseroan akan membayar Anda
juga suatu jumlah tambahan, berdasarkan jumlah
kunjungan (views) terhadap Video dimaksud, dengan
jumlah nilai keseluruhan yang akan diungkapkan pada
sistem pelaporan Layanan setiap bulannya;
d) Lisensi Sinkronisasi Berbayar: sehubungan
dengan Lisensi Sinkronisasi Berbayar sehubungan dengan
Rekaman Komersial Berlisensi yang diberikan oleh
Perseroan atau Afiliasi kepada pihak ketiga, Perseroan
atau Afiliasinya (sebagaimana berlaku) akan membayar
Anda enam puluh lima persen (65%) dari Tanda Terima
Sinkronisasi Bersih sehubungan dengan Lisensi
Sinkronisasi Berbayar tersebut.
e) Rekaman Berlisensi pada Platform Distribusi Lain:
Sehubungan dengan eksploitasi Rekaman Berlisensi pada
Platform Distribusi lain yang tidak dijelaskan secara
spesifik di atas, Perseroan akan mengkreditkan ke akun
Layanan Anda sebagian tertentu dari royalti yang Anda
peroleh sesuai dengan metodologi perhitungan royalti
Perseroan saat itu untuk Platform Distribusi terkait,
sebagaimana dirinci dan tersedia untuk Anda pada sistem
pelaporan Layanan setiap bulan.
e) Distribusi Toko Pihak Ketiga: sehubungan
dengan eksploitasi Rekaman Berlisensi di Toko Pihak
Ketiga, Perseroan akan membayar Anda sembilan puluh
(90%) dari Pendapatan Bersih Toko Pihak Ketiga yang
diterima selama Jangka Waktu, sebagaimana dilaporkan
kepada Anda atau diungkapkan pada sistem pelaporan
Layanan.
11. Pembayaran dan Pelaporan
a) Pembayaran yang disyaratkan oleh bagian 10 di
atas (secara bersama-sama, "Royalti Lisensi"), akan
ditentukan dan dihitung berdasarkan kalender bulanan
yang dilaporkan dan dibayarkan kepada Anda melalui
reported and paid to you via the Service on an as-received
basis for each month, which may be delayed and not in the
same month they are generated on the Third Party Stores,
depending on each Third Party Store’s respective accounting
cycle.
b) Total Licensed Royalties in each calendar month will
be accessible to you at the Service’s reporting system in
Indonesian Rupiah and credited to the Service account under
your full control(the “Licensor Account"). Once the
Licensed Royalties have been credited to the Licensor
Account, you acknowledge and agree that Company has
fulfilled its payment obligation under this Agreement, and you
will be able to withdraw monies from the Licensor Account in
accordance with the applicable rules set forth on the Service.
c) If applicable, you will be the beneficiary of all foreign
exchange gains and will be responsible for all foreign
exchange losses and all other costs incurred by Company or
its Affiliates such as foreign exchange commissions or other
banking charges.
d) Other than the amounts expressly referenced in this
Agreement, no additional fees, amounts or consideration of
any kind or nature will be owed by or on behalf of Company
or its Affiliates, directly or indirectly, in connection with
the use of Licensed Content in connection with the Service,
the Distribution Platforms or the exercise of the rights
granted to Company, its Affiliates or any third parties under
this Agreement.
e) For the avoidance of doubt, neither Company nor
any of its Affiliates will be obligated to pay to or on behalf
of Licensor any additional amounts in connection with the
storage, hosting, display, encoding, reproduction,
communication, performance, making available,
transmission, delivery, distribution, exhibition or other use
or exploitation of Licensed Content, in whole or in part,
directly or indirectly, including any incidental uses of

Layanan, dengan ketentuan bahwa Royalti Lisensi
menurut bagian 10 c) akan dilaporkan dan dibayarkan ke
Anda melalui Layanan berdasarkan penerimaan untuk
setiap bulan, yang mungkin tertunda dan tidak pada bulan
yang sama dengan yang dihasilkan di Toko Pihak Ketiga,
tergantung pada siklus akuntansi perspektif masing-
masing Toko Pihak Ketiga.
b) Royalti Berlisensi Total dalam setiap bulan
kalender akan dapat diakses oleh Anda pada sistem
pelaporan Layanan dalam mata uang Rupiah Indonesia
dan dikreditkan ke akun Layanan yang sepenuhnya Anda
kendalikan(“Akun Pemberi Lisensi”). Setelah Royalti
Lisensi telah dikreditkan ke Akun Pemberi Lisensi, Anda
menyatakan dan menyetujui bahwa Perseroan telah
memenuhi kewajiban pembayarannya berdasarkan
Perjanjian ini, dan Anda akan dapat menarik uang dari
Akun Pemberi Lisensi sesuai dengan aturan yang berlaku
yang dijelaskan dalam Layanan.
c) Jika berlaku, Anda akan menjadi penerima
manfaat dari semua keuntungan valuta asing dan akan
bertanggung jawab atas semua kerugian valuta asing dan
semua biaya lain yang dikeluarkan oleh Perseroan atau
Afiliasi-Afiliasinya seperti komisi valuta asing atau biaya
perbankan lainnya.
d) Selain jumlah yang secara tegas direferensikan
dalam Perjanjian ini, tidak ada biaya tambahan, jumlah
atau pertimbangan dalam bentuk atau sifat apa pun yang
akan ditagih oleh atau atas nama Perseroan atau Afiliasi-
Afiliasinya, secara langsung atau tidak langsung,
sehubungan dengan penggunaan Konten Berlisensi di
koneksi dengan Layanan, Platform Distribusi atau
pelaksanaan hak yang diberikan kepada Perseroan,
Afiliasi-Afiliasinya atau pihak ketiga mana pun
berdasarkan Perjanjian ini.
e) Untuk menghindari keraguan, baik Perseroan
maupun Afiliasi-Afiliasinya tidak berkewajiban untuk
membayar kepada atau atas nama Pemberi Lisensi
jumlah tambahan apa pun sehubungan dengan
penyimpanan, hosting, tampilan, pengodean,
reproduksi, komunikasi, pelaksanaan, penyediaan,
transmisi, penyampaian, distribusi, pameran, atau
penggunaan atau eksploitasi lain dari Konten
Licensed Content for purposes of operating, marketing
and/or promoting the Service or Distribution Platforms or
otherwise in accordance with this Agreement.
12. Tax
Licensor is responsible for all taxes (if any) associated with
the Agreement. All payments to Licensor from Company in
relation to the Agreement shall be inclusive of tax (if
applicable). Licensor shall be liable to duly report any
outstanding income tax or other applicable taxes to competent
tax authorities in respect of sums payable under or in
connection with the Agreement. If any payments made by
Company to Licensor under this Agreement are subject to
withholding tax levied by any governmental authority,
Company may withhold the applicable withholding tax from
the relevant payment and remit the balance to Licensor. In this
event, Company shall provide to Licensor the tax receipts
issued by the relevant tax authority evidencing payment of
taxes so deducted or withheld upon receiving the receipt. To
the extent any amounts for taxes are so withheld, such
withheld amounts shall be treated for all purposes of this
Agreement as having been paid to the person or entity to
whom or to which such amounts would otherwise have been
paid. Licensor and its Affiliates are not entitled to any gross-
up if any amounts are withheld by or on behalf of Company
due to the applicable law. Licensor shall provide Company
with all required documents for the purposes of making any
payments herein.
13. Indemnification & Limitation of Liability
a) To the extent permissible by the applicable law,
Licensor agrees to defend, indemnify and hold harmless
Company, its Affiliates, subsidiaries, related corporations,
successors, licensees, agents, contractors, sublicensees,
resellers, attorneys and assignees, and the officers, directors,
shareholders, contractors, members and employees of the

Berlisensi, secara keseluruhan atau sebagian, secara
langsung atau tidak langsung, termasuk setiap
penggunaan insidental Konten Berlisensi untuk tujuan
pengoperasian, pemasaran dan/atau mempromosikan
Layanan atau Platform Distribusi atau lainnya sesuai
dengan Perjanjian ini.
12. Pajak
Pemberi Lisensi bertanggung jawab atas seluruh pajak
(apabila ada) yang terkait dengan Perjanjian. Seluruh
pembayaran kepada Pemberi Lisensi dari Perseroan
sehubungan dengan Perjanjian sudah termasuk pajak
(apabila berlaku). Pemberi Lisensi akan bertanggung
jawab untuk melaporkan setiap pajak pendapatan terutang
atau pajak lain yang berlaku kepada pejabat pajak yang
kompeten sehubungan dengan jumlah yang harus dibayar
berdasarkan atau sehubungan dengan Perjanjian. Jika
pembayaran apa pun yang dilakukan oleh Perseroan
kepada Pemberi Lisensi berdasarkan Perjanjian ini tunduk
pada pemotongan pajak yang dikenakan oleh pejabat
pemerintah mana pun, Perseroan dapat menahan pajak
pemotongan yang berlaku dari pembayaran yang relevan
dan mengirimkan saldo tersebut kepada Pemberi Lisensi.
Dalam hal ini, Perseroan harus memberikan kepada
Pemberi Lisensi tanda terima pajak yang diterbitkan oleh
pejabat pajak terkait yang membuktikan pembayaran
pajak yang dipotong atau ditahan setelah menerima tanda
terima. Sejauh jumlah pajak yang dipotong, jumlah yang
dipotong tersebut akan diperlakukan untuk semua tujuan
Perjanjian ini sebagai telah dibayarkan kepada orang atau
entitas yang kepadanya atau kepada siapa jumlah tersebut
seharusnya telah dibayarkan. Pemberi Lisensi dan
Afiliasi-Afiliasinya tidak berhak atas pendapatan bruto
apa pun jika ada jumlah yang ditahan oleh atau atas nama
Perseroan karena hukum yang berlaku. Pemberi Lisensi
akan menyediakan Perseroan dengan semua dokumen
yang diperlukan untuk tujuan melakukan pembayaran apa
pun di Perjanjian ini.
13. Ganti Rugi dan Pembatasan Kewajiban
a) Sejauh yang diizinkan oleh undang-undang yang
berlaku, Pemberi Lisensi setuju untuk membela,
mengganti kerugian, dan membebaskan Perseroan,
Afiliasi-Afiliasinya, anak perusahaannya, korporasi
terkait, penerus, penerima lisensi, agen, kontraktor,
penerima sublisensi, pengecer, pengacara dan penerima
foregoing (collectively, “Company Parties”), from and
against any and all liabilities, damages, awards, settlements,
losses, claims, suits, proceedings, assertions and expenses,
including without limitation, court costs, reasonable third
party legal fees and third party costs of investigation due to
any claim, suit, proceeding or assertion by a third party: (i)
based on facts that, if true, would constitute a breach by
Licensor of this Agreement, including any warranty,
representation, agreement or covenant made in this Agreement
by Licensor; and (ii) arising from or related to the rights,
permissions and authorizations granted to Company and/or its
Affiliates in this Agreement or the exercise thereof, of
whatever nature and in whichever jurisdiction, which are or
which may be sustained, instituted, made or alleged against,
or suffered or incurred by Company Parties.
b) WITHOUT LIMITING THE INDEMNITY
OBLIGATIONS OF THE PARTIES PURSUANT TO THE
FOREGOING PROVISIONS OF THIS SECTION,
NEITHER PARTY HERETO WILL BE LIABLE TO THE
OTHER PARTY FOR ANY INDIRECT, INCIDENTAL,
CONSEQUENTIAL, PUNITIVE OR SPECIAL DAMAGES,
ARISING OUT OF OR RELATED TO THIS AGREEMENT,
INCLUDING DAMAGES FOR LOSS OF BUSINESS
PROFITS, BUSINESS INTERRUPTION, LOSS OF
BUSINESS INFORMATION, AND THE LIKE, EVEN IF
SUCH PARTY HAS BEEN ADVISED OF THE
POSSIBILITY OF SUCH DAMAGES. COMPANY AND
ITS AFFILIATES MAKE NO WARRANTY OR
REPRESENTATION, EXPRESS OR IMPLIED, TO
LICENSOR AS TO THE QUALITY, PERFORMANCE,
MERCHANTABILITY OR FITNESS FOR A MAUPUN TERSIRAT, KEPADA PEMBERI LISENSI
PARTICULAR PURPOSE OF THE SERVICE OR ANY OF
THE DISTRIBUTION PLATFORMS, OR ANY
ELEMENTS THEREOF. THE AGGREGATE LIABILITY
OF COMPANY AND ITS AFFILIATES FOR ANY AND
ALL CAUSES OF ACTION ARISING OUT OF OR
RELATED TO THIS AGREEMENT SHALL NOT EXCEED
THE AMOUNT OF MONEY PAID BY COMPANY TO
LICENSOR DURING THE TERM PRIOR TO THE DATE
OF THE BREACH OR ALLEGED BREACH BY

hak, dan petugas, direktur, pemegang saham, kontraktor,
anggota dan karyawan yang telah disebutkan sebelumnya
(secara bersama-sama, "Pihak Perseroan"), dari dan
terhadap setiap dan semua kewajiban, kerusakan,
penghargaan, penyelesaian, kerugian, klaim, gugatan,
proses, pernyataan dan pengeluaran, termasuk namun
tidak terbatas pada, biaya pengadilan, biaya hukum pihak
ketiga yang wajar dan biaya penyelidikan pihak ketiga
karena klaim, gugatan, proses atau pernyataan oleh pihak
ketiga: (i) berdasarkan fakta yang, jika benar, akan
merupakan pelanggaran oleh Pemberi Lisensi Perjanjian
ini, termasuk jaminan, pernyataan, perjanjian atau janji
yang dibuat dalam Perjanjian ini oleh Pemberi Lisensi; dan
(ii) yang timbul dari atau terkait dengan hak, izin, dan
otorisasi yang diberikan kepada Perseroan dan/atau
Afiliasi-Afiliasinya dalam Perjanjian ini atau
pelaksanaannya, dalam bentuk apa pun dan di yurisdiksi
mana pun, yang sedang atau yang mungkin dipertahankan,
dilembagakan, dibuat atau dituduh melawan, atau diderita
atau ditimbulkan oleh Pihak Perseroan.
b) TANPA MEMBATASI KEWAJIBAN GANTI
RUGI PARA PIHAK TERKAIT KETENTUAN DI
ATAS DALAM BAGIAN INI, PARA PIHAK TIDAK
AKAN BERTANGGUNG JAWAB KEPADA PIHAK
LAIN ATAS KERUSAKAN TIDAK LANGSUNG,
INSIDENTAL, LANGSUNG, HUKUM ATAU
KHUSUS, YANG TIMBUL DARI KERUSAKAN INI,
TERMASUK KERUSAKAN HILANGNYA LABA
USAHA, GANGGUAN USAHA, HILANGNYA
INFORMASI BISNIS, DAN SEPERTINYA,
MESKIPUN PIHAK TERSEBUT TELAH
DIBERITAHU TENTANG KEMUNGKINAN
KERUSAKAN TERSEBUT. PERSEROAN DAN
AFILIASI-AFILIASINYA TIDAK MEMBERIKAN
JAMINAN ATAU PERNYATAAN, TERSURAT
TERKAIT KUALITAS, PELAKSANAAN,
KELAYAKAN JUAL ATAU KESESUAIAN UNTUK
TUJUAN TERTENTU LAYANAN ATAU SETIAP
PLATFORM DISTRIBUSI, ATAU ELEMEN
LAINNYA. KEWAJIBAN AGREGAT PERSEROAN
DAN AFILIASI-AFILIASINYA UNTUK SETIAP DAN
SEMUA PENYEBAB TINDAKAN YANG TIMBUL
DARI ATAU TERKAIT DENGAN PERJANJIAN INI
TIDAK AKAN MELEBIHI JUMLAH UANG YANG
DIBAYARKAN PERSEROAN KEPADA PEMBERI
LISENSI SELAMA JANGKA WAKTU SEBELUM
COMPANY OR AN AFFILIATE OF THIS AGREEMENT
GIVING RISE TO SUCH LIABILITY.
14. Third-Party Rights Responsibilities:
a) As between Company, its Affiliates and Licensor,
Licensor is responsible for obtaining and paying for any and
all rights, consents and licenses required in connection with
the exploitation of Licensed Content as authorized in this
Agreement (e.g., in connection with all record royalties in
respect of the use and exploitation of sound recordings and
audiovisual works; unions/guilds; performer’s rights, rights of
equitable remuneration, and neighboring rights, rights of
publicity including any and all name/image/likeness rights
embodied in Licensed Content made available via Distribution
Platforms or otherwise throughout the Territory, , however
characterized under applicable laws, etc.).
b) Direct License. Licensor hereby provides to
Company a direct license and agrees that will perform the
personal management of public performance rights that may
be applicable in relation to all Licensed Content and Lived
Recordings in the terms and to the full extent of the license
granted herein, including any and all necessary related rights
(neighboring rights), such as but not limited to performers and
record labels rights, being exclusively responsible for
communicating PROs about the personal management of
public performance rights, as required by the applicable law,
exempting Company from any complaints or liabilities arising
from the lack of effective communication. Company will not
be liable for the payment to any PROs or collective
management organization for any amounts related to public
performance rights connected to the license granted in this
agreement, regarding copyrights or neighboring rights.
15. Termination Rights
a) Without limiting any other remedy available at law or
in equity, either Party may terminate the Term in the event of
any material breach of this Agreement by the other Party that
is not remedied within sixty (60) days after notice to the

14. Kewajiban Hak Pihak Ketiga
a) Di antara Perseroan, Afiliasi-Afiliasinya dan
Pemberi Lisensi, Pemberi Lisensi bertanggung jawab
untuk mendapatkan dan membayar untuk setiap dan semua
hak, persetujuan dan lisensi yang diperlukan sehubungan
dengan eksploitasi Konten Berlisensi sebagaimana
diizinkan dalam Perjanjian ini (misalnya, sehubungan
dengan semua royalti rekaman berkenaan dengan
penggunaan dan eksploitasi rekaman suara dan karya
audiovisual; serikat/serikat pekerja; hak pelaku
pertunjukan, hak remunerasi yang adil, dan hak terkait,
hak publisitas termasuk setiap dan semua hak
nama/gambar/keserupaan yang terkandung dalam Konten
Berlisensi yang tersedia melalui Platform Distribusi atau
lainnya di seluruh Wilayah, apa pun karakteristiknya
menurut undang-undang yang berlaku, dll.).
b) Lisensi Langsung. Pemberi Lisensi dengan ini
memberikan kepada Perseroan lisensi langsung dan setuju
bahwa akan melakukan manajemen pribadi dari hak
pertunjukan publik yang mungkin berlaku dalam
kaitannya dengan semua Konten Berlisensi dan Rekaman
Kehidupan dalam persyaratan dan sepenuhnya lisensi
yang diberikan di sini, termasuk setiap dan semua hak
terkait yang diperlukan (hak terkait), seperti namun tidak
terbatas pada hak artis dan label rekaman, bertanggung
jawab secara eksklusif untuk mengomunikasikan PRO
tentang pengelolaan pribadi hak kinerja publik,
sebagaimana diwajibkan oleh hukum yang berlaku,
membebaskan Perseroan dari keluhan atau kewajiban apa
pun yang timbul dari kurangnya komunikasi yang efektif.
Perseroan tidak akan bertanggung jawab atas pembayaran
kepada PRO-PRO atau organisasi manajemen kolektif
untuk jumlah apa pun yang terkait dengan hak kinerja
publik yang terkait dengan lisensi yang diberikan dalam
perjanjian ini, mengenai hak cipta atau hak terkait.
15. Hak Pengakhiran
a) Tanpa membatasi setiap upaya hukum lain yang
tersedia menurut hukum atau ekuitas, salah satu Pihak
dapat mengakhiri Jangka Waktu jika terjadi pelanggaran
material dari Perjanjian ini oleh Pihak lain yang tidak
breaching party thereof. Without limiting the generality of the
preceding sentence, neither Party shall be entitled to recover
damages or to terminate the Term by reason of any breach by
the other Party of its obligations hereunder unless the
breaching party fails to remedy such breach within sixty (60)
days following receipt of notice thereof. The foregoing cure
period(s) will not apply to breaches incapable of being cured
or to an application for injunctive relief. In addition,
Company may terminate the Term upon notice to Licensor in
the event that Company ceases to operate the Service during
the Term.
b) Company shall have the right, at any time, to
terminate this Agreement, remove any of the Licensed Content
from the Service and/or the Distribution Platforms, cease
providing services to Licensor, and/or cease the exploitation
and distribution of any Licensed Content, which Company
may elect to do as a result of the determination that (i)
Licensed Content infringes or may infringe upon any third
party rights, (ii) Licensor has violated this Agreement, or the
Terms of Service, Privacy Policy and/or Community
Guidelines of the Service of a Distribution Platform, (iii)
Licensed Content on the Service or Distribution Platforms
may be hateful, offensive, obscene, negative or inappropriate,
(iv) Licensor’s actions or Licensed Content may harm
Company and/or its Affiliates or bring Company and/or its
Affiliates into disrepute by association, or (v) for any other
reason, or no reason, that Company may determine in its sole
discretion.
c) Licensor acknowledges and agrees that,
notwithstanding the expiration or termination of the Term (and
the Minimum Exploitation Period, if any) any content
previously created with and/or generated from Licensed
Content including, without limitation, any Video which
embodies Licensed Content, may remain accessible to users of
the Distribution Platforms, and that Company and its Affiliates
shall have no liability for a user’s or a third party’s retention,
use or distribution of any such user created/generated content.

Waktu dengan alasan pelanggaran oleh Pihak lainnya atas
kewajibannya di sini kecuali pihak yang melanggar gagal
untuk memperbaiki pelanggaran tersebut dalam waktu
enam puluh (60) hari setelah diterimanya pemberitahuan
tersebut. Periode(-periode) pemulihan di atas tidak akan
berlaku untuk pelanggaran yang tidak dapat dipulihkan
atau untuk mengaplikasikan ganti rugi. Selain itu,
Perseroan dapat mengakhiri Jangka Waktu setelah
pemberitahuan kepada Pemberi Lisensi jika Perseroan
berhenti mengoperasikan Layanan selama Jangka Waktu.
b) Perseroan berhak, kapan saja, untuk mengakhiri
Perjanjian ini, menghapus Konten Berlisensi apa pun dari
Layanan dan/atau Platform Distribusi, berhenti
menyediakan layanan kepada Pemberi Lisensi, dan/atau
menghentikan eksploitasi dan distribusi setiap Konten
Berlisensi, yang Perseroan dapat memilih untuk dilakukan
sebagai hasil dari penentuan bahwa (i) Konten Berlisensi
melanggar atau dapat melanggar hak pihak ketiga, (ii)
Pemberi Lisensi telah melanggar Perjanjian ini, atau
Persyaratan Layanan, Kebijakan Privasi dan/atau Panduan
Komunitas Layanan Platform Distribusi, (iii) Konten
Berlisensi di Layanan atau Platform Distribusi mungkin
penuh kebencian, menyinggung, cabul, negatif atau tidak
pantas, (iv) tindakan Pemberi Lisensi atau Konten
Berlisensi dapat merugikan Perseroan dan/atau Afiliasi-
Afiliasinya atau membuat Perseroan dan/atau Afiliasi-
Afiliasinya diberikan reputasi buruk oleh asosiasi, atau (v)
karena alasan lain, atau tanpa alasan, yang dapat
ditentukan oleh Perseroan dalam diskresinya sendiri.
c) Pemberi Lisensi mengakui dan menyetujui
bahwa, tanpa mengesampingkan kedaluwarsa atau
pengakhiran Jangka Waktu (dan Periode Eksploitasi
Minimum, jika ada) setiap konten yang sebelumnya dibuat
dengan dan/atau dihasilkan dari Konten Berlisensi
termasuk, tanpa batasan, setiap Video yang mengandung
Konten Berlisensi, dapat tetap dapat diakses oleh
pengguna Platform Distribusi, dan bahwa Perseroan dan
Afiliasi-Afiliasinya tidak memiliki tanggung jawab atas
penyimpanan, penggunaan, atau distribusi pengguna atau

d) Upon expiration or termination of the Term (and the
Minimum Exploitation Period, if any) with respect to Licensed
Recordings that Licensor expressly allow to distribute to Third
Party Stores, Company shall use commercially reasonable
time to inform Third Party Stores that they are no longer
authorized to distribute the Licensed Recordings. Licensor
acknowledges and agrees that Company will not be
responsible for any delays of Third Party Stores’ removing of
the Licensed Recordings from their owned or operated
services and will continue to have the exclusive rights to
collect the income before actual removal of such Licensed
Recordings from the Third Party Stores.
e) Each of the Licensor and the Licensee expressly
agrees to waive and set aside their respective rights and
obligations under any applicable law in the event of any
termination of this Agreement to the extent that such law
requires any judicial pronouncement for the termination of this
Agreement.
16. Fraudulent Videos/Plays
a) At all times during and after the Term (and the
Minimum Exploitation Period, if any), Company and its
Affiliates reserve the right to exclude from the determination
and calculation of License Royalties in respect of creations on
the TikTok Platforms of Videos embodying the Licensed
Recordings and/or Plays of the Licensed Recordings on Resso,
that Company or its Affiliates reasonably believe to have been
created as the result of fraud or abuse (“Fraudulent
Videos/Plays”).
b) Without limiting any of Company’s or its Affiliates’
other rights and remedies, if Company or an Affiliate
reasonably believes that Fraudulent Videos/Plays have
occurred, Company and its Affiliates will have each of the
following options (which may be exercised alone, or in any
combination, in their sole, unrestricted discretion): (i) to
require Licensor to immediately and unconditionally
reimburse them for any and all License Royalties previously
paid to or on behalf of Licensor, that are attributable to
Fraudulent Videos/Plays, as determined by Company or its

untuk mendistribusikan Rekaman Berlisensi. Pemberi
Lisensi mengakui dan setuju bahwa Perusahaan tidak akan
bertanggung jawab atas keterlambatan Toko Pihak Ketiga
penghapusan Rekaman Berlisensi dari Layanan yang
mereka miliki atau operasikan dan akan terus memiliki hak
eksklusif untuk mengumpulkan pendapatan sebelum
penghapusan yang sebenarnya dari Semua yang Berlisensi
tersebut. Rekaman Berlisensi dari Toko Pihak Ketiga.
e) Masing-masing Pemberi Lisensi dan Penerima
Lisensi secara tegas setuju untuk melepaskan dan
mengesampingkan hak dan kewajiban masing-masing
berdasarkan hukum yang berlaku jika terjadi pengakhiran
Perjanjian ini sejauh hukum tersebut memerlukan
pernyataan yudisial untuk pengakhiran Perjanjian ini.
16. Video/Pemutaran Penipuan
a) Sepanjang waktu selama dan setelah Jangka
Waktu (dan Periode Eksploitasi Minimum, jika ada),
Perseroan dan Afiliasi-Afiliasinya berhak untuk
mengecualikan dari penentuan dan penghitungan Royalti
Lisensi sehubungan dengan kreasi di Platform TikTok
Video yang mewujudkan Rekaman Berlisensi dan/atau
Pemutaran Rekaman Berlisensi di Resso, yang diyakini
secara wajar oleh Perseroan atau Afiliasi-Afiliasinya telah
dibuat sebagai hasil dari penipuan atau penyalahgunaan
("Video/Pemutaran Penipuan").
b) Tanpa membatasi setiap hak dan upaya hukum
Perseroan atau Afiliasi-Afiliasinya lainnya, jika Perseroan
atau Afiliasi secara wajar percaya bahwa
Video/Pemutaran Penipuan telah terjadi, Perseroan dan
Afiliasi-Afiliasinya akan memiliki masing-masing opsi
berikut (yang dapat dilakukan sendiri, atau dalam
kombinasi apa pun, atas diskresi mereka sendiri, tidak
terbatas): (i) meminta Pemberi Lisensi untuk segera dan
tanpa syarat mengganti mereka untuk setiap dan semua
Royalti Lisensi yang sebelumnya dibayarkan kepada atau
Affiliate (as applicable), promptly following Company’s or its
Affiliate’s request therefor (but in no event later than five (5)
days thereafter in each instance), (ii) to offset any and all
License Royalties previously paid to or on behalf of Licensor,
that are attributable to Fraudulent Videos/Plays, as determined
by Company or its Affiliate (as applicable), from any and all
future License Royalties due for the remainder of the Term
(and the Minimum Exploitation Period, if any), and/or (iii) to
amend and restate (without giving effect to Fraudulent
Videos/Plays) any and all calendar monthly reporting
statements previously delivered to Licensor with retroactive
effect, in order to reverse Fraudulent Videos/Plays and
recalculate the License Royalties due for such monthly periods
of the Term (and the Minimum Exploitation Period, if any)
(without giving effect to Fraudulent Videos/Plays).
c) Without limiting any of Company’s or its Affiliates’
other rights and remedies, if Company or an Affiliate
reasonably believes that Licensor is directly or indirectly
responsible for Fraudulent Videos/Plays (whether by means of
engaging in such activities directly, or by indirectly lending
any form of support, assistance, funding, resources,
cooperation or other form or method of participation or
encouragement to a third party), then, without limiting the
generality of anything in the preceding paragraph, Company
and its Affiliates will have each of the following additional
options (which they may exercise alone, or in any
combination, in their sole, unrestricted discretion): (i) to deem
Licensor to be in material breach of its material obligations
under this Agreement, which are incapable of being cured, (ii)
to terminate the Term, with immediate prospective effect, (iii)
to terminate your Service account and/or the user account of
the persons or entities on the Distribution Platforms that
Company or its Affiliates reasonably believe are responsible
for Fraudulent Videos/Plays, (iv) to disable your further access
to the Service, and/or (v) to immediately take-down from the
Service and the Distribution Platforms the Licensed Content
associated with the Fraudulent Videos/Plays.

Perseroan atau Afiliasinya (sebagaimana berlaku), dari
setiap dan semua Royalti Lisensi di masa mendatang yang
jatuh tempo untuk sisa Jangka Waktu (dan Periode
Eksploitasi Minimum, jika ada), dan/atau (iii) untuk
mengubah dan menyatakan kembali (tanpa mempengaruhi
Video/Pemutaran Penipuan) setiap dan semua laporan
bulanan kalender yang sebelumnya dikirimkan ke Pemberi
Lisensi dengan efek retroaktif, dalam urutan untuk
membalikkan Video/Pemutaran Penipuan dan menghitung
ulang Royalti Lisensi yang jatuh tempo untuk periode
bulanan Jangka Waktu tersebut (dan Periode Eksploitasi
Minimum, jika ada) (tanpa mempengaruhi
Video/Pemutaran Penipuan).
c) Tanpa membatasi setiap hak dan upaya hukum
Perseroan atau Afiliasi-Afiliasinya lainnya, jika Perseroan
atau Afiliasi secara wajar yakin bahwa Pemberi Lisensi
secara langsung atau tidak langsung bertanggung jawab
atas Video/Pemutaran Penipuan (baik dengan cara terlibat
dalam aktivitas tersebut secara langsung, atau dengan
meminjamkan secara tidak langsung segala bentuk
dukungan, bantuan, pendanaan, sumber daya, kerja sama
atau bentuk lain atau metode partisipasi atau dorongan
kepada pihak ketiga), maka, tanpa membatasi keumuman
apa pun di ayat sebelumnya, Perseroan dan Afiliasi-
Afiliasinya akan memiliki masing-masing yang berikut ini
opsi tambahan (yang dapat mereka lakukan sendiri, atau
dalam kombinasi apa pun, atas diskresi mereka sendiri
yang tidak terbatas): (i) untuk menganggap Pemberi
Lisensi melanggar kewajiban materialnya berdasarkan
Perjanjian ini, yang tidak dapat dibetulkan, (ii) untuk
mengakhiri Jangka Waktu, dengan efek prospektif
langsung, (iii) untuk mengakhiri akun Layanan Anda
dan/atau akun pengguna orang atau entitas di Platform
Distribusi yang diyakini Perseroan atau Afiliasi-
Afiliasinya bertanggung jawab atas Video/Pemutaran
Penipuan, (iv) untuk menonaktifkan akses Anda lebih
lanjut ke Layanan, dan/atau (v) untuk segera menghapus

17. Notice
All notices under this Agreement must be in writing and
delivered to the address specified below in order to be
effective.

To Licensor: To the Licensor’s Service account and email
address.
18. Applicable Law
This Agreement will be governed by the laws of Singapore
without regard to conflicts of legal provisions. Any dispute,
controversy, difference or claim arising out of or relating to
this contract, including the existence, validity, interpretation,
performance, breach or termination thereof or any dispute
regarding non-contractual obligations arising out of or relating
to it shall be referred to and finally resolved by arbitration
administered by the Singapore International Arbitration
Centre (SIAC) under the SIAC Administered Arbitration
Rules in force when the Notice of Arbitration is submitted.
The seat of arbitration shall be Singapore. The arbitration
tribunal shall consist of one (1) arbitrator. The language of the
arbitration shall be English.
19. Force Majeure
Neither Party will be responsible for, or be in breach of this
Agreement, to the extent that its performance is delayed as a
result of any act of God, war, terrorism, fire, earthquake,
pandemic, epidemic or other natural disaster, civil commotion,
act of government or any other cause wholly beyond its
control, and not due to its own negligence or that of its
contractors or representatives, and which cannot be overcome
by the exercise of due diligence, including, without limitation,
any regulations/restrictions/orders/sanctions issued by
governments and/or other authorized entities which result in
Company being unable to provide the Service in any part of
the Territory during the period of continuance/enforcement of
any such regulations/restrictions/orders/sanctions ("Force
Majeure Event"). Licensor agrees that Company shall have
the right to suspend the Term and the operation of this
Agreement and Company’s obligations hereunder in the event

18. Hukum yang Berlaku
Perjanjian ini akan diatur oleh hukum Singapura tanpa
memperhatikan pertentangan ketentuan hukum. Setiap
sengketa, kontroversi, perbedaan atau klaim yang timbul
dari atau terkait dengan kontrak ini, termasuk keberadaan,
keberlakuan, interpretasi, kinerja, pelanggaran atau
pengakhiran atau sengketa apa pun mengenai kewajiban
non-kontraktual yang timbul dari atau terkait dengannya
harus dirujuk ke dan akhirnya diselesaikan dengan
arbitrase yang dikelola oleh Singapore International
Arbitration Centre (SIAC) berdasarkan SIAC
Administered Arbitration Rules yang berlaku saat
Pemberitahuan Arbitrase diserahkan. Kedudukan hukum
arbitrase adalah Singapura. Majelis arbitrase terdiri dari
satu (1) arbiter. Bahasa arbitrase adalah bahasa Inggris.
19. Keadaan Memaksa
Tidak ada Pihak yang akan bertanggung jawab atas, atau
melanggar Perjanjian ini, sejauh kinerjanya tertunda
sebagai akibat dari tindakan Tuhan, perang, terorisme,
kebakaran, gempa bumi, pandemi, epidemi, atau bencana
alam lainnya, keributan sipil, tindakan pemerintah atau
sebab lain yang sepenuhnya berada di luar kendalinya, dan
bukan karena kelalaiannya sendiri atau oleh kontraktor
atau perwakilannya, dan yang tidak dapat diatasi dengan
pelaksanaan uji tuntas, termasuk, tanpa batasan,
peraturan/batasan/perintah/sanksi yang diterbitkan oleh
pemerintah dan/atau entitas resmi lainnya yang
mengakibatkan Perseroan tidak dapat menyediakan
Layanan di bagian mana pun dari Wilayah selama periode
kelanjutan/pelaksanaan dari
peraturan/batasan/perintah/sanksi tersebut ("Peristiwa
Keadaan Memaksa"). Pemberi Lisensi setuju bahwa
of a Force Majeure Event. Such right may be exercised by
Company by way of a written notice to Licensor, and such
suspension will last for the duration of the applicable Force
Majeure Event.
20. Miscellaneous:
a) This Agreement constitutes the entire agreement
between the Parties and supersedes all other prior and
contemporaneous agreements or communications with respect
to the subject matter hereof. Licensor agrees to be bound by
the Terms of Service and the Privacy Policy provided on the
Service, and the Distribution Platforms Agreements as they
pertain to Licensor for the exploitation of the Licensed
Content and the rights granted hereunder on the Distribution
Platforms. To the extent the terms of this Agreement conflict
with the terms of the Terms of Service or the Privacy Policy
provided on the Service, or terms of the Distribution Platforms
Agreements, the terms of this Agreement shall control.
b) No person or entity who is not a party to this
Agreement shall have any right to enforce any term of this
Agreement, regardless of whether such person or entity has
been identified by name, as a member of a class or as
answering a particular description. For the avoidance of doubt,
this shall not affect the rights of any permitted assignee or
transferee of this Agreement. This Agreement may not be
modified except by a written agreement signed by both
Parties. No waiver by a Party hereto of any provision of this
Agreement or default hereunder will affect such Party’s right
thereafter to enforce such provision or to exercise a right or
remedy set forth in this Agreement in the event of any other
default, whether or not similar. If any provision of this
Agreement is held to be unenforceable, in whole or in part, the
unenforceability of that provision will not affect the validity
of the other provisions of this Agreement. By entering into
this Agreement, Company and Licensor have and will have the
status of independent contractors. Accordingly, there is no
joint venture, partnership, agency or fiduciary relationship
existing between the Parties, and the Parties do not intend to
create any such relationship by this Agreement. The terms
contained in this Agreement which by their nature and context
survive or are expressly intended to survive the expiration or

Perseroan berhak untuk menangguhkan Jangka Waktu dan
pengoperasian Perjanjian ini dan kewajiban Perseroan di
sini jika terjadi Peristiwa Keadaan Memaksa. Hak tersebut
dapat digunakan oleh Perseroan melalui pemberitahuan
tertulis kepada Pemberi Lisensi, dan penangguhan tersebut
akan berlangsung selama durasi Peristiwa Keadaan
Memaksa yang berlaku.
20. Lain-Lain
a) Perjanjian ini merupakan keseluruhan perjanjian
antara Para Pihak dan menggantikan semua perjanjian atau
komunikasi sebelumnya dan pada saat yang sama terkait
dengan materi pokok perjanjian ini. Pemberi Lisensi setuju
untuk terikat oleh Persyaratan Layanan dan Kebijakan
Privasi yang disediakan di Layanan, dan Perjanjian
Platform Distribusi yang berkaitan dengan Pemberi
Lisensi untuk eksploitasi Konten Berlisensi dan hak-hak
yang diberikan di bawah ini pada Platform Distribusi.
Sejauh ketentuan Perjanjian ini bertentangan dengan
ketentuan Persyaratan Layanan atau Kebijakan Privasi
yang disediakan di Layanan, atau ketentuan Perjanjian
Platform Distribusi, ketentuan Perjanjian ini yang akan
berlaku.
b) Tidak ada orang atau entitas yang bukan
merupakan pihak dalam Perjanjian ini yang memiliki hak
untuk memberlakukan ketentuan apa pun dalam Perjanjian
ini, terlepas dari apakah orang atau entitas tersebut telah
diidentifikasi berdasarkan namanya, sebagai anggota kelas
atau menjawab tertentu deskripsi. Untuk menghindari
keraguan, hal ini tidak akan memengaruhi hak penerima
hak atau penerima pengalihan yang diizinkan dalam
Perjanjian ini. Perjanjian ini tidak dapat diubah kecuali
dengan perjanjian tertulis yang ditandatangani oleh kedua
Pihak. Tidak ada pengabaian oleh salah satu Pihak atas
ketentuan apa pun dalam Perjanjian ini atau kelalaian di
bawah ini yang akan memengaruhi hak Pihak tersebut
setelahnya untuk melaksanakan ketentuan tersebut atau
untuk menggunakan hak atau upaya hukum yang
ditetapkan dalam Perjanjian ini dalam hal terjadi
wanprestasi lainnya, baik serupa atau tidak. Jika ada
ketentuan dalam Perjanjian ini yang dianggap tidak dapat
diberlakukan, secara keseluruhan atau sebagian,
ketidakberlakuan ketentuan tersebut tidak akan
memengaruhi keberlakuan ketentuan lain dari Perjanjian
ini. Dengan menandatangani Perjanjian ini, Perseroan dan
Pemberi Lisensi memiliki dan akan berstatus sebagai
termination of the Term of this Agreement will so survive and
continue in full force and effect until they are satisfied or by
their nature expire including, without limitation, Licensor’s
warranties and representations and confidentiality and
indemnification obligations hereunder. This Agreement will
be binding upon and inure to the benefit of the Parties and their
permitted successors and assigns.
c) Company may assign this Agreement in whole or in
part to any subsidiary, affiliated or controlling corporation, to
any person or entity owning or acquiring a substantial portion
of the stock or assets of Company, or to any partnership or
other venture in which Company participates, and such rights
may be similarly assigned by any assignee. Company may
also assign Company’s rights to any of Company’s licensees
and sub-licensees if advisable in Company’s sole discretion to
implement the license or sub-license granted. Licensor will
not have the right to assign this Agreement or any of
Licensor’s rights hereunder without Company’s prior written
consent. Any purported assignment by Licensor in violation
of this paragraph will be null and void ab initio.
d) This Agreement, and the terms of this Agreement
shall be treated as “confidential information”, and any
information disclosed by one Party to another in connection
with this Agreement shall be treated as “confidential
information” by the receiving party, and shall not be disclosed
to any third party without the consent of the other party;
provided that, such “confidential information” may be shared,
on an as-needed basis, with the Party’s financial and legal
advisors, the Party’s third party contractors (if such contractor
is bound by confidentiality obligations), the Party’s investors,
prospective investors and/or prospective buyers (if bound by
confidentiality obligations that are no less restrictive than this
“Confidentiality” section), by Company with the its Affiliates,
and as required in connection with a legal proceeding (subject

di bawah ini. Perjanjian ini akan mengikat dan
diberlakukan untuk kepentingan Para Pihak dan penerus
serta penerima yang diizinkan.
c) Perseroan dapat mengalihkan Perjanjian ini
secara keseluruhan atau sebagian kepada anak perusahaan,
afiliasi atau perusahaan pengendali, kepada setiap orang
atau entitas yang memiliki atau memperoleh sebagian
besar saham atau aset Perseroan, atau ke kemitraan atau
usaha lain di mana Perseroan berpartisipasi, dan hak-hak
tersebut dapat diberikan dengan cara yang sama oleh
penerima hak mana pun. Perseroan juga dapat
mengalihkan hak Perseroan kepada salah satu penerima
lisensi dan penerima sub-lisensi Perseroan jika disarankan
atas diskresi Perseroan sendiri untuk menerapkan lisensi
atau sub-lisensi yang diberikan. Pemberi Lisensi tidak
akan memiliki hak untuk mengalihkan Perjanjian ini atau
hak Pemberi Lisensi apa pun di bawah ini tanpa
persetujuan tertulis sebelumnya dari Perseroan. Setiap
pengalihan yang diklaim oleh Pemberi Lisensi yang
melanggar ayat ini akan batal demi hukum.
d) Perjanjian ini, dan ketentuan Perjanjian ini akan
diperlakukan sebagai "informasi rahasia", dan informasi
apa pun yang diungkapkan oleh satu Pihak kepada pihak
lain sehubungan dengan Perjanjian ini akan diperlakukan
sebagai "informasi rahasia" oleh pihak penerima, dan tidak
boleh diungkapkan kepada pihak ketiga mana pun tanpa
persetujuan pihak lain; asalkan, "informasi rahasia"
tersebut dapat dibagikan, sesuai kebutuhan, dengan
penasihat keuangan dan hukum Pihak, kontraktor pihak
ketiga (jika kontraktor tersebut terikat oleh kewajiban
kerahasiaan), investor Pihak, calon investor dan/atau calon
pembeli (jika terikat oleh kewajiban kerahasiaan yang
tidak kurang ketat dari bagian "Kerahasiaan" ini), oleh

conditions of this Agreement.
e) This Agreement is made in both the English language
and the Indonesian language. Both texts are equally original.
In case of any inconsistency or different interpretation
between the English text and the Indonesian text, the English
text shall prevail and the relevant Indonesian text shall be
deemed to be automatically amended to conform with and to
make it consistent with the relevant English text.

menggunakan atau akses ke informasi rahasia Pihak

sepengetahuan pihak penerima, tidak di bawah kewajiban
kerahasiaan sehubungan dengan informasi tersebut, atau
(iv) yang tersedia atau tersedia untuk umum tanpa
melanggar Persetujuan ini. Tidak ada Pihak di sini yang
akan, tanpa persetujuan tertulis sebelumnya dari Pihak
lainnya, mengeluarkan siaran pers atau membuat
pengumuman atau pernyataan publik lainnya terkait
dengan syarat dan ketentuan khusus dari Perjanjian ini.
e) Perjanjian ini dibuat dalam Bahasa Inggris dan
Bahasa Indonesia. Kedua versi tersebut sama-sama asli.
Jika terdapat inkonsistensi atau interpretasi yang berbeda
antara versi Bahasa Inggris dan versi Bahasa Indonesia,
versi Bahasa Inggris yang berlaku dan versi Bahasa
Indonesia yang relevan dianggap secara otomatis diubah
untuk membuat bagian yang relevan dari Bahasa Indonesia
konsisten dengan versi Bahasa Inggris yang relevan.

Artist Confirmation
This is to confirm that I, [ ] (the “Artist”),
have exclusively authorized [ ] (the
“Licensor”) to enter into the License Agreement
dated [ ] (the “Agreement”) with TikTok
Technology Limited (“Licensee”) in respect of the
Licensed Content (as defined in the Agreement) that
embodying my work(s) and/or performance (the
“Confirmed Content”), and expressly confirm my
obligations under the Agreement, the grant of rights
and all other provisions contained in the
Agreement, including, without limitation, the
following:
(i) Licensor have all rights of exploitation and all
other required rights, title and interests in and
to the Confirmed Content (including but not
limited to all rights of communication to the
public, adaptation, reproduction,
synchronization, translation, transcription,
transmission, public performance, broadcast,
exhibition and making available rights), in
order to upload Confirmed Content to the
Service (as defined in the Agreement) and
make the grants of rights, licenses,
authorizations and permissions in the
Agreement; and
(ii) Licensee and its affiliates are granted all rights
necessary in the Confirmed Content including,
without limitation, all reproduction,
distribution, transmission, public performance,

ketentuan lain yang terkandung dalam Perjanjian,
termasuk, namun tidak terbatas pada, hal sebagai
berikut:
(i) Pemberi Lisensi memiliki segala hak untuk
pemanfaatan dan hak, kepemilikan dan
kepentingan lainnya yang diperlukan dalam
dan terhadap Konten Terkonfirmasi (termasuk
tetapi tidak terbatas kepada seluruh hak untuk
melakukan komunikasi kepada publik,
adaptasi, produksi ulang, sinkronisasi,
terjemahan, rekaman, transmisi, penampilan
publik, siaran, pameran dan memberikan hak
yang ada), untuk mengunggah Konten
Terkonfirmasi ke Jasa (sebagaimana
didefinisikan dalam Perjanjian) dan membuat
pemberian hak, lisensi, otorisasi dan perizinan
dalam Perjanjian; dan
(ii) Penerima Lisensi dan afiliasinya diberikan
semua hak yang diperlukan dalam Konten
Terkonfirmasi termasuk, tetapi tidak terbatas
pada, seluruh produksi ulang, distribusi,

 public display, adaptation, synchronization,

available rights during the term and throughout
the territory in accordance with the Agreement;
and
(iii) I waive moral rights, right to equitable
remuneration and any other broadly equivalent
rights in the Confirmed Content. I agree that
neither I nor any person, organization or any
other entity acting on my behalf will file,
charge, claim, sue, participate in, join or cause
or permit to be filed, charged or claimed, any
action, claim, charge, grievance, or demand for
damages or other relief (including injunctive,
declaratory, monetary or other) against the
Licensee and its affiliates with respect to the
moral rights of the Confirmed Content.
(iv) All payment or royalties with respect to the
Confirmed Content have been stipulated in the
Agreement. Other than the amounts expressly
referenced in the Agreement, no additional
fees, amounts or consideration of any kind or
nature will be owed by or on behalf of Licensee
and/or any third-party
licensees/sublicensees/advertisers, directly or
indirectly, in connection with the exploitation
of the Confirmed Content or the exercise of the
rights granted to Licensee under the
Agreement.

atau lainnya) terhadap Penerima Lisensi dan
afiliasinya sehubungan dengan hak moral dari
Konten Terkonfirmasi.
(iv) Seluruh pembayaran atau royalti sehubungan
dengan Konten Terkonfirmasi telah diatur
dalam Perjanjian. Selain dari jumlah yang telah
secara tegas dirujuk dalam Perjanjian ini, tidak
ada biaya tambahan, jumlah atau imbal balik
dalam bentuk apa pun yang akan terutang oleh
atau atas nama Penerima Lisensi dan/atau
pihak ketiga penerima
lisensi/sublisensi/pengiklan, secara langsung
maupun tidak langsung, sehubungan dengan
eksploitasi dari Konten Terkonfirmasi atau
pelaksanaan hak yang diberikan kepada
Penerima Lisensi berdasarkan Perjanjian.
