PERJANJIAN USAHA PATUNGAN/USAHA

(selanjutnya disebut “Pemberi Tugas” telah
mengeluarkan Dokumen Lelang untuk
Kontrak Pekerjaan Utama;
2. Dan para pihak terhadap Perjanjian Usaha
Bersama (atau Usaha Gabungan) yang ada
yang terdiri dari:

Gabungan) yang ditunjuk dalam Klausul E
dibawah, berkeinginan untuk ambil bagian secara
bersama didalam Penawaran untuk Kontrak tersebut
diatas.
SEKARANG TELAH DISEPAKATI DAN
DIPUTUSKAN BERSAMA
A. Untuk menunjuk
(nama mitra) sebagai Anggota/Perusahaan
Pendukung untuk mewakili dan bertindak
“untuk dan atas nama” Usaha Bersama (atau
Usaha Gabungan) dan untuk menandatangani
atas namanya seluruh dokumen, termasuk
Penawaran dan Perjanjian Kontrak.
B. Bahwa
, sebagai Anggota/Perusahaan Utama
Pendukung harus bertanggung jawab atas
penandatanganan Kontrak, jika diberikan,
dan harus menjaga Pemberi Tugas bersih
untuk seluruh konsekuensi dan kerugian
jika ada klaim oleh segala pihak ketiga,
segera sejak penandatanganan Kontrak.
C. Bahwa mitra Usaha Bersama (atau Usaha
Gabungan) tersebut diatas harus secara
bersama dan sendiri-sendiri bertanggung
jawab atas kewajiban mereka masing- masing
sesuai dengan Kontrak, jika diberikan.
D. Bahwa saham setiap perusahaan dalam Usaha
Bersama (atau Usaha Gabungan) haruslah
sebagai berikut:

Documents for the Contract Main works;
2. And the parties to the present Joint Venture
(or Joint Operation) Agreement, comprising:

being represented by the Joint Venture (or Joint
Operation) representative designated in Clause E
below, desire to participate jointly in Tender for the
above Contract.
NOW IT HAS BEEN JOINTLY AGREED UPON
AND DECIDED:
A. To appoint
(Name of a partner) as Sponsoring Member/
Leading Company to represent and to act "for
and on behalf" of the Joint Venture (or Joint
Operation) and to sign in its name all
documents, including the Tender and the
Contract Agreement.
B. That
as Sponsoring Member/Leading Company,
shall hold itself responsible for the execution of
the Contract, if awarded, and shall hold the
Employer blameless for all consequences and
damages in case of any claim by any third
party, forthcoming from the execution of the
Contract.
C. That the above-named partners of the Joint
Venture (or Joint Operation) shall be jointly
and severally liable for their respective and
joint obligations pursuant to the Contract, if
awarded.
D. That the share of each company in the Joint
Venture (or Joint Operation) will be as follows:

dan bahwa masing-masing Perusahaan akan ikut
serta dalam bagian yang sama untuk hal biaya
dan dalam keuntungan serta kerugian dari
Usaha Bersama (atau Usaha Gabungan). Bagian
kemitraan tidak akan diubah diseluruh periode
Kontrak kecuali dengan izin tertulis
sebelumnya dari Pemberi Tugas dan perjanjian
tertulis gabungan dari perusahaan yang ikut
serta. Terlepas dari ukuran relative bagian
kemitraan yang dimaksud diatas, masing-
masing perusahaan dan juga Pemberi Tugas
bila perlu, berhak sepenuhnya mengawasi
seluruh aspek pelaksanaan Perjanjian ini,
termasuk hak akses penuh ke seluruh
dokumentasi yang berkaitan dengan
penandatanganan Kontrak seperti catatan
keuangan, pesanan pembelian, tanda terima,
daftar permesinan, perlengkapan dan personel,
perjanjian sub-kontrak, surat menyurat, fax, dsb.
E. Bahwa kuasa untuk menandatangani untuk dan
atas nama Usaha Bersama (atau Usaha
Gabungan) harus diberikan kepada orang
dalam kedudukannya sebagai

F. Bahwa Perjanjian ini akan berlaku segera setelah
diterimanya Surat Penerimaan yang
dikeluarkan oleh Pemberi Tugas.
G. Bahwa Perjanjian ini dengan sendirinya akan
batal jika Kontrak tidak diberikan kepada
Usaha Bersama (atau Usaha Gabungan).
Demikian Perjanjian ini dibuat dan para pihak
yang ikut serta telah menandatangani dan
memberikan cap perusahaannya pada tanggal

and that each company will participate in
these same proportions in the expense and in
the profit and loss of the Joint Venture (or
Joint Operation). These partnership
proportions will not be modified throughout
the whole period of the Contract except with
prior written consent of the Employer and
joint written agreement of the participating
companies. Irrespective of the relative size of
the partnership proportions shown above,
each of the companies, and also the
Employer, when necessary, shall have the
right to fully supervise all aspects of the
implementation of this Agreement, including
the right to full access to all documentation
relevant to the execution of the Contract such
as financial records, purchase orders,
receipts, lists of plant, equipment and
personnel, subcontract agreements,
correspondence, fax, etc.
E. That the power to sign for and on behalf of the
Joint Venture (or Joint Operation) shall vest
in the person of ___________in his capacity

F. That this Agreement will become effective
immediately upon receipt of the Letter of
Acceptance issued by the Employer.
H. That this Agreement shall automatically be null
and void if the Contract is not awarded to the
Joint Venture (or Joint Operation).
