BROADCASTER AGREEMENT
PERJANJIAN KERJASAMA

This Host Agreement (hereinafter referred to as the “Agree-
ment”) is made on [ / / ] between the following
parties.
Party A (the Company): BIGO TECHNOLOGY PTE. LTD.
Bigo Technology Pte. Ltd., a Singaporean company having as
its company registration number: 201426996D, located at 8
Temasek Boulevard #08-05, Suntec Tower Three, 038988
Singapore, hereinafter referred to as “Party A” of one part;
Party B (the broadcaster):

Hereinafter referred to as the “Party B” of the other part.
The Company and the Host are hereinafter together referred
to as the “Parties”.
Preamble
The Company hereby assures that the Company has been
registered under the law of Singapore. The online mobile
application under the name “BIGO LIVE” (hereinafter
referred to as “BIGO LIVE”) is an outstanding program for
entertainment for everyone and solely owned by the Compa-
ny that nobody shall infringe by copying or duplicating.
BIGO LIVE is a live broadcasting program controlled and
managed by talented hosts who are willing to develop
themselves at BIGO LIVE in order to entertain and give
knowledge for viewers who can exchange opinion, judg-
ment, comment or critic as long as it is not against Terms
and Conditions of Service of the Company.
Now therefore, in consideration of the mutual covenants
herein contained the parties hereby agree as follows:

(selanjutnya disebut sebagai "Perjanjian") dilaksanakan oleh

Selanjutnya akan disebut sebagai “Pihak B”.
Perushaan dan Penyiar selanjutnya akan disebut dengan
Pihak A dan Pihak B
Pembuka
Perusahaan dengan ini menjamin bahwa Perusahaan telah
terdaftar berdasarkan hukum negara Singapura. Aplikasi
bergerak online dengan nama “BIGO LIVE” (selanjutnya
disebut “BIGO LIVE”) adalah suatu program hiburan
terkemuka untuk semua orang dan hanya dimiliki oleh Peru-
sahaan yang mana tidak seorangpun dapat melanggar
dengan cara menyalin atau membuat duplikasi.
BIGO LIVE adalah suatu program siaran langsung yang
dikendalikan dan dikelola oleh host-host berbakat yang
berkeinginan untuk mengembangkan diri mereka di BIGO
LIVE agar dapat menghibur dan memberikan pengetahuan
kepada para pemirsa yang dapat bertukar opini, penilaian,
komentar atau kritik selama hal itu tidak bertentangan
dengan Syarat dan Ketentuan Layanan dari Perusahaan.
Oleh karena itu, dengan pertimbangan perjanjian bersama
yang tertuang disini, para pihak dengan ini menyepakati
sebagai berikut:

1. Agreement
The Company agrees to cooperate with the Host and
the Host agrees to accept to be a host of the Compa-
ny. The Host shall do his/her duty under conditions
and agreements as agreed in this Agreement.
The Parties agrees that the Host by this agreement
will not have any legal relation or other relationship
with the Company no matter as a trading partner,
business partner, principal, representative, employer,
employee, or any other relationship of the same kind
or of different kind. The Host does not have right or
authority to act under the name or on behalf of the
Company in order to cause relation, liability or
expenses no matter in writing or not.
2. Cooperation Terms
The validity term of this Agreement is 3(three)
months; this Agreement shall commence on
[ / / ] and shall continue to
[ / / ] unless severed by either party in
accordance with terms and conditions agreed in this
contract. The Agreement shall be automatically
renewed for successive 3(three) months if either
party provides no prior written notice to the other to
the end of the term of this Agreement.
3. Rights and Obligations
3.1 Both Parties promise and undertake to have
appropriate capacity for civil rights and capacity for
civil conduct to execute and perform this Agreement.
3.1.1 Party B shall provide legal, authentic, accurate
and complete identity authentication information
according to the requirements of Party A and update
the information timely. Identity authentication infor-
mation refers to information for identifying by Party
A, including but not limited to Party B’s ID scanning
items, BIGO LIVE account, bank account(s), name,
document type and number, mobile phone number
and e-mail filled when signing the agreement, and
other information required by law, regulation or Party
A.

1. Perjanjian
Perusahaan sepakat untuk bekerjasama dengan Host
dan Host sepakat untuk menerima sebagai host Perusa-
haan. Host akan melaksanakan tugasnya berdasarkan
ketentuan dan perjanjian yang disepakati dalam Perjan-
jian ini.
Para Pihak sepakat bahwa Host berdasarkan Perjanjian
ini tidak memiliki hubungan hukum atau hubungan lain
dengan Perusahaan baik sebagai mitra dagang, mitra
usaha, prinsipal, perwakilan, pemberi kerja, karyawan,
atau jenis hubungan lain yang sama atau berbeda. Host
tidak memiliki hak atau wewenang untuk bertindak
dengan nama atau atas nama Perusahaan agar mencip-
takan hubungan, tanggung jawa atau pengeluaran baik
secara tertulis atau tidak.
2. Jangka Waktu Kerjasama
Masa berlaku Perjanjian ini adalah 3 (tiga) bulan; Perjan-
jian ini dimulai pada tanggal [ / / ] dan berlan-
jut hingga [ / / ] kecuali dihentikan oleh salah
satu pihak sesuai dengan syarat dan ketentuan yang
disepakati dalam perjanjian ini. Perjanjian akan diper-
panjang secara otomatis untuk 3 (tiga) bulan ke depan
apabila tidak satu pihakpun memberikan pemberita-
huan tertulis sebelumnya kepada yang lainnya tentang
akhir jangka waktu Perjanjian ini.
3. Hak dan Kewajiban
3.1 Kedua belah Pihak berjanji dan berupaya untuk
memiliki kapasitas yang tepat untuk hak sipil dan kapa-
sitas untuk perilaku sipil untuk menandatangani dan
melaksanakan Perjanjian ini.
3.1.1 Pihak B akan memberikan informasi otentikasi iden-
titas yang sah, otentik, akurat dan lengkap sesuai dengan
persyaratan dari Pihak A dan memperbarui informasi
tersebut secara tepat waktu. Informasi otentikasi identi-
tas mengacu pada informasi untuk mengidentifikasi
oleh Pihak A, termasuk namun tidak terbatas pada ID
scanning item Pihak B, akun BIGO LIVE, rekening bank,
nama, jenis dokumen dan nomor, nomor telepon seluler
dan e-mail yang diisi saat penandatanganan Perjanjian,
dan informasi lain yang diperlukan oleh undang-undang,
peraturan atau Pihak A.

3.1.2 Where Party A discovers or reasonably suspects that the
identity information provided by Party B is illegal, untrue,
inaccurate, incomplete, Party A or BIGO LIVE is entitled to
suspend (or terminate) the live broadcasting of Party B on
BIGO LIVE or reject all or part of the access to BIGO LIVE by
Party B, any losses caused thereby shall be borne by Party B;
where Party B fails to update identity information and thus
affects its own normal live broadcast, Party B shall borne any
losses caused thereby.
3.2 Both Parties promise and undertake to build and
maintain a good image for each other, and collaborate with
each other for the full implementation of this Agreement.
3.3 Rights and Obligations of Party A
3.3.1 During the cooperation term, Party A shall provide
the basic informat ion of Party A and BIGO LIVE to Party B,
including but not limited to, registration information of
Party A, management regulations etc.;
3.3.2 Party A is entitled to deploy the live video arrange-
ments (including but not limited to the period, duration and
mode of the live video and others), and may provide popu-
larization resources for Party B separately based on Party A's
operation demands and Party B's performance in BIGO LIVE.
3.3.3 In the case of any cooperation affairs contrary to the
Agreement and situations prejudicial to the interests of
Party A or its affiliates or the brand image of BIGO LIVE, as
considered by Party A, Party A is entitled to take any inter-
vention measures by itself or notify its affiliates to take such
measures (including but not limited to immediately inter-
rupt Party B’s live video, restrict/freeze Party B’s permission
for live video, investigate Party B’s liability for breach of
contract, require Party B to compensate Party A and/or Party
A’s affiliated companies for the loss and expenses incurred
thereby, etc.).
3.3.4 Provided that Party B is in full compliance with this
Agreement, Party A shall pay Party B the cooperation fees in
full as scheduled.
3.3.5 Party A shall have the right to adjust, optimize and
disengage Party B by the termination of the Agreement in
light of operational needs, and pay the remuneration
accordingly.

3.1.2 Bilamana Pihak A menemukan atau sedikit mencurigai
bahwa informasi identitas yang diberikan oleh Pihak B tidak
sah, tidak benar, tidak akurat, tidak lengkap, Pihak A atau
BIGO LIVE berhak untuk menangguhkan (atau mengakhiri)
siarang langsung Pihak B pada BIGO LIVE atau menolak
semua atau sebagian akses ke BIGO LIVE oleh Pihak B,
setiap kerugian yang disebabkan olehnya akan ditanggung
oleh Pihak B; bilamana Pihak B gagal memperbarui infor-
masi identitas dan kemudian mempengaruhi siaran
langsungnya yang normal, Pihak B akan menanggung setiap
kerugian yang disebabkan olehnya.
3.2 Kedua belah Pihak berjanji dan berupaya untuk memba-
ngun dan mempertahankan citra yang baik satu sama lain,
dan bekerjasama satu sama lain untuk pelaksanaan penuh
Perjanjian ini.
3.3 Hak dan Kewajiban Pihak A
3.3.1 Selama jangka waktu kerjasama, Pihak A akan menye-
diakan informasi dasar Pihak A dan BIGO LIVE kepada Pihak
B, termasuk namun tidak terbatas pada, informasi registrasi
Pihak A, peraturan pengelolaan, dll.;
3.3.2 Pihak A berhak untuk menyebarkan pengaturan video
langsung (termasuk namun tidak terbatas pada periode,
durasi dan mode video langsung dan lainnya), dan dapat
memberikan sumber daya popularisasi untuk Pihak B secara
terpisah berdasarkan permintaan operasi Pihak A dan pelak-
sanaan Pihak B pada BIGO LIVE.
3.3.3 Dalam hal urusan kerjasama bertentangan dengan
Perjanjian dan situasi yang merugikan kepentingan-kepent-
ingan Pihak A atau afiliasinya atau image merek BIGO LIVE,
sebagaimana yang dianggap oleh Pihak A, Pihak A berhak
untuk mengambil tindakan intervensi sendiri atau member-
itahukan afiliasinya untuk mengambil tindakan tersebut
(termasuk namun tidak terbatas pada interupsi seketika
video langsung Pihak B, membatasi/membekukan izin
Pihak B untuk video langsung, menyelidiki tanggung jawab
Pihak B atas pelanggaran perjanjian, meminta Pihak B
untuk mengganti rugi Pihak A dan/atau perusahaan afiliasi
Pihak A atas kerugian dan pengeluaran yang dikeluarkan
daripadanya, dll.).
3.3.4 Apabila Pihak B sepenuhnya patuh pada Perjanjian ini,
Pihak A akan membayarkan biaya kerjasama kepada Pihak B
secara penuh sebagaimana yang dijadwalkan.
3.3.5 Pihak A memiliki hak untuk menyesuaikan, mengopti-
malkan dan melepaskan Pihak B melalui pengakhiran
Perjanjian mengingat kebutuhan operasionalnya, dan mem-
bayar remunerasinya.

3.4 Rights and Obligations of Party B
3.4.1 Party B agrees to take BIGO LIVE as the exclusive
Internet live broadcasting platform, and promises that:
During the cooperation term, Party B shall not broadcast live
shows in any internet platform to any third party without
Party A's consent, except for the well-known platforms of
Facebook / Google / Apple; Party B shall not introduce,
encourage, draw or recommend users or any other types of
contractual hosts of BIGO LIVE to other platforms for any
reason or in any way.
3.4.2 Party B hereby guarantees that he/she is not bound
by any agreement with any third party in conflict with this
Agreement at the time of execution of this Agreement.
3.4.3 During the cooperation term, Party B shall not dedi-
cate in any commercial activities of any competing platform
or propagandize in such platform's favor.
3.4.4 Party B shall energetically promote Party B's personal
live broadcasting room and BIGO LIVE with methods includ-
ing but not limited to Party B's Blog, Facebook, Google+,
Twitter, Line, Instagram, YouTube and LinkedIn.
3.4.5 Party B shall actively participate and cooperate in the
(online and offline) training and activities organized by Party
A. In case that Party B indeed cannot participate in the train-
ing or activity arranged by Party A due to an accidental
injury, serious disease, conflict with his/her schoolwork or
any other emergency (hereinafter referred to as the "emer-
gencies"), Party B shall give a prior notice to Party A, and
actively consult with Party A to find out a solution.
3.4.6 Party B understands that Party A is entitled to make
corresponding rules or management regulations (hereinaf-
ter referred to as “Party A’s rules”) for maintaining a legiti-
mate and healthy environment and order for live broadcast-
ing on the Internet. Party B promises to abide by Party A’s
rules, and for any breach thereof, Party B recognizes and
accepts the corresponding punishment imposed by Party A
in accordance with Party A’s rules.
3.4.7 Party B shall assure his/her own health and safety in
the live broadcasting process, and shall not engage in any
illegal or dangerous performance. In case of any casualties or
accidents, Party B shall shoulder the responsibility while
Party A shall assume no responsibility.

3.4 Hak dan Kewajiban Pihak B
3.4.1 Pihak B sepakat untuk menggunakan BIGO LIVE
sebagai platform siaran langsung Internet yang eksklusif,
dan berjanji bahwa: Selama jangka waktu kerjasama,
Pihak B tidak akan menyiarkan pertunjukan langsung
pada platform internet manapun kepada pihak ketiga
tanpa persetujuan dari Pihak A, kecuali untuk platform
yang sudah dikenal seperti Facebook / Google / Apple;
Pihak B tidak akan memperkenalkan, mendorong, men-
datangkan atau merekomendasikan kepada pengguna
atau jenis host kontrak lain dari BIGO LIVE ke platform
lain untuk alasan apapun atau dengan cara bagaimana-
pun.
3.4.2 Pihak B dengan ini menjamin bahwa pihaknya
tidak terikat oleh perjanjian apapun dengan pihak ketiga
yang bertentangan dengan Perjanjian ini pada saat
pelaksanaan Perjanjian ini.
3.4.3 Selama jangka waktu kerjasama, Pihak B tidak
akan mendedikasikan platform pesaing pada setiap
kegiatan komersial apapun atau mempropagandakan
demi keuntungan platform tersebut.
3.4.4 Pihak B secara energetic akan mempromosikan
ruang siaran langsung pribadi Pihak B dan BIGO LIVE
dengan metode termasuk namun tidak terbatas pada
Blog, Facebook, Google+, Twitter, Line, Instagram,
YouTube dan LinkedIn Pihak B.
3.4.5 Pihak B ikut serta secara aktif dan bekerjasama
dalam (online dan offline) pelatihan dan kegiatan yang
diselenggarakan oleh Pihak A. Dalam hal Pihak B
memang tidak dapat ikut serta dalam pelatihan atau
kegiatan yang diatur oleh Pihak A karena kecelakaan,
penyakit serius, konflik dengan pekerjaan sekolahnya
atau keadaan darurat lainnya (selanjutnya disebut "daru-
rat"), Pihak B akan memberikan pemberitahuan sebel-
umnya kepada Pihak A, dan secara aktif berkonsultasi
dengan Pihak A untuk mencari suatu solusi.
3.4.6 Pihak B memahami bahwa Pihak A berhak untuk
membuat aturan terkait atau peraturan pengelolaan
(selanjutnya disebut “aturan Pihak A”) untuk memper-
tahankan suatu lingkungan dan tata tertib siaran
langsung pada Internet secara sah dan sehat. Pihak B
berjanji untuk taat pada aturan Pihak A, dan untuk
setiap pelanggaran daripadanya, Pihak B mengetahui
dan menerima hukuman yang terkait yang diberikan
oleh Pihak A sesuai dengan aturan Pihak A.
3.4.7 Pihak B akan menjamin kesehatan dan kesela-
matan dirinya dalam proses siaran langsung, dan tidak
akan terlibat dalam pertunjukan yang tidak sah atau
berbahaya. Dalam hal terjadi korban atau kecelakaan,
Pihak B akan bertanggung jawab sementara Pihak A
tidak akan ikut bertanggung jawab.

3.4.8 Party B undertakes that: for Party A’s commercial activi-
ties other than live broadcasting (including but not limited
to E-business, network promotion, advertisement and
commercial endorsement), if Party A or its affiliates conduct
similar business or develop such functions, Party B shall
cooperate with Party A or its affiliates in an exclusive
manner, and the matters related to the cooperation are
subject to further consultation by both parties.
3.4.9 Party B shall maintain good interaction with BIGO LIVE
users, pay attention to and listen to reasonable proposals
from the users and adjust live videos accordingly to improve
the effect, take views and comments about the live videos
from users rationally, control extreme emotions of users and
avoid conflicts with users (including but not limited to
conflicts with users through verbal abuse, personal attack,
insults, slander and so on, other inappropriate behaviors
during live broadcasting considered by Party A).
3.4.10 Party B shall note that any comments or information
published or posted by it during live video shall not violate
the relevant laws, regulations and international treaties of
the countries where Party A and Party B belong to, and shall
not contain anything that is harmful to national security of
the countries, pornographic, false, defamatory (including
commercial defamation), or illegal intimidation or unlawful
harassment, infringement of intellectual property rights,
personal rights, image rights, trade secrets or other legiti-
mate rights and interests, or contents contrary to public
order and moral or links and two-dimensional code lead to
such contents, otherwise Party B shall take the legal respon-
sibilities and consequences caused thereby, and be respon-
sible for the defense of Party A and compensate Party A for
the loss caused thereby.
3.4.11 Party B shall keep its BIGO LIVE accounts and
passwords for login and live video in a proper manner and
not disclose them to any third party, and shall not transfer,
loan or hand over the accounts for the use of any third party.
BIGO LIVE shall be informed promptly in case of unautho-
rized use of the accounts. Any loss caused by improper keep-
ing of the accounts shall be borne by Party B.
3.4.12 Party B shall submit a capture of the end screen of
each broadcasting section. If there are any discrepancies
between the broadcasting summary and the report that is
provided by Party A, Party A will check and confirm.social
media platforms.

3.4.8 Pihak B berupaya bahwa: untuk kegiatan komersial
Pihak A selain daripada siaran langsung (termasuk namun
tidak terbatas pada E-business, promosi jaringan, iklan dan
dukungan komersial), apabila Pihak A atau afiliasinya men-
jalankan usaha serupa atau mengembangkan fungsi terse-
but, Pihak B akan bekerjasama dengan Pihak A atau
afiliasinya secara eksklusif, dan hal-hal yang terkait dengan
kerjasama akan dikonsultasikan lebih lanjut oleh kedua
belah Pihak.
3.4.9 Pihak B akan menjaga interaksi yang baik dengan para
pengguna BIGO LIVE, memperhatikan dan mendengarkan
usulan-usulan yang wajar dari para pengguna dan kemudi-
an menyesuaikan video langsung untuk meningkatkan efek,
mngambil pandangan dan komentar tentang video
langsung dari para pengguna secara rasional, mengenda-
likan emosi ekstrim dari para pengguna dan menghindari
pertentangan dengan para pengguna (termasuk namun
tidak terbatas pada pertentangan dengan para pengguna
melalui pelecehan verbal, serangan pribadi, enghinaan,
umpatan dan sebagainya, perilaku tidak sopan lainnya
selama siaran langsung yang dipertimbangkan oleh Pihak
A).
3.4.10 Pihak B mencatat bahwa setiap komentar atau infor-
masi yang dipublikasikan atau dikirimkan olehnya selama
video langsung tidak akan melanggar undang-undang,
peraturan terkait dan perjanjian internasional dari nega-
ra-negara dimana Pihak A dan Pihak B berada, dan tidak
akan berisikan sesuatu yang membahayakan keamanan
nasional dari negara-negara tersebut, pornografi, palsu,
fitnah (termasuk fitnah komersial), atau intimidasi tidak sah
atau gangguan tidak sah, pelanggaran hak kekayaan
intelektual, hak pribadi, hak citra, rahasia dagang atau hak
dan kepentingan sah lainnya, atau konten yang bertentan-
gan dengan tata tertib umum dan moral atau tautan dan
kode sua dimensi yang mengarah pada konten tersebut,
sebaliknya Pihak B bertanggung jawab secara hukum dan
konsekuensi yang diakibatkannya, dan bertanggung jawab
untuk membela Pihak A dan mengganti rugi Pihak A atas
kerugian yang disebabkanya.
3.4.11 Pihak B akan menjaga akun dan kata kunci BIGO LIVE
untuk login dan video langsung dengan cara yang benar dan
tidak mengungkapkan mereka kepada pihak ketiga mana-
pun, dan tidak akan mengalihkan, meminjamkan atau
menyerahkan akun untuk digunakan oleh pihak ketiga.
BIGO LIVE akan diberitahukan segera apabila terjadi peng-
gunaan akun secara tidak sah. Setiap kerugian yang
disebabkan oleh penyimpanan akun yang tidak benar
ditanggung oleh Pihak B.
3.4.12 Pihak B menyempaikan tangkapan layar terakhir dari
setiap bagian siaran. Apabila terdapat ketidaksesuaian
antara ringkasan siaran dan laporan yang diberikan oleh
Pihak A, Pihak A akan memeriksa dan mengkonfirmasi.

3.4.13 Where Party B violates Class A regulations, Party B
shall be considered breach of contract, and shall not receive
remuneration in full of that month and Party A shall have
the right to disengage Party B immediately; Where Party B
violates Class B regulations (“on-hook” and be absent from
the broadcasting over 5 minutes will be defined as Class B
violations), Party B shall be warned and if such violations
occurred up to 3 times or above in a month, Party B shall be
disengaged immediately and the remuneration shall be
calculated by that day.
3.4.14 Party B is required to share broadcasting to other
social media platforms.
3.4.15 Party B has the right to withdraw their beans within
the validity of the Agreement on the basis of calendar
month.
4 Remuneration
4.1 Party B reads and accepts the host ranking system
and management rules of Party A and irrevocably agrees
that Party A may reserve its sole and absolute discretion to
amend the system and rules now and then. The ranking
system and remuneration calculation are stated in Annex
right after this Agreement, which is an inevitable part of this
Agreement.
4.2 Both Parties shall settle the remuneration on the
basis of calendar month which is subject to the time zone of
Party A. Every month’s settlement cycle shall be from 0:00 of
the first day to 23:59 of the last day, and the first settlement
cycle shall start from the date of signing to 23:59 of the last
day of that month. Should Party A settle the remuneration of
the previous settlement cycle on the 5th working day of the
following month, Party A shall pay the remuneration of the
previous settlement cycle to Party B’s account within the
following 10th working days, subject to reasonable adjust-
ment of payment time of Party A. The date of payment shall
be postponed in case of any statutory holidays of the Repub-
lic of Singapore. Settlement currency: USD .
4.3 Both Parties agree that the remuneration referred to in
this Agreement are tax-included, and Party B shall pay all
government taxes and fees relating this Agreement in
Indonesia . Pihak B akan membayar semua pajak pemerintah dan
4.4 Both Parties may enter into a supplementary agreement
in terms of remuneration, and if there is any conflict
between the supplementary agreement and this Agree-
ment, the supplementary agreement shall prevail.

3.4.13 Bilamana Pihak B melanggar peraturan Kelas A,
Pihak B dianggap melanggar perjanjian, dan tidak akan
menerima remunerasi secara penuh pada bulan tersebut
dan Pihak A memiliki hak untuk melepaskan Pihak B
dengan segera; Bilamana Pihak B melanggar peraturan
Kelas B (“on-hook” dan absen dari siaran lebih dari 5 menit
ditetapkan sebagai pelanggaran Kelas B), Pihak B akan dipe-
ringatkan dan apabila pelanggaran tersebut terjadi hingga 3
kali atau lebih dalam sebulan, Pihak B akan segera dilepas
dan remunerasinya dihitung pada hari itu.
3.4.14 Pihak B diminta untuk berbagi siaran kepada
platform media sosial lainnya.
3.4.15 Pihak B berhak untuk menarik bean mereka dalam
masa berlakunya Perjanjian atas dasar bulan kalender.
4 Remunerasi
4.1 Pihak B membaca dan menerima sistem peringkat host
dan aturan pengelolaan dari Pihak A dan tanpa dapat dicab-
ut sepakat bahwa Pihak A memiliki kebijaksanaan sendiri
dan absolut untuk mengubah sistem dan aturan saat ini dan
kemudian. Sistem peringkat dan perhitungan remunerasi
dicantumkan pada Lampiran yang melekat pada Perjanjian
ini, yang merupakan bagian yang tidak terpisahkan dari
Perjanjian ini.
4.2 Kedua belah Pihak menentukan remunerasi atas dasar
bulan kalender yang tunduk terhadap zona waktu Pihak A.
Siklus pembayaran setiap bulannya adalah dari pukul 0:00
pada hari pertama hingga pukul 23:59 pada hari terakhir,
dan siklus pembayaran pertama dimulai dari tanggal
penandatanganan hingga pukul 23:59 di hari terakhir bulan
tersebut. Apabila Pihak A menentukan remunerasi dari
siklus pembayaran sebelumnya pada hari kerja ke-5 pada
bulan berikutnya, Pihak A membayarkan remunerasi pada
siklus pembayaran sebelumnya ke rekening Pihak B dalam
10 hari kerja berikutnya, tunduk terhadap penyelesaian
waktu pembayaran yang wajar dari Pihak A. Tanggal pemba-
yaran ditunda dalam hal libur wajib di negara Republik
Singapura. Mata uang pelunasan: USD.
4.3 Kedua belah Pihak sepakat bahwa remunerasi yang
disebut dalam Perjanjian ini sudah termasuk pajak, dan
biaya-biaya terkait Perjanjian ini di Indonesia.
4.4 Kedua belah Pihak dapat mengadakan perjanjian
tambahan dalam hal remunerasi, dan apabila terjadi konflik
antara perjanjian tambahan dan Perjanjian ini, perjanjian
tambahan yang berlaku.

4.5 Non Labor Relation
There is no labor relationship between Party B and Party A or
Party A’s affiliates. Party A or Party A’s affiliates will not pay
any employment welfare to Party B (including but not limit-
ed to, social security, welfare and health insurance).
5. Covenants on Rights and Interests such as Intel-
lectual Property
5.1 Party B undertakes that Party B owns relevant rights
and interests (including but not limited to copyrights, trade-
mark rights and other legitimate rights) over the works to be
uploaded to BIGO LIVE, or has acquired the legal authoriza-
tion in other ways, and has the right to delegate this authori-
ty without infringement of the rights and interests of any
third party.
5.3 Party B agrees to authorize Party A to use the relevant
works from live shows generated during the non-coopera-
tion period for free.
5.4 Party A has the right to use Party B's portrait and name
(real name, nickname, etc.) for propaganda, promotion and
other commercial purposes in its subordinate platforms and
partners’ platforms.
5.5 Without prejudice to any other rights and interests, both
Parties agree that the title and intellectual property rights,
the copyrights in particular of any works, including sound
track, video, picture or anything that is produced on BIGO
LIVE shall be exclusively, irrevocably and perpetually vested
in Party A.
6. Confidentiality
6.1 Party A and Party B agree that neither party may divulge
any contents of this Agreement and other relevant docu-
ments, except for the proper disclosure necessary for the
performance of the obligations under this Agreement.
6.2 Party A’s business activity plans, planning scheme, other
business information, technical information, financial infor-
mation and all information about Party A, BIGO LIVE and (or)
their affiliated companies revealed to Party A for the perfor-
mance of the Agreement shall be deemed as confidential
information. Party B shall not modify, copy, scatter, spread,
display, release, authorize, produce derivatives of, transfer or
sell the confidential information, or disclose the confidential
information by any means to the third party, or utilize it or
allow another person to utilize the confidential information
by any means without permission.

hak cipta, hak merek dagang dan hak lain yang sah) terha-
dap karya yang akan diunggah ke BIGO LIVE, atau telah
memperoleh kuasa yang sah dengan cara lain, dan memiliki
hak untuk mendelegasikan kuasa ini tanpa melanggar hak
dan kepentingan pihak ketiga.
5.2 Pihak B sepakat bahwa selama jangka waktu kerjasa-
ma, semua hak Pihak B (termasuk namun tidak terbatas
pada hak cipta, hak merek dagang dan hak turunan terkait)
terhadap karya yang terlibat dalam pertunjukan langsung
yang disiarkan oleh Pihak B pada BIGO LIVE dikuasakan
kepada Pihak A secara eksklusif (Pihak B berhak untuk
menggunakan hak atau mengalihkan hak tersebut kepada
pihak ketiga untuk penggunaan), dan hak Pihak B untuk
menjaga hak hukum juga dikuasakan kepada Pihak A.
5.3 Pihak B sepakat untuk memberi kuasa kepada Pihak
A untuk menggunakan karya terkait dari pertunjukan
langsung yang dihasilkan selama masa non-kerjasama
secara cuma-cuma.
5.4 Pihak A berhak untuk menggunakan gambar Pihak B
dan nama (nama asli, nama panggilan, dll.) untuk propagan-
da, promosi dan kepentingan komersial lainnya pada
platform bawahan dan platform mitra.
5.5 Dengan tidak mengurangi hak dan kepentingan lain,
kedua belah Pihak sepakat bahwa judul dan hak kekayaan
intelektual, hak cipta secara khusus atas pekerjaan, terma-
suk sound track, video, gambar atau apapun yang diproduk-
si pada BIGO LIVE secara eksklusif, tidak dapat dicabut dan
terus menerus melekat pada Pihak A.
6. Kerahasiaan
6.1 Pihak A dan Pihak B sepakat bahwa tidak ada satu
pihak pun yang dapat mengungkapkan setiap isi dari
Perjanjian ini dan dokumen terkait lainnya, kecuali untuk
pengungkapan yang tepat yang diperlukan untuk pelaksa-

9.5 If Party B disagrees with the new rules made by Party A

to cease the use of live video shows service. Continuing to
use the aforesaid service by Party B shall be considered as

9.6 Within 15 (fifteen) days before the expiry of the Agree-
ment, if Party B doesn’t send renewal notification to Party A,
the Agreement will be automatically renewed for 3 months

10 Application of Law and Disputes Resolution
10.1 The execution, performance and interpretation of this
Agreement and dispute resolution shall be governed by the
laws of Singapore, excluding conflict of laws.
10.2 Any dispute arising from or related to this Agreement
shall be settled by both parties through friendly negotiation;
in case that negotiation fails, such dispute shall be submit-
ted to Singapore International Arbitration in accordance
with its arbitration rules in force at the time of applying for
arbitration.
11 Miscellaneous
11.1 Once Party B signs up for an account in BIGO LIVE,
Party B shall be deemed to accept and recognize the user
agreement and private policy of BIGO LIVE, and agree to be
bound thereby.
11.2 The notices under this Agreement shall be served via
e-mail or in-person. The mailbox appointed by Party B is
[__________________]., and Party A [__________________].
Any notice shall be deemed as being served at the time
when the e-mail is sent out successfully. The date when the
e-mail arrives at the appointed mailbox is the date of
service. In case of any changes in the mailbox of either party,
a notice shall be given to the other party three days in
advance.
11.3 Party B agrees to confirm on BIGO LIVE website and
by other means (including but not limited to signing or
sealing) to sign the Agreement, and will not take it as an
excuse to refuse performing any obligations hereof.
11.4 For matters uncovered by the Agreement, both
parties shall sign a supplementary agreement through
further consultation. In case of any inconsistency between
the supplementary agreement and the Agreement, the
supplementary agreement shall prevail.

gap sebagai Pihak B sepakat dan menerima aturan-aturan

9.6 Dalam 15 (lima belas) hari sebelum berakhirnya
Perjanjian, apabila Pihak B tidak mengirimkan pemberita-
huan perpanjangan kepada Pihak A, Perjanjian akan secara
otomatis diperpanjang selama 3 bulan dengan ketentuan
yang sama.
10 Pemberlakuan Undang-undang dan Penyelesaian
Perselisihan
10.1 Eksekusi, pelaksanaan dan penafsiran Perjanjian ini
dan penyelesaian perselisihan diatur oleh hukum negara
Singapura, tidak termasuk konflik hukum.
10.2 Setiap perselisihan yang terjadi dari atau berkaitan
dengan Perjanjian ini diselesaikan oleh kedua belah Pihak
melalui negosiasi yang ramah; dalam hal negosiasi gagal,
perselisihan tersebut diajukan ke Arbitrase Internasional
Singapura sesuai dengan aturan arbitrase yang berlaku pada
saat memohon arbitrase.
11 Lain-lain
11.1 Sekali Pihak B mendaftar untuk satu akun pada BIGO
LIVE, Pihak B dianggap menerima dan mengetahui perjanji-

sepakat untuk mengikatkan diri.
11.2 Pemberitahuan berdasarkan Perjanjian ini dilakukan
melalui e-mail atau secara langsung. Kotak surat yang diten-

A [__________________].. Setiap pemberitahuan dianggap
telah dilakukan pada saat tersebut ketika e-mail sukses
dikirim. Tanggal saat e-mail tiba di kotak surat yang ditentu-
kan adalah tanggal layanan. Dalam hal terjadi perubahan
pada kotak surat dari salah satu pihak, pemberitahuan
disampaikan kepada pihak yang lain tiga hari sebelumnya.
11.3 Pihak B sepakat untuk mengkonfirmasi pada situs
web BIGO LIVE dan dengan cara lain (termasuk namun tidak
terbatas pada penandatanganan atau menyegel) untuk
menandatangani Perjanjian, dan tidak akan menganggap-
nya sebagai alasan untuk menolah melaksanakan setiap
kewajiban daripadanya.
11.4 Untuk hal-hal yang tidak tercakup oleh Perjanjian,
kedua belah Pihak akan menandatangani perjanjian tamba-
han setelah konsultasi lebih lanjut. Dalam hal terdapat
ketidakkonsistenan antara perjanjian tambahan dan Perjan-
jian, perjanjian tambahan yang berlaku.
