Confirmation Letter re: Incentive for Partner with ALDI Mode Cooperation
Surat Konfirmasi Perihal: Insentif untuk Partner dengan Kerja Sama Metode ALDI
Dear Sir/Madam,
We refer to the Dealership Cooperation
Agreement No. 5605/SLS-HCID/JMB/03-
2019 dated 1 MARET 2019 by and between PT
Home Credit Indonesia (“First Party”) and
RIMBO BUANA (“Second Party”), as may be
amended from time to time.
In order to boost the businesses of both Parties,
the First Party offers an incentive for the Second
Party for the every approved financing facility in
the Second Party’s Premises with ALDI Mode
with the following terms and conditions:
1. Form of Additional Cooperation
a. The First Party hereby agree, with its sole
discretion, to pay an incentive to the
Second Party for every approved financing
facility in the Second Party’s Premises with
ALDI Mode which is assisted by the
Second Party’s Representative who
complies with the applicable code of
conduct as required by the First Party
(“Incentive”).
b. Incentive provided by the First Party to the
Second Party is calculated according to the
internal calculation scheme of the First
Party by referring to each Multipurpose
Financing Agreement signed by Consumer
at the Second Party’s Premises as
recorded in the First Party’s bookkeeping.
The Second Party hereby acknowledges

(“Perjanjian”), oleh dan antara PT Home Credit
Indonesia (“Pihak Pertama”) dan RIMBO
BUANA (“Pihak Kedua”), sebagaimana dapat
diubah dari waktu ke waktu.
Untuk meningkatkan usaha kedua belah Pihak,
Pihak Pertama menawarkan suatu insentif
kepada Pihak Kedua atas setiap fasilitas
pembiayaan yang disetujui di Lokasi-Lokasi
Usaha Pihak Kedua dengan Metode ALDI
dengan syarat dan ketentuan berikut:
1. Bentuk Kerjasama Tambahan
a. Pihak Pertama dengan ini sepakat,
dengan kebijakannya sendiri, untuk
membayar suatu insentif kepada Pihak
Kedua atas setiap fasilitas pembiayaan
yang disetujui di Lokasi-Lokasi Usaha
Pihak Kedua dengan Metode ALDI yang
dibantu oleh Perwakilan Pihak Kedua
yang mematuhi kode etik yang berlaku
sebagaimana diwajibkan oleh Pihak
Pertama (”Insentif”).
b. Insentif yang diberikan oleh Pihak
Pertama kepada Pihak Kedua dihitung
berdasarkan skema perhitungan internal
Pihak Pertama dengan mengacu pada
setiap Perjanjian Pembiayaan Multiguna
yang ditandatangani oleh Konsumen di
Lokasi Usaha Pihak Kedua sebagaimana
dicatat dalam pembukuan Pihak Pertama.
Pihak Kedua dengan ini mengakui dan

evidence and reference of the payment of
Incentive to the Second Party.
c. The internal calculation scheme of the First
Party as described in point b. above and
the amount of Incentive will be notified to
the Second Party via electronic mail sent
by the First Party to the Person In Charge
of the Second Party. This notification will
be sent on monthly basis after the payment
of Incentive as described in point e. below.
d. In the event the First Party found any
Suspicious Activity conducted by the
Second Party and/or the Second Party’s
Representative, then the First Party shall
have the right to hold payment of Incentive
to the Second Party, such payment shall
be released to the Second Party only after
the First Party has completed the
necessary actions to overcome the
Suspicious Activity according to the
provisions under the Agreement.
e. The Incentive payment will be executed by
the First Party every month by bank
transfer to the Second Party and/or the
Second Party’s Representative’s
designated bank account as indicated in
data registration form as attached in the
Attachment 1.
f. If the bank account designated by the
Second Party is the bank account of the
Second Party’s Representative, then the
Second Party acknowledges and agrees
that the Incentive is received by the
Second Party’s Representative for and on
behalf of the Second Party.
g. The Second Party hereby represents and
warrants that the bank account details
mentioned in this Confirmation Letter is the
correct and registered account owned by
the Second Party and/or the Second
Party’s Representative. The First Party
does not have the obligation to check the
validity of the account number and hereby
not responsible to the Second Party and/or

menyetujui bahwa catatan dan/atau
pembukuan yang dikelola dan diurus oleh
Pihak Pertama merupakan bukti dan
acuan yang sah atas pembayaran Insentif
kepada Pihak Kedua.
c. Skema perhitungan internal Pihak
Pertama sebagaimana diatur dalam butir
b. di atas dan jumlah Insentif akan
diberitahukan kepada Pihak Kedua
melalui electronic mail yang dikirimkan
oleh Pihak Pertama kepada Penanggung
Jawab Pihak Kedua. Pemberitahuan ini
akan dikirimkan setiap bulan setelah
pembayaran Insentif sebagaimana diatur
dalam butir e. di bawah dilakukan.
d. Dalam hal Pihak Pertama menemukan
adanya Aktifitas Mencurigakan yang
dilakukan oleh Pihak Kedua dan/atau
Perwakilan Pihak Kedua, maka Pihak
Pertama berhak untuk menunda setiap
pembayaran Insentif kepada Pihak
Kedua, pembayaran atas Insentif tersebut
akan dibayarkan kepada Pihak Kedua
hanya setelah Pihak Pertama selesai
melakukan tindakan-tindakan yang
diperlukan untuk menanggulangi Aktifitas
Mencurigakan tersebut sesuai dengan
ketentuan-ketentuan yang tercantum
dalam Perjanjian.
e. Pembayaran Insentif akan dilakukan
Pihak Pertama setiap bulan dengan cara
transfer bank ke rekening bank Pihak
Kedua dan/atau Perwakilan Pihak Kedua
yang ditunjuk oleh Pihak Kedua yang
tercantum di dalam isian registrasi data
sebagaimana terlampir dalam Lampiran 1.
f. Apabila rekening bank yang ditunjuk oleh
Pihak Kedua adalah rekening bank milik
Perwakilan Pihak Kedua maka Pihak
Kedua mengakui dan setuju bahwa
Insentif diterima oleh Perwakilan Pihak
Kedua untuk dan atas nama Pihak Kedua.
g. Pihak Kedua menyatakan dan menjamin
bahwa rincian rekening bank yang
disebutkan dalam Surat Konfirmasi ini
merupakan nomor rekening yang benar
dan terdaftar sebagai milik Pihak Kedua
dan/atau Perwakilan Pihak Kedua. Pihak
Pertama tidak mempunyai kewajiban
untuk melakukan pengecekan atas
keabsahan nomor tersebut dan dengan ini

account details provided by the Second
Party in this Confirmation Letter.
2. Effective Date
The Parties agree that the ALDI Mode
arrangement with Incentive shall be
effective as of __________________ in the
Second Party’s Premises that have already
implemented the ALDI Mode arrangement.
3. Tax
The Incentive received by the Second
Party will be subject to tax in accordance
with the prevailing laws and regulations
and the said tax will be borne by the
Second Party. On this tax deduction, the
First Party will provide the Second Party
with the withholding tax slip.
4. Miscellaneous
a. Provisions regarding the Incentive for
ALDI Mode shall be valid as of the
signing date of this Confirmation
Letter by the Parties and shall
continue to be valid until it is
terminated by either Party with prior
written notice to the other Party.
b. Person signing this Confirmation
Letter on behalf of each Party
represents by his/her signature that
he/she is entitled and fully authorized
to sign this Confirmation Letter and to
carry out the obligations contained in
this Confirmation Letter, and the other
Party hereby accepts such
representation with good faith.
c. Unless modified in this Confirmation
Letter, the defined terms under this
Confirmation Letter will use the
definitions under the Agreement;

Kedua dan/atau Perwakilan Pihak Kedua
apabila terdapat kesalahan dalam
pengiriman Insentif dikarenakan
ketidaklengkapan dan/atau kesalahan
rincian rekening bank yang diberikan oleh
Pihak Kedua dalam Surat Konfirmasi ini.
2. Tanggal Efektif
Para Pihak sepakat bahwa pengaturan
Metode ALDI dengan Insentif berjalan
efektif sejak ___________________ pada
Lokasi-Lokasi Usaha Pihak Kedua yang
telah menjalankan pengaturan Metode
ALDI.
3. Pajak
Atas Insentif yang diterima oleh Pihak
Kedua akan dikenakan pajak sesuai
ketentuan peraturan perundang-undangan
yang berlaku dan pajak tersebut akan
ditanggung oleh Pihak Kedua. Atas
pemotongan pajak ini, Pihak Pertama
akan memberikan bukti pemotongan
pajak kepada Pihak Kedua.
4. Ketentuan Lain-lain
a. Ketentuan mengenai Insentif untuk
Metode ALDI ini berlaku sejak
tanggal ditandatanganinya Surat
Konfirmasi ini oleh Para Pihak dan
akan terus berlaku sampai dengan
diakhiri oleh salah satu Pihak
dengan terlebih dahulu memberikan
pemberitahuan tertulis kepada pihak
lainnya.
b. Orang yang menandatangani Surat
Konfirmasi ini atas nama masing-
masing Pihak menyatakan dengan
tanda tangannya bahwa ia berhak
dan berwenang penuh untuk
menandatangani Surat Konfirmasi ini
dan untuk melaksanakan kewajiban
yang terdapat dalam Surat
Konfirmasi ini, dan Pihak lainnya,
dengan ini, beritikad baik dengan
menerima pernyataan tersebut.
c. Kecuali diubah dalam Surat
Konfirmasi ini, istilah-istilah yang
didefinisikan di dalam Surat
Konfirmasi ini akan menggunakan
 definisi-definisi di dalam Perjanjian;

d. This Confirmation Letter shall d. Surat Konfirmasi ini merupakan satu

ditunjuk,
