This Agreement sets the terms and conditions
between Glints Indonesia and Wanda Kinasih
Saputra to work on Glints Indonesia’s program
namely: Glints ExpertClass x Narasi Webinar
”Forecasting Business Growth with Predictive
Modelling and Analytics” on Monday, 30 January
ExpertClass x Narasi Webinar ”Create an
Impactful Learning and Development
Program” Pada Senin, 30 Januari 2023 pukul
16:00 - 18:00 WIB (selanjutnya disebut
sebagai “Expert”).
Perjanjian ini mengatur kesepakatan, termasuk syarat
dan ketentuan antara Glints Indonesia dan Wanda
Kinasih untuk pelaksanaan kerjasama untuk program
Glints Indonesia yaitu:Glints ExpertClassx

“Glints ExpertClass Series”)
Expert and Glints Indonesia shall each hereinafter
be referred to as the "Party" and collectively be
referred to as the "Parties”.
A. BACKGROUND
As the #1 recruitment platform in Asia for young
talent to build a successful career with top
companies, Glints Indonesia wanted to create a
better ecosystem for them through Glints
ExpertClass program.
Glints ExpertClass program was created to
facilitate curious and eager young professionals to
amplify and leverage their skill set.
Glints ExpertClass (hereinafter referred to as
“GEC”) is a non-formal education platform that
facilitates young professionals to develop their
skill set to meet industry needs and realize their
potential. Experts are people like you who teach
practical knowledge and inspire learners to grow
meaningfully in their careers.
B. COOPERATION TERMS
The following are the terms and conditions for the
implementation of the Glints ExpertClass Series:
1. Glints Indonesia as the organizer of the
Glints ExpertClass Series is responsible for
compiling technical arrangements for the
execution of the Glints ExpertClass Series,
including creating, terms of reference,
providing basic presentation formats
(template decks), preparing overall technical
preparations operations related to Glints
ExpertClass Series, making promotional
materials, and provide assistance or support
to the Expert specifically for matters that

WIB (selanjutnya disebut sebagai “Kelas Glints
ExpertClass”).
Expert dan Glints Indonesia selanjutnya secara sendiri-
sendiri disebut sebagai “Pihak” dan secara bersama-
sama disebut sebagai “Para Pihak”.
A. LATAR BELAKANG
Sebagai platform rekrutmen #1 di Asia bagi talenta
muda untuk membangun karir yang sukses dengan
perusahaan-perusahaan ternama, Glints Indonesia ingin
menciptakan ekosistem yang lebih baik bagi mereka
melalui program Glints ExpertClass.
Program Glints ExpertClass ini dibuat untuk
memfasilitasi para profesional muda yang ingin tahu
dan bersemangat untuk memperkuat dan meningkatkan
keexpertan mereka.
Program Glints ExpertClass (selanjutnya disebut
sebagai “GEC”) adalah platform pendidikan non-
formal yang memfasilitasi para profesional muda untuk
mengembangkan keexpertan mereka untuk memenuhi
kebutuhan industri dan mewujudkan potensi mereka,
dan Expert adalah orang-orang seperti Anda yang
mengajarkan pengetahuan praktis dan menginspirasi
pelajar untuk tumbuh secara bermakna dalam karir
mereka.
B. PERSYARATAN KERJASAMA
Berikut adalah uraian ketentuan dan persyaratan dalam
rangka penyelenggaraan Kelas Glints ExpertClass:
1. Glints Indonesia selaku penyelenggara Kelas
Glints ExpertClass bertanggung jawab untuk
menyusun pengaturan teknis guna pelaksanaan
Kelas Glints ExpertClass, termasuk menyusun
kerangka acuan (terms of references),
menyediakan format dasar presentasi (template
deck), menyiapkan keseluruhan teknis persiapan
operasional acara Kelas Glints ExpertClass,
membuat materi promosi, dan memberikan
bantuan atau dukungan kepada Expert khusus
untuk

C. FEES & TAXATION C. BIAYA & PERPAJAKAN

1. As a token of appreciation, Glints Indonesia
will provide to the Expert:
a. a digital certificate; and
b. a fee that will be transferred to the bank
account as listed below, no later than 21
(twenty-one) working days after the
completion of the Glints Expertclass
Series.
2. The bank account as referred to in Section C
point 1 letter b is as follows:

Hundred Thousand Rupiah); and
b. module (presentation materials) creation

(hereinafter the total of speaking fee and
module creation fee shall be collectively
referred to as the“Fees”), and the amount of
the Fees has not been deducted by the cost
of PPh 21.
D. EXPERT TERMS & CONDITIONS
1. In the event that the Expert cancels their
appearance for any reason except for reasons
categorized as Force Majeure or illness that
has been proven, the Expert must inform
Glints Indonesia in writing no later than 7
(seven) calendar days prior to the Glints
ExpertClass Series.
2. In the event that the Expert fails to inform the
cancellation as referred to in Section D point 1
or fails to attend the Glints ExpertClass Series
for any reason except for reasons categorized
as Force Majeure or illness that has been
proven, Glints Indonesia has the right to
charge the Expert a fine of:

a. biaya pembicara sebesar Rp [800.000]
(Delapan Ratus Ribu Rupiah); dan
b. biaya penyusunan modul (materi presentasi)
sebesar Rp [1.200.000] (Satu Juta Dua Ratus
Ribu Rupiah)
(untuk selanjutnya total biaya pembicara dan biaya
penyusunan modul secara bersama-sama akan
disebut sebagai “Biaya”), dan besaran Biaya
tersebut belum dipotong biaya PPh 21.
D. SYARAT & KETENTUAN UNTUK EXPERT
1. Apabila Expert melakukan pembatalan
dikarenakan alasan apapun kecuali alasan yang
dikategorikan sebagai keadaan kahar atau kondisi
sakit yang telah dibuktikan, Expert wajib
menginformasikan secara tertulis kepada Glints
Indonesia selambat-lambatnya 7 (tujuh) hari
kalender sebelum pelaksanaan Kelas Glints
ExpertClass.
2. Dalam hal Expert gagal menginformasikan
pembatalan atau penjadwalan ulang sebagaimana
dimaksud dalam Bagian D angka 1 atau gagal
untuk hadir dalam Kelas Glints ExpertClass
dikarenakan alasan apapun kecuali alasan yang
dikategorikan sebagai Keadaan Kahar atau kondisi
sakit yang telah dibuktikan, Glints Indonesia
berhak untuk menagihkan denda kepada Expert
sebesar:

8. In the event that the Expert is offered to be a
speaker by a third party, the Expert is
prohibited from using the topics, titles, key
learning points prepared by Glints Indonesia
and/or using module/presentation materials
that have been previously used for the Glints
ExpertClass Series unless the Expert has
received written approval from Glints
Indonesia.
9. Expert understands that in the event that
Glints ExpertClass Series is held offline, the
potential for the Expert to contract the disease
(including the COVID-19 virus) may exist, and
the Expert agrees that by signing this
Agreement the Expert is aware and
individually responsible for their own health
including the risk involved by attending Glints
ExpertClass Series, therefore Expert agrees
to release Glints Indonesia from all forms of
responsibility and/or risk regarding such
matter regardless of the validity period of this
Agreement.
E. MATERIAL OWNERSHIP
1. Modul/presentation material that will be used
by the Expert in the Glints ExpertClass Series
must use the template deck that has been
provided by Glints Indonesia.
2. Experts are prohibited from using any logo or
trademark belonging to the company or other
third parties in the modules or presentations
that they create, unless the Expert has
obtained written permission from the right
holder of the logo or mark. In the event that
the Expert includes a logo or trademark
belonging to the company to another third
party in the module or presentation that they
have prepared without written permission of
the right holder of said logo or trademark, then
the risk of the usage will be the sole
responsibility of the Expert and the Expert
acknowledges and agrees to release Glints
Indonesia from any form of responsibility

7. Expert mengetahui bahwa dalam pelaksanaan
Kelas Glints ExpertClass, khususnya yang
diadakan secara luring, maka potensi Expert
terjangkit penyakit (termasuk virus COVID-19)
tetap ada, dan Expert sepakat bahwa dengan
menandatangani Perjanjian ini Expert mengetahui
dan bertanggung jawab atas kesehatannya
termasuk resiko kesehatan apabila Expert hadir
dalam Kelas Glints ExpertClass khususnya yang
diadakan secara luring tersebut, sehingga Expert
mengetahui dan sepakat untuk melepas Glints
Indonesia dari segala bentuk tanggung jawab
dan/atau resiko atas hal tersebut terlepas dari
jangka waktu berlakunya Perjanjian ini.
E. KEPEMILIKAN MATERI
1. Modul/materi presentasi yang akan digunakan oleh
Expert untuk menyampaikan materi untuk Kelas
Glints ExpertClass wajib menggunakan format
dasar presentasi (template deck) yang telah
disediakan oleh Glints Indonesia.
2. Expert dilarang untuk mencantumkan logo atau
merek dagang milik perusahaan atau milik pihak
ketiga lain dalam modul atau presentasi yang
disusunnya, kecuali jika Expert telah memperoleh
izin tertulis dari pemegang hak atas logo atau
merek dagang tersebut. Dalam hal Expert
mencantumkan logo atau merek dagang milik
suatu perusahaan atau milik pihak ketiga lain
dalam modul atau presentasi yang disusunnya
tanpa seizin pemegang hak atas logo atau merek
dagang tersebut maka penggunaan tersebut
sepenuhnya menjadi risiko dan tanggung jawab
Expert dan Expert mengetahui dan sepakat untuk
melepas Glints Indonesia dari segala bentuk
tanggung jawab dan/atau

and/or legal risk for such use regardless of the
validity period of this Agreement.
3. All materials and content prepared for Glints
ExpertClass Series will be recorded and used
by Glints Indonesia for security and/or
development purposes, Glints Indonesia also
agrees not to distribute presentation
materials/module delivered by Experts in the
Glints ExpertClass class commercially without
the permission of the Expert.
4. The Expert acknowledges and agrees that
Glints Indonesia has the right to distribute
physical and digital copies of the
presentation/module materials delivered by
the Expert in the Glints ExpertClass Series to
the client at no additional cost.
5. In the event that a Glints ExpertClass Series
participant quotes, copies and/or publishes
any statement or explanation from the Expert
during or after the Glints ExpertClass Series is
held, the Expert acknowledges and agrees
that such citation is beyond the control and
responsibility of Glints Indonesia.
F. DURATION
This Agreement is effective from the signing date
of this Agreement until 21 (twenty one) working
days after the Glints ExpertClass Series, unless
the Parties agree to make changes or waivers to
this Agreement in the form of a written agreement
signed by the Parties.
G. FORCE MAJEURE & ILLNESS
1. In no event shall either Glints Indonesia
and/or Expert be responsible for any failure
or delay in the performance of its obligations
in this Agreement if such failure or delay is
caused by a force majeure event, where
force majeure shall be defined as any event

Indonesia juga sepakat untuk tidak
mendistribusikan materi presentasi/modul yang
disampaikan oleh Expert dalam Kelas Glints
ExpertClass secara komersial tanpa izin dari
Expert.
4. Expert mengetahui dan sepakat bahwa Glints
Indonesia berhak untuk membagikan salinan fisik
maupun digital dari materi presentasi/modul yang
disampaikan oleh Expert dalam Kelas Glints
ExpertClass kepada klien tanpa biaya tambahan.
5. Dalam hal peserta Kelas Glints ExpertClass
mengutip, menyalin dan/atau
mempublikasikan pernyataan atau penjelasan dari
Expert saat atau setelah berlangsungnya Kelas
Glints ExpertClass, maka Expert mengetahui dan
sepakat bahwa pengutipan tersebut berada di luar
kuasa dan tanggung jawab Glints Indonesia.
F. JANGKA WAKTU
Perjanjian ini berlaku efektif sejak tanggal
ditandatanganinya Perjanjian ini hingga 21 (dua puluh
satu) hari kerja sejak Kelas Glints ExpertClass
diadakan, kecuali jika Para Pihak sepakat untuk
melakukan perubahan atau pengesampingan atas
Perjanjian ini dalam bentuk kesepakatan tertulis yang
ditandatangani oleh Para Pihak.
G. KEADAAN KAHAR & KONDISI SAKIT
1. Glints Indonesia dan/atau Expert tidak
bertanggung jawab atas keterlambatan atau
kegagalan pemenuhan kewajibannya berdasarkan
Perjanjian ini, jika keterlambatan atau kegagalan
tersebut disebabkan karena suatu keadaan kahar,

without the fault or negligence of a Party
which occurs beyond the reasonable control
of such Party, where such Party could not
have reasonably prevented or overcome it,
including but not limited to natural disasters,
war (whether declared or not), invasion,
armed conflicts, riots, demonstrations,
revolution or coup d'etat, acts of terror,
sabotage or damage caused by criminal act,
nuclear explosions, radioactive or chemical
contamination or radiation ionization, wave
pressure caused by aircraft or other levitating
objects with sonic speed or above, power
failure, system failure, or failure of any third
party’s network, or any change of
government regulations or policy which may
materially affect the capacity of a Party or the
Parties to perform its obligations under this
Agreement (“Force Majeure”).
2. Expert may not be held responsible for the
delay or failure to fulfill their obligations under
this Agreement in the event that the delay or
failure is caused by an illness, where illness
shall be interpreted as a condition where the
Expert suffers from one or more diseases
where the illness prevents the Expert to fulfill
their obligations under this Agreement,
provided that the Expert is required to
provide written evidence such as: a sick
certificate from a licensed doctor or a copy of
the results of the PCR/Antigen test for
COVID-19.
H. DISPUTE RESOLUTION
1. Any and all disputes, disagreements,
conflicts and conflicts (including any non-
contractual obligations arising out of or
relating to this Agreement and any issues
relating to the existence, validity or
cancellation of this Agreement) between the
Parties arising out of or in connection with

secara wajar tidak mampu untuk mencegah atau
mengatasinya, termasuk namun tidak terbatas pada
bencana alam, perang (baik dideklarasikan
maupun tidak), invasi, konflik bersenjata,
kerusuhan, demonstrasi, revolusi atau kudeta,
tindak terorisme, sabotase atau kerusakan akibat
kriminalitas, ledakan nuklir, radioaktif atau
kontaminasi kimia atau ionisasi radiasi, tekanan
gelombang akibat pesawat terbang atau benda
melayang lainnya yang berkecepatan suara atau
diatas kecepatan suara, gangguan listrik, gangguan
sistem atau jaringan pihak ketiga lainnya atau
perubahan peraturan perundang-undangan atau
kebijakan pemerintah yang dapat mempengaruhi
secara material kemampuan salah satu Pihak
ataupun Para Pihak untuk memenuhi kewajibannya
berdasarkan Perjanjian ini (“Keadaan Kahar”).
2. Expert dapat untuk tidak bertanggung jawab atas
keterlambatan atau kegagalan pemenuhan
kewajibannya berdasarkan Perjanjian ini jika
keterlambatan atau kegagalan tersebut disebabkan

dimana kondisi sakit tersebut menghalangi Expert
untuk memenuhi kewajibannya berdasarkan
Perjanjian ini, dengan syarat Expert wajib
memberikan bukti tertulis seperti: surat keterangan
sakit dari dokter berlisensi atau salinan hasil tes
PCR/tes Antigen COVID-19.
H. PENYELESAIAN SENGKETA
