Perjanjian Jual Beli Emas Batangan (AU) ini dibuat, disepakati serta ditandatangani pada hari ini 01
Juni 2019, oleh dan antara;

This Gold Bar (AU) Sale and Purchase Agreement was made, agreed and signed today, Juni

ketentuan-ketentuan dan syarat-syarat sebagai berikut;

The parties jointly agree and agree to enter into this agreement with the following terms and
conditions;

PASAL 1
KETENTUAN UMUM / GENERAL REQUIREMENT

1. Para pihak sepakat untuk melaksanakan transaksi Jual Beli Emas Batangan (AU).

The parties agree to carry out the Gold Bar sale (AU) transaction.

2. Para pihak sepakat transaksi pembelian gold bar (AU) ini pihak kedua atau calon pembelinya
akan melakukan pembayaran [Cash Dolar USD] atau membuat [LC MT 103 dan LC MT 760]
untuk pihak pertama sebagai jaminan pembayaran atau setoran untuk transaksi ini.

The parties agree on the purchase transaction of gold bar (AU).the second party or
prospective buyer will make cash via transfer payments for first party as a guarantee off
payment or deposit for this transaction.

3. Para pihak telah sepakat untuk melaksanakan transaksi jual beli emas batangan (AU) ini,
dengan sungguh-sungguh, berkomitmen serta dapat dipertanggung jawabkan secara
musyawarah dan mufakat maupun hukum yang berlaku di Negara Kesatuan Republik
Indonesia.

The parties have agreed to carry out this gold bar ( AU) sale and purchase transaction,
seriously, committed and can be accounted for by deliberation and consensus and the law
applicable in the Unitary State of the Republic of Indonesia.

PASAL 3
PEMBAYARAN, HARGA DAN DISKON / PAYMENT, PRICE AND DISCOUNT

1. Para pihak sepakat bahwa harga emas batangan (AU) RTI discount 7% per 1 Kg Kadar
99.95% pembeli 4 % mediator pembeli 1% mediator tengah 1% dan mediator pemilik
1%.

The parties agree that the price of gold bars (AU) RTI Discount 7% per 1 KG level 99.95
buyer 4% mediator buyer 1% mediator middle 1% and mediator seller 1%.

2. Jenis transaksi penjualan menggunakan sistem Cash dan LC yang diwakili oleh pihak
buyer.

The type of sales transaction uses a Cahs and LC system that is represented by the
buyer.

PASAL 4
PENGUJIAN / TESTING

1. Pengetesan yang dimaksud adalah kegiatan pengujian kadar Emas Batangan (AU) .
Pengetesan / pengujian emas di setujui oleh para pihak pengujian kadar emas dari pihak
kedua sesuai standard internasional. Pihak kedua diperkenankan untuk membawa

 assayer atau ahli penilai /penaksir untuk memverifikasi Emas Batangan (AU) yang di
transaksikan.

The assay referred to is the activity of testing the levels of Gold Bars (AU).Gold
testing/testing is approved by the parties the gold content of the second party according
to international standards .The second party is allowed to bring the assayer or expert
appraiser /estimator to verify the Gold Bar (AU) transacted.

2. Pihak pertama akan menyerahkan emas batangan kepihak kedua dan melakukan
pengetesan kadar emas. Jika emas sesuai dengan kebutuhan pihak kedua , maka pihak
kedua melanjutkan proses pembayaran.

The first party will submit the gold bars to the second party and conduct the gold test ,if
Gold matches the needs of the second party. The second party continues the payment
process.

3. Pihak pertama sangat menyarankan agar alat tes yang akan digunakan memiliki fungsi X-
RAY, dikarenakan alat tersebut mampu melihat isi logam lain dan kepadatan yang berada
didalamnya, sehingga dalam melakukan pengetesan tersebut tidak merusak tampilan
fisik dan mengurangi berat bersih dari emas batangan (AU) tersebut.

The first party strongly recommends that the test tool used has an X-RAY function,
because the tool is able to see the contents of other metals and the densities inside them,
so that the assay does not damage the physical appearance and reduce the net weight of
Gold Bar (AU) that.

4. Segala bentuk kerusakan emas batangan (AU) dari proses verifikasi merupakan tanggung
jawab dari pihak kedua, pihak kedua tidak akan melakukan tindakan yang menghambat
terlaksananya proses serah terima jika emas batangan (AU) dinyatakan sesuai dengan
kondisi sebagaimana dimaksud dalam pasal 2 diatas.

All forms of damage to the Gold Bars (AU) from the verification prosess are the
responsibility of the second party. The second party will not take action the hinder the
implementation of the handover proses if the Gold Bar (AU) is stated in accordance with
the conditions referred to in article 2 above.

5. Jika emas batangan (AU) terbukti tidak sesuai berat, kadar maupun kualitas,sebagaimana
dimaksud dalam pasal 2 di atas ,maka pihak pertama akan mengganti dengan emas
batangan (AU) yang sesuai dengan dimaksud dalam pasal 2 di atas.

If the Gold Bar (AU) is proven to not match the weight, grade or quality , as referred to in
article 2 above, then the first party will replace it shit the appropriate Gold Bar (AU) as
referred to in article 2 above.

 PASAL 6
HAK DAN KEWAJIBAN PARA PIHAK / RIGHTS AND OBLIGATIONS OF PARTIES

1. Pihak pertama bertanggung jawab penuh dalam menyediakan, membawa dan

menyerahkan Emas Batangan (AU) kepada pihak kedua yang dinominasikan pihak kedua
pada hari dan tanggal yang telah disepakati.

The first party is fully responsible for providing, carrying and delivering Gold Bars (AU) to
the second party nominated by the second party on the agreed day and date.

2. Pihak kedua berkewajiban untuk melakukan pembayaran secara Cash dan LC ke

rekening pihak pertama.

The second party is obliged to make a cash and lc payment to the first party account.

PASAL 7
PENGHENTIAN PERJANJIAN / TERMINATION OF THE AGREEMENT

1. Bahwa salah satu pihak akan dapat menghentikan perjanjian ini dengan pemberitahuan
secara tertulis kepada pihak lain, dengan alasan sebagai berikut:

That one party will be able to terminate this agreement with written notification to the
other party, for the following reasons :

a. Salah satu pihak di likuidasi, bangkrut dan/ valid (Bukti Dari Pengadilan)

One of the parties is liquidated, bankrupt and /or bankrupt (proof of court)

b. Salah satu pihak melanggar sebagian maupun keseluruhan dari ketentuan-

ketentuan di dalam perjanjian ini.

One of the parties violates part or all of the provisions of this agreement

Bahwa para pihak sepakat untuk mengesampingkan pasal 1266 dan 1267 Kitab Undang-
Undang Hukum perdata (KUHP Perdata) Indonesia dalam melakukan penghentian kerja
sama ini.

That the parties agreed to override article 1266 and 1267 of the Indonesian Civil code in
conducting the termination of this cooperation.

 PASAL 8
KERAHASIAN / CONFIDENTIALITY

Para pihak sepakat bahwa semua ketentuan yang tercantum di dalam perjanjian ini bersifat
rahasia yang wajib dihormati oleh para pihak. Para pihak berjanji tidak akan memperluaskan
atau membuka informasi tentang transaksi ini kepada pihak manapun, baik selama masa
proses.

The parties agree that all the provisions contained in this agreement are confidential which
must be respected by the parties. The parties promise to disseminate or disclose information
about this transaction to any party, both during the processing period until the transaction
takes place until it is declared complete.

PASAL 9
PERUBAHAN PERJANJIAN / CHANGE OF AGREEMENT

Para pihak sepakat, bahwa perjanjian ini telah dipahami dengan sebaik-baiknya oleh para pihak
dan apabila pihak kedua berkeinginan untuk melakukan perubahan terhadap sebagian
ketentuan yang ada didalam perjanjian ini, maka pihak kedua wajib mengajukan permohonan
perubahan ketentuan perjanjian secara tertulis dan resmi mendapat persetujuan dari pihak
pertama.

PASAL 10
JANGKA WAKTU PERJANJIAN / DURATION OF THE AGREEMENT

Tidak ada satupun pihak dalam perjanjian kerja sama ini dapat dimintai pertanggung
jawabannya dalam memenuhi kewajiban berdasarkan perjanjian ini diakibatkan sesuatu hal
diluar kemampuan atau kekuasaannya ( force majeure / keadaan kahar ), yang dimaksud
dengan keadaan kahar adalah peristiwa keadaan memaksa yang tidak disangka-sangka tanpa
disengaja dan tidak dapat dihindari, seperti kebakaran, bencana alam, pemogokan umum,
huru-hara ,peperangan dan perubahan terhadap peraturan perundangan yang secara langsung
mengakibatkan perubahan terhadap transaksi jual beli emas batangan dan atau perjanjian kerja
sama ini.

None of the parties in the cooperation agreement can be held accountable in fulfilling abligation
under this agreement due to something beyond their capacity or power (force majeure/force
condition).what is meant by the force of force is the event of unintentional and unavoidable
coercive circumstances ,such as fire, natural disasters, general strikes, riots, wars and changes
to laws and regulation which directly cause changes to gold buying and selling transaction the
bar and or cooperation agreement.

 PASAL 11
FORCE MAJEURE

Tidak ada satupun pihak dalam perjanjian kerja sama ini dapat dimintai pertangggung
jawabannya dalam memenuhi kewajiban berdasarkan perjanjian ini diakibatkan sesuatu hal
diluar kemampuan atau kekuasaannya (force majeure /keadaan kahar), yang dimaksud dengan
keadaan kahar adalah peristiwa keadaan memaksa yang tidak disangka-sangka tanpa disengaja
dan tidak dapat dihindari, seperti kebakaran, bencana alam, pemogokan umum, huru-hara
peperangan dan perubahan terhadap peraturan perundangan yang secara langsung diakibatkan
perubahan terhadap transaksi jual beli mas batangan dan atau perjanjian kerja sama ini.

None of the parties in the cooperation agreement can be held accountable fulfilling obligation
under this agreement due to something beyond their capacity or power (force majeure / force
condition).what is meant by the force of force is the event of unintentional and unavoidable

PASAL 12
PENYELESAIAN PERSELISIHAN / DISPUTE SETTLEMENT

Perbedaan pendapat dan perselisihan yang mungkin timbul dari perjanjian kerjasama ini akan
diselesaikan dengan cara musyawarah secara kekeluargaan untuk mencapai mufakat bersama.
Bilamana musyawarah secara kekeluargaan tersebut tidak tercapai mufakat, maka para pihak
sepakat untuk menyelesaikan permasalahan tersebut dibadan Arbitrase Nasional atau secara
hukum melalui Pengadilan Negeri. Para pihak dengan ini sepakat untuk memilih domisili hukum
di kantor Kepaniteraan Pengadilan Negeri tingkat 1 Jakarta Pusat.

Differences of opinion and disputes that may arise from this cooperation agreement will be
resolved by means of family consultation to reach mutual agreement , if the consensus is not
reached by consensus, the parties agree to resolve the issue in the National Arbitration body or
legally through the district court. The parties hereby agree to choose the legal domicile at the
Registrar’s Office of the Central Jakarta Level 1 District Court.

PASAL 13
HUKUM

Bahwa segala ketentuan didalam perjanjian ini diatur dalam segala hal oleh dan ditafsirkan
sesuai dengan hukum Negara Republik Indonesia.

That all provisions in this agreement are regulated in all respects and interpreted in accordance
with the laws of the republic of Indonesia

 PASAL 14
PERUBAHAN / ADDENDUM

Hal-hal yang belum atau tidak diatur di dalam perjanjian ini akan di atur dikemudian hari dan
dibuat secara terpisah sebagai bagian dari perjanjian ini.

Matters that have not or are not regulated in this the agreement well be regulated in the future
and made separately as part of this agreement.

PASAL 15
PENGAMBILAN BARANG / TAKING GOODS

Pengambilan barang melalui Jet pribadi di Negara afrika dan disekitarnya ,membayar tagihan
10% dari barang yang dibeli,setelah di bayar emas akan terbang ke Negara yang
dituju,memerlukan waktu 3 hari buat sampai ketujuan,pembeli dan penjual akan berada di satu
pesawat dengan emas tersebut.

Picking up items via private jet in the African country and on the other side, paying 10% of the
goods purchased, after being paid gold will fly to the destination country, it takes 3 days to
arrive, the buyer and seller will be on one the gold.

PASAL 16
PENUTUP / LAST

Demikian perjanjian kerja sama ini dibuat dalam rangkap 2 ( dua), disepakati dan ditanda
tangani oleh para pihak dalam keadaan sadar, sehat jasmani dan rohani, tanpa ada pengaruh,
tekanan dan paksaan dari pihak manapun, dan berlaku sejak ditandatangani.

Thus this cooperation agreement is made in duplicate 2 ( TWO) ,agreed upon and signed bye the
parties in a conscious state, physically and mentally healthy , without any influence, pressure
and coercion from any party, sufficiently stamped, and valid since it was signed.

Sebagai bukti para pihak dengan ini selanjutnya membubuhkan tanda tangan pada hari, tanggal
serta tahun yang sudah dinyatakan di atas.
