ini akan disebut sebagai “Pemberi
Lisensi”); dan

akan/telah bersamaan dengan
penandatanganan Perjanjian ini,
menandatangani Perjanjian Layanan
Manajemen, dimana berdasarkan
Perjanjian tersebut Tim Manajemen
telah setuju untuk menyediakan
layanan manajemen dengan tujuan
Restoran yang terletak di lokasi yang
disebutkan diatas, dapat beroperasi
secara profesional sesuai dengan
keberadaannya sebagai Pemegang
Lisensi Restoran Poke Sushi
2 Bahwa, berdasarkan permohonan
Penerima Lisensi, dengan tujuan
agara Restoran dapat beroperasi
sebagai Restoran Poke Sushi,
Pemberi Lisensi setuju memberikan
hak secara terbatas kepada Penerima
Lisensi untuk menggunakan nama
Poke Sushi beserta setiap hak atas
kekayaan intelektual lainnya yang
terkait dengan penggunaan tersebut,
berdasarkan kondisi dan persyaratan
yang ditentukan dalam Perjanjian ini

Restaurant to be operated as a Poke
Sushi Restaurant, the Licensor has
agreed to grant to the Licensee a limited
right to use the name Poke Sushi and
certain other intellectual property rights
related to such use, all upon the terms
and subject to the conditions as are
hereinafter set forth;
NOW, THEREFORE, in consideration
of the premises and of the agreements
and covenants hereinafter set forth, the
parties hereto hereby agree as follow:

PASAL 1
DEFINISI DAN INTERPRETASI
1.1 Perjanjian Layanan Manajemen
(PLM)
Kecuali ditentukan secara khusus
dalam Perjanjian ini, istilah dan
pengertian dalam Perjanjian ini akan
memilki pengertian yang sama
sebagaimana didefinisikan dalam
PLM, salinan dari PLM akan
dilampirkan dalam Perjanjian ini

istilah sama lainnya dapat
dipergunakan sebagai Pedoman.
1.2 Hak Lisensi
“Hak” yang disebutkan dalam
Perjanjian ini adalah hak untuk
menggunankan nama “Poke Sushi”,
dan setiap serta segala bentuk merek,
logo-logo, bentuk logo, desain dan
hak atas kekayaan intelektual lainnya
yang terkait dengan dan saat ini
dipergunakan sebagai identitas
Restoran Poke Sushi, yang
merupakan hak milik dari Pemberi
Lisensi.
1.3 Hak atas Kekayaan Inteletual

adalah Merek Dagang, Logo, simbol,
tanda, gambar, dan karakter khusus
yang menggunakan nama Poke
Sushi, termasuk menu, sistem, tata
cara, Prosedur Operasi Standar
sebagaimana ditentukan dalam
Lampiran 1 Perjanjian ini, resep
sebagai Rahasia Dagang, Hak Cipta,
Paten yang saat ini dimiliki atau akan
dimiliki Pemberi Lisensi dan segala
sesuatu yang terkait lainnya dengan
”Hak Kekayaan Intelektual
(sebagaimana ditetapkan dalam

ARTICLE 1
DEFINITIONS AND
INTERPRETATION
1.1 Reference to Management Service
Agreement (PLM/MSA)
Except as may be otherwise specifically
provided herein, the terms and
expressions used in this Agreement shall
have the same meanings as are defined
in the MSA, a copy of which MSA shall
be attached to this Agreement so that
such definitions, and any other mutually
relevant terms, may be incorporated
herein by reference.
1.2 Licensed Rights
“Rights” as used herein shall mean and
refer to the rights to use the name:
“Poke Sushi”, and any and all marks,
logos, logo type, designs and other
intellectual property rights relating to
and currently in use as identifying Poke
Sushi Restaurants which are the
property of, or are licensed to, the
Licensor.
1.3 The Licensor Intellectual Property
Rights, shall mean the Trademark, logo,
markings, insignia and the specific
characters of the name Poke Sushi,
including the menu, system, method,
Standard Operating Procedure as being
determine in Exhibit 1 of this
Agreement, recipe (the Trade Secrets),
Copy Rights, Patent including other
related Intellectual Property Rights
which currently or shall be owned by the
Licensor, (as being stated in Exhibit ___
of this Agreement)

1.4 “Standar Mutu” adalah standar yang

penghasilan kotor yang diperoleh
dari kegiatan operasi Restoran yang
terdiri dari penjualan dan kegiatan
lain setiap bulannya selama Periode
Perjanjian Lisensi, sebagaimana
tercantum dalam Pernyataan Hasil
Penjualan Bulanan, termasuk namun
tidak terbatas pada pemasukan uang
yang diterima saat itu atau piutang
yang ditagih maupun tidak ditagih.
Sebagai bentuk penegasan, Hasil
Penjualan Bulanan termasuk
(bilamana ada) pembayaran atas
klaim asuransi atas kehilangan
keuntungan, dan hal-hal yang
disebutkan dibawah ini yang tidak
akan diperhitungkan sebagai faktor
pengurang jumlah total hasil usaha:
a. Diskon atau biaya yang
dikenakan dari kartu kredit yang
harus ditanggung oleh Penerima
Lisensi
b. Kecuali ditentukan atau
berdasarkan izin tertulis dari
Pemberi Lisensi, biaya yang
dikeluarkan untuk promosi
khusus yang dilakukan oleh
Penerima Lisensi seperti
penawaran gratis atau diskon;
dan
c. Penukaran yang dilakukan oleh
pelanggan;

1.4 “Standard of Quality” means standard
determined by the Licensor to maintain
its products and services based on the
standards specified in Standard
Operating Procedure.
1.5 “Gross Revenue” means pre-tax revenue
on gross sales of the restaurant in every
preceding month.
1.6 “Monthly Sales Turnover” means the
gross takings of the Restaurant operation
as stated in the Certified Statement of
Sales Turnover with respect to the
Products sold and business dealings
entered into in each month of the license
Agreement Period, which shall be the
gross sums receivable or received at the
time of such sale or business dealings in
such months and including but not
limited to the cash received or
receivables and whether or not invoiced.
For avoidance of doubt, Monthly Sales
Turnover shall include the payment (if
any) received under any insurance claim
covering lost of profits, but the
following shall not be deducted so as to
reduce the gross sums received:
a. Credit card discounts or charges
suffered by the Licensee
b. Costs of any free offers or
discounts made or given by the
Licensee as part of any special
promotion unless required or
authorized by the Licensor; and
c. Customers refunds;

PASAL 2 ARTICLE 2
PEMBERIAN LISENSI GRANT OF LICENSE

2.1 Lisensi 2.1 License

Lisensi yang diberikan dalam
perjanjian ini adalah terbatas pada
penggunaan Hak Atas kekayaan
Intelektual milik Pemberi Lisensi
pada:
a. Lokasi
Lisensi yang diberikan dalam
Perjanian ini hanya akan berlaku
untuk Restoran yang berlokasi di
Bangunan yang saat ini dikenal/
diketahui umum dengan nama PIM
II Restaurant, Jalan __________,
Jakarta Lantai___________

b. Jangka Waktu
Pengunaan Hak Atas Kekayaan
Intelektual Pemberi Lisensi adalah
sesuai dengan ketentuan Pasal 2.2

2.4 Non-Ekslusif
Lisensi yang diberikan dalam
Perjanjian ini bersifat non ekslusif
dan tidak dapat dalam cara apapun
dapat dipergunakan oleh Penerima
Lisensi untuk memberikan Lisensi
lanjutan untuk dipergunakan pihak
lain, atas Hak, atau bagian manapun
darinya, dan mengkaitkannya dengan
restoran lain, fasilitas atau institusi
manapun dalam wilayah Negara
Republik Indonesia atau wilayah
lainnya, meskipun dalam kondisi dan
ketentuan yang dianggap dapat
diterima oleh Pemberi Lisensi

2.2 Term of License
This Agreement shall be effective and
continue in force for a period of 3 years
as of ________ 2006, except being
terminated earlier by the Parties or
either party in accordance to this
Agreement
2.3 Limitation
The License hereby granted is limited to
use of the Intellectual Property Rights of
the Licensor covering:
a. Location
The License hereby granted is limited to
the Restaurant located at a site publicly
known recently under the name of PIM
II Restaurant Jakarta, ________,
______floor, ______ M2
b. Period
The utilization of Intellectual Property
Rights hereunder shall be subject to the
provision of Article 2.2 of this
Agreement
2.4 Non-Exclusivity
The License granted hereby is non-
exclusive and shall not in any way
preclude the Licensor from using, of
from licensing any other company to
use, the Rights, or any part thereof, in
conjunction with any other Restaurant,
facility or institution anywhere within
the Republic of Indonesia or the rest of
the world, upon any terms and
conditions that the Licensor shall deem
fit.

2.5 Tidak dapat Dialihkan oleh Penerima
Lisensi
Perjanjian ini maupun setiap hak yag
diberikan kepada Penerima Lisensi,
tidak dapat di lesensikan ulang,
dialihkan atau digantikan, atau
dipindahkan baik secara keseluruhan
maupuns sebagian, tanpa terlebih
dahulu memperoleh izin tertulis yang
spesifik dari Pemberi Lisensi. Tidak
ada persetujuan yang diberikan atas
pengalihan hak manapun yang dapat
dianggap sebagai persetujuan yang
sah dari Pemberi Lisensi atas hak
yang diberikan kepada penerima
lisensi lanjutan manapun kecuali
ditentukan secaka khusus oleh
Pemberi Lisensi dalam bentuk
tertulis.
2.6 Penerima Lisensi, tidak akan
menggunakan, menerjemahkan,
mengadaptasi atau mengubah atau
menyuruh pihak ketiga untuk
menggunakan, mengadaptasi,
menerjemahkan atau mengubah
semua atau sebagian hak atas
kekayaan Intelektual milik Pemberi
Lisensi yang akan digunakan dalam
menjalankan kegiatan operasional
Restoran.
2.7 Penerima Lisensi setuju dan berjanji
untuk tidak mengajukan permintaan
pendaftaran baik secara keseluruhan
atau sebagian sebagai pemilik dari
Nama Dagang, Merek
Dagang/Merek Jasa atau untuk tidak
mengajukan permintaan pendaftaran
baik secara keseluruhan atau
sebagian sebagai pemilik untuk
merek yang menggunakan nama atau
nama yang mirip dengan “Poke
Sushi” atau untuk tidak menyuruh
pihak ketiga mengajukan permintaan
pendaftaran baik secara keseluruhan
atau sebagian sebagai pemilik dari
Nama Dagang, Merek
Dagang/Merek Jasa.

2.5 Non-Assignment by Licensee
Neither this Agreement, nor any of the
rights granted to the Licensee hereunder
may be sub-licensed, transferred or
assigned or in any alienated, in whole or
in part, without the specific prior
consent of the Licensor. No such
consent to any one sub-license, transfer
of assignment of any such right shall be
deemed to be or constitute consent to
any further or additional such sub-
license, transfer or assignment unless
specifically so indicated by the Licensor
in such writing.
2.6 The Licensee, will not use, translate,
adapt or amend or cause any third party
to use, adapt, translate, amend all or part
of the Licensor’s Intelectual Property
Rights to be used in conducting the
operation of Restaurant.
2.7 The Licensee agrees and represents not
to submit any application for registration
whether in whole or in part as the owner
of the Trade Name, Trade Mark/Service
Mark or not to submit any application
for registration whether only in part or
in whole as the owner of any marks
using the word or similar to the name
“Poke Sushi” or not to instruct other
third party to file any application for
registration whether in part of or in
whole as the owner of the Trade Name,
Trade Mark/Service Mark.

2.8 Penerima Lisensi mengetahui bahwa
Hak Kekayaan Intelektual
merupakan bagian yang tidak
terpisahkan dari Restoran, yang
memiliki keseragaman penampilan
yang bertujuan untuk menciptakan,
memelihara dan mengembangkan
pandangan umum yang berkualitas.
Oleh karena itu Penerima Lisensi
sanggup untuk mempromosikan dan
memelihara pandangan tersebut dan
akan menghindari tindakan atau
kegiatan yang dapat menyimpang
dari pandangan tersebut, atau
membiarkan atau mengijinkan
dirinya atau pihak lain melakukan
hal-hal yang dapat merusak atau
membahayakan Hak Kekayaan
Intelektual yang dimaksud disini.
PASAL 3
PEMUTUSAN DAN
PERPANJANGAN PERJANJIAN
3.1 Hak dan Syarat Perpanjangan
Perjanjian ini dapat diperpanjang
untuk jangka waktu “3” (tiga) tahun
sejak tanggal berakhirnya Perjanjian
ini berdasarkan persyaratan-
persyaratan berikut ini:
a. Penerima Lisensi,
selama periode Perjanjian telah
memenuhi semua ketentuan-
ketentuan dan syarat-syarat
yang tercantum dalam
Perjanjian ini;
b. Penerima Lisensi telah
memberikan pemberitahuan
tertulis mengenai maksudnya
untuk memperpanjang jangka
waktu Perjanjian ini kepada
Pemberi Lisensi;
c. Penerima Lisensi melakukan
setiap pembayaran dengan tepat
waktu kepada Pemberi Lisensi;

2.8 The Licensee acknowledges that the
Intellectual Property is associated with
high quality of the Restaurant having a
uniformity of appearance and operation
aimed at creating, maintaining and
developing a quality public image. The
Licensee undertakes and covenants to
promote and maintain the said image
and to refrain from any conduct or
activity which may derogate from such
image, nor shall Licensee cause or
permit anything which may damage or
endanger the Intellectual Properties or
other title said herewith, to them or
allow others to do so.
ARTICLE 3
TERMINATION AND EXTENSION
OF THE AGREEMENT
3.1 Extension Rights & Requirements

expiry date subject to the following

and conditions as stipulated herein
during the full tenure of the License

notification expressing its desire to

memastikan bahwa setiap kegiatan
usaha atau akuntansi disimpan di

4.9 Selama masa Perjanjian, Penerima

and accounting records are kept at the
head office and/or retail outlets and are
correctly, accurately and currently
recorded and posted and made available
to Licensor in the Statements of Sales
Turnover;
4.8 On an mutually agreed day within a
preceeding week, the Licensee shall
forward to the Licensor a Certified
Statement of Sales Turnover of the
preceding week and to provide the
Licensor with the customer count or any
other information which the Licensor
may from time to time require. Licensee
agrees that there shall be a recalculation
of the Sales Turnover among others, in
the event the Certified Statement of
Sales Turnover is later found to be
inaccurate;
4.9 During the period of the Agreement, the
Licensee agrees to furnish at its own

pembayaran Biaya isensi dan

tersebut harus dibuat atas biaya
Penerima Lisensi.
4.10 Pemberi Lisensi berhak untuk
menunjuk akuntan publik
independen untuk memeriksa
laporan keuangan triwulanan dan
laporan keuangan tahunan Penerima
Lisensi atas biaya Penerima Lisensi.
PASAL 5
KEWAJIBAN PEMBERI
LISENSI
Pemberi Lisensi akan menyediakan
layanan berikut ini yang akan
dilakukan secara langsung atau
melalui surat elektronik, internet,
telepon atau telefax:
5.1 Memberikan saran kepada Penerima
Lisensi untuk pembuatan,
pemasangan, renovasi dan perubahan
atas Restoran sehubungan dengan
perubahan rencana, spesifikasi untuk
layout dalam, tanda dan furnitur

ARTICLE 5
THE LICENSOR OBLIGATION
The Licensor shall provide the following
assistance directly or through

concerning the construction, fitting-out,
refurbishment and conversion of the
Restaurant in respect of the conversion
plans, specifications for the internal
layout, signs, fixtures and fittings to

dan untuk tujuan lain seperti
pemecahan masalah, dana dan
perencanaan.
PASAL 6
KEWAJIBAN PENERIMA
LISENSI
6.1 Penerima Lisensi akan
mengoperasikan metode dengan baik
dan benar-benar sesuai dengan apa
yang telah ditentukan dalam
Prosedur Operasi Standart. Penerima
Lisensi tidak akan menggunakan
Prosedur Operasi Standart untuk
tujuan selain untuk pengoperasian
Restoran dan juga tidak akan
membuat atau menyuruh membuat
salinan Prosedur Operasi Standart
atau bagian darinya kecuali untuk
digunakan dalam kegiatan usaha
Restoran.
6.2 Penerima Lisensi wajib untuk
menjaga dan memelihara Standar
Mutu dalam semua hal yang
berkaitan dengan Restoran.
6.3 Penerima Lisensi wajib dan
bertanggung jawab untuk

5.2 The Licensor shall grant the Licensee
amendment and/or development details

enables the Licensee to keep up with the
updated Standard Operating Procedure.

visit 3 (three) times annually or at such
other frequency deemed necessary to
review market trends and business
performance of the Licensee and for
other purposes such as problem-solving,
budgeting and planning.
ARTICLE 6
THE LICENSEE OBLIGATION
6.1 The Licensee shall perform the method
in the proper and correct manner as
stipulated in Standard Operating
Procedure. The Licensee will not use the
Standard Operating Procedure for any
purposes other than for the operation of
the Restaurant and shall not made or
cause to be made any copy of Standard
Operating Procedure or part of it except
as to be used for the Restaurant.
6.2 The Licensee is obliged to maintain the
Standard of Quality for any matters
related to the Restaurant.
6.3 The Licensee is obliged and liable to
perform his best effort to increase the

(b) Penerima Lisensi akan
mematuhi dan mengikuti setiap
kebijakan dan strategi
penetapan harga yang
ditentukan oleh Pemberi Lisensi
dari waktu ke waktu.
6.5 Jam Operasi:
Penerima Lisensi akan membuka
Restoran pada jam kerja regular
selama 7 (tujuh) hari dalam satu
minggu, sesuai dengan ketentuan
Perjanjian Sewa atau sesuai dengan
arahan Pemberi Lisensi, dan tidak
mengubah jam kerja atau menutup
Restoran pada hari kerja biasa
kecuali diinstruksikan oleh Pemberi
Lisensi atau berdasarkan persetujuan
tertulis sebelumnya dari Pemberi
Lisnesi dan/atau Pemilik/pengelola
Gedung
6.6 Penerima Lisensi akan memelihara
kerapihan, kebersihan dan
kenyamanan kondisi Restaurant
sesuai dengan kehendak Pemberi
Lisensi;

service arrangement provided, such
arrangement shall be subject to the prior
written consent of the Licensor.
6.4 Pricing :
(a) The Licensee shall not to advertise
or sell the products at any prices
other than the prices specified by
Licensor in the Standart Operating
Procedure or as stipulated by
Franchisor from time to time;
(b) The Licensee shall forthwith
implement and comply with all
pricing strategies and policies as
may be stipulated by Licensor from
time to time;
6.5 Opening Hours :
The Licensee shall keep the Restaurant
open for business during regular business
hours 7 (seven) days a week, in
accordance with the terms of the Tenancy
Agreement or as directed by Licensor;
not to alter its trading hours or close the
Restaurant on normal business days
except being instructed by Licensor or
with the prior written consent of Licensor
and/or the Building owner/ management,;
6.6 The Licensee will keep the Restaurant in
a neat, clean and tidy condition at all
times to the satisfaction of the Licensor;

6.7 Penerima Lisensi memastikan bahwa
usaha waralaba dilakukan dalam
lingkungan yang higienis, bersih dan
terawat menurut pengawasan yang
sesuai dan mengambil tindakan
pencegahan yang wajar untuk setiap
keadaan dan dengan sendirinya
bertanggung jawab atas tuntutan
apapun yang timbul sehubungan
dengan kegiatan operasi Restoran.
6.8 Penerima Lisensi akan melaksanakan
atas biaya sendiri dan menjaga
dengan seksama selama jangka
waktu Perjanjian ini keabsahan dan
berlakunya polis asuransi yang
melindungi Restoran, Produk, bahan-
bahan pembuatan, perlengkapan
penjualan milik Penerima Lisensi
dan/atau Pemberi Lisensi.
6.9 Penerima Lisensi wajib untuk
menyerahkan kepada Pemberi
Lisensi setiap tahunnya fotokopi atas
polis asuransi, sertifikat asuransi atau
dokumen lainnya yang diminta oleh
Pemberi Lisensi yang membuktikan
asuransi tersebut masih berlaku.
6.10 Penerima Lisensi menyanggupi
bahwa selama jangka waktu
Perjanjian ini dan untuk jangka
waktu 24 (duapuluh empat) bulan
setelah pengakhiran, pemutusan dan
tidak diperpanjangnya Perjanjian,
baik Penerima Lisensi maupun salah
satu pemegang sahamnya,
berdasarkan alasan apapun, tidak
akan secara langsung maupun tidak
langsung, untuk kepentingannya
sendiri atau atas nama atau berkaitan
dengan orang lain, untuk memiliki,
mempertahankan, ikut serta,
memimpin atau memiliki
kepentingan pengendali atau
kepentingan yang lebih besar dalam
bidang usaha penjualan dan/atau
pembelian makanan, khususnya
restoran jepang dan penjualan sushi
dalam Wilayah Negara Republik
Indonesia, atau dalam bidang usaha

6.7 The Licensee ensures that the business
is carried out in a hygienic, sanitary and
well-maintained environment under
proper supervision and to take
reasonable precautions for their
conditions and to be solely responsible
for any claim whatsoever arising in
relations to the operation of Restaurant.
6.8 During the period of the Agreement, the
Licensee shall maintain at its own
expenses, the validity of the insurance
policies covering the insurance of the
restaurant, equipments,’ ingredients,
selling equipment of the Products owned
by the Sub-Franchisee and/or the
Franchisor.
6.9 The Licensee shall furnish to the
Licensor annually a copy of the
insurance policies, certificates of
insurance or other evidence requested by
the Licensor that such insurance
coverage is in force.
6.10 The Licensee covenants that, during the
term of the Agreement and also for the
period of 24 (twenty four) months after
termination of, expiration of and the
non-extended of the Agreement for any
reason, neither the Licensee nor any
shareholder of the Licensee, shall either
directly or indirectly, for its own interest,
or on behalf of or in conjunction with
any other person, own, maintain, engage
in, manage or have controlling interest in
any business of the purchase and/or sale
of food, particularly Japanese restaurant
and distribution of sushi of any sort and
located within the Territory of the
Republic of Indonesia or in any business
of the same kind. The Licensee shall, at
the Licensor request, cause each of its
shareholders in the Licensee, to execute
covenants substantially the same as the
covenants set forth in this Article Such

dari Sistem adalah sangat berharga
dan kepemilikan lain yang
disampaikan oleh Pemberi Lisensi
akan dianggap telah disampaikan
secara rahasia berdasarkan tujuan-
tujuan yang tercantum dalam
Perjanjian ini. Selama jangka waktu
Perjanjian dan setelahnya, Penerima
Lisensi atau pemegang sahamnya,
direksi dan karyawannya dilarang
untuk membocorkan, menyingkap
atau selain itu mengkomunikasikan
secara langsung maupun tidak
langsung kepada pihak lain atau
badan hukum lain informasi rahasia
atau pengetahuan mengenai bidang
usaha yang diwaralabakan dalam
Perjanjian atau yang dicantumkan
dalam Petunjuk Operasi Standart
atau bagian dari Sistem, dan wajib
untuk ikut serta secara wajar dalam
melindungi kerahasiaan tersebut.
6.12 Penerima Lisensi mengakui bahwa
pelanggaran atau cidera janji atas
kesanggupan berdasarkan Pasal ini
dapat menyebabkan kerugian yang
bersifat substansial dan tak dapat
diperbaiki terhadap Pemberi Lisensi
dan nama baiknya. Oleh karena itu,
Pemberi Waralaba berhak menerima
ganti rugi yang segera dan sepadan.

provided under the Agreement,

the Agreement. During the terms of the
Agreement and thereafter, the Licensee
or its shareholders, directors and
employees shall not divulge, disclose or
otherwise communicate, either directly
or indirectly to any other person or entity
any confidential information or
knowledge concerning the business
franchised herein or set forth in Standard
Operaing Procedure or part of the
system, and shall take reasonable
measures to protect the confidentiality
thereof.
6.12 The Licensee acknowledges that such
violation or default on the Covenants
based on this Article may cause
substantial damage, which may not be
remedied against the Licensor and its
reputation. Therefore, the Licensor is
entitled to receive an immediate and
commensurate indemnification.

PASAL 7
PROMOSI
7.1 Oleh Pemberi Lisensi
Pemberi Lisensi setuju untuk
mendukung pemasaran dan promosi
Restoran guna meningkatkan
pengindahan masyarakat tentang
Restoran, dalam kaitannya dengan
Poke Sushi Restoran, dengan
melibatkan Restoran dalam program
pemasaran, promosi dan penjualan
Grup Poke Sushi Restoran.
7.2 Oleh Penerima Lisensi
Pemberi Lisensi juga menyetujui
bahwa Penerima Lisensi dalam
jangka waktu perjanjian ini, dapat
mendeskripsikan dan mengiklankan
Restoran sebagai bagian atau asosiasi
dari grup Poke Sushi Restoran.
Berdasarkan permohonan Penerima
Lisensi, Pemberi Lisensi akan
menyediakan informasi dan materi
promosi terkini yang menggunakan
nama dan logo Poke Sushi serta
teknik-teknik pengiklanan dan
system yang dapat dipergunakan
oleh Penerima Lisensi untuk
memperomosikan Restoran. Atas
pengadaan materi-materi tersebut
akan dikenakan biaya bilamana ada
7.3 Identifikasi secara Wajar
Pemberi Lisensi dan Penerima
Lisensi dengan ini menyetujui dan
sepakat untuk dan atas setiap bentuk
pengiklanan yang dilakukan oleh
Pemberi Lisensi menggunakan
kalimat “Poke Sushi Restoran PIM
II” dan setiap tanda, bentuk logo,
menu di lokasi restoran, bersamaan
dengan karakteristik tertentu nama
tersebut yang secara substansi
memiliki kesamaan kombinasi
pengaturan yang dipergunakan dan
ditampilkan di Poke Sushi Restoran
dimanapun juga, dan mengikuti
secara wajar setiap teknik promosi
dan system yang disediakan oleh
Pemberi Lisensi sebagaiamana

ARTICLE 7
PROMOTION
7.1 By Licensor
The Licensor hereby agrees to support
in the marketing and promotion of the
Restaurant in increasing public
awareness of the Restaurant, in
conjunction with other Poke Sushi
Restaurants, by causing the Restaurant
to be included in the marketing,
promotion and sales programs of the
Poke Sushi Restaurant Group.
7.2 By Licensee
The Licensor also hereby aggress that
the Licensee may, during the term of
this Agreement, describe and advertise
the Restaurant as being associated with,
and part of the Poke Sushi Restaurant
group. The Licensor shall, upon request
of the Licensee, provide the Licensee
with up-to –date information and
promotional materials bearing the Poke
Sushi name and logos and regarding
Poke Sushi marketing and advertising
techniques and systems in order to
enable the Licensee to promote the
Restaurant. There shall be additional
charge for provision of such materials if
any.
7.3 Proper Identification
The Licensee hereby covenants and
agrees with the Licensor to feature in
the Restaurant premises and in all
advertising effected by or on behalf of
the Licensor, the words: “Poke Sushi
PIM II“ and any mark, logo type used,
menu, in association with the
Restaurant, together with the
distinguishing characteristics of that
name in substantially the same
combination arrangements and manner
as are displayed and used in Poke Sushi
Restaurants elsewhere; and to follow
and comply with any appropriate
promotional techniques and systems as
shall be provided by the Licensor as
aforesaid.

Restoran, dan karenanya sampai
dengan selesaianya Restoran
dibangun atau difungsikan kembali,
Penerima Lisensi akan membayara
kepada Pemberi Lisensi suatu jumlah
yang sama dengan jumlah yang
diperoleh dari Royalti setahun penuh
pada tahun penjualan terakhir
sebelum terjadinya kerusakan atau
kemusnahan tersebut, atau dalam hal
belum dipenuhinya satu tahun
penjualan atau selama 12 (duableas)
bulan, maka suatu jumlah yang
dicapai pada saat terjadinya
kerusakan atau kemusnahan tersebut
dikurangi jumlah yang telah
dibayarkan untuk Royalti untuk
periode tersebut. Khusus dalam hal
belum dipenuhinya satu tahun
penjualan atau krang dari 12
(duableas) bulan, setiap jumlah akan
dihitung pro-rata secara harian.
Tanggung jawab Penerima Lisensi
dalam Pasal ini akan terbatas, hanya
pada satu kejadian dan dalam jumlah
yang sama dengan tiga kali jumlah
Biaya Lisensi yang ditetapkan dalam
Perjanjian ini
8.2 Musnahnya Restoran
Dalam hal musnahnya seluruh atau
sebagian besar Restoran, dan
Penerima Lisensi memutuskan untuk
tidak membangun kembali atau
memfungsikan kembali Restoran
dalam jangka waktu 12 (duabelas)
bulan terhitung sejak tanggal
kerusakan atau musnahnya Restoran

ARTICLE 8
DAMAGE TO OR DESTRUCTION
OF RESTAURANT
8.1 Repairable Damage
If the Restaurant is destroyed or
damaged to such an extent as to
substantially reduce the Gross Profit the
Licensee shall decide to rebuild and
reinstate the Restaurant, the Licensee
shall pay to the Licensor an amount at
an annual rate equivalent to the Royalty
Fee in respect of the most recent full
Trading Year prior to such damage or
destruction or, where there has not been
a full Trading Year of 12 (twelve)
months, for the period from the date of
such damage or destruction until the
Restaurant is rebuilt and reinstated, less
any amount, if any, which may already
have been paid in respect of Royalty for
that some period. With respect to any
part of such period which is less than a
full Trading Year of twelve (12) months,
all such amounts shall be pro-rated on a
daily basis.
The Licensee’s liability under this
Article shall be limited, in respect of any
one incident, to an amount equal to three
times the License Fee referred to in this
Agreement.
8.2 Destruction of Restaurant
If, in the event of total or substantial
destruction to the Restaurant, the
Licensee shall decide not to rebuild or
reinstate the Restaurant, , within 12
(twelve) months from the date of such
damage or destruction so advises

in writing, then this Agreement shall

PASAL 9
PERNYATAAN DAN
PENJAMINAN
Para Pihak dengan ini menyatakan
dan menjamin bahwa:
9.1 Masing-masing badan hukum yang
diwakilinya adalah badan hukum
yang didirikan berdasarkan hukum
Negara Republik Indonesia, serta
telah memenuhi dan atau akan segera
memenuhi seluruh persyaratan dan
perizinan yang disyaratkan bagi
badan hukum tersebut sesuai dengan
ketentuan perudang-undangan yang
berlaku.
9.2 Seluruh perijinan, atau persetujuan
yang diperlukan bagi Pihak tersebut
untuk melaksanakan kewajibannya
berdasarkan Perjanjian ini telah
diperoleh termasuk tetapi tidak
terbatas pada persetujuan komisaris
dan Rapat Umum Pemegang Saham;
Perjanjian ini telah secara sah
ditandatangani oleh Pihak tersebut
dan merupakan kesepakatan yang
sah, berlaku dan dapat dilaksanakan
sesuai dengan ketentuan Perjanjian
ini;
9.3 Penandatanganan dan pelaksanaan
Perjanjian ini; dan, termasuk
penyerahan Perjanjian ini tidak akan
menimbulkan pelanggaran atas suatu
perjanjian dimana Pihak tersebut

ARTICLE 9
REPRESENTATION AND

for such legal entities in accordance
with the prevailing laws and regulations

PASAL 10 ARTICLE 10
KEADAAN KAHAR FORCE MAJEURE

PASAL 11
WANPRESTASI DAN
PENGAKHIRAN
11.1 Peristiwa Wanprestasi
Keadaan-keadaan sebagai berikut
merupakan peristiwa wanprestasi
berdasarkan Perjanjian ini:
a. Penerima Lisensi melakukan
pengalihan atau pemindahan atas
kepentingan yang terdapat dalam
Perjanjian; atau
b. Lalai melakukan pelaporan secara
tepat atas Penjualan Kotor dan Laba
Kotor atau lalai untuk melakukan
pembayaran atas Biaya Lisensi, Laba
Yang Dibagi dan pembayaran
lainnya yang telah jatuh tempo
kepada Pemberi Lisensi sebagaimana
ditentukan dalam Perjanjian dan
tidak memperbaiki kelalaian tersebut
dalam waktu 10 (sepuluh) hari

tersebut kepada Penerima Lisensi;
atau
c. Penerima Lisensi menjadi tidak
dapat membayar dan tidak mampu

Lisensi melebihi harta kekayaan
Penerima Lisensi, membuat
pengalihan untuk kepentingan para
krediturnya, mengajukan kepailitan
sukarela, mengajukan permohonan
untuk mendapatkan restrukturisasi,
likuidasi atau pembubaran
berdasarkan hukum apapun, diajukan
pailit atau tidak dapat membayar,

ARTICLE 11
DEFAULT AND TERMINATION
11.1 Events of Default
The following events shall constitute
defaults under this Agreement:
a. The Licensee makes an unauthorized
assignment or transfer of any interest in
the Agreement; or
b. The Licensee fails to report accurately
Gross Sales and Gross Profit or fails to
make payments of Shared Profit,
License Fee and any amounts due to the
Licensor under the stipulation of the
Agreement, and does not remedy such
failure within 10 (ten) days after the
written notice of such failure is
delivered to the Licensee; or
c. The Licensee becomes insolvent and
that the Franchisee is unable to pay its
bills as become due or the current
liabilities of the Licensee exceed its
current assets, makes an assignment for
the benefit of creditors, files a voluntary
petition in bankruptcy, files any
pleading, seeking any reorganization,
liquidation or dissolution under any law,
is adjudicated a bankrupt or insolvent, a
receiver is appointed for a substantial
part of the assets of the Licensee;

Pemberi Lisensi menandatangani
Perjanjian atau diputuskan bersalah
oleh pengadilan atau tidak
menyatakan banding atas pidana
berat atau pidana lainnya atau
pelanggaran lainya yang dapat
menimbulkan pengaruh negatif pada
reputasi Poke Sushi atau Itikad Baik
yang terkait dengan Pemberi Lisensi;
atau
f. Ijin dan/atau lisensi Penerima Lisensi
dicabut atau ditunda oleh lembaga
yang berwenang; atau
g. Penerima Lisensi menyalahgunakan
atau melakukan penggunaan di luar
kewenangannya terhadap Hak Milik
Intelektual atau melakukan tindakan
lain yang dapat diperhitungkan akan
menimbulkan kerusakan pada
goodwill yang melekat pada Hak
Milik Intelektual atau melakukan
pengungkapan atas informasi
rahasia;
11.2 Pengakhiran dan Pemberitahuan
11.2.1 Bilamana salah satu pihak berada
dalam keadaan wanprestasi
sebagaimana dietntukan dalam pasal
7.1 diatas, dan pihak yang tidak
melakukan wanprestasi hendak
mengakhiri perjanjian ini dalam hal
keadaaan wanprestasi tersebut tetap
berlangsung, pihak yang tidak

d. Except as otherwise provided under the
Agreement, the Licensee fails to comply
with the provision of this Agreement
and does not correct such failure within
30 (thirty) days after written notice of
such failure to comply is delivered to the
Licensee;
e. The Licensee has made material
misrepresentation or omission in
inducing the Licensor to enter into the
Agreement or is convicted by a trial
court of, or pleads no contest to, a
serious crime or to any other crime or
offense that may adversely affects the
reputation of Poke sushi, Goodwill
associated with the Licensor; or
f. Permit and/or license of the Licensee is
being revoked or suspended by the
authorized institution; or
h. The Licensee makes an unauthorized
use of the Intellectual Property Rights or
unauthorized use or conducts a legal
activity, which may damage the
Goodwill associated with the
Intellectual Property Right or disclosure
of the confidential information;
11.2 Termination and Due Notice
11.2.1 If either party shall be in default
pursuant to Article 7.1 above and the
non-defaulting party desires to terminate
this Agreement whilst such default
exists, the non-defaulting party must
give to the defaulting party Due Notice
of intention to terminate this Agreement.

PASAL 12
PENGESAMPINGAN

yang dilakukan oleh Para Pihak
untuk melakukan atau terhalang
untuk melaksanakan setiap hak atau
kewenangan berdasarkan Perjanjian
ini, tidak akan dianggap sebagai
pengesampingan secara sebagian
atau keseluruhan atas hak atau
kewenangan tersebut, atau sebagai
suatu bentuk pengecualian atas
pelaksanaan hak dan kewenangan
lainnya.
12.2 Untuk melaksanakan keputusan,
pengakhiran dan pelaksanaan
ketentuan Perjanjian ini, para pihak
sepakat secara khusus untuk
mengenyampingkan ketentuan Pasal
1266 dan 1267 Kitab Undang-
Undang Hukum Perdata Indonesia
PASAL 13
AKIBAT PENGAKHIRAN
Pada saat pengakhiran Perjanjian ini
dalam sebab apapun juga, Penerima
Lisensi tidak akan menyatakan
dirinya atau Restoran memiliki
hubungan atau asosiasi dengan
Restoran Poke Sushi atau memiliki
hak atau kepentingan terhadap nama
Poke Sushi, atau melangsungkan
kegiatan operasi Restoran atau

11.2.2 “Due Notice” shall mean that prior to
the expiration of 60 (sixty) days from
service of any notice the defaulting
party shall promptly and with all due
diligence cure the default or take
reasonable action towards the cure such
default (if such default is not capable of
being cured within said sixty (60) day
period).
ARTICLE 12
WAIVER
12.1 No failure or delay on the part of any
party hereto in exercising any power or
right hereunder shall operate as a waiver
thereof nor shall any single or partial
exercise of such right or power preclude
any other or further exercise of any right
or power hereunder.
12.2 To give effect to the resolution,
termination and enforcement provisions
herein, the parties hereto specifically
waive the provisions of Articles 1266
and 1267 of the Indonesian Civil Code.
ARTICLE 13
EFFECT OF TERMINATION
Upon termination of this Agreement for
any reason whatsoever the Licensee
shall not at any time thereafter hold
itself or the Restaurant out as having any
connection or association with Poke
Sushi Restaurants nor any right or
interest in the name Poke Sushi, nor
continue the operation of the Restaurant
or any other Restaurant under the name

KESELURUHAN ISI
PERJANJIAN
Penerima Lisensimemahami bahwa
Perjanjian ini mengatur hubungan
kerjasama antara para Pihak dan
tidak akan bergantung pada
pernyataan, penjaminan atau
kesepakatan yang dibuat secara lisan
atau tertulis oleh Pemberi Lisensi
atau pegawainya, dan Penerima
Lisensi telah memeriksa sendiri
setiap hal yang berkaitan dengan
Kegiatan Usaha.
PASAL 15
PERUBAHAN DAN
PENAMBAHAN
Setiap perubahan, atau penambahan
atas Perjanjian ini hanya akan
berlaku mengikat berdasarkan
persetujuan tertulis dari Penerima
Lisensi dan perwakilan yang sah dari
Pemberi Lisensi
Penerima Lisensimengetahui bahwa
Perjanjian ini dan Kondisi Umum
Perjanjian Waralaba Lanjutan
beserta dengan lampiran-

Poke Sushi or any name, mark or
logotype used by the Licensor or any
names, trademarks, emblems, insignia or
distinctive characteristics associated
with the Poke Sushi name, mark or
logotype or any other names, marks or
other distinguishing characteristics
which now or hereafter may be
connected or identified with any name
used by the Licensor. The Licensee shall
not again use a name associated with the
name Poke Sushi or any similar word or
any other name utilized by the Licensor,
or any combination of variation thereof,
anywhere upon or at any time after
termination of this Agreement.
ARTICLE 14
ENTIRE AGREEMENT
The Licensee acknowledges that this
Agreement contains the entire
agreement between the Parties and it has
not relied on any other warranties,
representations or agreements oral or
written made to it by Licensor or its
employees or agents and has made its
own independent investigation into all
matters relating to the Business.
ARTICLE 15
AMENDMENTS AND
VARIATIONS
No amendment or addendum of this
Agreement shall be of any force or
effect unless reduced to writing and
signed by Sub- Licensee and a duly
authorized representative of the
Licensor.
The Licensee acknowledges that this
Agreement is not conditional on the
Licensee being granted a trading
Franchise to conduct the Business.

HUKUM YANG BERLAKU DAN GOVERNING LAWS AND
PENYELESAIAN SENGKETA DISPUTE SETTLEMENT
