SHOPEEFOOD COOPERATION AGREEMENT
This ShopeeFood Cooperation Agreement (this
“Agreement”) is made on [*] 2020 by and
between:
(1) PT SHOPEE INTERNATIONAL
INDONESIA, a limited liability company
organized under the laws of the
Republic of Indonesia, having its
registered office at Pacific Century
Place, 26th Floor, SCBD Lot. 10, Jl.
Jenderal Sudirman Kav. 52-53, Jakarta
Selatan, Indonesia (“Shopee”); and
(2) [*], a limited liability company
organized under the laws of the
Republic of Indonesia, having its
registered office at [*] (“Merchant”).
WHEREAS:
A) Shopee is a limited liability company
engaged in web portal and digital
platform for commercial purposes with
the brand of “Shopee”. Shopee
provides a food order and delivery
platform as a place and opportunity for
the sale and delivery of any food
and/or beverages sold by the Merchant
to the customers through the platform
with the name of “ShopeeFood”.
B) The Merchant is engaged in the
business of [*]. The Merchant intends
to participate as one of partners
(merchant) in ShopeeFood Services.
C) The Parties agree to cooperate subject
to the terms and conditions of this
Agreement.
PERJANJIAN KERJA SAMA SHOPEEFOOD
Perjanjian Kerja Sama ShopeeFood ini
(“Perjanjian” ini) dibuat pada [*] 2020 oleh dan
antara:
(1) PT SHOPEE INTERNATIONAL INDONESIA,
suatu perseroan terbatas, yang
diselenggarakan berdasarkan hukum
Republik Indonesia, memiliki kantor
terdaftar di Pacific Century Place, Lt. 26
Floor, SCBD Lot. 10, Jl. Jenderal Sudirman
Kav. 52-53, Jakarta Selatan, Indonesia
(“Shopee”); dan
(2) [*], suatu perseroan terbatas, yang
diselenggarakan berdasarkan hukum
Republik Indonesia, memiliki kantor
terdaftar di [*] (“Merchant”).
BAHWA:
A) Shopee merupakan perseroan terbatas
yang bergerak dalam bidang portal web
dan platform digital dengan tujuan
komersial dengan merek “Shopee”.
Shopee menyediakan platform
pemesanan dan pengantaran makanan
sebagai tempat dan kesempatan untuk
penjualan dan pengiriman atas makanan
dan minuman yang dijual Merchant
kepada pelanggan melalui Platform
dengan nama “ShopeeFood”.
B) Merchant bergerak dalam usaha [*].
Merchant bermaksud untuk
berpartisipasi sebagai salah satu mitra
(merchant) dalam Layanan ShopeeFood.
C) Para Pihak bermaksud untuk bekerja
sama dengan tunduk pada syarat dan
ketentuan Perjanjian ini.
IT IS HEREBY AGREED as follows:
1. Shopee hereby appoints the Merchant,
and the Merchant agrees to such
appointment, as Shopee’s partner to
provide ShopeeFood Services to the
Customers through ShopeeFood
Platform in accordance with the terms
and conditions of this Agreement.
2. The Parties agree that, for all purposes
of this Agreement, the following shall
form an integral part of this
Agreement:
a. The Merchant Particulars as set out
in Schedule A hereto (the
“Merchant Particulars”);
b. The ShopeeFood Merchant
Registration Form as set out in
Schedule B hereto (the
“ShopeeFood Merchant
Registration Form”); and
c. The General Terms and Conditions
attached hereto as Appendix A
shall form an integral part of this
Agreement (as amended from time
to time, the “General Terms and
Conditions”).
Terms used but not defined herein
shall have the meanings given to such
terms in the General Terms and
Conditions.
DENGAN INI DISEPAKATI HAL-HAL sebagai
berikut:
1. Shopee dengan ini menunjuk, dan
Merchant setuju atas penunjukkan
tersebut, sebagai mitra Shopee untuk
menyediakan Layanan ShopeeFood
kepada Pelanggan melalui Platform
ShopeeFood sesuai dengan syarat dan
ketentuan Perjanjian ini.
2. Para Pihak sepakat bahwa untuk tujuan
Perjanjian ini, yang disebutkan di bawah
ini merupakan bagian yang tidak
terpisahkan dari Perjanjian ini:
a. Keterangan Mengenai Merchant
sebagaimana tercantum dalam
Daftar A Perjanjian ini (“Keterangan
Mengenai Merchant”);
b. Formulir Pendaftaran Merchant
ShopeeFood sebagaimana
tercantum dalam Daftar B Perjanjian
ini (“Formulir Pendaftaran
Merchant ShopeeFood”); dan
c. Syarat dan Ketentuan Umum yang
melekat dengan Perjanjian ini
sebagai Lampiran A merupakan
bagian yang tidak terpisahkan dari
Perjanjian ini (sebagaimana diubah
dari waktu ke waktu, disebut
sebagai “Syarat dan Ketentuan
Umum”).
Istilah-istilah yang digunakan namun
tidak didefinisikan dalam Perjanjian ini
memiliki arti sebagaimana diberikan
kepadanya dalam Syarat dan Ketentuan
Umum.

General Terms and Conditions
1. Definitions and Interpretation
1.1 The following terms when used in the
Agreement (including these General
Terms and Conditions) or any
document referred to herein shall have
the following meaning, unless
otherwise specifically defined herein or
therein:
Agreement means this ShopeeFood
Cooperation Agreement to which these
General Terms and Conditions are
attached to, including any schedules,
appendices or other attachments
attached to any of the foregoing,
including all amendments, additions,
and variations thereto.
Applicable Law means any applicable
law, statute, regulation, order,
judgement, decision, recommendation,
rule, policy or guideline passed or
issued by parliament, government or
any competent court or authority in
Indonesia existing at this time or in the
future.
Business Day means any day (other
than a Saturday or Sunday) on which
banks are open for general banking
business in Indonesia.
Customers means registered user of
Shopee Platform.
Customer Account means the
Customer’s registered account(s) in
LAMPIRAN A
Syarat dan Ketentuan Umum
1. Definisi dan Interpretasi
1.1. Istilah-istilah di bawah ini, saat digunakan
dalam Perjanjian (termasuk dalam Syarat
dan Ketentuan Umum ini) atau dokumen
lain yang disebut dalam Perjanjian ini, akan
memiliki arti sebagai berikut, kecuali secara
khusus diartikan lain dalam Syarat dan
Ketentuan Umum ini atau dalam dokumen
lain tersebut:
Perjanjian berarti Perjanjian Kerja Sama
ShopeeFood dimana Syarat dan Ketentuan
Umum ini melekat padanya, termasuk
setiap daftar, apendiks atau lampiran lain
yang melekat pada dokumen-dokumen
tersebut di atas, termasuk seluruh
perubahan, penambahan dan variasi
terhadapnya.
Hukum Yang Berlaku berarti hukum,
undang-undang, peraturan, tata tertib,
pertimbangan hukum, putusan,
rekomendasi, aturan, kebijakan atau
pedoman yang disahkan atau diterbitkan
oleh parlemen, pemerintah atau
pengadilan atau otoritas yang berwenang
di Indonesia yang ada pada saat ini
maupun yang ada dikemudian hari.
Hari Kerja berarti setiap hari (selain Sabtu
atau Minggu) dimana bank buka untuk
menyelenggarakan usaha perbankan
umum di Indonesia.
Pelanggan berarti pengguna terdaftar dari
Platform Shopee.
Akun Pelanggan berarti akun tercatat dari
Pelanggan pada Platform Shopee.
Shopee Platform.
Driver means the party conducting
delivery of the Products ordered by the
Customers through ShopeeFood
Platform.
Effective Date means the date of this
Agreement.
Merchant Outlet means a restaurant
or place of business that is owned,
managed, and registered by the
Merchant to obtain ShopeeFood
Services as can be changed and added
from time to time based on the
agreement of the Parties.
Merchant Particulars means Schedule
A “Merchant Particulars” attached to
the Agreement.
Merchant SOP means Standard
Operating Procedures for Use of
ShopeeFood Services for Merchants
which can be accessed at
https://help.shopee.co.id/s/article/Gen
eral-ShopeeFood-Merchant, as can be
changed or added from time to time
through notification to the Merchant.
Merchant Wallet means the
Merchant’s funds account(s) held with
Shopee to hold Transaction funds.
Nett Sales means the total price of the
Products in the Transaction, : (i) after
taking into account any discounts on
Product’s price from Merchant in
ShopeeFood Platform, and (ii)
excluding restaurant tax (including but
not limited to restaurant tax (PB1) or
Value Added Tax (VAT)), Merchant’s

Keterangan Mengenai Merchant berarti
Daftar A “Keterangan Mengenai Merchant”
yang melekat pada Perjanjian.
SOP Merchant berarti Standar Operasional
Prosedur penggunaan Layanan
ShopeeFood untuk Merchant yang dapat
diakses di
https://help.shopee.co.id/s/article/General
-ShopeeFood-Merchant, sebagaimana
dapat diubah atau ditambahkan dari waktu
ke waktu melalui pemberitahuan kepada
Merchant.
Akun Merchant berarti akun(-akun) dana
Merchant yang dimiliki dengan Shopee
untuk menampung dana Transaksi.
Penjualan Bersih berarti jumlah harga
Produk dalam Transaksi: (i) setelah
memperhitungkan potongan apapun
terhadap harga Produk yang diberikan oleh
Merchant dalam ShopeeFood Platform,
dan (ii) tidak termasuk pajak restoran
(termasuk tetapi tidak terbatas pada Pajak
Pembangunan Satu (PB1) atau Pajak
service charge, Merchant’s surcharge,
and other fees (if any and as
applicable) as recorded in Shopee’s or
its Affiliates’ system.
Order means the order of the Products
made by the Customers in the
ShopeeFood Platform.
Parties means, collectively, Shopee and
the Merchant and Party means either
one of them.
Products means the food and/or
beverages sold by the Merchant
through ShopeeFood Platform.
Service Fee has the meaning ascribed
to in Clause 6.1 of this General Terms
and Conditions.
Shopee Platform means digital
platform through software application
or website (www.shopee.co.id) with
the brand of “Shopee” provided by
Shopee.
ShopeeFood Merchant Registration
Form means Schedule B “ShopeeFood
Merchant Registration Form” attached
to this Agreement.
ShopeeFood Platform means the food
order and delivery platform fully
developed and operated by Shopee for
the provision of ShopeeFood Services
from time to time which is part or
feature in Shopee Platform.
ShopeeFood Services means a food
order and delivery platform services as
a place and opportunity for the sale of
Pertambahan Nilai (PPN)), service charge
Merchant, surcharge Merchant, dan biaya-
biaya lainnya (apabila ada dan
sebagaimana berlaku), sebagaimana
tercatat dalam sistem Shopee atau
Afiliasinya.
Pesanan berarti pemesanan atas Produk
yang dilakukan oleh Pelanggan di Platform
ShopeeFood.
Para Pihak berarti, Shopee dan Merchant
secara bersama-sama, dan Pihak adalah
salah satu dari mereka.
Produk berarti makanan dan/atau
minuman yang dijual oleh Merchant
melalui Platform ShopeeFood.
Biaya Layanan memiliki arti yang diberikan
dalam Pasal 6.1 Syarat dan Ketentuan
Umum ini.
Platform Shopee berarti platform digital
melalui aplikasi perangkat lunak atau situs
web (www.shopee.co.id) dengan merek
“Shopee” yang disediakan oleh Shopee.
Formulir Pendaftaran Merchant
ShopeeFood berarti Daftar B “Formulir
Pendaftaran Merchant ShopeeFood” yang
melekat pada Perjanjian ini.
Platform ShopeeFood berarti platform
pemesanan dan pengantaran makanan
yang dikembangkan dan dioperasikan
sepenuhnya oleh Shopee untuk
penyediaan Layanan ShopeeFood dari
waktu ke waktu yang merupakan bagian
atau fitur dalam Platform Shopee.
Layanan ShopeeFood berarti layanan
platform pemesanan dan pengantaran
makanan sebagai tempat dan kesempatan
 the Products by the Merchant and the
Customers can order the Products,
through ShopeeFood Platform, where
the delivery may be conducted by the
Drivers or any other method
determined by Shopee.
Transaction means any transaction by
the Customers of ordering and
payment of Products from Merchant
through ShopeeFood Platform.
1.2 In the Agreement (including these
General Terms and Conditions):
1.2.1 A reference to a statutory provision
shall include that provision and any
regulations made in pursuance thereof
as from time to time modified or re-
enacted, whether before or after the
date of this Agreement and shall
include also any past statutory
provision or regulation (as from time to
time modified or re-enacted) which
such provision or regulation has
directly or indirectly replaced;
1.2.2 A reference to “written” or “in writing”
includes any means of visible
reproduction;
1.2.3 A reference to “including” shall be
interpreted to mean “including,
without limitation”;
1.2.4 A reference to a “Clause” or “Schedule”
is to a clause of, or a schedule to, these
General Terms and Conditions (unless
the context otherwise requires); and
1.2.5 Unless the context otherwise requires,

dan Pelanggan dapat melakukan
pemesanan Produk, melalui ShopeeFood
Platform, dimana pengantaran dapat
dilakukan oleh Pengemudi atau metode
lainnya yang ditentukan oleh Shopee.
Transaksi berarti setiap transaksi oleh
Pelanggan yaitu pemesanan dan
pembayaran atas Produk dari Merchant di
ShopeeFood Platform.
1.2. Dalam Perjanjian (termasuk Syarat dan
Ketentuan Umum ini):
1.2.1 Rujukan kepada suatu ketentuan undang-
undang mencakup ketentuan tersebut dan
peraturan yang dibuat sesuai dengan
ketentuan tersebut, sebagaimana diubah
atau diberlakukan kembali dari waktu ke
waktu, baik sebelum atau setelah tanggal
Perjanjian ini, dan mencakup pula
ketentuan hukum atau peraturan
sebelumnya (sebagaimana diubah atau
diberlakukan kembali dari waktu ke
waktu), yang secara langsung atau tidak
langsung digantikan oleh ketentuan atau
peraturan tersebut;
1.2.2 Rujukan kepada “tertulis” atau “dalam
bentuk tertulis” mencakup segala bentuk
reproduksi salinan yang kasatmata;
1.2.3 Rujukan kepada “mencakup/termasuk”
harus diartikan sebagai “termasuk, namun
tidak terbatas”;
1.2.4 Rujukan kepada suatu “Pasal” atau
“Daftar” adalah rujukan kepada suatu pasal
dari, atau lampiran atas Syarat dan
Ketentuan Umum ini (kecuali konteksnya
mengartikan lain); dan
1.2.5 Kecuali konteksnya mengartikan lain, kata

include the plural and vice versa and
words importing a specific gender shall
include the other genders (male,
female or neuter).
1.3 The headings in the Agreement
(including these General Terms and
Conditions) are inserted for
convenience only and shall not affect
the construction of the Agreement.
1.4 Any thing or obligation to be done
under the Agreement, which requires
or fails to be done on a stipulated day,
shall be done on the next succeeding
Business Day, if the day upon which
that thing or obligation is required or
falls to be done falls on a day which is
not a Business Day.
2. Scope
The Agreement, to which these
General Terms and Conditions are
attached, contains the terms for the
provision of the ShopeeFood Services
(which may be amended from time to
time).
3. Term
The Agreement shall continue in full
force and effect for 1 (one) year as of
the Effective Date, and shall be
renewed automatically for succeeding
terms of 1 (one) year each unless
either Party gives written notice to the
other Party at least thirty (30) days
prior to the expiration of any term.

1.3. Judul-judul dalam Perjanjian (termasuk
Syarat dan Ketentuan Umum ini) disisipkan
untuk kemudahan semata dan tidak akan
mempengaruhi penafsiran Perjanjian ini.
1.4. Setiap hal atau kewajiban yang wajib
dilaksanakan berdasarkan Perjanjian ini,
yang diwajibkan untuk dilaksanakan pada
hari yang ditetapkan, wajib dilaksanakan
pada Hari Kerja berikutnya, jika hari di
mana hal atau kewajiban yang wajib
dilaksanakan tersebut jatuh pada hari yang
bukan Hari Kerja.
2. Ruang Lingkup
Perjanjian, dimana Syarat dan Ketentuan
Umum ini melekat padanya, berisi syarat
penyediaan Layanan ShopeeFood (yang
mungkin diubah dari waktu ke waktu).
3. Jangka Waktu
Perjanjian akan terus berlaku sepenuhnya
untuk 1 (satu) tahun terhitung sejak
Tanggal Efektif, dan akan diperpanjang
secara otomatis untuk masa berlaku
masing-masing 1 (satu) tahun kecuali salah
satu Pihak memberikan pemberitahuan
tertulis kepada Pihak lainnya paling lambat
tiga puluh (30) hari sebelum berakhirnya
suatu jangka waktu.
4. Description of ShopeeFood Services
4.1 Merchant acknowledges and agrees
that the ShopeeFood Services provided
by Shopee are limited to (i) referring
Customers to Merchant; (ii) as an
intermediary between the Customer
and the Merchant, accepting Orders
and receiving payments from
Customers on Merchant’s behalf; and
(iii) as an intermediary between the
Customer and the Merchant,
communicating Orders and disbursing
net payments from Customers to
Merchant. Shopee may carry out
changes to ShopeeFood Services, or
suspend the ShopeeFood Services,
without notice at its sole and absolute
discretion.
4.2 Shopee shall present on ShopeeFood
Platform the range of Products offered
by the Merchant, to the extent that it
has been communicated to Shopee dan
it meets the criteria determined solely
by Shopee and communicated to
Merchant.
4.3 Merchant shall provide Shopee with all
information necessary to present the
Products offerings on ShopeeFood
Platform, including your menu,
Products, availability of Products at any
Merchant Outlets, operating hours and
location of Merchant Outlets, logo,
images, prices, and company identity
as required by Shopee. Any changes to
such information must be
communicated by Merchant to Shopee
at the latest 7 (seven) days before the
changes take effect.
4. Uraian Mengenai Layanan ShopeeFood
4.1. Merchant mengakui dan setuju bahwa
Layanan ShopeeFood yang disediakan oleh
Shopee terbatas pada (i) mereferensikan
Pelanggan ke Merchant; (ii) sebagai
perantara antara Pelanggan dan Merchant,
menerima Pesanan dan menerima
pembayaran dari Pelanggan atas nama
Merchant; dan (iii) sebagai perantara
antara Pelanggan dan Merchant,
mengkomunikasikan Pesanan dan
menyalurkan pembayaran bersih dari
Pelanggan kepada Merchant. Shopee
dapat melakukan perubahan atas Layanan
ShopeeFood, atau menangguhkan Layanan
ShopeeFood, dengan tanpa pemberitahuan
dan mutlak atas kebijakannya sendiri.
4.2. Shopee akan menampilkan pada Platform
ShopeeFood berbagai Produk yang
ditawarkan Merchant, sejauh Produk
tersebut telah dikomunikasikan kepada
Shopee dan memenuhi kriteria yang
ditetapkan Shopee berdasarkan
kebijakannya sendiri dan dikomunikasikan
kepada Merchant.
4.3. Merchant harus memberikan kepada
Shopee semua informasi yang diperlukan
untuk menampilkan penawaran Produk di
Platform ShopeeFood, termasuk menu,
Produk, ketersediaan Produk pada setiap
Gerai Merchant, jam buka dan lokasi
Outlet Merchant, logo, gambar, harga, dan
identitas perusahaan Merchant
sebagaimana diminta oleh Shopee. Setiap
perubahan informasi tersebut harus
dikomunikasikan oleh Merchant kepada
Shopee selambat-lambatnya 7 (tujuh) hari
sebelum perubahan tersebut berlaku.
4.4 Merchant shall verify the information
published by Shopee on an ongoing
basis, and immediately notify Shopee
of any mistakes or inaccuracies. For the
avoidance of doubt, Merchant’s menu,
Products, logo, images, prices,
company identity and other relevant
information of the Merchant may be
published on the ShopeeFood Platform
and other media (including but not
limited to Twitter, Facebook and
Google AdWords campaign).
4.5 Merchant acknowledges and agrees
that Shopee does not provide
transportation services, or act as the
transportation provider, courier, postal
services provider, deliver service
provider, supplier of food and
beverages, dan does not act as agent of
any party. Hence, Shopee makes no
representations or warranties and does
not ensure the quality, safety and/or
legality of any Products. Shopee does
not guarantee the identity of any
Customers or ensure that a Customer
will complete a Transaction.
4.6 Merchant acknowledges and agrees
that the actual contract for the sale of
the Products is directly between
Merchant and the Customers, and
Shopee is not a party to such contracts,
and accepts no responsibility, liability
or obligations in connection with any
such contract, hence, any dispute
arising out of any Product is between
the Merchant and the relevant
Customers.
4.7 Any refund and/or claim settlement,

berkelanjutan, dan segera memberi tahu
Shopee jika ada kesalahan atau
ketidakakuratan. Untuk menghindari
keraguan, menu Merchant, Produk, logo,
gambar, harga, identitas perusahaan, dan
informasi lainnya terkait Merchant dapat
dipublikasikan di Platform ShopeeFood dan
media lain (termasuk namun tidak terbatas
pada kampanye Twitter, Facebook, dan
Google AdWords).
4.5. Merchant mengakui dan setuju bahwa
Shopee tidak menyediakan jasa
transportasi, ataupun bertindak sebagai
penyedia transportasi, kurir, penyedia jasa
pos, penyedia jasa pengiriman, pemasok
makanan dan minuman, dan tidak
bertindak sebagai agen dari salah satu
pihak manapun. Oleh karenanya, Shopee
tidak membuat pernyataan atau jaminan,
dan tidak menjamin mutu, keamanan
dan/atau legalitas Produk. Shopee tidak
menjamin identitas Pelanggan atau
menjamin bahwa seorang Pelanggan
Merchant akan menyelesaikan suatu
Transaksi.
4.6. Merchant mengakui dan setuju bahwa
kontrak yang sebenarnya untuk penjualan
Produk adalah langsung antara Merchant
dan Pelanggan, dan Shopee bukanlah pihak
dalam kontrak tersebut, dan tidak
menerima tanggung jawab, kewajiban,
atau kewajiban sehubungan dengan
kontrak tersebut, sehingga setiap
perselisihan yang timbul dari Produk
adalah antara Merchant dan Pelanggan
yang bersangkutan.
4.7. Setiap pengembalian dana dan/atau
 including but not limited to,
chargebacks, resulting from the
Transaction shall be settled directly
between the Merchant and the
relevant Merchant Users. In this
regard, the Merchant must maintain
proper refund and/or claim settlement
procedures.
4.8 Shopee reserves the right to suspend a
specific Transaction and/or a Customer
Account and/or the Merchant Wallet
and/or the ShopeeFood Services if
Shopee believes that any of the
following circumstances exist:
(a) where Shopee believes it is
necessary or desirable to protect
the security of the Merchant User
Account and/or the Merchant
Wallet and/or the ShopeeFood
Services;
(b) if any Transactions are made which
Shopee believes to be (i) made in
breach hereof or in breach of the
security requirements of the
Customer Account and/or the
Merchant Wallet and/or the
ShopeeFood Services; or (ii)
suspicious, unauthorized or
fraudulent, including but without
limitation to, money laundering,
terrorism financing, fraud or other
illicit activities;
(c) if the Transactions are for the sale
of goods and/or services which fall
outside of the agreed Products or
business activities of the Merchant;

Merchant dan Pengguna Merchant yang
bersangkutan. Dalam hal ini, Merchant
harus memiliki prosedur pengembalian
dana dan/atau penyelesaian klaim yang
tepat.
4.8. Shopee berhak menangguhkan suatu
Transaksi tertentu dan/atau Akun
Pelanggan dan/atau Akun Merchant
dan/atau Layanan ShopeeFood dalam hal
Shopee mempercayai bahwa terjadi salah
satu peristiwa di bawah ini:
(a) jika Shopee percaya perlunya
melindungi keamanan Akun Pengguna
dan/atau Akun Merchant dan/atau
Layanan ShopeeFood;
(b) jika Shopee percaya adanya Transaksi
yang (i) dibuat secara melanggar
Perjanjian ini atau melanggar
persyaratan keamanan Akun
Pelanggan dan/atau Akun Merchant
dan/atau Layanan ShopeeFood; atau
(ii) mencurigakan, tidak sah atau
bersifat menipu, termasuk namun
tidak terbatas pada pencucian uang,
pendanaan terorisme, penipuan atau
kegiatan ilegal lainnya;
(c) jika Transaksi yang dilakukan adalah
untuk penjualan barang dan/atau jasa
di luar Produk atau kegiatan usaha
Merchant yang disepakati; atau
 (d) if the Merchant engages in
prohibited activities as specified in
the Merchant SOP or any other
policies of Shopee; or
(e) otherwise in connection with
Shopee’s compliance with any
Applicable Law.
4.9 Shopee, at its sole discretion, may
provide periodic education and
development to Merchant related to
ShopeeFood Services, including if there
is any (i) change of name and/or type,
(ii) development, and/or (iii) addition
of facilities of ShopeeFood Services.
4.10 Shopee reserves the right to deduct the
Service Fee that Shopee is entitled to
from the Transactions funds for the
provisions of ShopeeFood Services
through ShopeeFood Platform.
4.11 If Shopee provides any equipment,
including but not limited to an
Electronic Data Capture (EDC), to the
Merchant in connection with the
provision of ShopeeFood Services (the
“Device”), the Merchant agrees that it
is bound to shall be responsible for
such Device and is obliged to return it
to Shopee in good condition after
termination of ShopeeFood Services.
Further details on the use of, technical
and operational support and/or issues
settlement related to the Device may
be provided by Shopee in the
Merchant SOP and/or published by
Shopee in Shopee Platform which shall
apply and bind the Parties.
4.12 Shopee shall retain records relating to
a Transaction for at least ten (10) years

Merchant terkait dengan Layanan
ShopeeFood, termasuk apabila terdapat (i)
perubahan nama dan/atau jenis, (ii)
perkembangan, dan/atau (iii) penambahan
fasilitas dari Layanan ShopeeFood.
4.10. Shopee berhak untuk memotong Biaya
Layanan yang menjadi hak Shopee dari
dana Transaksi yang dilakukan di Outlet
Merchant atas penyediaan Layanan
ShopeeFood melalui Platform ShopeeFood.
4.8 Jika Shopee menyediakan peralatan,
termasuk namun tidak terbatas pada
Electronic Data Capture (EDC), kepada
Merchant sehubungan dengan penyediaan
Layanan ShopeeFood (“Perangkat”),
Merchant bertanggung jawab atas
Perangkat tersebut dan berkewajiban
untuk mengembalikannya kepada Shopee
dalam kondisi baik setelah pengakhiran
Layanan ShopeeFood. Rincian lebih lanjut

teknis dan operasional, dan penyelesaian

immaterial, and release Shopee from
any claim related to such matter.
5.8 Neither the Merchant nor any director
or officer of the Merchant, to the
Merchant’s knowledge, is an individual
or entity (“Person”) that is, or is
owned or controlled by a Person that
is currently the subject of any
sanctions administered or enforced by
the applicable governmental authority
in Indonesia (collectively, “Sanctions”),
nor located, organized or resident in a
country or territory that is currently
the subject of Sanctions.
The Merchant will not use the
ShopeeFood Services in any manner
that will result in a violation of
Sanctions by any Person.
The Merchant and its subsidiaries and
tuntutan pidana, kebangkrutan atau

5.7 Jika salah satu Produk rusak, rusak, atau

alergi, atau efek lain yang akan merugikan
Pelanggan, Merchant akan bertanggung
jawab secara pribadi dan / atau secara
hukum bertanggung jawab atas kejadian
tersebut, baik materi maupun non-materi,
dan membebaskan Shopee dari segala
tuntutan yang terkait dengan hal tersebut.
5.8 Baik Merchant atau direktur atau pejabat
Merchant, sepengetahuan Merchant, adalah
bukan perorangan atau entitas (“Persona“)
yang, atau dimiliki atau dikendalikan oleh
Persona yang saat ini menjadi subyek dari
sanksi yang dijatuhkan atau diberlakukan
oleh otoritas pemerintah di Indonesia
(secara bersama-sama disebut sebagai
“Sanksi“), atau terletak, diselenggarakan
atau merupakan penduduk di suatu negara
atau wilayah yang saat ini menjadi subjek
dari Sanksi.
Merchant tidak akan menggunakan Layanan
ShopeeFood dengan cara apapun yang akan
mengakibatkan pelanggaran Sanksi oleh
Persona.
Merchant beserta anak perusahaan dan
 affiliates have not knowingly engaged
in, are not now knowingly engaged in,
and will not engage in, any dealings or
transactions with any Person, or in any
country or territory, that at the time of
the dealing or transaction is or was the
subject of Sanctions.
5.9 The Merchant agrees that it and its
affiliates shall conduct business in
compliance with Applicable Laws
relating to anti-corruption and shall
not take any action, directly or
indirectly, that would result in a
violation of such laws, including but
not limited to providing, offering, or
promising, directly or indirectly,
anything of value to any governmental
authority or government official that
would result in a breach of any such
laws.
The operations of the Merchant and
its affiliates shall be at all times in
compliance with all material aspects
with Applicable Laws relating to anti-
money laundering and financial
recordkeeping and reporting
requirements.
5.10 The Merchant shall not:
(a) decode or do any reverse
engineering of Shopee or
ShopeeFood Platform’s system;

berkaitan dengan anti korupsi, dan tidak
akan mengambil tindakan apapun, baik
langsung maupun tidak langsung, yang akan
mengakibatkan pelanggaran terhadap
undang-undang tersebut, termasuk namun
tidak terbatas pada menyediakan,
menawarkan, atau menjanjikan, baik
langsung maupun tidak langsung, sesuatu
yang berharga kepada Otoritas Pemerintah
atau Pejabat Pemerintah manapun yang
akan mengakibatkan pelanggaran terhadap
undang-undang tersebut.
Kegiatan operasional Merchant dan
afiliasinya dalam segala hal material harus
selalu sesuai dengan Hukum Yang Berlaku
yang berkaitan dengan anti pencucian uang
serta pencatatan dan pelaporan keuangan.
5.10 Merchant tidak akan:
(a) memecahkan kode atau melakukan
rekayasa terbalik (reverse engineering)
terhadap sistem Shopee atau Platform
ShopeeFood;
 (b) perform any actions that may
cause damages and/or disruptions
to Shopee or ShopeeFood
Platform’s system; or
(c) perform any actions that aim to
duplicate, replicate and/or steal
the information and/or data of
ShopeeFood Services, Shopee
and/or Customers.
5.11 The Merchant agrees to carry out
promotional or marketing activities to
support the provision of ShopeeFood
Services as agreed with Shopee which
shall be further provided in a separate
document.
5.12 The Merchant shall be responsible to
keep confidential any and all
identifications, passwords, personal
identification numbers (PINs), or any
other codes to access the Merchant
Wallet. The Merchant shall be fully
responsible for all activities that occur
under its Merchant Wallet even if such
activities or uses were not committed
by the Merchant. Shopee shall not be
liable for any loss or damage arising
from unauthorized use of the
Merchant’s credentials or the
Merchant’s failure to comply with this
Clause.
6. Fees and Taxes
6.1 In consideration for the ShopeeFood
Services provided by Shopee,
Merchant shall pay Shopee a service
fee (“Service Fee”) as set out in the
ShopeeFood Merchant Registration
Form. The Service Fee shall be charged
as percentage of the Nett Sales on
successful Transaction and recorded in

5.11 Merchant setuju untuk melakukan kegiatan
promosi atau pemasaran untuk mendukung
penyediaan Layanan ShopeeFood
sebagaimana disepakati dengan Shopee
yang akan diatur lebih lanjut dalam
dokumen terpisah.
5.12 Merchant akan bertanggung jawab untuk
menjaga kerahasiaan setiap dan seluruh
identifikasi, kata sandi, nomor identifikasi
pribadi (PIN), atau setiap kode lain untuk
mengakses Akun Merchant. Merchant
sepenuhnya bertanggung jawab untuk
semua kegiatan yang dilakukan dengan
menggunakan Akun Merchant meskipun
kegiatan atau penggunaan tersebut tidak
dilakukan oleh Merchant. Shopee tidak akan
bertanggung jawab untuk setiap kerugian
atau kerusakan yang timbul dari penggunaan
tanpa izin kredensial Merchant atau
kegagalan Merchant untuk mematuhi Pasal
ini.
6. Biaya dan Pajak
6.1 Sebagai konsiderasi untuk Layanan
ShopeeFood yang disediakan oleh Shopee,
Merchant harus membayar suatu biaya
layanan (“Biaya Layanan”) kepada Shopee
sebagaimana ditetapkan dalam Formulir
Pendaftaran Merchant ShopeeFood. Biaya
Layanan akan dibebankan sebagai
persentase dari Penjualan Bersih atas
 Shopee system. The Service Fee shall
be inclusive of any value-added tax
(VAT).
6.2 Terms of the settlement of the
Transaction funds after deducted by
Service Fee and other fees (if any) and
reconciliation if it will be further
regulated in the Merchant SOP.
6.3 Merchant hereby is authorizing
Shopee and/or its Affiliate to initiate
debit or credit entries to the Merchant
Wallet at any time by written notice to
the Merchant, unless otherwise
stipulated by Applicable Law, based on
the certain reasons, among others:
(a) to correct any errors in the
processing of any Transaction
and/or instruction provided by
Merchant to Shopee, including but
not limited to double payout;
(b) where Shopee has determined
that the Merchant has engaged in
any fraudulent or suspicious
activity and/or Transaction;
(c) in connection with any rewards or
rebates;
(d) in connection with any uncharged
fees;
(e) in connection with the settlement
of any Transaction dispute,
including any compensation due
to, or from, the Merchant; and
(f) any other reasons relevant to any
Transaction as determined by
Shopee in the future.
The authorization above shall not be

6.2 Ketentuan mengenai pembayaran
(settlement) atas dana Transaksi setelah
dipotong dengan Biaya Layanan dan biaya-
biaya lainnya (apabila ada) dan rekonsiliasi
atas settlement tersebut akan diatur lebih
lanjut dalam SOP Merchant.
6.3 Merchant dengan ini memberikan kuasa
kepada Shopee untuk melakukan entri debet
atau kredit ke Akun Merchant setiap saat
dengan pemberitahuan tertulis kepada
Merchant, kecuali diatur sebaliknya oleh
Hukum Yang Berlaku, berdasarkan alasan-
alasan tertentu, yang diantaranya:
(a) untuk memperbaiki kesalahan ketika
memproses suatu Transaksi dan/atau
instruksi yang diberikan oleh Merchant
kepada Shopee, termasuk namun tidak
terbatas pada pembayaran ganda;
(b) dimana Shopee telah menentukan
bahwa Merchant telah terlibat dalam
penipuan atau aktivitas dan/atau
Transaksi mencurigakan;
(c) sehubungan dengan hadiah atau
potongan harga;
(d) sehubungan dengan biaya yang belum
terbayar;
(e) sehubungan dengan penyelesaian
perselisihan Transaksi, termasuk
kompensasi yang harus dibayarkan
kepada, atau dari, Merchant; dan
(f) alasan lain yang relevan dengan
Transaksi apapun yang ditentukan oleh
Shopee di masa mendatang.
Kuasa di atas tidak akan diakhiri dengan
 terminated for any reason, including
for the reasons provided under Article
1813, Article 1814 and Article 1816 of
the Indonesian Civil Code, to the
extent that the Merchant still has
outstanding obligations to Shopee
and/or such debit/credit entry is done
based on the reasons as stated above.
6.4 Shopee may vary the fee, or advise the
Merchant of any additional fees,
applicable to the Agreement at any
time by written notice to the
Merchant; provided that any changes
to the Service Fee shall obtain prior
written consent from the Merchant.
6.5 Any sum required under Applicable
Law, if any, to be paid to the
government relating to Transaction
based on this Agreement, must be
borne by each Party in accordance
with the Applicable Law.
6.6 The Service Fee is subject to Article 23
Withholding Tax based on the
prevailing tax regulation. Through
reimbursement mechanism, Shopee
will repay the Article 23 Withholding
Tax payable after Merchant provides
the proof of the Withholding Tax Slip
to Shope.
7. Intellectual Property
7.1 Shopee and/or its licensors reserve
and shall retain its entire right, title
and interest in all copyrights,
trademarks and other intellectual
property rights therein and relating

6.4 Shopee dapat mengubah biaya, atau
memberitahu Merchant secara tertulis
mengenai adanya biaya tambahan yang
diberlakukan terhadap Perjanjian sewaktu-
waktu; dengan ketentuan untuk setiap
perubahan Biaya Layanan harus
mendapatkan persetujuan tertulis
sebelumnya dari Merchant.
6.5 Setiap jumlah yang diwajibkan oleh Hukum
Yang Berlaku, apabila ada, yang wajib
dibayarkan ke pemerintah yang berkaitan
dengan Transaksi berdasarkan Syarat dan
Ketentuan ini, wajib ditanggung oleh
masing-masing Pihak sesuai Hukum Yang
Berlaku.
6.6 Biaya Layanan dikenakan PPh Pasal 23
berdasarkan ketentuan perpajakan yang
berlaku. Melalui mekanisme reimbursement,
Shopee akan melunasi PPh Pasal 23 yang
terutang setelah Merchant memberikan
bukti potong PPh kepada Shopee.
7. Kekayaan Intelektual
7.1 Shopee dan/atau pemberi lisensinya
mencadangkan dan mempertahankan
seluruh hak, kepemilikan dan
kepentingannya dalam hak cipta, merek
dagang dan hak atas kekayaan intelektual
 thereto, except as expressly granted to
the Merchant in this Agreement.
7.2 The Merchant grants Shopee, for the
term of the Agreement only, a
worldwide, non-exclusive, royalty-
free, non-transferable license to copy,
use and display any logo, trademark,
trade name or other intellectual
property owned by, or licensed to the
Merchant for the purpose of
implementing this Agreement. The
Merchant hereby warrants and
represents that it owns or has the
right to use and sublicense any
intellectual property which it uses or
licenses for use to Shopee.
7.3 Merchant represents and warrants
that it owns or is the legal licensee of
all intellectual property rights used
under this Agreement, free from any
infringement or violation of any third-
party ownership or intellectual
property rights, and that no other
party will claim to have the same
ownership of such intellectual
property rights.
7.4 All reports, specifications, and other
similar documents compiled or
prepared in the course of this
Agreement, including documents,
materials produced in respect of the
ShopeeFood Services and any
derivation of any intellectual property
rights granted by any Party shall be
the absolute property of such Party
throughout their preparation and at all
times thereafter. For the avoidance of

7.2 Merchant memberikan kepada Shopee,

menampilkan logo, merek dagang, nama
dagang atau kekayaan intelektual lainnya
yang dimiliki oleh, atau dilisensikan kepada
Merchant untuk tujuan pelaksanaan
Perjanjian ini. Merchant dengan ini
menjamin dan menyatakan bahwa Merchant
memegang atau memiliki hak untuk
menggunakan dan memberikan sublisensi
atas kekayaan intelektual yang digunakan
atau diizinkan untuk digunakan olehnya
kepada Shopee.
7.3 Merchant menyatakan dan menjamin bahwa
ia memiliki atau merupakan pemegang
lisensi hukum dari semua hak kekayaan
intelektual yang digunakan berdasarkan
Perjanjian ini, bebas dari pelanggaran atau
pelanggaran apa pun terhadap kepemilikan
pihak ketiga atau hak kekayaan intelektual,
dan bahwa tidak ada pihak lain yang akan
mengklaim memiliki kepemilikan yang sama
atas hak kekayaan intelektual tersebut.
7.4 Semua laporan, spesifikasi, dan dokumen
serupa lainnya yang dikumpulkan atau
disiapkan selama jangka waktu Perjanjian

ShopeeFood, dan setiap derivasi dari hak
kekayaan intelektual yang diberikan oleh
Pihak mana pun akan menjadi milik mutlak
dari Pihak tersebut selama persiapan
mereka dan setiap saat setelahnya. Untuk
menghindari keraguan, hak kekayaan
 doubt, the intellectual property rights
subsisting in all reports, specifications
and other similar documents set out in
this clause shall at all times remain
vested in the relevant Party.
7.5 Each Party warrants that it will not use
any other Party’s trademark for any
marketing activities, including but not
limited to promotional activities
without prior written consent from the
other Party and unless it is conducted
based on this Agreement.
8. No Warranty
8.1 THE SHOPEEFOOD SERVICES ARE
PROVIDED “AS-IS” AND WITHOUT ANY
REPRESENTATION OR WARRANTY,
WHETHER EXPRESS, IMPLIED OR
STATUTORY. SHOPEE, AND ANY OF ITS
SUBSIDIARIES AND AFFILIATES,
OFFICERS, DIRECTORS, AGENTS, JOINT
VENTURES, EMPLOYEES AND
SUPPLIERS SPECIFICALLY DISCLAIM
ANY IMPLIED WARRANTIES OF TITLE,
MERCHANTABILITY, FITNESS FOR A
PARTICULAR PURPOSE AND NON-
INFRINGEMENT. SHOPEE DOES NOT
HAVE ANY CONTROL TO PRODUCTS
THAT ARE PAID FOR THROUGH THE
SHOPEEFOOD SERVICES. SHOPEE
DOES NOT GUARANTEE CONTINUOUS,
UNINTERRUPTED OR SECURE ACCESS
TO ANY PART OF THE FOOD SERVICES,
AND OPERATION OF SHOPEE SITE MAY
BE TEMPORARILY SUSPENDED FOR
MAINTENANCE OR UPGRADE OR
INTERFERED WITH BY NUMEROUS
FACTORS OUTSIDE OF SHOPEE’S
CONTROL. SHOPEE WILL MAKE
REASONABLE EFFORTS TO ENSURE
THAT SHOPEEFOOD SERVICES ARE
intelektual yang terdapat dalam semua
laporan, spesifikasi, dan dokumen serupa
lainnya yang ditetapkan dalam klausul ini
akan selalu menjadi milik Pihak terkait.
7.5 Setiap Pihak menjamin bahwa ia tidak akan
menggunakan merek dagang Pihak lain
untuk kegiatan pemasaran apa pun,
termasuk namun tidak terbatas pada
kegiatan promosi tanpa persetujuan tertulis
sebelumnya dari Pihak lainnya dan kecuali
jika dilakukan berdasarkan Perjanjian ini.
8. Tidak Ada Jaminan
8.1 LAYANAN SHOPEEFOOD DIBERIKAN SECARA
“APA ADANYA” DAN TANPA PERNYATAAN
ATAU JAMINAN APAPUN, BAIK TERSURAT
MAUPUN TERSIRAT ATAUPUN YANG
DIWAJIBKAN OLEH UNDANG-UNDANG.
SHOPEE, BESERTA ANAK PERUSAHAAN DAN
AFILIASINYA, PEJABAT, DIREKSI, AGEN,
USAHA PATUNGAN, KARYAWAN DAN
PEMASOKNYA SECARA TEGAS TIDAK
MENGAKUI JAMINAN APAPUN YANG
TERSIRAT MENGENAI KEPEMILIKAN,
KEMAMPUANNYA UNTUK
DIPERDAGANGKAN (MERCHANTABILITY),
KESESUAIAN UNTUK TUJUAN TERTENTU,
DAN TIDAK DILAKUKANNYA PELANGGARAN.
SHOPEE TIDAK MEMILIKI KENDALI ATAS
PRODUK YANG DIBAYAR MELALUI LAYANAN
SHOPEEFOOD. SHOPEE TIDAK MEMBERIKAN
JAMINAN AKSES YANG TERUS MENERUS,
TIDAK TERGANGGU ATAU AMAN PADA
SETIAP BAGIAN LAYANAN SHOPEEFOOD,
DAN OPERASIONAL SITUS SHOPEE MUNGKIN
DIHENTIKAN SEMENTARA UNTUK
PEMELIHARAAN ATAU PERBAIKAN, ATAU
TERGANGGU OLEH BANYAKNYA FAKTOR DI
LUAR KENDALI SHOPEE. SHOPEE AKAN
MELAKUKAN UPAYA YANG WAJAR UNTUK
 PROCESSED IN A TIMELY MANNER BUT
SHOPEE MAKES NO
REPRESENTATIONS AND WARRANTIES
REGARDING THE AMOUNT OF TIME
NEEDED TO COMPLETE PROCESSING.
8.2 Shopee shall not be liable for any of
the following:
(a) any suspension or refusal to
accept payments which Shopee
reasonably believes to be made
fraudulently or without proper
authorization;
(b) the payment instructions received
contain incorrect or improperly
formatted information;
(c) a hardware, software, mobile
device and/or internet connection
is not functioning properly due to,
including but not limited to,
viruses, disruptions or other forms
of system disruption such as
unauthorized access by third
parties; or
(d) any circumstances as specified in
Clause 4.9.
9. Confidentiality and Personal Data
9.1 Each Party shall keep confidential and
shall not disclose to any person or use
directly or indirectly for its own or any
other person’s benefit (other than for
the due performance by it of its
obligations under this Agreement), any
Confidential Information disclosed,
made available or otherwise provided
to the receiving Party by or on behalf

8.2 Shopee tidak bertanggung jawab atas hal-hal
sebagai berikut:
(a) penangguhan atau penolakan untuk
menerima pembayaran dimana Shopee
memiliki cukup alasan untuk percaya
bahwa pembayaran tersebut dilakukan
dengan cara menipu atau tanpa otorisasi
yang layak;
(b) instruksi pembayaran yang diterima
berisi informasi yang salah atau dalam
format yang tidak tepat;
(c) perangkat keras, perangkat lunak,
perangkat seluler dan/atau koneksi
internet tidak berfungsi dengan baik
karena, termasuk namun tidak terbatas
pada, virus, gangguan atau bentuk
gangguan sistem lainnya seperti akses
tidak sah oleh pihak ketiga; atau
(d) setiap peristiwa sebagaimana ditentukan
dalam Pasal 4.9.
9. Kerahasiaan dan Data Pribadi
9.1 Masing-masing Pihak harus menjaga
kerahasiaan dan tidak akan mengungkapkan
kepada siapapun atau menggunakan secara
langsung atau tidak langsung untuk
keuntungannya sendiri atau orang lain
(selain untuk pelaksanaan kewajibannya
berdasarkan Perjanjian ini), setiap Informasi
Rahasia yang diungkapkan, disediakan, atau
sebaliknya diberikan kepada Pihak penerima
of the disclosing Party. “Confidential
Information” means any information
having been designated in writing to
be confidential or proprietary or if
given orally, is confirmed promptly in
writing as having been disclosed as
confidential or proprietary or
otherwise by the disclosing Party to
the recipient and, including any
Personal Data, all subscriber
information (including viewing
patterns, viewing details, quantity,
time or duration of usage of
equipment or viewing of the content),
details (including contact details,
telephone numbers, network
configuration, location information,
billing name, billing amounts, credit
history and other payment details),
information of a commercial, technical
or financial nature relating to this
Agreement, the disclosing Party or any
of its Affiliates including all trade
secrets, know-how, show-how,
patents research, development or
technical information, confidential and
proprietary product or information,
intellectual property rights, business
plans, operations or systems, financial
and trading positions, details of
customers, suppliers, debtors or
creditors, information relating to the
officers, directors or employees of the
disclosing Party or any of its Affiliates,
marketing information, printed
matter, rates and rate tables,
contracts, all regardless of form,
format or media whether machine
readable or human readable, including
written, oral or tangible form and also
includes information communicated or
obtained through meetings,

Pribadi apapun, semua informasi pelanggan
(termasuk pola tampilan, rincian tampilan,
quantity, waktu atau durasi penggunaan
peralatan atau tampilan konten), detail
(termasuk detail kontak, nomor telepon,
konfigurasi jaringan, informasi lokasi, nama
penagihan, jumlah tagihan, sejarah kredit,
dan rincian pembayaran lainnya), informasi
yang bersifat komersial, teknis atau
keuangan yang berkaitan dengan Perjanjian
ini, Pihak pengungkap atau Afiliasinya
termasuk semua rahasia dagang,
pengetahuan, know-how, show-how,
penelitian paten, pengembangan atau teknis
informasi, produk atau informasi rahasia,
dan kepemilikan, hak kekayaan intelektual,
rencana bisnis, operasi atau sistem, posisi
keuangan dan perdagangan, rincian
pelanggan, pemasok, debitur atau kreditor,
informasi yang berkaitan dengan pejabat,
direktur atau karyawan dari Pihak yang
mengungkapkan atau Afiliasinya, informasi
pemasaran, barang cetakan, tabel tarif dan
tarif, kontrak, semua terlepas dari bentuk,
format atau media apakah dapat dibaca
mesin atau dapat dibaca manusia, termasuk
bentuk tertulis, lisan atau berwujud dan juga
termasuk informasi yang dikomunikasikan
atau diperoleh melalui rapat, dokumen,
korespondensi atau pemeriksaan barang
berwujud.Klausul ini tidak berlaku untuk
Informasi Rahasia apapun yang pada saat
diungkapkan, disediakan atau disediakan
 documents, correspondence or
inspection of tangible items. This
Clause shall not apply to any
Confidential Information which at the
time it is disclosed, made available or
otherwise provided by the disclosing
Party, is in the public domain and shall
cease to apply to any information
which subsequently becomes publicly
available otherwise than as a
consequence of any breach by the
receiving Party.
9.2 The receiving Party may disclose
Confidential Information to (i) its
directors and employees to the extent
that their duties will require them to
have access to such Confidential
Information, provided that the
receiving party shall instruct such
directors and employees to treat such
Confidential Information as
confidential and not use such
Confidential Information for any
purpose other than the proper
discharge by them of their duties; and
(ii) its external auditors, lawyers and
professional advisers, and the
receiving Party shall ensure that the
persons to whom such disclosure is
made are contractually bound by the
provisions of this clause by the
incorporation of corresponding
provisions of confidentiality in their
employment and other applicable
contracts.
9.3 The Parties herewith shall comply with
their respective obligations as the
Data User and the Data Processor as
required under all Applicable Laws and
the privacy policy available on Shopee

ketentuan bahwa pihak penerima harus
menginstruksikan direktur dan karyawan
tersebut untuk memperlakukan Informasi
Rahasia tersebut sebagai rahasia dan tidak
menggunakan Informasi Rahasia tersebut
untuk tujuan apa pun selain untuk
melaksanakan tugas mereka dengan
semestinya; dan (ii) auditor eksternal,
pengacara dan penasihat profesionalnya,
dan PIhak penerima harus memastikan
bahwa orang yang kepadanya
pengungkapan tersebut dibuat terikat secara
kontrak oleh ketentuan klausul ini dengan
memasukkan ketentuan kerahasiaan yang
sesuai dalam pekerjaan mereka dan lainnya.

person, other than an employee of the
Data User, who processes the Personal
Data solely on behalf of the Data User,
and does not process the Personal
Data for any of his own purposes, and
“Data User” means a person who
either alone or jointly or in common
with other persons processes any
Personal Data or has control over or
authorizes the processing of any
Personal Data but does not include a
Data Processor.
9.4 The confidentiality obligations under
this Clause 9 shall survive the
termination of this Agreement, and/or
until the Confidential Information
enters the public domain.
10. Force Majeure
10.1 The Parties are released from
responsibility to all obligations and
delay of work as consequence of Force
Majeure. “Force Majeure” means any
extraordinary circumstances which is
an unforeseeable, inevitable event
and/or beyond reasonable control of
the Parties including but not limited to
epidemic or pandemic (except the
epidemic/pandemic of Corona Virus
Disease 2019 (Covid-19), natural

Data, yang memproses Data Pribadi hanya
atas nama Pengguna Data, dan tidak
memproses Data Pribadi untuk tujuannya
sendiri, dan "Pengguna Data" berarti
seseorang yang baik sendiri atau bersama-
sama atau bersama dengan orang lain
memproses Data Pribadi apa pun atau
memiliki kendali atas atau otorisasi
pemrosesan Data Pribadi apapun tetapi
tidak termasuk Pemroses Data.
9.4 Kewajiban kerahasiaan dalam Pasal 9 ini
tetap berlaku walaupun Perjanjian ini telah
diakhiri, dan/atau sampai Informasi Rahasia
memasuki domain publik.
10. Keadaan Kahar
10.1 Para Pihak dibebaskan dari tanggung jawab
atas semua kewajiban dan keterlambatan
kerja sebagai akibat dari Keadaan
Kahar.“Keadaan Kahar” berarti setiap
keadaan luar biasa yang merupakan kejadian
tak terduga, tak terhindarkan dan/atau di
luar kendali wajar Para Pihak termasuk
namun tidak terbatas pada epidemi atau
pandemi (kecuali epidemi/pandemi Penyakit
Virus Corona 2019 (Covid-19), bencana alam,
perang, pemberontakan, agresi, sabotase,
 disaster, war, rebellion, aggression,
sabotage, riot of mass, and existence
of governmental regulations in
monetary affairs which directly
influence performance of this
Agreement.
10.2 If either Party has delayed or is
prevented from performing its
obligations hereunder as a result of an
event of Force Majeure, it shall
promptly notify the other Party in
writing as soon as possible after the
occurrence of such an event of Force
Majeure.
11. Termination
11.1 Each Party may terminate the
Agreement immediately if:
(a) the other Party files a petition for
bankruptcy or Suspension of Debt
Payment Obligation (PKPU),
becomes insolvent, or makes any
arrangement or composition with
or assignment for the benefits of
its creditors, or a receiver or an
administrator is appointed for such
Party or its business, or the such
Party goes into liquidation either
voluntarily (otherwise than for
reconstruction or merger) or
compulsorily;
(b) upon the occurrence of a material
breach of this Agreement by the
other Party or if the non-defaulting
Party believes that such breach is
capable of remedy and provides
opportunity to remedy, but the
breach is not remedied within 30
(thirty) days from the date of
notice of such breach by the non-

10.2 Jika salah satu Pihak telah menunda atau
dicegah untuk melaksanakan kewajibannya

segera memberitahu Pihak lainnya secara
tertulis sesegera mungkin setelah terjadinya
peristiwa Keadaan Kahar tersebut.
11. Pengakhiran Perjanjian
11.1 Masing-masing Pihak dapat mengakhiri
Perjanjian dengan segera jika:
(a) Pihak lain mengajukan permohonan
pailit atau Penundaan Kewajiban
Pembayaran Utang (PKPU), tidak
mampu melunasi utang-utangnya, atau
membuat kesepakatan atau perdamaian
dengan, atau pengalihan untuk
kepentingan para krediturnya, atau
ditunjuknya seorang kurator atau
pengurus bagi Pihak tersebut atau
usahanya, atau Pihak tersebut
dilikuidasi, baik secara sukarela (selain
untuk restrukturisasi atau merger)
ataupun karena perintah pengadilan;
(b) terjadi pelanggaran material terhadap
Perjanjian ini oleh Pihak lainnya, atau
jika Pihak yang tidak melanggar
menganggap pelanggaran tersebut
dapat diperbaiki dan memberikan
kesempatan untuk memperbaiki,
namun tidak diperbaiki oleh Pihak yang
melanggar dalam waktu 30 (tiga puluh)
hari sejak tanggal pemberitahuan
 defaulting Party; or
(c) Shopee suspects that there is any
unlawful, illegal and/or fraudulent
act committed by Merchant and/or
Merchant’s employees or agents;
(d) the other Party violates or fails to
comply with any Applicable Law in
a manner that may result in
adversely affects the non-
defaulting Party in any material
respect, including any food safety
or other regulations relating to
restaurants and/or meals; or
(e) by giving the other Party 30 (thirty)
days’ prior written notice for any or
no reason.
11.2 The termination of ShopeeFood
Services shall not relieve or limit either
Merchant or Shopee from its
obligations, responsibilities and
liabilities accruing prior to such
termination.
11.3 The Parties agree to waive the
provision of Articles 1266 the
Indonesian Civil Code which require
the decision of any court institution to
terminate this Agreement.
12. Assignment
12.1 The Merchant may not assign any of
its rights under this Agreement to any
person without the prior written
consent of Shopee.
12.2 The Merchant may not permit other
pelanggaran tersebut oleh Pihak yang
tidak melanggar; atau
(c) Shopee mencurigai bahwa ada tindakan
melanggar hukum, ilegal dan/atau
penipuan yang dilakukan oleh Merchant
dan/atau karyawan atau agen
Merchant;
(d) Pihak lain melanggar atau gagal
mematuhi Hukum Yang Berlaku dengan
cara yang dapat menimbulkan kerugian
bagi Pihak yang tidak melanggar dalam
segala aspek material, termasuk
keamanan pangan atau peraturan lain
yang berkaitan dengan restoran
dan/atau makanan; atau
(e) dengan menyampaikan pemberitahuan
tertulis 30 (tiga puluh) hari sebelumnya
kepada Pihak lain, dengan atau tanpa
sebab.
11.2 Pengakhiran Layanan ShopeeFood tidak
akan membebaskan atau membatasi
Merchant atau Shopee dari kewajiban,
tanggung jawab dan kewajibannya yang
timbul sebelum pengakhiran tersebut.
11.3 Para Pihak sepakat untuk menyampingkan
ketentuan Pasal 1266 Kitab Undang-Undang
Hukum Perdata Indonesia yang mewajibkan
adanya putusan lembaga pengadilan untuk
mengakhiri Perjanjian ini.
12. Pengalihan
12.1 Merchant dilarang mengalihkan haknya
berdasarkan Perjanjian ini kepada siapapun
tanpa persetujuan tertulis sebelumnya dari
Shopee.
12.2 Merchant dilarang memberi izin kepada
 persons (other than Customers) to use
the ShopeeFood Services without the
prior written consent of Shopee.
12.3 The provisions of the Agreement shall
be binding upon the Parties and their
respective successors and permitted
assigns.
13. Relationship of the Parties; Driver as
Independent Contractor
13.1 Nothing in this Agreement shall be
construed to create a partnership,
joint venture or agency relationship
between the Merchant and Shopee.
Neither Party has authority to enter
into agreements of any kind on behalf
of the other Party.
13.2 The third-party agreement pursuant to
which Drivers agree to provide food
delivery service to Customers is an
independent agreement between the
Customer and the Driver, who is not
an employee or agent of Shopee.
Shopee is only intermediary between
the Customer and the Driver.
13.3 Shopee does not provide any
transportation services and shall not
be held responsible whatsoever to any
of the Parties for any Driver’s action,
negligence, failure, lateness, or
rejection to provide transportation
service.
13.4 Shopee does not and shall not
guarantee the safety, reliability,
compatibility, or capability of the
Driver during the delivery of his/her
obligation in delivering the Products
pihak lain (selain Pelanggan) untuk
menggunakan Layanan ShopeeFood tanpa
persetujuan tertulis sebelumnya dari
Shopee.
12.3 Ketentuan Perjanjian ini mengikat Para Pihak
beserta para penerus dan penerima haknya
yang sah.
13. Hubungan Para Pihak; Pengemudi Sebagai
Kontraktor Independen
13.1 Tidak ada ketentuan dalam Perjanjian ini
yang dapat ditafsirkan sebagai pembentukan
hubungan kemitraan, usaha patungan atau
hubungan keagenan antara Merchant dan
Shopee. Tidak satu Pihakpun memiliki
kewenangan untuk menandatangani
perjanjian apapun atas nama Pihak lainnya.
13.2 Perjanjian pihak ketiga yang dengannya
Pengemudi setuju untuk memberikan
layanan pengiriman makanan kepada
Pelanggan adalah perjanjian independen
antara Pelanggan dan Pengemudi, yang
bukan merupakan karyawan atau agen
Shopee. Shopee hanya merupakan
perantara antara Pelanggan dengan
Pengemudi.
13.3 Shopee tidak menyediakan layanan
transportasi apa pun dan tidak akan
bertanggung jawab apa pun kepada salah
satu Pihak atas tindakan, kelalaian,
kegagalan, keterlambatan, atau penolakan
Pengemudi untuk menyediakan layanan
transportasi.
13.4 Shopee tidak dan tidak akan menjamin
keselamatan, keandalan, kompatibilitas,
atau kemampuan Pengemudi selama
pelaksanaan kewajibannya dalam
mengirimkan Produk dari Merchant Outlet
 from Merchant Outlets to the
Customer. Therefore, Merchant
hereby hold Shopee harmless and
discharge Shopee from any and all
responsibility, claim, cause, or damage
which occurs from such delivery
service by Drivers.
14. Indemnification
The Merchant shall fully indemnify and hold
Shopee, its Affiliates, and its and their
respective officers, directors, employees,
agents and third party contractors (the
“Indemnified Party”), harmless from any loss,
liability, costs and expenses (including full
reimbursement of any legal and professional
costs) which the Indemnified Party suffers or
incurs as a result of, or in connection with, any
claim made or threatened by a third party
relating to any Products, the use of Merchant
of ShopeeFood Services or ShopeeFood
Platform and/or any breach of any provisions
of the Agreement, except for resulting from
the negligence, bad faith or willful misconduct
on the part of Shopee.
Notwithstanding any other provision herein, it
is agreed that neither Party shall be liable to
the other for any loss of profit, goodwill,
business opportunity, and anticipated savings
or for any indirect or consequential loss or
damage suffered or flowing from either Party.
15. Governing Law; Dispute Resolution
The Agreement shall be governed by the laws
of the Republic of Indonesia. In the event any
dispute, controversy, claim or difference of
any kind whatsoever shall arise between the
Parties in connection with this Agreement,

dengan ini melepaskan dan membebaskan
Shopee dari setiap dan semua tanggung
jawab, klaim, penyebab, atau kerusakan
yang terjadi dari layanan pengiriman
tersebut oleh Pengemudi.
14. Ganti Kerugian
Merchant harus mengganti rugi dan membebaskan
Shopee, Afiliasinya, pejabat, direktur, karyawan,
agen dan kontraktor pihak ketiganya serta pejabat,
direktur, karyawan, agen dan kontraktor pihak ketiga
dari afiliasinya (“Pihak Yang Dijamin”) dari setiap
kerugian, kewajiban, biaya dan pengeluaran
(termasuk penggantian penuh biaya hukum dan
profesional) yang diderita atau dikeluarkan oleh
Pihak Yang Dijamin, yang timbul dari, atau
sehubungan dengan klaim yang dibuat atau diajukan
oleh pihak ketiga terkait dengan Produk,
penggunaan Merchant atas Layanan ShopeeFood
atau Platform ShopeeFood dan/atau pelanggaran
ketentuan Perjanjian, kecuali dikarenakan kelalaian,
itikad buruk atau kesalahan yang disengaja dari
pihak Shopee.
Terlepas dari ketentuan lain dalam Perjanjian ini,
disepakati bahwa tidak ada Pihak yang akan
bertanggung jawab kepada Pihak lainnya atas
hilangnya keuntungan, niat baik, peluang bisnis, dan
tabungan yang diantisipasi atau atas kerugian atau
kerusakan tidak langsung atau konsekuensial yang
diderita atau mengalir dari salah satu Pihak.
15. Hukum Yang Mengatur; Penyelesaian
Perselisihan
Perjanjian ini diatur menurut hukum Republik
Indonesia. Dalam hal timbul perselisihan,
perdebatan, tuntutan atau pertentangan apapun
antara Para Pihak sehubungan dengan Perjanjian ini,
termasuk pelanggaran, pengakhiran atau keabsahan

determination of any matters which are
subject to objective determination pursuant to
this Agreement (“Dispute”), which Dispute has
been subject of a written notice by one Party
to the other (“Dispute Notice”), the Parties
shall attempt, for a period of thirty (30) days
after the receipt by one (1) Party of a notice
from the other Party of the existence of a
Dispute, to settle such Dispute in the first
instance by mutual discussions between each
of the Parties. If the Dispute cannot be settled
by mutual discussions within the thirty (30)
day period, it shall be referred to and finally
resolved by arbitration in Indonesia
administered by the Indonesian National
Board of Arbitration (“BANI”) established on
30 November 1977 pursuant to Decree of the
Chamber of Commerce (Kamar Dagang
Indonesia) No. SKEP/152/DPH/1977 in
accordance with BANI rules, for the time being
in force, which rules are deemed to be
incorporated by reference in this clause. There
will be one (1) arbitrator and the language of
the arbitration shall be Indonesian language.
16. Notices
16.1 All notices under the Agreement shall
be made by personal delivery, through
registered letter sent through
overnight courier, or email, at the
following addresses:

Perjanjian ini, atau sehubungan dengan penentuan
setiap persoalan yang bergantung pada penetapan
obyektif berdasarkan Perjanjian ini (“Perselisihan”),
Perselisihan mana telah menjadi pokok dalam
pemberitahuan tertulis yang disampaikan oleh satu
Pihak kepada Pihak lainnya (“Pemberitahuan
Perselisihan”), Para Pihak harus berusaha dalam
jangka waktu tiga puluh (30) hari sejak diterimanya
pemberitahuan oleh satu (1) Pihak dari Pihak lainnya
mengenai adanya Perselisihan, untuk menyelesaikan
Perselisihan tersebut terlebih dahulu melalui
musyawarah antara Para Pihak. Jika Perselisihan
tersebut tidak dapat diselesaikan melalui
musyawarah dalam jangka waktu tiga puluh (30)
hari, Perselisihan tersebut akan diserahkan kepada
dan diselesaikan di tingkat akhir melalui arbitrase di
Indonesia yang diselenggarakan oleh Badan
Arbitrase Nasional Indonesia (“BANI”) yang didirikan
pada 30 November 1977 berdasarkan Keputusan
Kamar Dagang Indonesia No. SKEP/152/DPH/1977,
sesuai dengan aturan BANI, yang berlaku pada saat
itu, aturan mana dianggap dimasukkan dalam
Perjanjian dengan merujuknya dalam pasal ini.
Arbitrase akan dilangsungkan dengan satu (1) orang
arbiter dan bahasa yang digunakan dalam arbitrase
adalah Bahasa Indonesia.
16. Pemberitahuan
16.1 Semua pemberitahuan berdasarkan
Perjanjian ini harus disampaikan secara
langsung, melalui surat tercatat yang
dikirimkan menggunakan layanan kurir satu
malam (overnight courier) atau surel ke
alamat berikut ini:

16.2 All notices hereunder shall be deemed
duly delivered:
16.2.1 if delivered by personal delivery, when
left at the address required by this
Clause 16;
16.2.2 if sent by overnight courier, on the
second (2nd) Business Day after picked
up by the courier; or
16.2.3 if sent by email, on the day of
despatch so long as such email was
sent prior to 5:00 pm on a Business
Day in Indonesia; if sent after 5:00 pm
on a Business Day or sent on a day
that is not a Business Day, it shall be
deemed delivered on the following
Business Day. In the case of the
Merchant sending a notice through
email, such email shall be sent through
email address set out in the Merchant
Particulars and shall be deemed sent
by the Merchant themselves, an
officer of the Merchant, or other party
authorized by the Merchant on behalf
of the Merchant.
17. No Waiver
The failure by a Party to enforce any provision
of the Agreement shall not be construed as a

16.2 Semua pemberitahuan berdasarkan
Perjanjian ini harus dianggap diterima:
16.2.1 jika disampaikan secara langsung, saat
diserahkan di alamat yang disyaratkan oleh
Pasal 16 ini;
16.2.2 jika dikirimkan melalui layanan kurir satu
malam (overnight courier), pada Hari Kerja
ke-dua (2) setelah diambil oleh kurir; atau
16.2.3 jika dikirimkan melalui surat elektronik, pada
hari pengiriman, dengan ketentuan surel
tersebut dikirimkan sebelum pukul 17.00
pada Hari Kerja di Indonesia; jika dikirimkan
setelah pukul 17.00 pada Hari Kerja atau
dikirim pada hari yang bukan Hari Kerja, maka
dianggap dikirimkan pada Hari Kerja
berikutnya. Apabila Merchant mengirimkan
pemberitahuan melalui email, email tersebut
dikirimkan melalui alamat email yang
dicantumkan dalam Keterangan Mengenai
Merchant dan dianggap dikirimkan oleh
Merchant sendiri, pegawai Merchant, atau
pihak lain yang diberikan kewenangan oleh
Merchant.
17. Tidak Ada Penyampingan
Kegagalan satu Pihak untuk melaksanakan ketentuan
Perjanjian ini tidak dapat ditafsirkan sebagai
waiver of such provisions or of the right to
enforce that, or any other, provision of the
Agreement. No waiver shall be construed as a
continuing waiver.
18. Severability
If any part of the Agreement is or becomes
invalid, unlawful or unenforceable then such
part shall be severed from the remainder of
the Agreement, which shall continue to be
valid and enforceable to the fullest extent
permitted by Applicable Law.
19. Entire Agreement
The Agreement (including all attachments and
other documents referred to herein, including
but not limited to the Merchant SOP and the
standard operating procedures by Shopee for
the provision of ShopeeFood Services)
represents the entire agreement of the Parties
in relation to its subject matter, of which the
Parties shall be bound to it.
All the things that have not been regulated in
this Agreement shall be regulated in Merchant
SOP or any other document published by
Shopee in Shopee Platform. Merchant SOP is
an inseparable part of this Agreement and by
agreeing to this Agreement, the Merchant
agrees to be subject to the Merchant SOP.
If there is any discrepancy between any
provision of this Agreement and any provision
of the Merchant SOP on Shopee Platform or
ShopeeFood Platform for the provision of
ShopeeFood Services, the provisions of the
Merchant SOP shall prevail.

18. Keterpisahan
Jika terdapat ketentuan dalam Perjanjian ini yang
tidak atau menjadi tidak berlaku, melawan hukum
atau tidak dapat dilaksanakan, maka ketentuan
tersebut harus dipisahkan dari ketentuan-ketentuan
lain dalam Perjanjian, ketentuan-ketentuan mana
akan terus berlaku dan dapat dilaksanakan
sepanjang diizinkan oleh Hukum Yang Berlaku.
19. Keseluruhan Perjanjian
Perjanjian (berikut seluruh lampiran dan dokumen
lain yang dirujuk dalam Perjanjian ini, termasuk
namun tidak terbatas pada SOP Merchant dan
standar operasi prosedur yang dibuat oleh Shopee
untuk penyediaan Layanan ShopeeFood) merupakan
keseluruhan kesepakatan antara Para Pihak
berkenaan dengan pokok permasalahan Perjanjian,
dimana Para Pihak terikat padanya.
Segala hal yang belum diatur dalam Perjanjian ini
akan diatur dalam SOP Merchant atau dokumen
lainnya yang dipublikasikan Shopee dalam Platform
Shopee. SOP Merchant merupakan bagian yang tidak
terpisahkan dari Perjanjian ini dan dengan
menyetujui Perjanjian ini, Merchant setuju untuk
tunduk pada SOP Merchant.
Jika ada perbedaan antara ketentuan dalam
Perjanjian ini dan ketentuan dalam SOP Merchant
pada Platform Shopee atau Platform ShopeeFood
atau standar operasi prosedur lainnya yang dibuat
oleh Shopee untuk penyediaan Layanan
ShopeeFood, ketentuan dalam SOP Merchant yang
berlaku.
20. Language 20. Bahasa

The Agreement is executed in English and
Indonesian languages. In the event of any
inconsistency between the English and
Indonesian versions, the Indonesian version
shall prevail.
Perjanjian ditandatangani dalam Bahasa Inggris dan
Bahasa Indonesia. Dalam hal terdapat suatu
ketidakkonsistenan pada versi Bahasa Inggris dan
Bahasa Indonesia, versi Bahasa Indonesia akan
berlaku.
