SELLER AGREEMENT PERJANJIAN PENJUAL

ARTICLE 1 PASAL 1

"Goods" or Products means the
goods/products (including any
installment of the goods or any parts for
them) which the Seller intends to sell to
Customers over the Platform;
Intellectual Property means any
patent, copyright, registered or
unregistered design, design right,
registered or unregistered trademark,
service mark or other industrial or
intellectual property right and includes
applications for any of them;
Monthly Sales Statement means a
detailed list and accounting of the
Sellers Goods sold to a Customer
and/or returned by a Customer on the
Platform every calendar month, as
prepared by Zalora Marketplace;
Order means the order from the
Customer to the Sellers Goods through
the Platform;
PKP means Taxable Entrepreneur
under Indonesian law;
Platform means the website
www.zalora.co.id;
Seller" means the party using the
Platform for the sale of Goods;

dimaksudkan untuk dijual oleh Penjual
kepada Pelanggan atas Platform;
Kekayaan Intelektual adalah setiap
paten, hak cipta, desain terdaftar atau
tidak terdaftar, hak desain, merek
dagang terdaftar atau tidak terdaftar,
merek jasa atau hak industrial atau hak
kekayaan intelektual lainnya termasuk
penggunaan dari masing-masing hak
tersebut;
Pernyataan Penjualan Bulanan
adalah daftar rincian dan pembukuan
dari Barang Penjual yang terjual
kepada Pelanggan dan/atau
dikembalikan Pelanggan pada Platform
setiap bulan yang sebagaimana telah
dipersiapkan oleh Zalora Marketplace;
Pesanan adalah pesanan dari
Pelanggan kepada Barang milik
Penjual melalui Platform;
PKP adalah Pengusaha Kena Pajak
berdasarkan Hukum Indonesia;
Platform adalah situs
www.zalora.co.id;
Penjual adalah pihak yang
menggunakan Platform untuk menjual
Barang;
 Services Fee means General
Services Fee and Additional Services
Fee as referred to in Article 6 of this
Agreement;
Terms and Conditions means the
detail terms and conditions, rules,
policies set out by Zalora Marketplace
which is published on the Platform. The
Terms and Conditions shall also bind
both the Seller and the Customer in
addition to provisions set out in the
Customer Agreement;
Transaction means any sale and
purchase transaction between the Seller
and the Customer through the Platform;
Zalora Marketplace means PT
Fashion Marketplace Indonesia, a
limited liability company that provides
services for listing of products to the
Seller on and through the Platform;
ARTICLE 2
TERM OF AGREEMENT
This Agreement is valid for 1 (one) year and
may be extended by the mutual agreements by
the Parties with 14 (fourteen) days prior
notification.
ARTICLE 3
MARKETPLACE COOPERATION
3.1 Customer would be able to purchase
Goods on the Platform. Zalora
Marketplace shall process each order
made by Customer, as provided for
herein and forward the processed
orders to the Seller. The allocation of
responsibility and obligation between
the Seller and Zalora Marketplace shall
be subject to the terms and conditions
specified in the subsequent articles
hereof.
3.2 Upon receipt of an order for the
purchase of Goods, Zalora
Marketplace shall process such orders
and furnish the Seller with details
relating to the ordered Goods, including
the details contained in the Customers
purchase order. The Seller shall be
able to monitor order placement flow

Syarat dan Ketentuan adalah rincian

Marketplace yang dipublikasikan pada
Platform. Syarat dan Ketentuan juga
akan mengikat Penjual dan Pelanggan
di samping ketentuan yang tercantum
dalam Perjanjian Pelanggan;
Transaksi adalah setiap transaksi
penjualan dan pembelian antara
Penjual dan Pelanggan melalui
Platform;
Zalora Marketplace adalah PT
Fashion Maketplace Indonesia, sebuah
perseroan terbatas yang menyediakan
layanan penempatan produk kepada
Penjual pada dan melalui Platform;
PASAL 2
JANGKA WAKTU PERJANJIAN
Perjanjian ini berlaku selama 1 (satu)
tahun dan dapat diperpanjang dengan
kesepakatan bersama Para Pihak
dengan pemberitahuan 14 (empat
belas) hari sebelumnya.
PASAL 3
KERJASAMA MARKETPLACE
3.1 Pelanggan akan dapat membeli Barang
pada Platform. Zalora Marketplace
akan memproses setiap pesanan yang
dibuat oleh Pelanggan, sesuai dengan
barang yang tersedia dan meneruskan
proses pemesanan kepada Penjual.
Alokasi tanggung jawab dan kewajiban
antara Penjual dan Zalora Marketplace
akan tunduk pada syarat dan ketentuan
yang diatur dalam pasal-pasal
berikutnya dalam dalam perjanjian ini.
3.2 Setelah menerima pesanan untuk
pembelian Barang, Zalora Marketplace
akan memproses pesanan tersebut
dan melengkapi Penjual dengan rincian
terkait Barang yang dipesan, termasuk
rincian yang terdapat dalam pesanan
pembelian Pelanggan. Penjual akan

3.3 Upon receipt of information from Zalora

3.4 All agreements entered into between
the Seller and the Customer for the
sale of the Goods on the Platform shall
be entered into on the basis of the
Sellers terms and conditions of sale. It
is the sole responsibility of the Seller to
communicate said terms and
conditions to its Customers.
3.5 In addition to this Seller Agreement,
Seller shall also be subject to the
Terms and Conditions published on the
Platform which may be amended from
time to time.
ARTICLE 4
GOODS AND CONTENT MATERIAL
4.1 The Seller will send to Zalora
Marketplace, an accurate and complete
product information, text, images and
any other Goods related information (all
these hereinafter Content Material)
in Indonesian language for each Good
that the Seller makes available to be
listed for sale through the Platform. The
Seller will promptly update such
information as necessary to ensure it at
all times remains accurate and
complete.
4.2 With respect to pictures/images sent to
Zalora Marketplace or uploaded to the
Platform by the Seller, the Seller
undertakes to Zalora Marketplace that
they are the rightful owner of that
picture and/or have license or
permission to use those pictures for the
purpose of promoting the Goods in the
Platform.
4.3 The Seller is obliged to comply with
Zalora Marketplace Production and
Content Material Guidelines, which is
deemed to be incorporated by
reference under this Agreement. Zalora
Marketplace will have the right, in its
sole discretion, to revise the Content

3.5 Di samping Perjanjian Penjual ini,
Penjual juga tunduk kepada Syarat dan
Ketentuan yang tercantum pada
Platform yang dapat berubah dari
waktu ke waktu.
PASAL 4
BARANG DAN ISI MATERI
4.1 Penjual akan mengirim kepada Zalora
Marketplace, sebuah informasi produk
yang akurat dan lengkap, tulisan,
gambar, dan informasi Barang lainnya
yang terkait (semuanya selanjutnya
disebut Isi Materi) dalam Bahasa
Indonesia untuk setiap Barang yang
Penjual sediakan untuk dijual melalui
Platform. Penjual akan segera
memperbarui informasi yang diperlukan
untuk memastikan setiap saat tetap
akurat dan lengkap.
4.2 Berkaitan dengan gambar/foto yang
dikirim kepada Zalora Marketplace atau
diunggah ke Platform oleh Penjual,
Penjual memastikan Zalora
Marketplace bahwa mereka adalah
pemilik yang berhak atas gambar
dan/atau memiliki lisensi atau izin untuk
menggunakan gambar tersebut dengan
tujuan untuk mempromosikan Barang
pada Platform.
4.3 Penjual wajib mengikuti Petunjuk
Produksi dan Isi Materi Zalora
Marketplace yang dianggap
dimasukkan dalam Perjanjian ini
melalui rujukan. Zalora Marketplace
berhak, atas kebijakannya sendiri,

4.4 The Seller may determine the Goods
which it desires to offer for sale on the
Platform. Notwithstanding the
aforesaid, Zalora Marketplace shall be
entitled to reject the inclusion of any

Marketplace deems in Zalora
Marketplaces sole discretion to be unfit
for sale on the Platform.
4.5 The Seller agrees that all Goods
uploaded and changes to existing 4.5
goods might be subject to quality
control by Zalora Marketplace and must
be approved before going live on the
Platform. Any changes to product
description, picture, or Content Material
of an existing Good will initiate a new
approval request by Zalora
Marketplace.
4.6 The Seller grants Zalora Marketplace
the right to use, reproduce, perform, 4.6
display, distribute, adapt, modify, re-
format, create derivative works of, and
otherwise commercially or non-
commercially exploit in any manner,
any and all of the Content Material
provided by the Seller.
4.7 The Seller is prohibited to sell but not
limited to the following Goods into the
Platform: black market and imitated
goods, pirated goods or copies of
original goods, goods containing vulgar,
pornography, erotic and sex content,
and protected flora and fauna (including
body parts, such as claws, fangs, skins,
fluids, etc.) that violate the prevailing
laws.
4.8 Notwithstanding any provision of these
terms, Zalora Marketplace will have the
right, in its sole discretion, to delay or
suspend listing of, or to refuse to list, or
to de-list, or to require the Seller not to
list, any or all Goods that the Seller
makes available to be listed for sale

Penjual menyetujui bahwa semua
Barang yang diunggah dan diubah
terhadap barang yang sudah ada
tunduk kepada kontrol kualitas oleh
Zalora Marketplace dan harus disetujui
sebelum benar-benar berada di
Platform. Perubahan apapun terhadap
deskripsi, gambar, atau Isi Materi dari
Barang yang sudah ada akan
membutuhkan permohonan
persetujuan baru oleh Zalora
Marketplace.
Penjual menjamin Zalora Marketplace
hak untuk menggunakan,
mereproduksi, melakukan,
menampilkan, mendistribusikan,
mengadaptasi, memodifikasi, format
ulang, membuat tiruan, dan sebaliknya
eksploitasi komersial atau non-
komersial dengan cara apapun, setiap
dan semua Isi Materi yang disediakan
oleh Penjual.
4.7 Penjual dilarang untuk menjual namun
tidak terbatas pada Barang berikut
pada Platform: pasar gelap dan barang
tiruan, barang bajakan atau salinan dari
barang asli, barang yang mengandung
vulgar, pornografi, erotis dan sex, flora
dan fauna yang dilindungi (termasuk
bagian tubuh, seperti cakar, taring,
kulit, cairan, dll), bahan peledak
berbahaya dan produk atau jasa yang
melanggar hukum yang berlaku.
4.8 Tanpa mengabaikan peraturan dari
Ketentuan ini, Zalora Marketplace
berhak, atas kebijakannya sendiri,
untuk menunda atau menangguhkan
penempatan, atau menolak untuk
menempatkan, atau untuk tidak

ARTICLE 5
ORDER AND PAYMENT METHOD
5.1 Order
5.1
5.1.1 Order can be done by the Customer,
both regular and new customers, 5.1.1

filling out the online form provided on the
Platform.
5.1.2 Upon receiving the Order, the Seller
shall:
a. confirm each Order in the Platform.
In case of delay, either materialised
or foreseen, the Seller shall inform
the Customer, through Zalora
Marketplace, of the same in writing
on an immediate basis.
b. make the Goods safe and secure
so as to protect the Goods from
loss or damage in conformance
with good commercial practice, this
includes putting the product into a
package that effectively protects it
during transportation and ensures
the product arrives to the consumer
in the same condition as when it
left the Sellers facilities and make
ready for pick-up by Courier for
delivery to the Customer;
c. process the confirmed Order and
ship it within 48 hours from
confirmation of order. The Seller
should also provide a 24 hour
customer service response time;
and
d. issue a Customers VAT Invoice for
inclusion with all Goods for Seller

PASAL 5
PESANAN DAN METODE
PEMBAYARAN
Pesanan
Pesanan dapat diselesaikan oleh
Pelanggan, baik itu pelanggan tetap
maupun baru, Pelanggan terdaftar atau
tidak terdaftar, dengan mengisi formulir
online yang disediakan pada Platform.
5.1.2 Setelah mendapat Pesanan, Penjual
akan:
a. mengkonfirmasi setiap Pesanan
dalam Platform. Dalam kasus
terjadi penundaan, baik yang telah
terjadi atau masih diperkirakan,
Penjual harus memberi tahu
Pelanggan, melalui Zalora
Marketplace, mengenai hal itu
secara tertulis dengan segera.
b. membuat Barang yang aman dan
terjamin, serta melindungi Barang
dari kerugian atau kerusakan dari
kesesuaian dengan praktek
komersial yang baik, termasuk
memasukkan produk ke dalam
paket yang melindunginya secara
efektif selama proses
pengangkutan, dan memastikan
produk tiba kepada Pelanggan
dalam kondisi yang sama seperti
saat meninggalkan fasilitas
Penjual dan siap untuk diangkut
dengan kurir untuk diantar kepada
Pelanggan;
c. memproses Pesanan yang telah
dikonfirmasi dan mengirimkannya
dalam kurun waktu 48 jam sejak
konfirmasi pesanan. Penjual juga
wajib menyediakan layanan
pelanggan selama 24 jam; dan
d. menyertakan Tagihan PPN

5.2 Payment Method

5.2.1 As part of its additional services, Zalora

payment method facilities as follows: 5.2.2
a.Pay on site (Cash on Delivery/C.O.D.);
b.Payment through an escrow account
by using a debit card or credit card;
c. Payment through Zalora Marketplaces
on-line payment system;
d. Payments through on-line payment
system / electronic money provided
by a third party who cooperate with

Metode Pembayaran
Sebagai bagian dari layanan
tambahan, Zalora Marketplace
menyediakan fasilitas pembayaran dari
setiap Transaksi yang dilakukan oleh
Penjual dan Pelanggan, dan Penjual
menyetujui untuk menggunakan
fasilitas pembayaran tersebut.
Zalora Marketplace menyediakan
beberapa fasilitas metode pembayaran
sebagai berikut:
a. Bayar di Lokasi (Cash on
Delivery/C.O.D.);
b. Pembayaran melalui rekening
escrow menggunakan kartu debit
atau kartu kredit;
e. Pembayaran melalui sistem
pembayaran online Zalora
Marketplace;

5.2.3 All payments made by Customers for
purchase of the Sellers Goods on or
through the Platform Marketplace (either
by Zalora Marketplace or third party on-
line payment system or by C.O.D.) shall
be received by Zalora Marketplace
(Sellers Payments).
5.2.4 A Monthly Sales Statement will be
issued automatically on the Platform to
the Seller.
5.2.5 Zalora Marketplace will transfer the
Sellers Payments (less any bank transfer
fees and subject to Zaloras right of set-
off, if any) based on the Monthly Sales
Statement to the Sellers bank account
on the fifteenth (15th) business days of
next calendar month.
5.3 Delivery of the Products
5.3.1 Zalora Marketplace is not a courier
company. Products delivery is conducted
by a third party vendor cooperates with
Zalora Marketplace, and Seller agrees to
use such delivery services for the
Products purchased on and through the
Platform.
5.3.2 The Seller agrees to use Zalora
Marketplaces preferred local 3PL and
Zalora Marketplace reserves the right to
change 3PL at its own discretion.
ARTICLE 6
RETURN POLICY
6.1 The Seller is obliged to comply with Zalora
Marketplace Return Policy, which is
deemed to be incorporated by reference
under this Agreement.
6.2 All returned Goods will be shipped to
Zalora Marketplace warehouse before
periodically returned to the Seller.
Shipping costs from Zaloras warehouse
to the Sellers premises shall be borne by

pihak ketiga secara online atau melalui
C.O.D) wajib diterima oleh Zalora
Marketplace (Pembayaran Penjual).
5.2.4 Pernyataan Penjualan Bulanan akan
diterbitkan secara otomatis di Platform
kepada Penjual.
5.2.5 Zalora Marketplace akan mentransfer
Pembayaran Penjual (dikurangi biaya
transfer bank dan perhitungan terhadap
hak Zalora Marketplace, jika ada)
berdasarkan Pernyataan Penjualan
Bulanan kepada rekening bank Penjual
pada hari kerja ke-15 (lima belas) dari
bulan selanjutnya.
5.3 Pengiriman Produk
5.3.1 Zalora Marketplace bukanlah

Marketplace, dan Penjual menyetujui
untuk menggunakan layanan pengiriman
tersebut untuk Produk yang dibeli pada
dan melalui Platform.
5.3.2 Penjual menyetujui untuk menggunakan
3PL lokal pilihan Zalora Marketplace dan
Zalora Marketplace berhak untuk
mengganti 3PL dalam kebijakannya.
PASAL 6
KEBIJAKAN PENGEMBALIAN BARANG
6.1 Penjual wajib mengikuti Petunjuk Produksi
dan Isi Materi Zalora Marketplace yang
dianggap dimasukkan dalam Perjanjian
ini melalui rujukan.
6.2 Seluruh Produk yang dikembalikan akan
dikirim ke gudang Zalora Marketplace
sebelum dikembalikan kepada Penjual.

ARTICLE 7
CANCELLATION POLICIES
7.1 Zalora Marketplace has the right to

(forty eight) hours to handle the
order.
7.2 If Seller knows that it cannot fulfill an
Order within 48 hour handling time under
Article 5.1.2 (c) above, the Seller must
cancel the Order immediately and inform
the Customer of the cancellation.
ARTICLE 8
SERVICES FEE
8.1 Zalora Marketplace is entitled to a
Services Fee which contains General
Services Fee and Additional Services
Fee.
8.2 General Services Fee covers the listing
and publishing of Product on the
Platform as set forth in Appendix I,
which forms an integral part of this
Agreement.
8.3 Additional Services Fee is further
elaborated in Appendix II, which forms
an integral part of this Agreement.
8.4 In line with Article 5.2.5 above, the
Seller acknowledges and agrees that 8.4
Zalora Marketplace may deduct the
General Services Fee and/or any
Additional Services Fee from the
Payments made to Seller, and/or set

PASAL 7

pemeriksaan internal yang relevan;
(b) Penjual menghabiskan waktu lebih
dari 48 (empat puluh delapan) jam
untuk menangani pesanan.
7.2 Jika Penjual mengetahui bahwa ia tidak
tidak dapat memenuhi Pesanan dalam
kurun waktu penanganan selama 48 jam
sebagaimana diwajibkan oleh Pasal
5.1.2 (c) di atas, Penjual harus
membatalkan Pesanan secepatnya dan
menginformasikan Pelanggan atas
pembatalan.
PASAL 8
BIAYA LAYANAN
8.1 Zalora Marketplace berhak atas Biaya
Layanan yang di dalamnya termasuk
Biaya Layanan Umum dan Biaya
Layanan Tambahan.
8.2 Biaya Layanan Tambahan mencakup
pendaftaran dan pemuatan Produk
pada Platform sebagaimana diatur
dalam Lampiran I, yang merupakan
suatu bagian yang tidak terpisahkan
dari Perjanjian ini.
8.3 Biaya Layanan Tambahan diuraikan
lebih lanjut dalam Lampiran II, yang
merupakan suatu bagian yang tidak
terpisahkan dari Perjanjian ini.
Sejalan dengan Pasal 5.2.5 di atas,
Penjual mengakui dan menyetujui
bahwa Zalora Marketplace dapat
mengurangi Biaya Layanan Umum
dan/atau Biaya Layanan Tambahan

assessments of whatever nature
imposed by governing authorities or
any jurisdiction applicable in
connection with performance under this
Agreement. The Seller shall release,
defend, indemnify, and hold Zalora
Marketplace harmless from and against
any fines, penalties, costs (including
attorneys fees and court costs),
losses, damages, liabilities or (whether
criminal or civil) claims, arising from,
alleged to arise from, or in any way
associated with the Sellers failure to
comply with the terms of this article.
ARTICLE 9
INVENTORY
9.1 The Seller shall be obliged to maintain
an inventory of all Goods sold on the
Platform and furnish Zalora
Marketplace with an update of its
inventory daily.
9.2 The Seller shall similarly maintain an
updated price list of all Goods to be
sold on the Platform.
ARTICLE 10
DEFECTS AND NON-COMPLIANCE OF
GOODS
10.1 The Seller warrants to Zalora

atau modal dan pajak apapun yang
dikenakan sebagai penggantinya, dan
segala kewajiban, biaya, atau
perhitungan dalam bentuk apapun
yang dikenakan otoritas yang
berwenang atau hukum yang berlaku
sehubungan dengan pelaksanaan-
pelaksanaan pada Perjanjian ini.
Penjual wajib melepaskan, membela,
mengganti rugi, dan membebaskan
Zalora Marketplace dari dan terhadap
denda, penalti, biaya (termasuk biaya
pengacara dan pengadilan), kerugian,
kerusakan, tanggung jawab atau klaim
(baik tuntutan pidana maupun gugatan
perdata) apapun yang timbul, diduga
timbul, atau dengan cara apapun
terkait dengan kegagalan Penjual
dalam menaati ketentuan-ketentuan
dalam pasal ini.
PASAL 9
INVENTARIS
9.1 Penjual berkewajiban menjaga
inventaris Barang-barang yang dijual
pada Platform dan melengkapi Zalora
Marketplace dengan kabar terbaru
mengenai inventarisnya setiap harinya.
9.2 Penjual wajib memelihara daftar harga
terbaru dari seluruh Barang yang dijual
di Platform.
PASAL 10
CACAT DAN KETIDAKSESUAIAN PADA
BARANG

between one or more participants,
each of them releases Zalora
Marketplace (and its agents and
employees) from Claims, demands and
damages (actual and consequential) of
every kind and nature, known and
unknown, suspected and unsuspected,
disclosed and undisclosed, arising out
of or in any way connected with such
disputes.
12.2 The Seller and Zalora Marketplace are
independent contractors, and nothing
in these terms or the Seller Agreement
will create any partnership,
employment, joint venture, agency,
franchise or sales representative
relationship between both Parties nor
of any other kind, between Zalora
Marketplace and the persons who, at
any title, will provide their professional
services to the Seller and of whom the
same Seller will avail in the supply,
including the individuals who, at any
title, will supply their professional
services to any subcontractors, if the
subcontracting is allowed pursuant to
the provisions of the agreement
(hereinafter the Operators).
12.3 The Seller releases Zalora Marketplace
and agrees to indemnify, defend and
hold harmless Zalora Marketplace (and
officers, directors, employees and
agents) against any claim, loss,
damage, settlement, cost, expense or
other liability (including, without
limitation, attorneys fees) (each, a

PASAL 12
PELEPASAN DAN PEMBEBASAN

Pelanggan dan Penjual atau peserta
lainnya, jika terdapat sengketa yang
timbul antara satu atau lebih peserta,
masing-masing melepaskan Zalora
Marketplace (beserta agen dan
karyawannya) dari Gugatan, tuntutan
dan kerusakan (yang aktual dan yang
mengikutinya) dari segala jenis dan
sifatnya, yang diketahui maupun tidak,
yang diduga maupun yang tidak
terduga, yang diungkapkan maupun
yang tidak diungkapkan, yang timbul
dari atau dalam hubungannya dengan
sengketa tersebut.
12.2 Penjual dan Zalora Marketplace
merupakan kontraktor yang mandiri,
dan tidak dalam ketentuan ini dan
Perjanjian Penjual yang menciptakan
hubungan kemitraan, kepegawaian,
usaha bersama, keagenan, waralaba
atau perwakilan penjualan antara Para
Pihak maupun dari jenis lain, antara
Zalora Marketplace dan orang yang,
dalam jabatannya, memberikan
layanan profesional kepada Penjual
dan dari Penjual yang sama akan
menyediakan pasokan, termasuk
individu yang, dalam jabatannya, akan
memasok layanan profesionalnya
kepada subkontraktor manapun, jika
subkontrak diperbolehkan sesuai
dengan ketentuan pada perjanjian
(selanjutnya disebut Operator).
12.3 Penjual melepaskan Zalora
Marketplace dan menyetujui untuk
mengganti rugi, membela dan
membebaskan Zalora Marketplace
(dan petugas, direktur, pekerja dan
agennya) terhadap gugatan, kerugian,
kerusakan, penyelesaian, biaya,

Intellectual Property Rights by
any of the foregoing, and any
personal injury, death or property
damage related thereto;
c. The taxes of the Seller, as it will
use counsel reasonably
satisfactory to Zalora
Marketplace to defend each
indemnified Claim; or
d. If one or more Operators should,
for any reason connected to the
Seller Agreement, take legal
actions against Zalora
Marketplace, the Seller shall hold
Zalora Marketplace harmless and
indemnified from any burden or
damage, direct or indirect,
deriving from such action,
including the costs for legal
assistance.
12.4 If at any time Zalora Marketplace
reasonably determines that any 12.4

affect Zalora Marketplace, Zalora
Marketplace may take control of the
defense at expenses of the Seller. The
Seller may not consent to the entry of
any judgment or enter into any
settlement of a Claim without the prior
consent by Zalora Marketplace in

d. Jika satu atau lebih Operator

terhadap Zalora Marketplace,
Penjual wajib memastikan Zalora
Marketplace bebas dan mendapat
ganti rugi dari segala beban atau
kerusakan, baik secara langsung
maupun tidak langsung, yang
berasal dari tindakan tersebut,
termasuk biaya untuk bantuan
hukum.
Jika suatu saat Zalora Marketplace

c. the Seller ceases its business;
d. any other reason, at Zalora
Marketplaces sole discretion,
within 14 (fourteen) days.
PASAL 13
PENGAKHIRAN
Zalora Marketplace akan memiliki hak
untuk secara sepihak dan segera
mengakhiri Perjanjian Penjual dan
ketentuannya setelah terjadi salah satu
peristiwa berikut:
a. Penjual melanggar salah satu
kewajiban dan jaminan
berdasarkan Kontrak ini dan gagal
untuk member ganti rugi pada atau
sebelum 7 (tujuh) hari sejak
diterimanya pemberitahuan tertulis
dari Zalora Marketplace mengenai
pelanggaran tersebut;
b. Penjual mengeluarkan keputusan
untuk membubarkan perusahaan
atau mengajukan atau diajukan
gugatan pailit ke pengadilan;
c. Penjual berhenti menjalankan
usahanya;
d. atas kebijakan Zalora Marketplace,
dalam waktu 14 (empat belas) hari.

intellectual property right infringement
or other claim, demand or action
resulting from the advertising,
publishing, promotion, manufacture,
sale, distribution or use of the Goods
and by this representation to not
infringe on the above mentioned rights
directly or indirectly.
14.2 The Seller agrees to release, defend,
protect, indemnify and hold Zalora
Marketplace and their affiliates
harmless from and against any and all
costs (including attorney fees and court
costs on an indemnity basis),
expenses, fines, penalties, losses,
damages, and liabilities arising out of
any alleged or actual patent, copyright,
trade secret, trademark, trade name, or
other intellectual property right
infringement or other claim, demand or
action resulting from the advertising,
publishing, promotion, manufacture,
sale, distribution or use of the Goods.
14.3 The Seller shall not be entitled to use
any Intellectual Property belonging to
Zalora Marketplace without Zalora
Marketplaces prior approval in writing.
ARTICLE 15
CONFIDENTIALITY
15.1 For purposes of this Agreement,
Confidential Information means any
data or information that is proprietary to
Zalora Marketplace, its affiliates,
subsidiaries and affiliated companies,
and not generally known to the public,
whether in tangible or intangible form,
whenever and however disclosed.
PASAL 14
HAK KEKAYAAN INTELEKTUAL
14.1 Penjual mewakili dan menjamin Zalora
Marketplace untuk tidak dilibatkan
dalam klaim apapun yang dibuat oleh
pihak ketiga terkait adanya dugaan
atau pelanggaran sebenarnya terhadap
hak paten, hak cipta, merek dagang,
nama dagang, atau pelanggaran hak
kekayaan intelektual lainnya atau
tuduhan lainnya, permintaan atau
tindakan yang dihasilkan dari iklan,
penerbitan, promosi, manufaktur,
penjualan, distribusi atau penggunaan
Barang dan dengan perwakilan ini
untuk tidak melanggar hak-hak yang
telah disebutkan di atas baik secara
langsung maupun tidak langsung.
14.2 Penjual sepakat untuk melepaskan,
membela, melindungi, mengganti rugi
dan mempertahankan Zalora
Marketplace dan afiliasinya agar tidak
dirugikan dari dan terhadap segala
seluruh biaya apapun (termasuk biaya
pengacara dan biaya pengadilan
dengan dasar ganti kerugian), beban,
denda, penalti, kerugian, kerusakan,
dan tanggung jawab yang timbul akibat
adanya dugaan atau pelanggaran
sebenarnya terhadap hak paten, hak
cipta, merek dagang, nama dagang,
atau pelanggaran hak kekayaan
intelektual lainnya atau tuduhan
lainnya, permintaan atau tindakan yang
dihasilkan dari iklan, penerbitan,
promosi, manufaktur, penjualan,
distribusi atau penggunaan Barang
14.3 Penjual tidak berhak untuk
menggunakan Hak Kekayaan
Intelektual apapun milik Zalora
Marketplace tanpa persetujuan tertulis
dari Zalora Marketplace.
PASAL 15
KERAHASIAAN
15.1 Untuk kepentingan Perjanjian ini,
Informasi Rahasia berarti setiap
data atau informasi yang menjadi milik
Zalora Marketplace, afiliasinya, anak
perusahaan dan perusahaan
afiliasinya, dan umumnya tidak
diketahui masyarakat, baik berwujud
 maupun tidak berwujud, kapanpun dan
bagaimanapun diungkapkan.

15.2 Any Confidential Information is

PASAL 17
PEMBERITAHUAN
17.1 Setiap pemberitahuan, surat-menyurat,
permintaan dan informasi lain dalam
kaitannya dengan Perjanjian ini wajib
dibuat secara tertulis dan dikirimkan
melalui e-mail, pengiriman kurir, atau
pos atau faksimili dengan ditujukan ke
alamat sebagai berikut

ARTICLE 18

Bahasa Indonesia and English
language in compliance with
Indonesian Law No. 24 of 2009
regarding National Flag, Language,
Coat of Arms, and Anthem. If there is
any dispute on the interpretation on this
Agreement between Bahasa Indonesia
version and English version, the
English version shall prevail.
19.4 The Seller cannot assign, transfer or
subcontract all or part of its rights
and/or obligations deriving from this
Agreement, without the prior written
consent of Zalora Marketplace.
19.5 Any amendments to this Agreement
shall be in the form of an addendum in
writing to be signed by both Parties,

LAIN-LAIN
19.1 Ketidakabsahan yang telah terjadi atau

Perjanjian ini tidak mempengaruhi
keabsahan atau keefektifan dari
seluruh dokumen.
19.2 Pengesampingan oleh salah satu

pihak lainnya tidak memenuhi
kewajibannya berkaitan dengan
ketentuan-ketentuan dalam Perjanjian
ini tidak akan dianggap sebagai
pengesampingan untuk menegaskan
ketentuan tersebut atau menegaskan
haknya selanjutnya.

19.3 Perjanjian ini dibuat dalam Bahasa
Indonesia dan Inggris sesuai dengan
UU No. 24 Tahun 2009 tentang
Bendera, Bahasa, dan Lambang
Negara serta Lagu Kebangsaan. Jika
timbul sengketa mengenai interpretasi
dalam Perjanjian ini antara versi
Bahasa Indonesia dan Inggris, maka
yang berlaku adalah yang berbahasa
Inggris.
19.4 Penjual tidak dapat menunjuk,
mengalihkan atau mengadakan kontrak
tambahan aas seluruh atau sebagian
hak dan/atau kewajiban yang berasal
dari Perjanjian ini, tanpa persetujuan
tertulis oleh Zalora Marketplace
sebelumnya.
19.5 Setiap perubahan atas Perjanjian ini
wajib dibuat dalam bentuk tambahan
tertulis yang wajib ditandatangani oleh
