Selanjutnya dalam Perjanjian ini disebut sebagai PIHAK KEDUA.
Hereinafter referred to in this Agreement as the SECOND PARTY.
Untuk selanjutnya dalam Perjanjian ini, PIHAK PERTAMA dan PIHAK KEDUA disebut
sebagai PARA PIHAK dan PARA PIHAK menerangkan terlebih dahulu:
Henceforth in this Agreement, the FIRST PARTY and THE SECOND PARTY are referred to
as the PARTIES and the PARTIES explain in advance:
1. Bahwa awalnya PIHAK KEDUA menawarkan kepada PIHAK PERTAMA untuk kerja
sama membuat restoran dan menjual saham nama restorannya oleh karena PIHAK
PERTAMA Tertarik dengan merek yg ditawarkan sehingga dituangkan dalam
Perjanjian “Joint Venture Agreement” yang dibuat pada tanggal 26 Agustus 2022
yang pada akhirnya dibuatkanlah perusahaan atas nama dan merek tersebut sesuai
dengan Akta Pendirian Perseroan Terbatas “ PT. BNW MEADS BALI” Nomor 01
tanggal 2 Januari 2023 yang dibuat oleh Notaris ODILIA CHRISANTA
BUDISANTOSO, S.H., M.Kn. di Tabanan (Selanjutnya disebut sebagai Akta Pendirian
PT. BNW MEADS BALI)
Whereas initially the SECOND PARTY offered to the FIRST PARTY to cooperate in
making a restaurant and selling shares of the name of the restaurant because the
FIRST PARTY was interested in the brand being offered, so it was stated in the “Joint
Venture Agreement” Agreement made on August 26, 2022, which in the end made a

 company on behalf of and the brand is in accordance with the Deed of Establishment
of a Limited Liability Company "PT. BNW MEADS BALI” Number 01 dated 2 January
2023 drawn up by Notary ODILIA CHRISANTA BUDISANTOSO, S.H., M.Kn. in
Tabanan (hereinafter referred to as Deed of Establishment of PT. BNW MEADS BALI)
2. Bahwa di dalam perjanjian tersebut dan telah pula disahkan oleh Keputusan Menteri
Hukum dan Hak Asasi Manusia Republik Indonesia Nomor : AHU-0000029.AH.01.01.
Tahun 2023 Tentang Pengesahan Pendirian Badan Hukum Perseroan Terbatas PT.
BNW MEADS BALI pada tanggal 2 Januari 2023 yang dalam lampiran keputusannya
termuat :
That in the said agreement and has also been ratified by the Decree of the Minister of
Law and Human Rights of the Republic of Indonesia Number: AHU-
0000029.AH.01.01. Year 2023 concerning Ratification of the Establishment of a
Limited Liability Company Legal Entity PT. BNW MEADS BALI on January 2, 2023
which in the attachment to the decision contains:
• BRENDAN PHILLIO DURKIN jabatannya sebagai Direktur
Yang memiliki jumlah lembar saham 2.525 (lembar) dengan nilai total Rp.
2.525.000.000 (dua milyar lima ratus dua puluh lima juta rupiah).
BRENDAN PHILIP DURKIN's position as Director. Has a total of 2,525 shares
(shares) with a total value of Rp. 2,525,000,000 (two billion five hundred twenty
five million rupiah).
• I.A PUTU TRISNA GIRI SEPUTRI jabatannya sebagai Komisaris
Yang memiliki jumlah lembar saham 2.525 (lembar) dengan nilai total Rp.
2.525.000.000 (dua milyar lima ratus dua puluh lima juta rupiah)

Which has a total of 2,525 shares (shares) with a total value of Rp.

• WARREN JOHN MEAD jabatannya sebagai Komisaris Utama
Yang memiliki jumlah lembar saham 5.050 (lembar) dengan nilai total Rp.
5.050.000.000 (lima milyar lima puluh juta rupiah).

5,050,000,000 (five billion fifty million rupiah).
3. Tugas dan Wewenang Direksi sesuai dengan yang diatur di dalam Pasal 14 Akta
Pendirian PT. BNW MEADS BALI begitu juga dengan Tugas dan Wewenang Dewan
Komisaris sesuai dengan yang diatur di dalam Pasal 17 Akta Pendirian PT. BNW

Duties and Authorities of the Board of Directors in accordance with those stipulated in
Article 14 of the Deed of Establishment of PT. BNW MEADS BALI as well as the Duties
and Authorities of the Board of Commissioners as stipulated in Article 17 of the Deed
of Establishment of PT. BNW MEADS BALI.
4. Bahwa sempat terjadi permasalahan antara Pihak Pertama dan Pihak Kedua yaitu:
• Pihak Kedua secara diam-diam diduga telah menjual Sahamnya kepada Pihak
Ketiga (Alfie) tanpa sepengetahuan dan persetujuan Pihak Pertama, sehingga
Pihak Pertama keberatan akan hal tersebut, karena Perbuatan Pihak Kedua
tersebut telah melanggar Pasal 7 di dalam Akta Pendirian Perusahaan;
• Pihak Kedua juga telah mendaftarkan Permohonan merek Perusahaan secara
diam-diam dan tanpa persetujuan dari Pihak Pertama di Direktorat Jendral
Kekayaan Intelektual pada tanggal 17 Februari 2023, yang padahal jika
melihat perjanjian-perjanjian sebelumnya yang Pihak Pertama dan Pihak
Kedua sepakati, segala kegiatan perusahaan harus persetujuan dari PARA
PIHAK, sehingga atas hal tersebut Pihak Pertama keberatan akan hal tersebut
dan menghubungi Pihak Kedua melalui kuasa hukumnya dan bertemu di
Restoran Meads pada tanggal 14 Maret 2023.
That there was a problem between the First Party and the Second Party, namely:
• The Second Party is suspected of having secretly sold its Shares to a Third
Party (Alfie) without the knowledge and approval of the First Party, so that the
First Party objects to this, because the Second Party's actions have violated
Article 7 in the Deed of Establishment of the Company;
• The Second Party has also registered the Company's trademark application
secretly and without the approval of the First Party at the Directorate General
of Intellectual Property on February 17, 2023, even though if you look at the
previous agreements that the First Party and the Second Party agreed on, all
company activities must agreement from THE PARTIES, so that the First Party
objected to this matter and contacted the Second Party through its attorney
and met at the Meads Restaurant on March 14, 2023.
5. Bahwa terkait permasalahan diantara PARA PIHAK yang dijabarkan diatas, maka
PARA PIHAK sepakat untuk diselesaikan dengan kesepakatan antara PARA PIHAK
yang akan tertuang di dalam perjanjian ini.
That in relation to this agreement there was a problem between the PARTIES and
therefore the problem was resolved by agreement between the PARTIES which will

Berdasarkan hal-hal di atas, PARA PIHAK yang berkepentingan dengan ini telah setuju dan
mufakat untuk mengadakan perjanjian serta mengakhiri perselisihan yang terjadi tersebut, dengan
syarat-syarat dan ketentuan-ketentuan sebagai berikut:
Based on the above, the PARTIES with an interest in this matter have agreed and agreed to enter
into an agreement and end the dispute that occurred, with the terms and conditions as follows:
PASAL 1
ARTICLE 1
OPERASIONAL PERUSAHAAN
COMPANY OPERATIONS
1) PARA PIHAK sepakat dan setuju untuk tetap menjalankan operasional PT. BNW MEADS
BALI secara bersama-sama dan penuh tanggung jawab.
THE PARTIES agree and agree to continue to run the operations of PT. BNW MEADS BALI
collectively and responsibly.
2) PARA PIHAK sepakat setiap kegiatan Perusahaan yang berakibat hukum harus dilakukan
berdasarkan persetujuan dari PARA PIHAK.
THE PARTIES agree that every Company activity that has legal consequences must be
carried out based on the approval of THE PARTIES.
PASAL 2
ARTICLE 2
PEMINDAHAN HAK ATAS SAHAM
TRANSFER OF RIGHTS TO SHARE
1) Terkait mekanisme Pemindahan Hak atas Saham harus mengikuti sebagaimana
mekanisme yang tertuang di dalam Pasal 7 Akta Pendirian PT. BNW MEADS BALI.
Regarding the mechanism for transferring rights to shares, it must follow the mechanism
set out in Article 7 of the Deed of Establishment of PT. BNW MEADS BALI.
2) Pada pokoknya segala proses pemindahan Hak atas Saham Perusahaan harus didasari
oleh Persetujuan PARA PIHAK, dan jikalau terjadi Proses Pemindahan Hak Atas Saham
yang mekanismenya tidak sesuai dengan Pasal 7 Akta Pendirian PT. BNW MEADS BALI,
maka proses Pemindahan Hak atas Saham tersebut tidaklah sah dan tidak memiliki
kekuatan hukum yang mengikat.
In essence, all processes for transferring the Company's Share Rights must be based on
the Agreement of THE PARTIES, and if there is a Process for Transferring Share Rights,
the mechanism of which is not in accordance with Article 7 of the Deed of Establishment of
PT. BNW MEADS BALI, the process of transferring the rights to the shares is invalid and
has no binding legal force.

 PASAL 3
ARTICLE 3
MEREK PERUSAHAAN
COMPANY BRAND
1) Bahwa oleh karena PARA PIHAK telah sepakat untuk mengadakan Joint Venture dan
mendirikan Perusahaan dengan status Penanaman Modal Asing (PMA) dengan nama PT.
BNW MEADS BALI, maka secara otomatis merek yang telah ada menjadi milik
Perusahaan.
That because the PARTIES have agreed to hold a Joint Venture and establish a Company
with Foreign Investment (PMA) status under the name PT. BNW MEADS BALI, the existing
mark automatically becomes the property of the Company.
2) Terhadap pengajuan Merek atas nama Pribadi terkait perusahaan yang dimohonkan pada
tanggal 17 Februari 2023 haruslah dicabut terlebih dahulu dan mendaftar ulang kembali
memakai nama Perusahaan, akan tetapi apabila Merek tersebut sudah sah dan terdaftar
di Direktorat Jendral Kekayaan Intelektual maka PARA PIHAK sepakat untuk menjadikan
merek tersebut menjadi milik bersama / Perusahaan, sehingga Perusahaan bebas
menggunakan merek tersebut untuk kepentingan Perusahaan tanpa terkecuali.
The submission of a Mark in the name of a Person related to the company that is applied
for on February 17, 2023 must be revoked first and re-registered using the name of the
Company, however, if the Mark is valid and registered at the Directorate General of
Intellectual Property, THE PARTIES agree to make the mark are jointly owned by the
Company, so that the Company is free to use the mark for the benefit of the Company
without exception.
3) Pihak lain selain Perusahaan dilarang untuk menggunakan merek tersebut untuk
kepentingan pribadi dan memakai merek tersebut untuk usaha lainnya diluar dari usaha
yang telah disetujui oleh PARA PIHAK.
Parties other than the Company are prohibited from using the mark for personal gain and
using the mark for other businesses outside of the business agreed by THE PARTIES.

PASAL 4
ARTICLE 4
JADWAL KERJA
WORK SCHEDULE
1) PARA PIHAK sepakat terkait jadwal kerja khusus untuk kegiatan perusahaan yang sudah
berjalan yaitu Restoran Meads, adalah sebagai berikut :

 • PIHAK PERTAMA pada hari Senin, Selasa dan Rabu;
• PIHAK KEDUA pada hari Kamis, Jumat dan Sabtu;
• dan untuk hari Minggu diserahkan kepada Manajer Restoran.
THE PARTIES agreed regarding the specific work schedule for the company's ongoing
activities, namely the Meads Restaurant, as follows:
• THE FIRST PARTY on Monday, Tuesday and Wednesday;
• SECOND PARTY on Thursday, Friday and Saturday;
• and for Sundays submitted to the Restaurant Manager.
2) Bahwa jika Pihak Pertama berhalangan hadir (sakit atau kegiatan lainnya) pada saat jadwal
yang telah ditentukan, maka Pihak Kedua bertanggung jawab sementara terkait jalannya
Restoran, begitu juga sebaliknya jika Pihak Kedua Berhalangan hadir (sakit atau kegiatan
lainnya), maka Pihak Pertama yang bertanggung jawab atas jalannya restoran.
That if the First Party is unable to attend (illness or other activities) during the specified
schedule, then the Second Party is temporarily responsible for the running of the
Restaurant, and vice versa if the Second Party is unable to attend (illness or other
activities), then the First Party shall responsible for running the restaurant.
3) Bahwa jika salah satu pihak berkenan liburan yang memerlukan waktu beberapa hari,
maka pihak tersebut harus memberitahukan dan mendapatkan persetujuan pihak lainnya
terlebih dahulu baik secara lisan maupun tertulis.
That if one of the parties wishes to take a vacation that takes several days, then that party
must notify and obtain the prior approval of the other party both orally and in writing.
4) Terkait Pemilihan Manajer, Konsultan Restoran maupun staff/pegawai Restoran lainnya,
harus berdasarkan persetujuan dari PARA PIHAK, tidak diperkenankan salah satu dari
Pihak menunjuk seseorang menjadi Manajer, Konsultan Restoran maupun staff/pegawai
Restoran tanpa persetujuan dari salah satu pihak.
Regarding the selection of Managers, Restaurant Consultants and other Restaurant
staff/employees, it must be based on the approval of THE PARTIES, neither Party is
allowed to appoint someone to become a Manager, Restaurant Consultant or Restaurant
staff/employee without the approval of one of the parties.

PASAL 5
ARTICLE 5
REKENING BANK PERUSAHAAN
CORPORATE BANK ACCOUNT
1) Segala pengeluaran dan pemasukan uang perusahaaan harus melalui rekening
Perusahaan untuk menjaga Tranparansi;

 All expenditures and income of company money must go through the Company's account
to maintain transparency;
2) Yang berwenang penuh terhadap pengeluaran uang perusahaan adalah Direktur
Perusahaan, dalam hal ini BRENDAN PHILLIP DURKIN.
The Director of the Company, in this case BRENDAN PHILLIP DURKIN, has full authority
over the disbursement of company money.
3) Untuk menjaga tranparansi, Komisaris Utama diberikan kewenangan sebatas untuk
mengetahui arus kas pemasukan dan pengeluaran perusahaan, dan jika Komisaris Utama
memerlukan uang perusahaan, harus digunakan untuk kepentingan perusahaan dan harus
persetujuan tertulis dari Direktur Perusahaan, dan terkait penggunaan uang
perusahaan sangat dilarang digunakan untuk kepentingan pribadi.
To maintain transparency, the Main Commissioner is given limited authority to find out the
cash flow of income and expenses of the company, and if the Main Commissioner needs
company money, it must be used for the benefit of the company and must have written
approval from the Director of the Company, and regarding the use of company money it is
strictly prohibited to use it for personal interests.

PASAL 6
ARTICLE 6
PENUTUP
CLOSING
1) Bahwa jika terdapat hal-hal yang tidak atau belum diatur dalam perjanjian ini akan diatur
dan ditentukan kemudian hari oleh Para Pihak yang berlaku sebagai perjanjian tambahan.
That if there are things that are not or have not been regulated in this agreement, it will be
regulated and determined later by the Parties which apply as an additional agreement.
2) Bahwa Para Pihak sepakat untuk mengikuti seluruh kesepakatan yang tertuang di dalam
perjanjian ini, dan jika Pihak Kedua kembali melakukan permasalahan sebagaimana yang
ia lakukan sebelumnya, maka Pihak Kedua dilarang untuk membuka Restoran atau jenis
usaha sejenis kembali dalam waktu 5 (lima) tahun dihitung saat dirinya diketahui
melakukan ingkar janji tersebut.
That the Parties agree to follow all the agreements contained in this agreement, and if the
Second Party returns to the problem as it did before, then the Second Party is prohibited
from opening a Restaurant or similar type of business again within 5 (five) years counted
when he was found to have broken the promise.
3) Segala akibat permasalahan yang timbul dari perjanjian ini, kedua belah pihak memilih dan
mendaftarkan domisili tetap pada Kepanitraan Pengadilan Negeri Denpasar.

 As a result of the problems arising from this agreement, both parties choose and register
their permanent domicile at the Registrar's Office of the Denpasar District Court.

Demikian Perjanjian ini dibuat oleh PARA PIHAK dalam bahasa Indonesia dan Inggris dalam
keadaan sadar dan tanpa ada paksaan maupun tekanan dari pihak manapun, dibuat dalam 2 (dua)
rangkap dan diberi meterai yang cukup serta mempunyai kekuatan hukum yang sama dan mengikat
PARA PIHAK. Dengan menandatangani Perjanjian ini PARA PIHAK menyatakan telah mengerti
dan memahami isi Perjanjian ini.
Thus this Agreement was made by the PARTIES in Indonesian and English in a conscious state
and without any coercion or pressure from any party, made in 2 (two) copies and given sufficient
stamp duty and has the same legal force and binds THE PARTIES. By signing this Agreement, THE
PARTIES declare that they understand and understand the contents of this Agreement.
