keagenan (the agency problems).

kepemilikan atas perusahaan terbuka.

1. Penelitian terhadap karakteristik dan efektivitas

peranan board atau dewan komisaris terhadap

2. Area penelitian lainnya terkait penilaian

keberadaan berbagai komite dewan komisaris
dalam upaya untuk meningkatkan efektivitas
kinerja dewan komisaris, termasuk latar belakang
pendidikan dan pengalaman anggota komite
tersebut.

3. Penelitian terkait proporsi komisaris
independen dalam keanggotaan dewan
komisaris, pengalaman kerja, latar belakang
pendidikan, jenis kelamin, serta tingkat

4. Ditemukan juga berbagai penelitian terhadap

pengaruh remunerasi eksekutif terhadap kinerja
keuangan. Dalam kaitan ini terdapat juga studi
yang dilakukan terhadap pengaruh merger dan
pengambil-alihan perusahaan sebagai bagian dari
mekanisme disiplin CG dari sudut pandang
keuangan dengan menggunakan teori keagenan.

5. Dalam beberapa dekade terakhir penelitian

terhadap peranan investor institusi sebagai
bagian penting dari mekanisme CG juga
semakin memperoleh perhatian, khususnya di
berbagai negara dengan ciri kepemilikan
perusahaan publik menyebar.

Menurut Brennan dan Solomon (2008), perkembangan
riset CG untuk masa depan akan tetap didominasi oleh
pendekatan akuntansi dan keuangan (accounting and
finance approach) dengan arah pengembangan kepada
penggunaan teori lainnya disamping dominasi teori
keagenan.

Brennan dan Solomon (2008) juga mendokumentasikan

perkembangan yang berarti terkait agenda reformasi CG
internasional yang memberikan perhatian kepada perlunya
perusahaan untuk bertanggung jawab kepada pihak
berkepentingan lainnya dengan cakupan lebih luas.
Salah satu aspek penting CG yang membutuhkan penelitian
berhubungan dengan konsep yang semakin luas terhadap
akuntabilitas korporasi.
Perhatian terhadap stakeholder accountability diikuti dengan
semakin meningkatnya peranan berbagai kelompok dalam
masyarakat yang akan dipengaruhi atau mempengaruhi
operasional dan eksistensi korporasi.
b. Perkembangan Riset terkait Mekanisme
Corporate Governance

Mekanisme CG yang dikenal secara tradisional seperti;

perangkat regulasi (governance regulations), peranan dewan
komisaris (the role of board of directors), struktur kepemilikan
(ownership structure), peranan kelompok bisnis (business
groups) dan berbagai aspek lainnya telah memperlihatkan
pengembangan yang lebih luas dan variatif.
Industri keuangan merupakan kelompok korporasi yang
melakukan respon relatif cepat dengan mengakomodasi
berbagai perubahan lingkungan organisasi dan bisnis,
terutama yang berhubungan dengan aspek sosial dan
governance dalam konteks investasi institusi.
Brennan dan Solomon (2008) memberikan catatan bahwa
bidang akuntansi merupakan area yang lebih fokus kepada isu
tersebut melalui cakupan riset yang semakin luas di bidang
transparansi menggunakan pendekatan stakeholder inclusivity.
Kecenderungan tersebut merupakan refleksi perubahan
pendekatan dari kerangka teori keagenan dan lebih mengarah
kepada kerangka teori stakeholder.
