CONTRACT AGREEMENT OF IMPORTATION ORDER

This Contract Agreement of lmportation Order Surat Perjanjian Pesanan lmpor ini ("Perjaniian")
("Agreement") is made and signed on this day, 17 dibuat dan ditandatangani hari ini, 17 Maret
March 2Ot4 by and between: 2014, oleh dan antara:

PT. YASINDO ABDI PUTRA hereby duty
represented by Yadi Heryadi, in this matter is
acting for and on behalf of PT. YASINDO ABDI
PUTRA, a company which is having domicile at
Buncit Mas Blok CC-g, Jl. Mampang Prapatan
Raya No. L08, Duren Tiga Pancoran, South
Jakarta L2760, hereinafter referred to as "First
Party".
PT. WORTHMORE ESTELIA INTERNATIONAL
hereby duty represented by lchsan Jayadi
Baharuddin, in this matter is acting for and on
behalf of PT. WORTHMORE ESTEIIA
INTERNATIONAL a company which is having
domicile at Jl. A. Yani Kav. 67 Dwima Plaza
Building Lt. Vl, Cempaka Putih, CentralJakarta,
hereinafter referred to as "Second Party".
1. PT. YASINDO ABDI PUTRA diwakili oleh Yadi
Heryadi, dalam hal ini bertindak untuk dan
atas nama PT. YASINDO ABDI PUTRA,
beralamat di Buncit Mas Blok CC-g, Jl.
Mampang Prapatan Raya No. L08, Duren Tiga
Pancoran, Jakarta Selatan 12760, selanjutnya
disebut sebagai "Pihak Pertama".
PT. WORTHMORE ESTEIIA INTERNATIONAL
dengan ini diwakili oleh lchsan Jayadi
Baharuddin dalam hal ini bertindak untuk dan
atas nama PT. WORTHMORE ESTELIA
INTERNATIONAL, beralamat di Jl. A. Yani Kav.
67 Gedung Dwima Plaza Lt. Vl, Cempaka Putih,
Jakarta Pusat, selanjutnya disebut sebagai
"Pihak Kedua".

company, namely PT. WORTHMORE ESTELTA
INTERNATIONAL which is located at Jl. A. Yani Kav.
67 Dwima Plaza Building Vl Floor, Cempaka Putih,
Central Jakarta, as an importer of goods owned by
the First Party.
lmportasi ini menggunakan perusahaan milik Pihak
Kedua yaitu PT. WORTHMORE ESTEL|A
INTERNATIONAL yang beralamat diJl. A. Yani Kav.
67 Gedung Dwima Plaza Lt. Vl, Cempaka Putih,
Jakarta Pusat, sebagai pengimpor barang milik
Pihak Pertama.

ARTICLE III PASAT n!

IMPORT CONDITIONS KETENTUAN IMPOR

1. The importation of First Party goods use ,t. Pelaksanaan importasi untuk barang milik
Second Partt's company because the First Pihak Pertama menggunakan perusahaan
Party is not the importer and the First Party Pihak Kedua sebagai importir, karena Pihak
does not have the legal import licenses of such Pertama bukanlah importir sehingga tidak
API (lmport ldentification Number) and NIK memiliki dokumen legalitas impor seperti API
(Customs ldentification Number). (Angka Pengenal lmpor) dan NIK (Nomor
ldentitas Kepabeanan).

First Party shall have obligation to:
a. Settle the entire costs of Customs Duty and
lmport Taxes for the goods referred in this
Agreement.
Pihak Pertama berkewajiban untuk:
a. Menyelesaikan seluruh pembayaran BM
(Bea Masuk) dan PDRI (Pajak Dalam Rangka
lmpor) untuk barang sebagaimana
dimaksud dalam Perjanjian ini.

b. Settlefor any exceeding administrative cost
imposed along, if importation is subject to
additional payment / Letters of Tariff and
Customs Value (SPTNP) by the Customs.
b. Melunasi tambah bayar yang dikenakan
beserta denda administrasinya, jika
importasi ini dikenakan tambah bayar /
Surat Penetapan Tarif dan Nilai Pabean
(SPTNP)oleh pihak Bea & Cukai.

 The First Pafi is responsible for the accuracy
of all customs documents submitted to the
Second Pafi for use in the process of customs
notification on the importation and First Party
also responsible for the correspondence
between the physical goods are imported to
those stated in this Agreement.
Pihak Pertama bertanggung jawab atas
kebenaran semua dokumen pelengkap pabean
yang diserahkan pada Pihak Kedua untuk
digunakan dalam proses pemberitahuan
pabean pada importasi ini dan Pihak Pertama
juga bertanggung jawab atas kesesuaian
antara fisik barang yang diimpor dengan yang
tercantum dalam perjanjian ini.

Second Party are responsible to prepare all
legal documents for the import of goods that
are not subject to regular or any prohibition/
restriction in the importation process.
Pihak Kedua bertanggung jawab menyiapkan
semua dokumen legalitas impor untuk barang
biasa atau yang tidak dikenakan lartas
(larangan/pembatasan) dalam proses
importasinya.

Second Party acknowledge that the
importation of goods as referred to above is
actually owned by the First Pafi and the
Second Party shall deliver such goods without
any claim or legal proceedings to the First
Party.
5. Pihak Kedua mengakui bahwa barang
importasi sebagaimana tersebut di atas adalah
benar milik Pihak Pertama, dan Pihak Kedua
akan menyerahkan barang tersebut pada
Pihak Pertama tanpa tuntutan.

ARTICTE IV PASAT IV
MISCELIANEOUS LAIN-LAIN

This Agreements of lmportation Order (lndent) is Perjanjian Pesanan lmpor (lndent) ini dilaksanakan

Perjanjian Pesanan lmpor {lndent) ini dibuat dalam
rangkap dua yang mempunyai kekuatan hukum
yang sama, dan akan berakhir secara otomatis
setelah kedua pihak menyelesaikan kewajibannya
masing-masing.
