COMPANY PROFILE
PROFIL PERSEROAN
Pendirian
PT Malindo Feedmill Tbk ("Perusahaan") didirikan pada
tahun 1998 dengan nama PT Gymtech Feedmill Indonesia.
Perusahaan secara hukum telah berubah namanya menjadi
PT Malindo Feedmill pada tahun 2000 dan telah mengalami
kemajuan yang sangat pesat sampai saat ini.
Establishment
PT Malindo Feedmill Tbk ("the Company") was established in
1998 with the name of PT Gymtech Feedmill Indonesia. The
Company has legally changed its name to PT Malindo
Feedmill in year 2000 and has made rapid expansion progress
till today.

Location
Company Overview
In year 2007, the Company has completed its new breeding and hatchery
farm in Probolinggo and Pasuruan, this has increase the Group total
DOC production capacity per annum of 68 million chicks. In the same
year, the Company expanded another new Grand Parent Stock (GPS)
farm in Majalengka which increase the total annual PS DOC production
capacity to 1.8 million chicks.

Saat ini, kelompok usaha terdiri dari divisi seperti berikut ini:
1. Divisi pabrik pakan ternak dengan kapasitas produksi tahunan
sekitar 450.000 MT, yang dihasilkan dari dua pabriknya yaitu di
Cakung, Jakarta timur dan Gresik, Jawa Timur.
2. Divisi Peternakan yang berada di enam (6) lokasi, yaitu Puwakarta,
Wonosari, Probolinggo, Lumajang dan Subang (pulau Jawa) dan Deli
Serdang (pulau Sumatera) dengan kapasitas produksi tahunan
sekitar 130 juta DOC.
3. Divisi GPS yang dioperasikan oleh PT Bibit Indonesia, Anak
Perusahaan yang beroperasi di Cikaum dan Majalengka (Jawa Barat)
dengan kapasitas produksi tahunan sekitar 1,8 juta PS DOC.
4. Divisi Ayam Ras Pedaging yang dioperasikan oleh PT Prima Fajar
dan divisi PT LAP (Anak Perusahaan) berlokasi di Bogor, Bandung,
Sukabumi, Serang, Subang (Jawa Barat) dan Deli Serdang (Sumatera
Utara) dengan kapasitas produksi tahunan sekitar 19,3 juta ayam
ras Pedaging.
Dengan didukung oleh tim manajemen yang handal dan produksi yang
bermutu melalui prosedur kontrol mutu yang teliti, teknologi yang
canggih, fasilitas yang sesuai dan visinya menjadi perusahaan
peternakan ternama, PT Malindo Feedmill Group telah berhasil dan
menjadi perusahaan Malaysia pertama yang terdaftar di Bursa Efek
Indonesia.

For the year 2008, PT Malindo Feedmill Tbk. (the Company) perform
better than 2007 in Sales. Sales increased by Rp541 billion or 45.5% from
Rp1,189 billion in 2007 to Rp1,730 billion in 2008. The increase in sales is
mainly contribute from the increase in selling price and from the acquisition of PT Leong Ayamsatu Primadona (PT LAP).
For the Operating Profit, the Company perform better than 2007. Operating Profit increased by Rp37 billion or 91% from Rp41 billion in 2007 to
Rp79 billion in 2008. The Company continued to grow even in the economic
crisis in 2008.
The Company was face with high commodity prices for the first 3
quarters of the year 2008 which corn and soya bean price which directly
affects the cost of feed and cost of production of chickens. This raw
material cost only decrease towards the 4th quarter of the year 2008.
In review of the high commodity price, the Company had to manage its
cost of production efficiently and continue to focus on improving the
quality of its products towards becoming a leading market player.
In terms of operations, the Company expanded its operations into
Sumatra island through the acquisition of PT LAP in April 2008. PT LAP
has a production capacity of 62 million Day Old Chicks (DOC) and 6 million
Broiler per year.
The economic condition in Indonesia was not spared from the world
economic crisis with SBI rate increasing with range from 8% to 9.5%.
The Rp which is very sensitive to the global crisis has depreciated
against to US$ from Rp9,378 in September 2008 to Rp10,950 in December
2008 and for the end of March 2008, Rp further depreciated to Rp11,575
per US$ (All refer to Bank Indonesia Middle Rate). As a result of depreciating Rp, the Company suffered foreign currency losses amounting to
Rp33 billion for the last quarter of 2008.
The Company will maintain conservative approach to face the year 2009
and grow in areas which its is competent in. This approach is taken in
view of the uncertain economic crisis. The Company is still confident
that we will weathered through the economic crisis.

Gross Profit
The gross profit has showed an increase by Rp44 billion or 38% from
Rp116 billion in 2007 to Rp160 billion in 2008. The increase in gross profit
in 2008 was due to a significant increase in contribution from breeding
division by Rp59 billion while on the other hand broiler division had
suffered loss on profit totaling to Rp17 billion. The significant increase
in breeding division gross profit is mainly due to increase in average
selling price of DOC, while the broiler division had suffered loss on the
operation because the increase in cost of production is higher than
increase in average selling price (the feed price increase by 40%, DOC
price increase by 45% while the broiler price only increase by 18%).

The Group suffered significant forex loss in the 4th quarter of the year
2008 which arise from its loan and libailites which are denominated in
USD. The USD appreciated against IDR by about 16% in the 4th quarter.
The significant increase in interest expense was mainly contributed
from bond issued in March 2008.

Companys asset showed the increase by 204 milyar or 31% from Rp656
billion in 2007 to Rp860 billion in 2008. This increase is mainly due to
the increase in trade receivables by Rp25 billion, inventories by Rp46
billion, other current asset by Rp118 billion and claim for tax refund by
Rp14 billion. The significant increases in other current asset due to
unused Proceed from Obligasi I Malindo Rp100 billion and deposit pledged
for SBLC (Standby Letter of Credit) to guarantee bond payable.

Warga Negara Indonesia, lahir di Bagansiapiapi pada 6 November 1971. Meraih gelar Sarjana
Ekonomi dari Universitas Darma Agung.
Sebelum menjabat sebagai Direktur di
Perseroan, Bapak Ong Beng Siong bekerja
untuk PT Insuindomas Perkasa sebagai Acting
Finance Head dari tahun 1991 hingga 1995.
Selanjutnya bekerja sebagai Section Head
Accounting pada PT Andalas Windumurni
sejak 1997 hingga 1999. Selanjutnya dia bekerja
sebagai Costing Manager di PT Leong
Ayamsatu Primadona sejak tahun 1999 hingga
2004, sejak tahun 2004 hingga saat ini
menjabat sebagai Komisaris di PT Leong
Ayamsatu Primadona, PT Telur Indonesia dan
PT Feedmill Indonesia serta sebagai Direktur
di PT Bibit Indonesia.

Komite ditunjuk oleh Dewan Komisaris Perusahaan dan terdiri dari tidak
kurang dari tiga (3) anggota yang semuanya adalah independen. Komite
terdiri dari minimal satu komisaris independen dan dibantu oleh dua
anggota non eksekutif. Komite diberi kuasa oleh Dewan Komisaris
untuk mencari informasi yang diperlukan dari seorang karyawan atau
lebih yang diminta untuk kooperatif terhadap setiap permintaan yang
diajukan oleh komite.
The Audit Committee has during the year reviewed all the quarterly
financial results announcements prior to recommendation to the board
for approval and reviewed the external auditors report in relation to
audit and issues arising from the audits and updates of new
developments on accounting standards issued by the Indonesian
Accounting Standard Board. It also reviews the risk that the company
is facing, amendment on the laws and regulation, which will directly
affect the companys operation.

Saat ini Dewan Direksi terdiri dari lima (5) anggota yang terdiri dari
Direktur utama, tiga (3) Direktur dan seorang Direktur Independen.
Dewan Komisaris terdiri dari tiga (3) anggota yang terdiri dari Presiden
Komisaris dan satu (1) Komisaris dan seorang Komisaris Independen.
Hal ini sesuai dengan syarat-syarat Bapepam, yang mensyaratkan
minimal ada satu (1) Direktur dan Komisaris Independen. Profil masingmasing Direktur dan Komisaris disajikan pada halaman 14 sampai 16

The Board is ensure a balance view and with the present of the
Independent Director whom is free from any business or other
relationship that could materially interfere with the exercise of their
independent judgment. This composition reflect a balance and no
