That in this case PT. SAMUDRA TIRTA KENCANA is a Operational cooperation company which operates in the coal
sector, distributing and selling coal throughout all companies in Indonesia and export, which will then be called
"PT.STK", will collaborate with "PT CIPTA KARYA MINING" or Called “PT. CKM” in terms of carrying out all
operational activities in the field and financial management, in accordance with the terms and conditions applicable in
this Agreement.
Bahwa dalam hal ini PT CIPTA KARYA MINING adalah perusahaan Kerjasama Operasional yang
bergerak dalam bidang batubara, pendistribusian maupun penjualan batu bara di seluruh perusahaan di
Indonesia dan ekspor, yang kemudian disebut dengan nama ”PT.STK”, akan bekerjasama dengan ”PT
CIPTA KARYA MINING” atau disebut “PT. CKM” dalam hal pelaksanaan seluruh kegiatan operasional di
lapangan dan pengelolaan keuangan, sesuai dengan syarat dan ketentuan yang berlaku dalam Perjanjian ini.

The Parties agreed to enter into a Profit Sharing for Coal Export Funding Agreement of Documentary Letter of
Credit (DLC) with the following provisions:
Para Pihak telah sepakat untuk masuk kedalam Perjanjian Pembagian profit untuk Pendanaan Ekspor Batubara
berdasarkan Instrument Letter of Credit (DLC) dengan ketentuan sebagai berikut

The FIRST PARTY is the party that will FUND of Coal Export Project with guarantees the Documentary
Letter of Credit (DLC) and give fund support for to the SECOND PARTY.PIHAK PERTAMA akan
mendanai Projek Eksport Batubara dengan jaminan Instrument Letter of Credit (DLC) dan memberikan dukungan
dana kepada PIHAK KEDUA
The SECOND PARTY is the party that their companies require an amount of funds from the FIRST
PARTY with guarantees Documentary Letter of Credit (DLC) according with the format provided by the Buyer
and agreed by The FIRST PARTY.
PIHAK KEDUA adalah pihak perusahaan yang membutuhkan sejumlah pendanaan dari PIHAK PERTAMA
dengan jaminan Instrumen DLC sesuai format yang telah disiapkan oleh Pembeli dan telah disetujui oleh
PIHAK PERTAMA.

Based on this, the FIRST PARTY and the SECOND PARTY agrees to prepare and sign an agreement with
the terms and conditions under the following provisions:

Berdasarkan hal ini, PIHAK PERTAMA dan PIHAK KEDUA setuju untuk menyiapkan dan
tandatangan suatu Perjanjian dengan Term dan Kondisi sebagai berikut
ARTICLE 1 SCOPE OF WORK
THE PARTIES have approved and agreed on this cooperation with the given payment guarantee of the
Documentary Letter of Credit (DLC) belonging to the SECOND PARTY to the FIRST PARTY as the owner
of the FUND AND PROJECT FUNDING FOR COAL SUPPLY PROJECT.

Para Para pihak telah menyetujui dan menyepakati kerja sama ini dengan diberikannya jaminan pembayaran
berupa documentary letter of credit (DLC) milik pihak kedua kepada pihak pertama sebagai pemilik dana dan
pendanaan untuk proyek penyediaan batubara.
THE PARTIES have approved and agreed on the Documentary Letter of Credit (DLC) format given by the
FIRST PARTY

Para pihak telah menyetujui dan menyepakati format document Letter of Credit (DLC) yang diberikan oleh
pihak pertama.
ARTICLE 2 PROCEDURE & TRANSACTION MECHANISM

2.1 Payment a full letter of credit at sight for the value of 45.000 tons of goods shall be opened with a
maturity of 90 days. The payment shall be made in US dollars. The Usance letter of credit shall
continue to be used until the Usance letter of credit expires. PB 2% after LC is On, goes to joint
account. PB 2% is a requirement from the buyer's side which must be fulfilled by the seller/funder.
Payment is made after LC is on

for shipment of Coal spec NCV.5600 Kcal / GAR5900 Kcal/ Kg, quantity 45.000 Metric Ton X @105,45
Usd Per Metric Ton, from South Kalimantan with Specification and IUP OP of Mining License, full
document Export License attached in the Second Party's Company Profile which will be sent to
Destination Port.
Pembayaran penuh letter of credit at sight senilai 45.000 ton barang dibuka dengan jangka waktu 90 hari.
Pembayaran harus dilakukan dalam dolar AS. Letter of credit Usance akan terus digunakan hingga letter of
credit Usance habis masa berlakunya. PB 2% setelah LC On, masuk ke rekening bersama. PB 2% ini
merupakan syarat dr pihak buyer yg harus di penuhi dr pihak seller/ funder. Pembayaran di lakukan setelah
LC on
untuk pengiriman Batubara NCV. 5600 Kcal/ Gar 5900 / Kg, jumlah 10.000 Metrik Ton X
© 105,45 Usdolar Per Metrik Ton dari Kalimantan Selatan dengan Spesifikasi dan Ijin Tambang, IUP OP,
dokumen lengkap Izin Eksport terlampir dalam document PIHAK KEDUA yang akan dikirim ke Pelabuhan
Tujuan.

2.2 The Second Party will open a Joint Specimen Account with the First Party's Representative for
Expenditure on the Budget and Cost Plan (RAB) and also to receive Funding from the First Party, so
that the Implementation of Coal Export can run according to the Agreement agreed with the Buyer
Party as stated in the Coal Sale and Purchase Contract.
Pihak Kedua akan buka Rekening Joint Spesimen dengan Perwakilan Pihak Pertama untuk Pengeluaran
atas Rencana Anggaran dan Biaya (RAB) dan Juga untuk menerima Pendanaan dari Pihak Pertama, Agar
Pelaksanaan Ekspor Batubara dapat berjalan sesuai Kesepakatan yang telah disepakati dengan Pihak Pembeli
sesuai yang tercantum dalam Kontrak Jual beli Batubara.

2.3 SECOND PARTY will provide funding project of Documentary Letter of Credit (DLC) base
on Budget and Cost Plan Report (RAB Attached)
PIHAK KEDUA akan menyediakan proyek pendanaan Documentary Letter of Credit (DLC) berdasarkan
pada Laporan Rencana Anggaran dan Biaya (RAB)

 2.4 FIRST PARTY and SECOND PARTY agreed Sharing Profit from Net Profit based
calculation from Cost and Plan Budget (RAB) are as follows :
PIHAK PERTAMA dan PIHAK KEDUA setuju Pembagian Profit dari Keuntungan Bersih berdasarkan
Kalkulasi pada Rencana Anggaran dan Pembiayaan (RAB)

2.5 Sharing Profit Ratio based on Seller's Calculation (RAB) are as follows :
1 60% : 40% with the details are as
follows
2 60% For Funder ROYAL VISION
3 5% For Funder Representative
(Paymaster W-R )
4 35% For Seller / Exporter

2.6 All costs of the Mediator & Commission FEE for connecting between the FIRST PARTY and the
SECOND PARTY will be the responsibility of the SECOND PARTY, and will be paid by the
Second Party to all Mediator and to Funder Representative according to Point 2.5 which will be
regulated outside this agreement.
Semua Biaya Mediator, Komisi FEE untuk menghubungkan Pihak Pertama dan Pihak Kedua menjadi
tanggungjawab Pihak Kedua, dan akan dibayar oleh Pihak Kedua kepada semua Mediator dan bersama
Perwakilan Pendana sesuai Point 2.5 yang mana akan diatur tersendiri diluar Perjanjian ini.

2.7 "Account" is a joint account belonging to "PT.CKM and PT.STK" (Join operational cooperation Account) for
receipt and payment from the Client from the results of all second Party Operational Activities, and
divided according to the Bank's Standing Instruction (SI) to the accounts of the parties according to the
agreement and distribution of profits, fees, payments to Suppliers/Vendors (Mining, Transshipment , Vessel,
Barging, PBM, BBM, Surveyor, PNBP, Tax and others) from namely: Signing of the Speciment together
with the KSO bank account, which is represented by the parties "STK and CKM", mutually agreed on the
account: “Rekening” adalah rekening bersama milik ”PT.CKM dan PT.STK” (Join Rekening
Kerjasama Operasional) untuk penerimaan dan pembayaran dari Klien dari hasil seluruh
Kegiatan Operasional Pihak kedua, dan terbagi sesuai standing Instruction Bank (SI) ke
Rekening para pihak sesuai kesepakatan dan pembagian hasil keuntungan, Fee, pembayaran ke
Supplier/Vendor (Tambang, Transhipment, Vessel, Barging, PBM, BBM, Surveyor, PNBP, Pajak
dan lain-lain) dari yaitu: Penandatanganan Speciment bersama rekening bank KSO, yang di wakili
oleh Pihak “STK dan CKM”, disepakati bersama pada rekening :

2.8 All Names of Mediators who play a role from the start connecting and helping to prepare the Draft
Coal Sale - Purchase Contract Agreement until the Implementation of the Export Sales Contract and
Issuance of Letter of Credit Documents will remain valid and cannot be replaced, deleted, or
changed to other people during the transaction sales and cooperation with Funders continues,
including mid-term and
long-term contracts.

 Seluruh Nama Mediator yang berperan dari awal menghubungkan dan membantu menyiapkan Draft Perjanjian
Kontrak Jual - beli Batubara hingga terjadinya Pelaksanaan Kontrak Penjualan Eksport dan Penerbitan Dokumen
Letter of Credit akan tetap berlaku dan tidak dapat diganti, dihapus, atau diubah ke orang lain selama transaksi
penjualan dan Kerjasama dengan Pihak Pendanatetap berlangsung, termasuk kontrak jangka menengah dan jangka
panjang.

2.9 FIRST PARTY approved and agrees to disburse and Transfer the loans at maximum 5 (Five)
calendar work days since Documentary Letter of Credit (DLC) has been issued from Buyer's
bank directly to First Party's Bank. PIHAK PERTAMA sudah setuju dan sepakat untuk Transfer
Pinjaman tersebut Maksimum 5 hari kalender kerja sejak Instrumen LC (DLC) sudah diterbitkan
langsung dari Bank Pembeli kepada CKM RVGI STK Bank Pihak Pertama.

2.10 FIRST PARTY will send the funds to the SECOND PARTY through Transfer or TT (Telegraphic Transfer) to the
bank account (Joint Speciment with Funder’s Representative ) designated by the SECOND PARTY no later than
5 (Five) days..
PIHAK PERTAMA akan kirim dana kepada PIHAK KEDUA via Transfer atau TT (Telegraphic
Transfer) ke Rekening Bank (Joint Specimen dengan Perwakilan Pendana) yang ditunjuk oleh PIHAK
KEDUA tidak lebih dari 5 (Lima) hari)
2.11 Both Parties agrees and agreed to bind themselves to comply and obey to the Rules
and Regulation of Uniform Credit Practice (UCP) 600 prevailing at the moment.
Para Pihak telah Setuju dan Sepakat untuk mengikatkan diri sesuai dengan Aturan dan Peraturan dari
Uniform Credit Practice (UCP) 600 yang berlaku saat ini.

2.12 SECOND PARTY will provide the cargo according the agreement with the buyer and provide
the presentation documents for LC to the FIRST PARTY within validity of LC.
PIHAK KEDUA akan sediakan Cargo sesuai dengan kesepakatan dengan Pembeli dan
menyiapkan semua Dokumen yang dibutuhkan untuk pencairan LC kepada Pihak Pertama dalam masa
berlakunya LC tersebut.

2.13 SECOND PARTY will responsible for any loss or Claim from Buyer if cannot provide the cargo and the
presentation documents for LC according the agreement within validity of LC.
PIHAK KEDUA akan bertanggungjawab atas kehilangan atau Claim dari Pembeli jika tidak dapat memenuhi dan
menyiapkan Cargo dan Presentasi Dokumen Eksport untuk Pencairan LC sesuai dengan Kesepakatan /
Perjanjian dalam masa berlakunya LC tersebut.

2.14 SECOND PARTY will refund all the cost from FIRST PARTY if cannot provide the cargo and the
presentation documents for LC within validity of LC.
PIHAK KEDUA akan kembalikan semua pendanaan dan pembiayaan dari PIHAK PERTAMA jika tidak dapat
siapkan Cargo dan Presentasi Dokumen Eksport untuk Pencairan LC dalam masa berlakunya LC tersebut.

2.15 If there is a Budget Expenditure higher than the Budget and Financing Plan (RAB), the excess becomes the
burden of the Second Party.
Apabila terjadi Pengeluaran Anggaran lebih Tinggi dari Rencana Anggaran dan Pembiayaan (RAB) Maka
kelebihannya menjadi beban Pihak Kedua.
2.16 The validity period of this cooperation is as long as the Second Party Still Sends Cargo to the Buyer with
the same identity and as long as the First Party is still willing to continue the Financing if in the
implementation there is no Risk of Loss or Default.
Masa Berlakunya kerjasama ini adalah selama Pihak Kedua Masih Kirim Cargo ke Pembeli yang sama
identitasnya dan Selama Pihak Pertama masih bersedia melanjutkan Pembiayaan tersebut jika dalam
pelaksanaan tidak terjadi Resiko Kerugian atau Gagal Bayar.

2.17 The ratio of Profit Sharing to the First Party and to the
Mediator Party remains the same whether for the First Delivery or subsequent Delivery or up to a
futures Contract and as long as there is a Delivery to the same Buyer.
Rasio Profit Sharing kepada Pihak Pertama dan kepada Pihak Mediator Tetap Berlaku sama baik untuk
Pengiriman Pertama maupun Pengiriman selanjutnya atau sampai dengan Kontrak berjangka dan selama
ada terjadi Pengiriman kepada Pembeli yang sama.

2.18 If there is a change in the increase or decrease in Mining Operating Costs and Production Selling
Price, the Parties will recalculate and the Profit Sharing Ratio remains valid as agreed.
Apabila terjadi perubahan naik atau turunnya Biaya Operasional Tambang dan Harga Jual Produksi maka
Para Pihak akan melakukan Perhitungan Kembali dan Rasio Profit Sharing tetap berlaku sesuai yang telah
disepakati.
2.19 Second Party = The Seller Party Must Coordinate and Provide Valid, Correct Information on the
Plan of Budget and Cost Expenditure (RAB) before and after the Implementation to First Party,
Funder Representative involved in this transaction.
Pihak Kedua = Pihak Penjual Wajib Koordinasi dan beri informasi yang Valid, Benar atas rencana
Pengeluaran Anggaran dan Biaya ( RAB) sebelum dan sesudah Pelaksanaan kepada Pihak Pertama, Perwakilan
Pendana yang terlibat dalam transaksi ini.

ARTICLE 4 TERM AGREEMENT

As long as the Seller and Buyer continue to caary out Transactions, both for Trials, Annual Contracts or
Extensions in the following year, the First Party as a Funder as a funder from the beginning must remain
attached to the Coal Export cooperation.
Selama Pihak Penjual dan Pembeli tetap melakukan Transaksi, baik untuk uji coba, Kontrak tahunan maupun Perpanjangan
kontrak ditahun selanjutnya , Pihak Pertama sebagai pendana sejak awal wajib tetapmelekat dalam kerjasama Ekspor
Batubara..

ARTICLE 5 ADDENDUM

Matters relating to the contents and the resulting changes to the Agreement or MoU will be set forth in the
addendum to be agreed by BOTH PARTIES.
Hal-hal yang berkaitan dengan isi dan perubahan yang dihasilkan pada Perjanjian atau MoU akan dituangkan dalam
adendum untuk disepakati oleh KEDUA BELAH PIHAK

ARTICLE 6 DISPUTE RESOLUTION

6.1 All disputes and questions whatsoever which arises between the parties to this agreement and
touching on this agreement on the construction or application thereof or any account cost, liability to be
made hereunder or as to any act or way relating to this agreement shall be settled by the arbitration in
accordance with the arbitration laws of the ICC.
Semua perselisihan dan pertanyaan apapun yang timbul antara para pihak dalam perjanjian ini dan
menyentuh perjanjian ini tentang konstruksi atau penerapannya atau biaya akun, tanggung jawab apa pun
yang akan terjadi atau mengenai tindakan atau cara apapun yang berkaitan dengan perjanjian ini harus
diselesaikan oleh arbitrase sesuai dengan hukum arbitrase ICC.

6.2 This agreement contains the entire agreement and understanding concerning the subject matter
hereof and supersedes and replaces all prior negotiations and proposed agreements, written or oral
Neither of the parties may alter, amend, nor modify this agreement, except by an instrument in writing
signed by both parties.
Perjanjian ini berisi seluruh perjanjian dan pemahaman mengenai pokok bahasan perjanjian ini dan
menggantikan semua negosiasi sebelumnya dan perjanjian yang diusulkan, tertulis atau lisan. Tidak ada pihak
yang dapat mengubah, atau memodifikasi perjanjian ini, kecuali dengan instrumen tertulis yang
ditandatangani oleh kedua belah pihak.

6.3 This agreement will be governed by and construed in accordance with the laws of European Union
and the International Chamber of Commerce of Paris. (ICCP). In the event that either party shall be
required to bring any legal actions against the other to enforce any of the terms of this agreement the
prevailing party shall be entitled to recover reasonably attorney fees and costs.
Perjanjian ini akan diatur oleh dan ditafsirkan sesuai dengan hukum Uni Eropa dan Kamar Dagang
Internasional Paris. (ICCP). Dalam hal salah satu pihak diharuskan untuk melakukan tindakan hukum terhadap
pihak lain untuk menegakkan salah satu ketentuan perjanjian ini, pihak yang kalah berhak untuk
menanggung biaya dan ongkos pengacara secara wajar.

6.4 This agreement is made and signed under a sufficient duty. Made in two, with the same force, in
ordr to be valid evidence for the parties.
Perjanjian ini dibuat dan ditandatangani dibawah tugas legal yang cukup. Dibuat rangkap dua, dengan
kekuatan yang sama, agar menjadi bukti yang sah bagi para pihak
