Pada hari ini, Senin tanggal Enam Belas, bulan
September tahun Dua Ribu Tiga Belas (16/9/2013),
di Jakarta, dibuat Perjanjian Jual Beli Batubara oleh
dan antara,
PT. undisclosed company, suatu perseroan terbatas
yang dibentuk berdasarkan ketentuan hukum yang
berlaku di Republik Indonesia, berkedudukan di
Jakarta, beralamat di Komplek Mangga Dua Square,
Blok E No. undisclosed number, Jalan Gunung Sahari
Raya, Ancol, Jakarta 14430, Indonesia, dalam hal ini
diwakili oleh undisclosed name bertindak mewakili
untuk dan atas nama PT. undisclosed company, yang
selanjutnya disebut sebagai PEMBELI

PT. undisclosed company, suatu perseroan terbatas
yang dibentuk berdasarkan ketentuan hukum yang
berlaku di Republik Indonesia, beralamat di Jalan

selanjutnya disebut sebagai PENJUAL
disebut sebagai "PEMBELI atau PENJUAL " dan
secara bersama-sama sebagai "PARA PIHAK")
 WITNESSETH, MENYATAKAN,

ARTICLE 1 PASAL 1

ARTICLE 2 PASAL 2
QUANTITY KUANTITAS

The total quantity of Coal for the shipment to be
delivered by the SELLER shall be 50,000 MT ± 10%
at BUYER's option
After trial shipment is done successfully, it will be
extended with long term Agreement with quantity is
approximately 100,000 MT monthly
Jumlah total Batubara untuk pengiriman yang akan
dikirim oleh PENJUAL harus 50,000 MT ± 10 %
pada opsi PEMBELI
Setelah trial shipment sukses dilanjutkan Perjanjian
jangka panjang selama satu tahun dengan pengapalan

ARTICLE 3-B PASAL 3-B

 ARTICLE 4
PRICE
The base price of Coal, shall be at 42 USD (Forty
two United States Dollar) per Metric Ton FOBT
Mother Vessel, from Jetty (will be appointed by
both Parties) to Anchorage Point at (will be
appointed by both Parties), East Kalimantan,
Indonesia, based on GAR 4,000 – 3,800 K.Cal/Kg
and Total Sulfur (adb), below 0.70 %, including
export taxes at Loading port if any
This Price will be evaluated every 3 (three) month
ARTICLE 5
WEIGHT AND PRICE ADJUSTMENTS
5.1 Price Adjustment Due To Gross Calorific Value
In the event the Gross Calorific Value (GCV)
on as received basis of a shipment of Coal, as
determined by the independent inspection
authority in ARTICLE 7, is exceed or less than
4,200 kcal/kg (GCV), the price adjustment
according to the following formula,
Price = FOBT MV Price x Actual GCV
4,000 K.Cal/Kg
In the event, Gross Calorific Value (GCV) is
less than 4,000 K.Cal/Kg (GCV) BUYER shall
have the right to reject the cargo and all the
losses shall be SELLER's account
5.2 TOTAL SULPHUR (adb)
For the Total Sulfur, no bonus or penalty
applied
In the event Total Sulfur is exceeds 0.70 %, the
BUYER has the right to reject the whole cargo
5.3 ASH CONTENT (adb)
In the event Ash Content (adb) is exceeds 8 %,
the penalty for every 1 %, on pro rata basis
above 8 %, the price shall be deducted by USD
0.10 / MT

HARGA
Harga dasar Batubara adalah USD 42 (Empat puluh
dua Dollar Amerika Serikat) per metrik ton FOBT
Mother Vessel, dari Jetty (akan ditentukan oleh
PEMBELI dan PENJUAL ) menuju Anchorage
(akan ditentukan PEMBELI dan PENJUAL ),
Kalimantan Timur, Indonesia, berdasarkan GAR
4,200 – 4,000 K.Cal/Kg dan Total Sulfur (adb),
dibawah 0.70 %, termasuk pajak ekspor di
pelabuhan muat jika ada
Harga ini akan direview setiap 3 (tiga) bulan sekali
PASAL 5
PENYESUAIAN BERAT DAN HARGA
5.1 Penyesuaian Harga akibat Gross Calorific
Value
Jika Gross Calorific Value (GCV) saat
pengapalan Batubara, sebagaimana ditentukan
oleh otoritas pemeriksa independen pada
PASAL 7, lebih atau kurang dari 4.200
K.Cal/Kg (GCV), harga akan disesuaikan
sesuai rumus berikut,
Harga = Harga FOBT MV x Actual GCV
4,000 K.Cal/Kg
Jika Gross Calorific Value (GCV) kurang dari
4,000 K.Cal/Kg (GCV), PEMBELI berhak
untuk menolak Batubara yang dikirim dan
semua kerugian akan menjadi tanggungan
PENJUAL
5.2 TOTAL SULPHUR (adb)
Untuk Kandungan Belerang, tidak ada
perhitungan bonus atau penalty.
Jika kandungan belerang yang sebenarnya
lebih tinggi dari 0.70 %, PEMBELI berhak
menolak keseluruhan Batubara
5.3 ASH CONTENT (adb)
Jika kandungan debu (adb) lebih tinggi dari 8
%, pinalti untuk setiap 1 % dari debu (adb)
dengan pro-rata basis di atas 8 %, harga akan
dikurangi USD 0.10 / MT
 The right of Rejection is granted to the
BUYER, if the actual ash content is exceeds 10
%.
5.4 In the event, one of the specifications of Total
Moisture, Ash Contents, Total Sulfur and or
Calorific Value dropped below the rejection
level, BUYER has the right to reject the whole
cargo, or renegotiate the new price for the
whole cargo
ARTICLE 6
CARGO WEIGHT DETERMINATION
6.1 The cargo weight of each shipment shall be
calculated using Mother Vessel Draft Survey
and shall be determined at the Loading Port.
The Draft Surveys shall be conducted by PT.
SCCI, whom shall issue the corresponding
Certificate of Weight for each shipment at
Loading Port. The weight so determined shall
be final and binding upon SELLER and
BUYER for the purpose of this Agreement,
and shall form the basis of settlement unless
adjustment is required in accordance with
ARTICLE 5 hereof
6.2 The costs of Draft Surveys at Loading Port shall
be for the account of SELLER
ARTICLE 7
SAMPLING, COAL QUALITY ANALYSIS
AND UMPIRE ANALYSIS
7.1 The sampling and analysis of the coal
shipments shall be conducted at the Loading
Port by PT. SCCI
7.2 All sampling will be carried out in accordance
with ASTM standard. Sample taken by PT.
SCCI shall be divided into 4 (four) parts to
provide,
- 1 (one) sample being the shipment analysis
sample (the "Shipment Sample"),
- 1 (one) sample being the SELLER's sample (the
"SELLER's Sample"),
- 1 (one) sample being the BUYER (the
"BUYER's Sample"), if requested,

5.4 Dalam kondisi salah satu dari spesifikasi dari
Total Moisture, Ash Contents, Total Sulfur
dan atau Nilai Kalorifik jatuh dibawah batas
penolakan, PEMBELI berhak untuk menolak
keseluruhan Batubara, atau melakukan
negosiasi ulang untuk harga dari keseluruhan
Kargo
PASAL 6
PENENTUAN BERAT MUATAN
6.1 Berat muatan tiap-tiap pengapalan
diperhitungkan dengan menggunakan Draft
Survey Mother Vessel dan ditentukan di
pelabuhan muat. Draft Survey tersebut
dilakukan oleh PT. SCCI, yang mana harus
menerbitkan Sertifikat Berat yang sesuai untuk
tiap-tiap pengapalan di pelabuhan muat. Berat
yang ditentukan tersebut bersifat final dan
mengikat atas PENJUAL dan PEMBELI
dalam rangka kontrak ini, dan harus
merupakan dasar kesepakatan kecuali jika
penyesuaian diperlukan berdasarkan PASAL 5
Perjanjian ini
6.2 Biaya Draft Survey di pelabuhan muat menjadi
tanggungan PENJUAL
PASAL 7
PENGAMBILAN SAMPEL, ANALISA
KUALITAS BATUBARA DAN ANALISA
UMPIRE (PENENGAH)
7.1 Pengambilan sampel dan analisa pengapalan
Batubara dilakukan di pelabuhan muat oleh
PT. SCCI
7.2 Seluruh pengambilan sampel akan
diselenggarakan berdasarkan standard ASTM.
Sampel yang diambil oleh PT. SCCI dibagi ke
dalam 4 (empat) bagian untuk menetapkan,
- 1 (satu) sampel yang merupakan sampel
analisa pengapalan ("Sampel Pengapalan"),
- 1 (satu) sampel yang merupakan sampel milik
PENJUAL ("Sampel PENJUAL "),
- 1 (satu) sampel yang merupakan sampel milik
PEMBELI ("Sampel PEMBELI"), jika diminta
 - 1 (one) sample being the Umpire sample (the
"Umpire Sample") which shall be retained by
PT. SCCI until 60 (Sixty) days after completion
of loading
These samples shall be clearly labeled
(including without limitation sample and
container weight) and kept in air tight sealed
containers
7.3 The Shipment Sample shall be analyzed by PT.
SCCI. This Analysis shall perform an analysis
of the characteristic specified in ARTICLE 3,
and shall Issue the Certificate of Sampling and
Analysis certifying the results of such analysis.
7.4 In the event that either party wishes to
challenge the result of such analysis, it shall do
so within sixty (60) days from date of Bill of
Lading (date of completion of Loading of the
barge). In such event the Umpire Sample shall
be sent to mutually acceptable internationally
recognized independent commercial laboratory
(the "Umpire Laboratory"). The Umpire
Laboratory shall perform analysis of the
specifications for the parameters requested by
the party called for umpire analysis, and shall
issue a certificate (the "Umpire certificate")
certifying the results of such analysis
7.5 The costs for sampling and analysis shall be for
the account of SELLER. Cost of additional
analysis of the umpire sample shall be borne by
the requesting party
7.6 BUYER shall have the right to send their
representative to the Loading Port to witness
the Loading operation, sampling and analysis
of cargo. The SELLER shall make all
necessary arrangements to enable the
representative(s) of the BUYER or appointed
testing authority to travel to testing laboratory
and a representative of the SELLER shall
accompany the representative(s) of the
BUYER or appointed testing authority to,
from and at testing laboratory. The costs for
the BUYER's and the SELLER's
representatives activities shall be borne by the
BUYER

- 1 (satu) sampel yang merupakan sampel
Umpire ("Sampel Umpire") yang harus
disimpan oleh PT. SCCI sampai 60 (enam
puluh) hari setelah diselesaikannya pemuatan
Sampel-sampel ini harus secara jelas diberi
label (termasuk tanpa batasan berat sampel dan
wadahnya) dan disimpan di wadah-wadah
yang disegel rapat dari udara
7.3 Sampel Pengapalan harus dianalisa oleh PT.
SCCI. Analisa ini harus melakukan analisa
karakteristik yang ditentukan dalam PASAL 3,
dan harus menerbitkan Sertifikat Pengambilan
Sampel dan Analisa yang menyatakan hasil-
hasil dari analisa tersebut.
7.4 Dalam hal bahwa salah satu Pihak bermaksud
mengajukan keberatan terhadap hasil analisa
tersebut, Pihak tersebut harus melakukannya
dalam waktu enam puluh (60) hari dari tanggal
Bill of Lading (tanggal diselesaikannya
pemuatan Kapal). Dalam hal demikian Sampel
Umpire harus dikirim ke laboratorium
komersial independen yang diakui secara
internasional yang disetujui bersama
("Laboratorium Umpire"). Laboratorium
Umpire harus melaksanakan analisa spesifikasi
atas parameter-parameter yang diminta oleh
Pihak yang dipanggil untuk analisa umpire,
dan harus menerbitkan sertifikat ("Sertifikat
Umpire") yang menyatakan hasil-hasil dari
analisa tersebut
7.5 Biaya untuk mengambil sampel dan analisa
menjadi tanggungan PENJUAL . Biaya analisa
tambahan atas sampel umpire ditanggung oleh
Pihak yang meminta
7.6 PEMBELI berhak mengirim perwakilannya ke
pelabuhan muat untuk menyaksikan kegiatan
pemuatan, pengambilan sampel dan analisa
muatan. PENJUAL harus melakukan semua
persiapan yang diperlukan untuk
memungkinkan perwakilan (para perwakilan)
PEMBELI atau otoritas penguji yang ditunjuk
untuk mengadakan perjalanan ke laboratorium
pengujian dan seorang perwakilan PENJUAL
harus menyertai perwakilan (para perwakilan)
PEMBELI atau otoritas penguji yang ditunjuk
ke, dari dan pada laboratorium penguji. Biaya-
biaya atas kegiatan perwakilan PEMBELI dan
PENJUAL ditanggung oleh PEMBELI
 ARTICLE 8
BASIC CONDITIONS CONCERNING
DELIVERY AND TRANSPORTATION
8.1 OBLIGATION OF BUYER
BUYER shall be fully responsible for the
arrangement of the Mother Vessel for Coal from
Loading Port to Discharging port
8.2 OBLIGATION OF SELLER
SELLER shall complete the necessary
preparation for Loading of Coal before arrival
of BUYER'S Mother Vessel in accordance with
ARTICLE 10
SELLER should complete all necessary process
to fulfill this shipment
SELLER shall complete the slot and crusher
schedule preparation to fulfill the agreed Lay
can schedule after signed this Agreement
SELLER at its own expense shall be fully
responsible for Loading Coal in bulk, on
BUYER'S Mother Vessel spout trimmed at
Loading Port
ARTICLE 9
SHIPPING SCHEDULES
9.1 At least seven (7) days prior to the first day of
proposed month of the shipment
9.2 At least seven (7) days prior to the Estimated
Time of Arrival of the Mother Vessel at Loading
Port, BUYER shall nominate the Mother Vessel
to SELLER
a) The tonnage of Coal to be loaded into the
Mother Vessel.
b) The name of the Mother Vessel and
particulars, as follows :
 Year of Built
 Mother Vessel Type and Size
 Register Tonnage (GRT/NRT)
 Cargo Gear (gear) capacity
 Hatch Dimension and Cargo Hold Capacity
c) The estimated time of arrival (ETA) at
Loading Port

8.1 KEWAJIBAN PEMBELI
PEMBELI bertanggungjawab penuh atas
pengurusan Mother Vessel untuk Batubara dari
Pelabuhan Muat ke Pelabuhan Tujuan
8.2 KEWAJIBAN PENJUAL
PENJUAL harus menyelesailkan persiapan
yang diperlukan untuk pemuatan Batubara
sebelum kedatangan Mother Vessel milik
PEMBELI sesuai dengan PASAL 10
PENJUAL harus melaksanakan semua proses
yang bersangkutan untuk memenuhi
pengapalan ini
PENJUAL harus menyelesailkan persiapan
jadwal slot dan crusher untuk dapat memenuhi
jadwal Lay can yang telah disepakati bersama
setelah tanda tangan Perjanjian
PENJUAL dengan biayanya sendiri
bertanggung jawab penuh untuk memuat
Batubara dalam bentuk curah, pada Mother
Vessel milik PEMBELI spout trimmed (dengan
penyesuaian keseimbangan) di Pelabuhan
Muat
PASAL 9
JADWAL PENGAPALAN
9.1 Selambat-lambatnya tujuh (7) hari sebelum
hari pertama bulan yang diajukan untuk
pengapalan
9.2 Selambat-lambatnya Tujuh (7) hari sebelum
Perkiraan Waktu Kedatangan Mother Vessel di
Pelabuhan Muat, PEMBELI harus mengajukan
Mother Vessel kepada PENJUAL
a) Tonase Batubara yang akan dimuat ke
Mother Vessel
b) Nama Mother Vessel dan kaitannya sebagai
berikut,
• Tahun Dibangun
• Kapal Jenis dan Ukuran
• Pendaftaran Tonnage (GRT / NRT)
• Kapasitas Cargo Gear (gigi)
• Dimensi dan Kapasitas Tutup dan Palka
c) Perkiraan waktu kedatangan (ETA) pada
Pelabuhan Pemuatan
 The quantity of Coal to be loaded into
BUYER's Mother Vessel may be varied by ten
percent (10%) more or less of the notified
quantity at the discretion of the Mother Vessels
master, subject to the maximum tonnage to be

9.3 The quantity of Coal to be loaded into
BUYER's Mother Vessel may be varied by ten
percent (10%) more or less of the notified
quantity at the discretion of the Mother Vessels

sold and purchased as specified in ARTICLE 2,
and will be declared at the stowage plan
9.4 BUYER / Mother Vessel Load Port Agent shall
ensure that the master of the BUYER's Mother
Vessel shall advise - in writing (e-mail,
facsimile or telex) or by radio to SELLER or a
person designated by SELLER - its estimated
time of arrival at the Loading Port seven (7)
days, five (5) days, and twenty four (24) hours
before BUYER's Mother Vessel is expected to
arrive
ARTICLE 10
LOADING TERMS
10.1 LOADING PORT
Loading at Jetty (please find Attachment-3
within this Agreement)) to the Anchorage Point
at (please find Attachment-3 within this
Agreement), is under the control of PT.
Pelabuhan Indonesia (Persero), and the Loading
of Mother Vessel is under the control of PT. AW
Mineral Resources. Mother Vessel shall comply
with requirements at the Loading Port as
stipulated from time to time by those authorities
or any other relevant authority at the Loading
Port
10.2 SHIPPING ARRANGEMENT
a) The BUYER may arrange Mother Vessels to
be loaded with the coal defined under this
Agreement

tongkang milik PEMBELI akan sesuai seperti
jumlah Mother Vessel yang disebutkan
9.4 PEMBELI / Agen Kapal Pelabuhan Muat
harus memastikan bahwa nahkoda Mother
Vessel milik PEMBELI memberitahukan -
secara tertulis (e-mail, faksimili atau teleks)
atau melalui radio kepada PENJUAL atau
orang yang ditunjuk oleh PENJUAL -
perkiraan waktu kedatangan di pelabuhan
muat tujuh (7) hari, lima (5) hari, dan
duapuluh empat (24) jam sebelum Mother
Vessel milik PEMBELI diperkirakan tiba
PASAL 10
KETENTUAN-KETENTUAN PEMUATAN
10.1 PELABUHAN MUAT
Loading di Jetty (mohon lihat Lampiran-3
dalam Perjanjian ini) menuju titik Anchorage
di (mohon lihat Lampiran-3 dalam Perjanjian
in), berada di bawah kendali PT. Pelabuhan
Indonesia (Persero), dan pemuatan Kapal
berada di bawah kendali PT. AW Mineral
Resources. Kapal harus memenuhi persyaratan
di Pelabuhan Pemuatan yang ditetapkan dari
waktu ke waktu oleh Pihak berwenang atau
otoritas terkait lainnya di Pelabuhan Pemuatan
10.2 PENGATURAN PENGAPALAN
a) PEMBELI dapat mengatur Mother Vessel
untuk dimuat batubara sebagaimana
didefinisikan dalam Perjanjian ini
 b) Dead Freight is applicable and payable by
SELLER in the event if SELLER cannot
load to the maximum quantity requested by
the BUYER. Reasons could be (i) no more
cargo, (ii) Mother Vessel waiting cargo more
than 3 days (iii) quantity stated in export
license, (iv) Jetty / channel draft restriction,
(v) shore machinery breakdown (vi) strike or
(vii) Force Majeure
All Dead Freight claims are always at
SELLER's account
c) Any damage to any part of the Mother
Vessel caused by Stevedores during loading,
stowing and trimming of the cargo shall be
the responsibility of the SELLER to settle
with the Mother Vessel owners
10.3 NOTICE OF READINESS
Notice of Readiness (NOR) to load the coal
shall be tendered in writing (e-mail, facsimile,
telex) or by radio upon the Mother Vessels
arrival at the Loading Port ATDNSHINC,
included w.w.w.w
10.4 LAY TIME
Lay time shall commence Twelve (12) hours
after the Mother Vessel tenders Notice of
Readiness (NOR) unless sooner commenced
If the Mother Vessel is compelled to wait for
berth at anchorage point, shifting time from
anchorage point to berth shall not count as Lay
time, unless the Mother Vessel is on
Demurrage. Once the Mother Vessel on
Demurrage always on Demurrage
Time lost by the following causes shall not
count as Lay time
Delays due to breakdown of the Mother Vessel
Loading equipment(s), ballasting equipment(s)
or lighting equipment(s), or delays due to the
Mother Vessel's requirement(s) to change
stowage plan or Loading sequences, or to have
special trimming

b) Dead Freight diberlakukan dan dibayar oleh
PENJUAL ketika PENJUAL tidak dapat
melakukan pemuatan sejumlah kuantitas
maksimal yang diminta oleh PEMBELI.
Dengan ketentuan (i) tidak ada lagi Kargo
yang tersedia, (ii) Kapal menunggu Kargo
lebih dari 3 hari (iii)jumlah yang tercantum
dalam lisensi ekspor, (iv) dermaga termasuk
pembatasan chanel, (v) kerusakan mesin
(vi) mogok (vii) keadaan kahar
Pengaduan Dead Freight dibebankan ke
rekening PENJUAL
c) Setiap kerusakan pada bagian manapun dari
Kapal yang disebabkan oleh Stevedores
selama pemuatan, stowing dan trimming
muatan menjadi tanggung jawab PENJUAL
untuk menyelesaikan dengan pemilik
Mother Vessel
10.3 PEMBERITAHUAN KESIAPAN
Pemberitahuan Kesiapan (NOR) untuk
memuat batubara harus disampaikan secara
tertulis (e-mail, faksimili, teleks) atau melalui
radio pada kedatangan Kapal di Pelabuhan
Muat ATDNSHINC, termasuk w.w.w.w
10.4 LAY TIME
Lay time akan dimulai pada Dua belas (12)
jam setelah Kapal menyatakan NOR kecuali
dapat dimulai lebih cepat.
Jika Kapal tersebut terpaksa menunggu di titik
dermaga pelabuhan, pergeseran waktu dari titik
penjangkaran untuk sandar tidak akan dihitung
sebagai laytime, kecuali jika Kapal tersebut
dalam keadaan Demurrage. Jika Mother Vessel
dalam keadaan Demurrage selalu dalam
keadaan Demurrage
Waktu yang hilang oleh sebab-sebab berikut
tidak akan dihitung sebagai Lay time
Penundaan akibat kerusakan peralatan Loading
Kapal, peralatan ballasting atau peralatan
pencahayaan, atau penundaan karena
kebutuhan Kapal untuk mengubah rencana
pergudangan atau urutan pemuatan, atau untuk
pemangkasan khusus
10.5 LOADING RATE
The SELLER shall load the coal aboard Mother
Vessel at the following average rates per
weather working day, Sundays and a public
holiday or a local holiday included
(PWWDSHINC)
Loading rate: minimum 8,000 Metric Ton,
shall be affirmed to BUYER's Mother Vessel
Charter Party.
In case Mother Vessel is loaded during excepted
period the actual time used to load to count as
Lay time
In the event SELLER cannot fulfill the Loading
Rate, all the loses and Demurrage occurs shall
be borne to SELLER's account
10.6 DEMURRAGE AND DESPATCH MONEY
a) Lay time calculation will be made by
BUYER and SELLER based on Statement of
Facts (SOF) issued and duly signed by all
parties including master of the Mother
Vessel, Mother Vessel agent, etc
b) Allowable Lay time shall be calculated by
dividing the actual loaded quantity by the
Loading Rate specified in ARTICLE 10.5
c) In the event allowable Lay time already
passed, and SELLER cannot confirm the
date of the cargo to be loading, the BUYER
has right to sailing out the Mother Vessel,
without any obligations for the rest cargo to
be loading. All Dead Freight cost shall be
borne on SELLER's account and the
BUYER has the right to deduct all Dead
Freight directly from SELLER‟s final
payment
d) Demurrage money shall be paid by the
SELLER to the BUYER for time lost after
expiration of allowable Lay time at the rates
affirmed to BUYER's Mother Vessel Charter
Party or Fixture Note. Dispatch money shall
be paid by the BUYER to the SELLER for
Lay time saved at the rates of one-half (1/2)

10.5 KEMAMPUAN LOADING

kerja dengan cuaca baik, Minggu dan hari libur
umum atau hari libur lokal termasuk

Dalam kasus Mother Vessel dimuat diluar
periode waktu yang ditentukan untuk memuat
dihitung sebagai Lay time
Jika PENJUAL tidak dapat memenuhi
kapasitas pemuatan, semua kerugian dan
Demurrage yang timbul akan menjadi
tanggungan PENJUAL
10.6 DEMURRAGE AND DESPATCH
MONEY
a) Perhitungan waktu Lay time akan dilakukan
oleh PEMBELI dan PENJUAL berdasarkan
Pernyataan Fakta (SOF) diterbitkan dan
ditandatangani oleh semua Pihak termasuk
master agen, Kapal Kapal, dll
b) Lay time diijinkan dihitung dengan
membagi jumlah aktual dimuat dengan
kemampuan Loadingseperti tertulis dalam
PASAL 10.5
c) Jika waktu Lay time yang diijinkan sudah
berlalu, dan PENJUAL tidak dapat
mengkonfirmasi tanggal Kargo yang akan
dimuat, PEMBELI mempunyai hak untuk
memberangkatkan Mother Vessel, dan tidak
memiliki tanggung jawab terhadap sisa
Kargo yang akan dimuat. Semua biaya
Dead Freight akan menjadi tanggungan
PENJUAL dan PEMBELI berhak untuk
langsung mengurani semua Dead Freight
dari pembayaran akhir ke PENJUAL
d) Uang Demurrage harus dibayar oleh
PENJUAL kepada PEMBELI untuk waktu
yang hilang setelah berakhirnya laytime
diijinkan pada tarif mengacu pada Charter
Party atau Fixture Note Mother Vessel
PEMBELI. Pengiriman uang harus dibayar
oleh PEMBELI untuk PENJUAL untuk

e) The rate of Demurrage and Dispatch Money
per day shall be paid as per charter party
Such Demurrage or dispatch money shall be
settled between the BUYER and the SELLER
within thirty (30) days after the completion of
Loading of the Mother Vessel subject to the
parties having reached Agreement on the
amount of such Demurrage or Dispatch
money and shall not form any part of the
payment as provided for in ARTICLE 12
hereof.
10.7 SHIPPING TOLERANCE
The master of the Mother Vessel shall be
entitled to increase or decrease the quantity of
the coal to be loaded onto a Mother Vessel
within the range of +/- 10% (such range shall be
in hereinafter called "Shipping Tolerance").
However, the quantity of the coal to be loaded
onto a Mother Vessel shall mean the tonnage
notified by the BUYER/ Mother Vessel Master
to the SELLER and confirmed in accordance
with the provisions of ARTICLE 9
10.8 ALLOCATION OF LOADINGEXPENSES
The terms and conditions of the Charter Party
as modified by Agreement between the BUYER
and the SELLER shall apply to this Agreement
in so far as they are applicable and are
consistent with the terms and conditions of this
Agreement and with the established practices of
the Loading Port
10.9 In case of transshipment of anchorage, the
SELLER shall discuss closely with master of
Loading procedures
10.10 DETENTION
In the event the Mother Vessel is prevented
from or delayed in berthing or sailing at/from
the Loading Port as a result of SELLER's
failure to complete all formalities and process
necessary documentation before shipment,

bagian apapun pembayaran sebagaimana
diatur dalam PASAL 12 Perjanjian ini
10.7 TOLERANSI PENGIRIMAN
Kapten Kapal berhak untuk menambah atau
mengurangi jumlah batubara yang akan dimuat
ke Kapal dalam kisaran +/- 10% (kisaran
tersebut akan di selanjutnya disebut "Toleransi
Pengiriman"). Namun, kuantitas batubara yang
akan dimuat ke Kapal tonase artinya
diberitahukan oleh PEMBELI / Kapten Kapal
untuk PENJUAL dan dikonfirmasi sesuai
dengan ketentuan PASAL 9
10.8 ALOKASI BIAYA LOADING
Syarat dan kondisi pro forma Charter Party
sebagaimana telah diubah dengan kesepakatan
antara PEMBELI dan PENJUAL berlaku
terhadap Perjanjianini sejauh mereka berlaku
dan konsisten dengan syarat dan kondisi dari
Perjanjianini dan dengan praktek yang
ditetapkan dari Pelabuhan Muat
10.9 Dalam kasus transshipment penjangkaran,
PENJUAL harus mendiskusikan erat dengan
master Loadingprosedur
10.10 DETENSI
Dalam hal Kapal dicegah dari atau ditunda di
berlabuh atau berlayar di / dari Pelabuhan
Pemuatan sebagai akibat dari kegagalan
PENJUAL untuk menyelesaikan semua
formalitas dan dokumentasi proses yang

10.11 DEAD FREIGHT
The Owner / Master / Agents of the Mother
Vessel nominated to SELLER by BUYER shall
declare the stowage plan to the SELLER/their
agents by e-mail/fax, prior to arrival of Mother
Vessel at Loading Port. Once the stowage plan
is declared, the SELLER shall load coal as per
the quantity declared in the stowage plan. For
any short quantity loaded, the SELLER shall
pay Dead Freight which shall be calculated by
multiplying the short quantity by the freight of
the Mother Vessel nominated to the SELLER
10.12 STEVEDORE DAMAGE
Stevedores at the Loading point appointed by
the SELLER shall be under the direction and
control of the Master of the Loading Mother
Vessel. The Master shall notify the Stevedores
of damage caused by Stevedores, if any, in
writing within 24 (twenty-four) hours after
occurrence otherwise the Stevedores shall not
be held liable. Such notified damage is to be
settled directly between the Mother Vessel
owner and the Stevedores/SELLER

e-mail / fax, sebelum kedatangan Kapal di
Pelabuhan Pemuatan. Begitu rencana
pemuatan dinyatakan, PENJUAL harus
memuat batubara sesuai dengan kuantitas
dinyatakan dalam rencana pemuatan. Untuk
setiap kekurangan kuantitas pemuatan,
PENJUAL harus membayar Dead Freight
yang dihitung dengan mengalikan kekurangan
kuantitas dengan biaya angkutan Kapal
dinominasikan untuk PENJUAL tersebut
10.12 STEVEDORE DAMAGE
Stevedores pada lokasi pemuatan yang
ditunjuk oleh PENJUAL berada di bawah
pengarahan dan pengawasan dari Master dari
Kapal Muat. Kapten harus memberitahukan
Stevedores kerusakan yang disebabkan oleh
Stevedores, jika ada, secara tertulis dalam
waktu 24 (dua puluh empat) jam setelah
terjadinya, bila tidak stevedore dinyatakan
tidak bertanggungjawab. Laporan kerusakan
tersebut harus diselesaikan secara langsung
antara pemilik Kapal dan Stevedores /

Seller has to open performance bound of 2 % of the total
Agreement value to Buyer after Buyer issued operative
UL/C within 5 (five) working days. In the event, Buyer
did not receive the Performance Bond from Seller or
Seller did not receive operative UL/C from Buyer, this

FORCE MAJEURE KEADAAN MEMAKSA / KAHAR

a result of, the intentional act or gross
negligence of the party directly affected by

employees, representatives and any other

Force Majeure, except as otherwise expressly
provided herein, the obligations of the entity
giving such notice shall be suspended to the
extent made necessary during the continuance

13.2 PEMBERITAHUAN

akibat dari peristiwa Force Majeure (Keadaan
Memaksa), Pihak yang terkena akibat harus
segera memberikan pemberitahuan tertulis
kepada Pihak lain yang menyatakan keadaan
peristiwa Force Majeure dan menyebutkan
sifat dari peristiwa tersebut beserta dengan
perkiraan dengan itikad baik mengenai tingkat
peristiwa tersebut dan periode yang karena
peristiwa tersebut akan terkena akibat
olehkarenanya. Pihak yang terkena akibat, atas
permintaan oleh Pihak lain, harus memberikan
bukti mengenai terjadinya persitiwa tersebut
dan periode berlangsungnya
13.3 PENANGGUHAN KEWAJIBAN
Jika PEMBELI atau PENJUAL gagal, atau
tertunda secara keseluruhan atau sebagian,
dalam melaksanakan satu dari kewajiban-
kewajibannya berdasarkan Perjanjian ini
karena Force Majeure, kecuali sebagaimana
ditetapkan lain secara tegas dalam perjanjian
ini, kewajiban-kewajiban badan/Pihak yang

ARTICLE 14
ARBITRATION
14.1 In case of any dispute which may arise between
BUYER and SELLER in connection with this
Agreement or the interpretation, performance or
non-performance hereof, and which cannot be
settled by mutual accord between BUYER and
SELLER, such dispute shall be finally settled
under the Rules of Conciliation and Arbitration
of BANI (Badan Arbitrase Nasional Indonesia)
14.2 The language to be used in the arbitral
proceedings shall be in English. The decision of
the majority of the arbitrators shall be final and
binding on the parties hereto, including the
decision as to allocation of the costs of such
arbitration, and may be entered in any court
having jurisdiction

LIABILITIES
The liability of a party in respect of any claim

PASAL 14
ARBITRASI
14.1 Dalam hal perselisihan yang mungkin muncul
antara PEMBELI dan PENJUAL terkait
dengan Perjanjian ini atau interpretasinya,
dilaksanakannya atau tidak dapat
dilaksanakannya, dan yang tidak dapat
diselesaikan dengan persetujuan bersama
antara PEMBELI dan PENJUAL , perselisihan
tersebut pada akhirnya harus diselesaikannya
berdasarkan Aturan BANI (Badan Arbitrase
Nasional Indonesia)
14.2 Bahasa yang digunakan dalam berlangsungnya
arbitrasi adalah Bahasa Inggris. Keputusan
mayoritas para arbitrator tidak dapat diganggu-
gugat dan mengikat atas Pihak-Pihak terhadap
perjanjian ini, termasuk keputusan mengenai
alokasi biaya arbitrasi tersebut, dan dapat
dimasukkan pada pengadilan di wilayah
hukumnya
PASAL 15
TANGGUNG JAWAB
Tanggungjawab suatu Pihak terkait dengan

PASAL 17
HUKUM YANG BERLAKU
Perjanjian ini dan hak-hak, hak istimewa, tugas
dan kewajiban berdasarkan perjanjian Pihak
akan ditafsirkan sesuai dengan hukum yang
berlaku di Republik Indonesia Perjanjian ini
dan hak-hak, hak istimewa, tugas dan
kewajiban berdasarkan perjanjian Pihak akan
ditafsirkan sesuai dengan hukum yang berlaku
di Republik Indonesia
PASAL 18
BAHASA
Perjanjian ini dibuat dalam dua bahasa, Bahasa
Inggris dan Bahasa Indonesia. Apabila
terdapat ketidaksesuaian atau interpretasi yang
berbeda antara terjemahan bahasa Indonesia
dan versi bahasa Inggris, maka versi bahasa
Inggris yang berlaku

PAJAK

provisions of this Agreement or to take advantage of any
of the provisions of this Agreement or to take advantage
of any of its rights hereunder shall not be construed as a
waiver of any such provisions or the relinquishment of
any such rights and the same shall continue and remain
in force and effect. All remedies afforded under this
Agreement shall be taken and construed as cumulative
and in addition to every other remedy provided for
herein or by law
