Beli Bahan Bakar Minyak Solar Industri atau High Speed
Diesel B20 (“Amandemen Pertama”) ini dibuat pada
tanggal 1 Januari 28 Februari 2019, oleh dan antara:
1. PT GASEMAS, suatu perseroan yang didirikan
berdasarkan Undang-Undang Republik
Indonesia yang memiliki kantor terdaftarnya di
Wisma 46 Kota BNI Lt. 50.06 Suite 50.06, Jl.
Jend. Sudirman Kav 1 Jakarta Pusat,
Indonesia, yang di dalam Perjanjian ini diwakili
oleh Sarayut Tienchaipong dalam
kedudukannya sebagai Direktur Utama dan
Lim Kian BooYulius Kurniawan Gozali
dalam kedudukannya sebagai Direktur,
dengan demikian bertindak untuk dan atas
nama PT GASEMAS (selanjutnya disebut
sebagai “Penjual”); dan
2. PT. BANGUN OLAH SARANA SUKSES,
didirikan berdasarkan hukum negara Republik
Indonesia, berkedudukan dan beralamat di
kantor Wisma 77 Tower 1, 8th floor, JL. Letjen
S. Parman Kav 77, Jakarta Barat, dalam hal ini
diwakili oleh William Siawira masing –masing
selaku Presiden Direktur dan Direktur, dengan
demikian bertindak untuk dan atas nama PT.
BANGUN OLAH ARANA SUKSES
(Selanjutnya dalam Perjanjian ini disebut
pembeli “BOSS”).
Penjual dan Pembeli secara bersama-sama
disebut “Para Pihak” dan secara sendiri-sendiri
disebut sebagai “Pihak”.
Bahwa:
1. Para Pihak telah terikat pada Perjanjian

This First Amendment to High Speed Diesel Fuel
Supply AgreementSales and Purchase Agreement for
Industrial Diesel Fuel or High Speed Diesel B20 (the
“First Amendment”) is made on January February
281thst, 2019 by and between:
1. PT GASEMAS, a company incorporated under
the laws of Indonesia, having its registered
office at Wisma 46 Kota BNI Lt. 50.06 Suite
50.06, Jl. Jend. Sudirman Kav 1, Jakarta Pusat,
Indonesia, on which in this Agreement is
represented Sarayut Tienchaipong as
President Director and Lim Kian Boo Yulius
Kurniawan Gozali as Director, therefore
acting for and on behalf of PT GASEMAS
(hereinafter shall be referred to as the “Seller”).
2. PT. BANGUN OLAH SARANA SUKSES, a

4. Para Pihak setuju untuk mengubah ketentuan
berdasarkan Pasal 2 ayat (2) Perjanjian tentang
Kuantitas, menjadi sebagai berikut:
"2. Kuantitas
Pembeli akan membeli dari Penjual dan
Penjual akan menjual kepada Pembeli,
minimal 500 KL (lima ratus kilo liter) HSD
B20 per bulannya ke Melak, Kalimantan
Timur. "
5. Para Pihak setuju untuk mengubah ketentuan
berdasarkan Pasal 4 ayat (1) Perjanjian tentang
Harga dan Pajak, menjadi sebagai berikut:
1. "1. Para Pihak sepakat untuk lebih lanjut
menetapkan Harga Perjanjian ini
berdasarkan Lampiran 2 Perjanjian
ini."Para Pihak sepakat untuk mengubah
ketentuan dalam Lampiran 1 pada
Perjanjian menjadi diatur dalam Lampiran
1 pada Amandemen Pertama ini.
Pasal 3: Ketentuan Lain-lain
1. Tanpa mengesampingkan tanggal
penandatanganan Amandemen Pertama ini,
Amandemen Pertama akan berlaku efektif
terhitung sejak 1 Januari Mei 20192018.
2. Seluruh syarat dan ketentuan dalam Perjanjian,
kecuali secara khusus dinyatakan diubah dan/atau
ditambahkan menurut Amandemen Pertama, tetap
berlaku dan mengikat Para Pihak. Amandemen
Pertama ini merupakan satu kesatuan dan bagian
yang tidak dapat dipisahkan dari Perjanjian dan
harus diartikan sebagai amandemen sebagaimana
diatur dalam Perjanjian.
3. Amandemen Pertama ini dibuat dalam 2 (dua)
salinan asli yang identik, setiap salinan untuk satu
Pihak. Para Pihak telah membaca dan mengerti
keseluruhan isi dari Amandemen Pertama dan
dengan menyetujui dan menandatangani nama
mereka maka Amandemen Pertama ini menjadi
sah dan mengikat Para Pihak.

The Buyer shall purchase from the Seller
and the Seller shall sell to the Buyer, at a
minimum of 500 KL (five hundred kilo liters)

Kalimantan.”with provisions under
Appendix 1 of this First Amendment.
5. The Parties agree to amend provision under
Article 4 paragraph (1) of the Agreement regarding
Prices and Taxes, to be as follows:
“1. The Parties agree to further
stipulate the Price of this Agreement
under Appendix 2 of this Agreement.”

Article 3: Miscellaneous
1. Notwithstanding the signing date of this First
Amendment, the First Amendment shall be

2. All Terms and Conditions in the Agreement, unless
otherwise specifically amended and/or added
according to in this First Amendment, shall be valid
and bind the Parties. This First Amendment shall
be an integral and inseparable part of Agreement
and shall be referred to as an amendment as
stipulated under the Agreement.
3. This First Amendment is executed in 2 (two)
identical copies, one for each party. The Parties
have read and understood the entire substance of
this First Amendment and hereunder sign their
names as confirmation.

HSD PRICE & TRANSPORTATION COST

A. PENGATURAN HARGA UNTUK TAHUN 2018 / PRICE ARRANGEMENT FOR 2018

Harga yang berlaku untuk periode dari 1 Mei 2018 sampai dengan 31 Desember 2018 ialah harga MOPS + $7.00
/ barel di mana tanggal 1 sampai dengan tanggal 14 sebagai window pertama dan tanggal 15 sampai dengan akhir
bulan sebagai window kedua. Perubahan harga dapat dilakukan 2 kali dalam sebulan. / The applicable price from
May 1st, 2018 to December 31st, 2018 is MOPS International + $ 7.00 per bbl. Price changes are made 2 (two)
times in a month.

Contoh/Example:

Periode 1-14 Mei 2018 / For period 1-14 May 2018:

- Harga MOPS/MOPS Price : USD 68.00 / Bbl

- Harga PT GE/PTGE HSD Price : USD 68.00 / Bbl + USD 7 = USD 75 / Bbl
- Harga per Liter/Price per Litre (USD) : USD 75.00 / Bbl : 158.99 = USD 0.4717 / Litre
- Harga per Liter/Price per Litre (IDR) : USD 0.4717* / Litre x Kurs USD/IDR Acuan

*Perhitungan harga diatas belum termasuk 10% VAT/PPN,0.3% PPh dan 7.5% PBBKB / The above price
calculation does not include 10% VAT, 0.3% withholding tax and 7.5% PBBKB, or as applicable in accordance with
the prevailing taxation law and regulation.

B. PENGATURAN HARGA TETAP UNTUK TAHUN 2019 / FIXED PRICE ARRANGEMENT FOR 2019

1. Harga yang berlaku untuk periode 10 (sepuluh) bulan dimulai dari 1 Januari 2019 sampai dengan 31 Oktober
2019 atau setelah jumlah volume kuantitas HSD yang disediakan Penjual bagi Pembeli telah mencapai nilai
5.000 KL, mana yang lebih dahulu terjadi (“Periode Harga Tetap”): adalah harga tetap dengan mengikuti
perubahan kurs dollar. Perubahan kurs dilakukan 2 (dua) kali dalam satu bulan. / The applicable price for a
period of 10 (ten) months, shall commence on January 1st, 2019 to October 31st, 2019 or after the volume of
HSD quantity provided by the Seller to the Buyer has reached a value of 5,000 KL, whichever occurs earlier
(“Fixed Price Period”): is fixed price with floating exchange rate. Exchange Rates are made 2 (two) times in
a month.

2. Berikut detail perhitungan mengenai kesepakatan harga tetap / The following is detailed calculations regarding

Apabila terdapat perubahan kurs (lebih tinggi maupun lebih rendah dari ketentuan yang disepakati), maka berlaku
perhitungan proporsional kurs dikalikan harga dasar, seperti ilustrasi dibawah ini / If there is any change in the
exchange rate (higher or lower than the agreed provisions), then the proportional exchange rate calculation multiplied by
the basic price shall be apply, as illustrated below:

C. TOLERANSI FUEL LOSS / FUEL LOSS TOLERANCE

Toleransi Fuel Loss adalah 0.3% untuk moda air (Tongkang) dan 0.15% untuk moda darat (Fuel Truck) / Fuel
Loss Tolerance is 0.3% for water mode (Barge) and 0.15% for land mode (Fuel Truck)
