PT. INDO PANCADASA AGROTAMA AND PT BANGUN CAHAYA PRATAMA
PERJANJIAN JASA PENYEDIAAN PERSONIL
SATUAN KEAMANAN (“Perjanjian”) ini dibuat
pada tanggal 30 September 2021, oleh dan antara :
PT. INDO PANCADASA AGROTAMA, suatu
Perseroan terbatas yang didirikan menurut hukum
Negara Republik Indonesia, berdomisili di
Samarinda dan beralamat di Jl. Kedondong Luar
nomor 12, Rukun Tetangga 005, Voorfo, Kel.
Gunung Kelua, Kec. Samarinda Ulu, Kota
Samarinda, Kalimantan Timur, Indonesia ("Pihak
Pertama").
dan
PT. BANGUN CAHAYA PRATAMA, suatu
Perseroan terbatas yang didirikan menurut hukum
Negara Republik Indonesia, berdomisili di Kutai
Kartanegara dan beralamat di Jl. Rancang Rimba
Ayu, Kel. Kedang Murung, Kec. Kota Bangun, Kab.
Kutai Kartanegara, Kalimantan Timur, Indonesia
("Pihak Kedua").
Pihak Pertama dan Pihak Kedua untuk selanjutnya
bersama-sama disebut “Para Pihak”.
LATAR BELAKANG:
a) Pihak Pertama adalah perusahaan yang bergerak
di bidang pertambangan batubara dan
merupakan pemegang Izin Usaha
Pertambangan–Operasi Pertambangan No. 503
/1365/IUP-OP/BPPMD-PTSP/VII/2016 tanggal
18 Juli 2016 seluas 4.283 Ha yang berlokasi di
Desa Muara Wis, Kota Bangun Ulu, Kota Bangun
I, dan Kedang Ipil, Kecamatan Muara Wis dan
Kota Bangun, Kabupaten Kutai Kartanegara,
Provinsi Kalimantan Timur (selanjutnya disebut
”Area Tambang”).
b) Pihak Pertama adalah pemilik dari pelabuhan
berdasarkan Penetapan Pemenuhan Komitmen
Penyesuaian Terminal Khusus PT Indo
Pancadasa Agrotama yang diterbitkan oleh
Direktorat Jenderal Perhubungan Laut,
Kementerian Perhubungan No.
A.60/AL.308/DJPL tanggal 21 Januari 2019,
yang berlokasi di Desa Kedang Murung,
Kecamatan Kota Bangun, Kabupaten Kutai
Kartanegara, Provinsi Kalimantan Timur
(selanjutnya disebut ”Area Pelabuhan”).
c) Pihak Kedua adalah suatu perusahaan swasta
nasional yang bergerak di bidang jasa
penyelidikan, pengawasan, penjagaan dan

This SECURITY PERSONNEL PROCUREMENT
SERVICE AGREEMENT ("Agreement") is made
on 30 September 2021, by and between:
PT. INDO PANCADASA AGROTAMA, a limited
liability company incorporated, under the laws of the
Republic of Indonesia, having its domicile in
Samarinda and its registered office at Jl. Kedondong
Luar No. 12, Rukun Tetangga 005, Voorfo, Kel.
Gunung Kelua, Kec. Samarinda Ulu, Kota
Samarinda, East Kalimantan, Indonesia ("First
Party").
and
PT. BANGUN CAHAYA PRATAMA, a limited
liability company incorporated, under the laws of the
Republic of Indonesia, having its domicile in Kutai
Kartanegara and its registered office at Jl. Rancang
Rimba Ayu, Kel. Kedang Murung, Kec. Kota
Bangun, Kab. Kutai Kartanegara, Kalimantan
Timur, Indonesia, East Kalimantan, Indonesia
("Second Party").
The First Party and The Second Party hereinafter
jointly referred to as the "Parties".
BACK GROUND:
a) First Party is a coal mining company and holds
the Mining Business License – Mining Operation
No. 503/1365/IUP-OP/BPPMD-PTSP/VII/2016
dated 18 July 2016 of area 4.283 Ha located at
Muara Wis, Kota Bangun Ulu, Kota Bangun I,
dan Kedang Ipil Village, Muara Wis dan Kota
Bangun Sub-District, Kutai Kartanegara District,
East Kalimantan Province (hereninafter referred
to as the ”Mine Area”).
b) The First Party is the owner of the port based on
PT Indo Pancadasa Agrotama's Special Terminal
Adjustment Commitment Fulfillment
Commitment issued by the Directorate General of
Sea Transportation, Ministry of Transportation
No. A.60/AL.308/DJPL dated January 21, 2019,
which is located in Kedang Murung Village, Kota
Bangun District, Kutai Kartanegara Regency,
East Kalimantan Province (hereinafter referred
to as the " Port Area").
c) The Second Party is a national private company
engaged in areas of research services,
surveillance, security and protection activities for

kegiatan perlindungan untuk keselamatan
perorangan dan harta milik, termasuk
pengadaan sumber daya manusia khususnya
dalam pengadaan jasa tenaga satuan
pengamanan (SATPAM) yang mana dalam
menjalankan kegiatan usahanya tersebut telah
memiliki ijin dari Markas Besar Kepolisian
Republik Indonesia, sehingga dapat
melaksanakan pekerjaan jasa pengelolaan sistem
pengamanan dengan menempatkan SATPAM.
d) Dalam rangka menunjang kegiatan usahanya
tersebut, Pihak Pertama menunjuk Pihak Kedua
dalam rangka pengamanan lokasi (Area
Tambang & Area Pelabuhan), khususnya
pengadaan Tenaga Satuan Pengamanan
(SATPAM) yang akan ditempatkan pada Lokasi
bermaksud untuk menunjuk Pihak Kedua untuk
menyediakan personil satuan keamanan untuk
menjaga Area Tambang dan Area Pelabuhan
milik Pihak Pertama tersebut dan Pihak Kedua
telah menyatakan kesediaannya untuk bertindak
atas nama Pihak Pertama untuk menyediakan
jasa keamanan sebagaimana diperlukan oleh
Pihak Pertama.
OLEH KARENA ITU, atas dasar kesepakatan
bersama, di antara Para Pihak, Para Pihak setuju
untuk membuat dan menandatangani Perjanjian ini
dengan ketentuan dan persyaratan sebagai berikut:
PASAL 1
DEFINISI
Definisi-definisi yang disebutkan di bawah ini
mempunyai arti sebagai berikut:
1.1 SATPAM: berarti Tenaga Satuan Pengamanan
(SATPAM) yang mempunyai kemampuan di
bidang jasa pengamanan yang ditempatkan di
Lokasi.
1.2 LOKASI: Area penambangan Pihak Pertama
secara keseluruhan ternasuk Area Tambang dan
Area Pelabuhan, yang terbagi dalam beberapa
Area Kerja sebagaimana diuraikan di bawah ini,
seluruhnya terletak di Kecamatan Kotabangun,
Kabupaten Kutai Kartanegara, Kalimantan
Timur.
1.3 AREA KERJA : area(-area) tertentu
dalam Lokasi yang merupakan titik pemusatan
Personil SATPAM, sebagaimana dimaksud
dalam Pasal 4, dengan ketentuan bahwa
sebelum pos-pos tersebut selesai dibangun,

the safety of individuals and property, which
include procurement of human resources
especially in the procurement of security
personnel (SATPAM) services in which
conducting its business has a permit from the
Police Headquarters of the Republic of Indonesia,
so that services can implement job management
system security by placing the security personnel
(SATPAM).
d) In order to support its business activities, the
First Party intends to cooperate with the Second
Party in the framework of securing the location
(Mine Area and Port Area), especially the
Security Personnel (SATPAM) procurement that
will be placed on the Location.wish to appoint the
Second Party to supply the security personnel to
be allocated as the security in the Mine Area and
Port Area of the First Party and the Second Party
has expressed its willingness to act on behalf of
the First Party to provide security service as
requested by the First Party.
THEREFORE, on the basis of mutual agreement
between the Parties, the Parties agree to make and
sign this Agreement with the following terms and
conditions:
ARTICLE 1
DEFINITION
The following definitions mentioned below have the
following meanings:
1.1 SECURITY PERSONNEL: means Security
Forces Unit (SATPAM) who has the ability in the
field of security service placed in the Location.
1.2 LOCATION: shall mean mining area of the
First Party in terms of the whole area including
the Mine Area and the Port Area, which is
comprised of several Working Areas as herein
below defined, all are located at Kecamatan
Kotabangun, Kabupaten Kutai Kartanegara,
Kalimantan Timur.
1.3 WORKING AREAS: certain area(s) within the
Location which is/are being a convergence spot of
the Security Personnel, as referred to in Article 4
provided that SATPAM Personnel will patrol

para Personil SATPAM akan bertugas
berkeliling.
1.4 TUGAS PENGAMANAN: Kewajban
SATPAM dalam pengamanan, pencegahan dan
penanggulangan dari segala bentuk ancaman,
gangguan, hambatan yang datang dari dalam
maupun dari luar, termasuk melakukan segala
tindakan penting yang bersifat darurat demi
keamanan dan keselamatan pegawai, aset dan
kegiatan operasional Lokasi sesuai Prosedur
Operasional Standar (SOP) yang ditetapkan
oleh Para Pihak.
1.5 ASET: Segala harta baik yang bergerak
maupun tidak bergerak yang berada di Lokasi
yang menjadi tanggung jawab SATPAM untuk
dijaga keamanannya.
1.6 TAGIHAN BULANAN: Tagihan atas Biaya
Jasa yang harus dibayarkan oleh Pihak Pertama
kepada Pihak Kedua setiap bulannya selama
Perjanjian ini berlaku sebagaimana dimaksud
dalam Pasal 5 Perjanjian ini, di luar biaya
pelaksanaan kegiatan khusus di luar Perjanjian
ini.
1.7 KAPORLAP: Keperluan Perlengkapan
Perorangan Lapangan sebagaimana diperinci
dalam Lampiran 1 Perjanjian ini.
1.8 BIAYA MANAGEMENT: Imbalan jasa
berupa uang yang harus dibayarkan oleh Pihak
Pertama kepada Pihak Kedua sebesar 10%
(sepuluh persen) dari Tagihan Bulanan diluar
PPN.
PASAL 2
RUANG LINGKUP PEKERJAAN
2.1 SATPAM yang disediakan oleh Pihak Kedua
berarti SATPAM yang diseleksi dan direkrut
oleh Pihak Kedua untuk ditempatkan dan
dikaryakan di Lokasi Pihak Pertama sesuai
Area Kerja yang ditentukan.
2.2 Dalam melaksanakan Tugas Pengamanan,
Pihak Kedua akan menyediakan SATPAM yang
sesuai dengan kebutuhan Pihak Pertama dan
patuh dengan peraturan ketenagakerjaan yang
berlaku serta bertanggung jawab atas perijinan
yang diperlukan untuk penyediaan jasa
keamanan.
2.3 Penunjukan tersebut di atas merupakan pokok
Perjanjian dimana Pihak Kedua tidak
diperbolehkan mengalihkan penunjukan
tersebut maupun segala hak dan kewajiban
Pihak Kedua dalam Perjanjian ini seluruhnya

around, before all posts have been completed.
1.4 SECURITY TASK: the obligations of the
Security Personnel that are to secure, to prevent
and to handle any kind of threats, interferences,
obstacles that come from within and from outside,
including the conduct of all actions that are
necessary for emergency safety and security of
employees, assets and operational in Location
according to Standard Operational Procedure
(SOP), which determined by the Parties.
1.5 ASSET: Any moveable or immoveable properties
located in the Location, and which are under the
responsibility of the Security Personnel.
1.6 MONTHLY INVOICE: Invoices of the Service
Fee which shall be paid by the First Party to the
Second Party every month during the term of this
Agreement, as referred to Article 5 of this
Agreement, excluding those for special activities
beyond this Agreement.
1.7 KAPORLAP: Individual Field Equipment as
described in the Attachment 1 Perjanjian ini.
1.8 MANAGEMENT FEE: Recompense in the form
of money that must be paid by the First Party to
the Second Party in the amount of 10 % (ten
percent) of the Monthly Invoice excludes VAT.
ARTICLE 2
SCOPE OF WORK
2.1 The Security Personnel that is supplied by Second
Party is the security personnel which is selected
and recruited by the Second Party to be allocated
in and employed at the Location of the First Party
in accordance with the determined Working
Areas.
2.2 In performing the Service Task, the Second Party
will supply the Security Personnel as required by
the First Party and comply with the applicable
manpower regulation and also responsible for
the permit required for the security services.
2.3 The above appointment is the subject of this
Agreement and the Second Party is not allowed to
assign the appointment and all rights and
obligations of the Second Party in this Agreement
in whole or in part to any other party without the

atau sebagian kepada pihak lain tanpa
persetujuan tertulis sebelumnya dari Pihak
Pertama.
2.4 Patuh dengan ketentuan pelaksanaan Tugas
Pengamanan sebagaimana ditetapkan dalam
Perjanjian ini.
PASAL 3
JANGKA WAKTU PERJANJIAN
3.1 Perjanjian ini akan berlaku selama 3 (tiga)
bulan sesuai tanggal di bawah ini:
Tanggal Mulai : 01 Oktober 2021
Tanggal Akhir : 31 Desember 2021
3.2 Perjanjian ini dapat diperpanjang untuk jangka
waktu tertentu berdasarkan hasil tinjauan yang
dilakukan dan disepakati oleh Pihak Pertama
dengan pemberitahuan tertulis terlebih dahulu
kepada Pihak Kedua dalam jangka waktu
paling lambat 1 (satu) bulan sebelum Tanggal
Akhir Perjanjian ini.
3.3 Pihak Pertama dapat mengakhiri Perjanjian ini
kapan saja dengan memberitahukan secara
tertulis kepada pihak lainnya paling lambat 7
(tujuh) hari sebelumnya atas keinginan
pemutusan tersebut tanpa ada klaim atau
denda kepada pihak lainnya.
PASAL 4
PERSONIL SATPAM
4.1 Pihak Kedua wajib menyediakan 17 (tujuh
belas) orang personil SATPAM yang terdiri dari
1 (satu) Kepala Keamanan, 2 (dua) Komandan
Regu (Danru) dan 14 (empat belas) Anggota
Keamanan, yang akan ditempatkan di Area
Kerja sebagai berikut:
- Gerbang jalan masuk LOKASI;
- Tempat hunian petugas lapangan Pihak
Pertama dan kontraktornya (camp);
- Gudang bahan peledak;
- lokasi penumpukan Batubara (stockpile);
- pelabuhan;
- pit;
- atau lokasi lain yang ditentukan oleh Pihak
Pertama.
4.2 Pihak Kedua wajib merekrut personil
keamanan yang kompeten dan professional
untuk dilatih dan diangkat menjadi personil
SATPAM sesuai persetujuan dari Pihak

prior written consent of the First Party.
2.4 Comply with the provision of Security Tasks of as
stipulated in this Agreement.
ARTICLE 3
PERIOD OF AGREEMENT
3.1 This Agreement shall be effective for 3 (three)
months as the date below:
Commencement Date : 01 October 2021
Completion Date : 31 December 2021
3.2 The Agreement shall be extended for certain
period based on the results of a review conducted
and agreed by the First Party with prior written
notification at the latest 1 (one) month to the
Second Party prior to the Completion Date of this
Agreement.
3.3 The First Party at any time may to terminate this
Agreement by providing prior written notice at
the latest 7 (seven) days before the termination to
other party of its intention to terminate without
any claim or penalty to other party.
ARTICLE 4
SECURITY PERSONNEL
4.1 The Second Party shall provide 17 (seventeen) of
Security Personnel which consist of 1 (one) Head
of Security, 2 (two) Team Commanders (Danru),
and 14 (fourteen) Security Crew, which shall be
placed at the Working Areas as follows:
- Entrance gate of the LOCATION;
- Camp for the field officers of the First Party
and its contractors;
- Magazines depot;
- Stockpiles; and
- Jetty.
- Pit;
- Or other places determined by the First Party.
4.2 The Second Party shall recruit a competent and
professional security personnel to be trained and
appointed as the Security Personnel as long as
approved by the First Party.

Pertama.
PASAL 5
BIAYA JASA DAN CARA PEMBAYARAN
5.1 Pihak Pertama sepakat untuk membayar biaya
jasa kepada Pihak Kedua sesuai dengan
absensi jumlah SATPAM untuk periode tanggal
1 sampai dengan akhir bulan untuk setiap
bulan berdasarkan ketentuan Pasal 5.2
Perjanjian ini.
5.2 Biaya Jasa sebagaimana dimaksud dalam ayat
5.1 diatas terdiri dari (selanjutnya disebut
“Biaya Jasa”):
(a) Upah pokok SATPAM dengan posisi
sebagai berikut:
(1) Kepala Keamanan sebanyak 1 (satu)
orang adalah sebesar Rp 4.500.000,-
(Empat juta lima ratus ribu Rupiah)
per bulan.
(2) Komandan Regu (Danru) sebanyak 2
(dua) orang masing-masing adalah
sebesar Rp. 3.750.000,- (Tiga juta
tujuh ratus lima puluh ribu Rupiah)
per bulan.
(3) Anggota sebanyak 14 (empat belas)
orang masing-masing adalah sebesar
Rp. 3.200.000,- (Tiga juta dua ratus
ribu Rupiah) per bulan.
(b) Tunjangan Makan sebesar Rp. 17.500
(tujuh belas ribu lima ratus Rupiah) per
hari yang akan diberikan berdasarkan
absensi sidik jari yang disediakan oleh
Pihak Kedua untuk setiap SATPAM.
Apabila absensi sidik jari belum ada,
dapat menggunakan absensi manual
selama maksimal 7 (tujuh) hari sejak
penandatangan Perjanjian ini.
(c) Tunjangan tambahan pergantian kerja
(shift) sebesar Rp. 500.000,- (lima ratus
ribu Rupiah) per bulan untuk setiap
SATPAM.
(d) BPJS Tenaga Kerja dengan proporsi
penanggungan adalah sebesar 5,74%
ditanggung oleh Pihak Pertama dan 2 %
akan dipotong oleh Pihak Pertama dari
Upah pokok per bulan untuk setiap
SATPAM.
(e) Biaya rutin pembinaan dan pelatihan
keamanan oleh Kepolisian sebesar Rp.
106.000,- (Seratus enam ribu Rupiah) per
bulan untuk setiap SATPAM.
(f) Biaya perlengkapan keamanan
ditanggung oleh Pihak Pertama:

ARTICLE 5
SERVICE FEE AND PAYMENT METHOD
5.1 The First Party agrees to pay the Service Fee
to the Second Party in accordance with
attendance list of the Security Personnel for
the period from day 1 to the end of month for
each month as referred to Article 5.2 of this
Agreement.
5.2 The Service Fee as referred to in section 5.1
above shall be consisted of (hereinafter
referred to as “Service Fee”):
(a) Basic salary of the Security Personnel
with the following positions are as follow:
(1) 1 (one) Head of Security in the amount
of IDR 4,500,000,- (Four million five
hundred thousand Rupiah) per month.
(2) 2 (two) Team Commanders (Danru)
respectively in the amount of IDR
3.750.000,- (Three million seven
hundred fifty thousand Rupiah) per
month.
(3) 14 (fourteen) personnel respectively in
the amount of IDR 3,200,000,- (Three
million two hundred thousand
Rupiah) per month.
(b) Meal Allowance of IDR 17,500 (seventeen
thousand five hundred Rupiah) per day
which shall be given based on fingerprint
attendance provided by the Second Party
for each Security Personnel. In the event,
the finger print attendance is not yet
available, the Second Party may use
manual attendance for a maximum 7
(seven) days after the signing of this
Agreement.
(c) Additional work shift allowance of IDR
500,000,- (five hundred thousand
Rupiah) per month for each Security
Personnel.
(d) BPJS Manpower with a proportion of
5.74% shall be covered by the First Party
and 2% shall be deducted by the First
Party from the basic salary per month for
each Security Personnel.
(e) Routine fee for security coaching and
training by the Police is IDR 106.000,-
(One hundred and six thousand Rupiah)
per month for each Security Personnel.
(f) The security equipment cost shall be borne
by the First Party:

(1) Biaya pengadaan Seragam dan
Sepatu, ditagihkan setelah
penandatangan Perjanjian dan dapat
ditagihkan setiap 6 (enam) bulan
sekali masing-masing untuk Kepala
Keamanan, seluruh Komandan Regu
dan seluruh anggota;
(2) Biaya pengadaan APD, alat handie
talkie, dan mesin absensi sidik jari
ditagihkan hanya satu kali yaitu
setelah penandatangan Perjanjian.
(g) Tunjangan Hari Raya (“THR”) dihitung 1
(satu) kali upah pokok apabila SATPAM
telah bekerja lebih dari 1 (satu) tahun atau
dihitung secara prorata apabila SATPAM
bekerja kurang dari 1 (satu) yang
terhitung sejak SATPAM dipekerjakan
oleh Pihak Kedua untuk ditempatkan dan
dikaryakan pada Lokasi milik Pihak
Pertama.
(h) Biaya Manajemen 10% dari total jumlah
tagihan setiap bulan.
5.3 Pihak Kedua segera akan menerbitkan dan
mengirimkan tagihan paling lambat tanggal 6
setiap awal bulan kalender berikutnya dan
Pihak Pertama akan melakukan pembayaran
paling lambat 10 (sepuluh) hari kerja sejak asli
tagihan, faktur pajak dan lembaran absensi
jam kerja telah diterima secara lengkap dan
benar oleh Pihak Pertama.
5.4 Pembayaran Biaya Jasa wajib dilakukan
dengan cara telegraphic transfer ke rekening

5.5 Apabila terjadi SATPAM yang disediakan oleh
Pihak Kedua tidak hadir bekerja pada hari
kerja maka Pihak Kedua bertanggung jawab
menyediakan penggantinya dan menjamin
serta bahwa tidak akan ada kekosongan
SATPAM.
5.6 Jika SATPAM yang disediakan oleh Pihak
Kedua melakukan pemogokan dan/atau
demonstrasi baik sebagian atau seluruh
SATPAM Pihak Kedua yang disebabkan oleh
masalah internal Pihak Kedua termasuk tetapi
tidak terbatas kepada masalah pembayaran
upah kepada SATPAM oleh Pihak Kedua

(1) The procurement cost of uniforms
and shoes, shall be charged after the
signing of the Agreement and may
be charged for every 6 (six) months
for respectively Head of Security, all
Team Commanders (Danru), and all
Security Crew;
(2) The procurement cost of PPE, handie
talkie, and fingerprint attendance
machine shall be charged only once,
namely after the signing the
Agreement.
(g) Religious Festive Day Allowanve
(“THR”) is calculated 1 (one) time of
wage if the Security Personnel have
worked for more than 1 (one) year period
or calculated proratedly if the Security
Personnel have work for less than 1 (one)
year period counted since the Ied
Holidays of 2019 counted since the
Security Personnel have been recruited
by the Second Party to be placed and
employed at the Location of the First
Party.

sehingga mengakibatkan tidak maksimalnya
penjagaan keamanan di Lokasi Pihak Pertama,
maka Pihak Kedua akan melakukan
pemotongan tagihan sebagaimana dimaksud
dalam ayat 5.5 diatas ditambah denda sebesar
Rp. 1,000,000 (satu juta rupiah) per hari
pemogokan dan/atau demonstrasi yang akan
dipotong dari jumlah tagihan Pihak Kedua.
5.7 Biaya Jasa sebagaimana dimaksud dalam ayat
5.2 dalam Pasal ini, akan dikenakan Pajak
Penghasilan sesuai Undang-undang PPh Pasal
23, sebesar 2%.
5.8 Nomor Pokok Wajib Pajak (NPWP) Pihak
Kedua adalah: 86.445.835.1-728.000.
PASAL 6
HAK DAN KEWAJIBAN PARA PIHAK DAN
SATPAM
Hak dan kewajiban Pihak Pertama dan Pihak Kedua
adalah sebagai berikut:
6.1 Hak Pihak Pertama:
a. Pihak Pertama berhak memberikan
pendapat kepada Pihak Kedua dalam hal
penentuan penempatan lokasi, pengaturan
waktu kerja serta tugas-tugas lainnya
sesuai kebutuhan Pihak Pertama.
b. Pihak Pertama berhak untuk meminta
SATPAM pengganti jika setelah dilakukan
penilaian kerja dalam kurun waktu tertentu
SATPAM yang ditempatkan menunjukkan
hasil yang tidak sesuai harapan dan standar
Pihak Pertama dan Pihak Kedua akan
menyediakan SATPAM pengganti paling
lama satu (1) minggu setelah menerima
informasi dari Pihak Pertama sesuai
persetujuan Pihak Kedua.
c. Pihak Pertama berhak untuk melaporkan
kepada Pihak yang berwajib apabila
SATPAM telah melakukan suatu tindak
pidana dan untuk itu Pihak Pertama wajib
memberitahukan hal tersebut paling lama
24 (dua puluh empat) jam sejak
diketahuinya tindak pidana dimaksud
kepada Pihak Kedua.
d. Pihak Pertama berhak menentukan lokasi
dan jadwal penempatan SATPAM.
e. Pihak Pertama berhak mengganti SATPAM
yang dianggap tidak kompeten dan tidak

ARTICLE 6
RIGHTS AND OBLIGATIONS OF THE
PARTIES AND THE SECURITY PERSONNEL
The rights and obligations of the First Party and
Second Party are as follows:
6.1 The Rights of the First Party:
a. The First Party reserves the right to provide

dan sepatu serta perlengkapan pengamanan

paling lambat 7 (tujuh) hari setelah tanggal
penandatangan Perjanjian ini.
h. Pihak kedua wajib melakukan pengadaan 2
(dua) pasang seragam dan 1 (satu) pasang
sepatu setiap 6 (enam) bulan sekali untuk
setiap SATPAM.
i. Pihak Kedua berkewajiban mengadakan
pembinaan dan pelatihan rutin oleh
kepolisian setempat minimal 2 (dua) kali
sebulan.
j. Pihak Kedua berkewajiban membuat laporan
rutin dua kali dalam satu bulan terkait
dengan aktivitas SATPAM di tengah bulan
dan di akhir bulan.
k. Pihak Kedua wajib mendaftar BPJS Tenaga
Kerja untuk seluruh SATPAM dan
menyetorkan iuran BPJS Tenaga Kerja yang
dipungut Pihak Pertama dan SATPAM ke
rekening BPJS sesuai dengan ketentuan dan
peraturan yang berlaku.
l. Pihak Kedua wajib menjamin penjagaan
keamanan selama 24 (dua puluh empat) jam
penuh atas Area Tambang dan Area
Pelabuhan Pihak Pertama sesuai daftar shift
dan Area Kerja yang telah ditentukan.
m. Pihak Kedua berkewajiban dan bertanggung
jawab untuk membayar upah dan fasilitas
ketenagakerjaan lainnya, sesuai dengan
peraturan perundang-undangan yang
berlaku di Republik Indonesa termasuk
namun tidak terbatas pada menghitung dan
membayar Gaji Pokok, Tunjangan Hari Raya
(THR), BPJS, dan Pajak terkait dan
pembayaran lainnya atas setiap SATPAM
yang dikaryakan di Pihak Pertama secara
tepat waktu berdasarkan Perjanjian ini dan
apabila terjadi pelanggaran terhadap
peraturan tersebut akan menjadi tanggung
jawab Pihak Kedua.

provide security attributes such as uniforms
and shoes and equipment such us PPE and
handie talkie to the security personnel at the
latest 7 (seven) days after the signing date of
this Agreement.
h. The Second Party is obliged to procure 2
(two) pairs of uniforms and 1 (one) pair of
shoes every 6 (six) months for each security
worker
i. The Second Party is obliged to conduct
regular coaching and training by local police
at least 2 (two) times a month.
j. The Second Party is obliged to make regular
reports twice a month related to security
personnel activities in the middle of the
month and at the end of the month
k. The Second Party is obliged to register BPJS
Manpower for all security personnel and to
deposit BPJS Manpower contributions
collected by the First Party and the security
personnel to the BPJS account in accordance
with applicable laws and regulations.
l. The Second Party shall ensure the security
guard for 24 (twenty four) full hours on the
Location of the First Party according to the
shift list and Working Areas that have been
determined.
m. The Second Party is obliged and responsible
to pay the salary and other manpower
facility in accordance with the applicable
laws and regulations in the Republic of
Indonesia including but not limited to
calculate and pay the Base Salary, Religious
Festive Day Allowance, BPJS, and associated
taxes and other payments (if any) for the
Security Personnel that hired for the First
Party on time under this Agreement, if there
is a violation to the regulation then it shall be
the responsibility of the Second Party.

n. Pembayaran Tunjangan Hari Raya (THR)

Kedua jika diminta oleh Pihak Pertama wajib
menunjukkan semua dokumen yang
berhubungan dengan PPh 21 tersebut.
6.5 Kewajiban SATPAM

6.5 The Obligation of the Security Personnel

PASAL 7
JAMINAN PARA PIHAK
7.1 Bahwa SATPAM yang disediakan oleh Pihak
Kedua untuk dipekerjakan pada Pihak Pertama
telah melalui proses seleksi dan penerimaan
SATPAM sebagaimana mestinya.
7.2 Pihak Kedua menjamin bahwa SATPAM
tersebut tidak pernah terlibat dalam kasus
hukum apapun. Pihak Kedua juga menjamin
bahwa dalam pelaksanaan pekerjaan oleh
SATPAM yang disediakan oleh Pihak
Kedua tidak akan bertentangan dengan ranah
hukum dan apabila terjadi penyimpangan
dimana SATPAM tersebut terlibat kasus
hukum selama menjalankan ruang lingkup
pekerjaannya maka akan menjadi tanggung
jawab Pihak Kedua.
7.3 Bahwa penilaian terhadap kualifikasi SATPAM
adalah bahwa SATPAM telah dinilai cakap dan
sesuai dengan kebutuhan Pihak Pertama.
7.4 Bahwa Pihak Kedua telah memiliki seluruh
perizinan yang diperlukan untuk menjalankan
kegiatan usahanya sebagaimana diatur
menurut peraturan perundang–undangan yang
berlaku.
7.5 Bahwa SATPAM yang ditempatkan pada Pihak
Pertama tunduk kepada peraturan yang
berlaku di lingkungan Pihak Kedua dan Pihak
Pertama. Jika terjadi pelanggaran atas
peraturan internal Pihak Pertama maka Pihak
Pertama wajib memberitahukan ke Pihak
Kedua untuk pembuatan Surat Peringatan
tahap Pertama sampai dengan tahap Ketiga
beserta pengambilan tindakan/sanksi
sebagaimana mestinya sesuai dengan
peraturan perundang-undangan yang berlaku.
7.6 Para Pihak menjamin bahwa pejabat yang
menandatangani Perjanjian ini adalah pejabat
yang berwenang dari masing-masing pihak
sesuai anggaran dasar masing-masing pihak.
PASAL 8
KERAHASIAAN
Pihak Kedua akan menggunakan semua informasi
yang diungkapkan kepadanya oleh atau atas nama

ARTICLE 7
WARRANTIES OF THE PARTIES
7.1 The Security Personnel as provided by the
Second Party to the First Party have been passed
an appropriate selection and recruitment
process of the Security Personnel.
7.2 The Second Party shall ensure that the Security
Personnel have never been involved in any legal
case. Second Party also ensure that the execution
of work by the Security Personnel as provided by
the Second Party will not be contrary to the
applicable law and in the event of inconformity
where the Security Personnel is involved in legal
cases so during performing the scope of work
shall become the responsibility of the Second
Party.
7.3 The assessment to the Security Personnel
qualifications shall be based on the competency
assessment as required by the First Party.
7.4 The Second Party having all licenses as
necessary for conducting its business activities
as stipulated by laws and regulations.
7.5 The Security Personnel who is supplied to the
First Party is subject to regulation which is
applicable in the Second Party and the First
Party location. If there is a violation to the First
Party’s internal regulation then the First Party
shall notify the Second Party to make a First
Warning Letter until the third Warning Letter
including a sanction in accordance with
applicable laws and regulations.
7.6 The Parties ensure that the officer who signed
this Agreement is authorized officer of each

ARTICLE 8
CONFIDENTIALITY
Second Party will use all information as disclosed to
the Second Party by or on behalf of the First Party,

9.2 SATPAM wajib tunduk pada peraturan dan
kebijakan yang diberlakukan oleh Pihak
Pertama dan Pihak Kedua, sepanjang tidak
menyalahi atau bertentangan dengan
Peraturan Perundang–undangan yang berlaku.
9.3 Hubungan kerja yang terjadi adalah SATPAM
Pihak Kedua yang ditempatkan di lokasi Pihak
Pertama.
9.4 Jika terjadi hal-hal yang menyangkut
hubungan kerja antara SATPAM dengan Pihak
Kedua maka yang bertanggung jawab
sepenuhnya adalah Pihak Kedua.
9.5 Perintah kerja dapat datang dari Pihak
Pertama karena hasil kerja Pihak Kedua adalah
untuk kepentingan Pihak Pertama akan tetapi
hubungan kerja para SATPAM tetap dengan
Pihak Kedua.

relationship between the security personnel and
the Second Party then the Second Party shall be
fully responsible for the settlement.

PASAL 12
PENYELESAIAN PERSELISIHAN
12.1. Apabila terjadi perselisihan mengenai isi dan
pelaksanaan Perjanjian ini, maka akan
diselesaikan dengan cara musyawarah antara
Para Pihak.
12.2. Apabila perselisihan paham sebagaimana
dimaksud pada ayat 12.1 pasal ini tidak
dapat diselesaikan dengan cara musyawarah
dan mufakat, maka Para Pihak sepakat bahwa
semua perselisihan akan diselesaikan melalui
Badan Arbitrase Nasional Indonesia (BANI)
sesuai dengan aturan BANI dimana
keputusannya merupakan keputusan akhir
dan mengikat Para Pihak.
PASAL 13
AMANDEMEN ATAS PERJANJIAN
Segala sesuatu yang belum diatur dalam
Perjanjian ini akan dimusyawarahkan kemudian
oleh Para Pihak dan setiap kesepakatan yang telah di
musyawarahkan tersebut wajib dituangkan dalam
suatu amandemen terhadap Perjanjian ini, yang
merupakan bagian yang tidak terpisahkan dari
Perjanjian ini.
PASAL 14
LAIN-LAIN
14.1 Jika sesuatu Ketentuan dari Perjanjian ini
dianggap batal, tidak sah atau tidak
diberlakukan, maka hal ini tidak akan
mempengaruhi keabsahan, kesahan atau
keberlakuan dari ketentuan-ketentuan lain.
14.2 Perjanjian ini dibuat dalam dua bahasa, yakni
bahasa Inggris dan bahasa Indonesia, dalam
hal terjadinya ketidaksesuaian arti antara
kedua bahasa tersebut dalam Perjanjian ini,
maka versi bahasa Indonesia yang dijadikan
bahasa yang berlaku.
14.3 Perjanjian ini ditandatangani oleh Para Pihak
pada hari dan tanggal sebagaimana disebutkan
pada bagian awal Perjanjian, dibuat dalam
rangkap 2 (dua) yang keduanya asli dan
bermeterai cukup yang mempunyai kekuatan
hukum yang sama.

ARTICLE 12
SETTLEMENT OF DISPUTES
12.1 In case of dispute in regard with the content and
on the execution of this Agreement, it shall be
settled by mutual resolution between the Parties.
12.2 If the dispute as referred to in section 12.1 of this
Article cannot be settled by mutual resolution,
the Parties agree that such disputes will be
settled through Indonesia National Board of
Arbitration (BANI) with its rules where the
decision will be final and binding the Parties.
ARTICLE 13
AMENDEMENT TO AGREEMENT
Anything that has not been set under this Agreement
will be discussed later by the Parties and any
agreements that have been discussed shall be set
forth in an amendment to this Agreement, which is
shall be an integrated part of this Agreement.
ARTICLE 14
MISCELLANEOUS
14.1 If any provision in this Agreement is void, invalid
or not enforceable, this will not affect the validity,
legality or enforceability of the other provisions.
14.2 This Agreement is made in bilingual, both
English and Indonesia. Should there be any
inconsistency between the English and
Indonesian versions, and then Indonesian
version shall be the prevail language.
14.3 The Agreement is signed by the Parties on the
day and date as mentioned at the beginning of
the Agreement, made in duplicate 2 (two) and
shall be deemed original document and stamped
the same legal effect.
