Article 2
SALE AND PURCHASE OF THE COAL
Subject to the terms and conditions set
forth in this Agreement, the Seller agrees
to sell and deliver and the Buyer agrees to
take and purchase the Coal which meets
the quantity and quality as stated at the
Article 3 and Article 4 of this Agreement.
The Seller guarantee that this shipment
under the contract shall be from single
mine of KUD Pelita, Sungai Danau-Tanah
Bumbu-South Kalimatan-Indonesia and
using KUD Pelita as the shipper in the all
related shipping documents.
Article 3
TERM & QUANTITY
3.1. This Agreement shall be effective
from its signing by the Parties up
until all obligations of each Party has

Pasal 3
JANGKA WAKTU & KUANTITAS
3.1. Perjanjian ini akan berlaku efektif
sejak ditandatangani oleh Para Pihak
sampai semua kewajiban masing-

QUALITY DETERMINATION
5.1. The quality of the Coal shall be independently
inspected, sampled, and analyzed at the
Loading Port by the appointed Independent
Surveyor in accordance with and ASTM
Standards where applicable as per Buyer’s
instruction.
5.2. The Independent Surveyor PT. .... shall issue
a certificate of sampling and analysis
(hereinafter referred to as the “Certificate of
Analysis”) for the entire cargo of the Coal
loaded on Buyer’s nominated vessel at the
Loading Port. Save for fraud or manifest error,
such coal quality determination based on
Certificate of Analysis shall be final and
binding upon Seller and Buyer for the purpose
of this Agreement, and shall form the basis of
settlement unless adjustment is required in
accordance with Article 7 hereof.
5.3. The Independent Surveyor PT. .... shall take
representative coal samples as the coal is
being loaded on mother vessel and all
samples will be sealed in airtight containers
by the Independent Surveyor. Each of the
sample obtained shall be split as follows:
- 1 (one) sample for shipment analysis at the
Independent Surveyor’s PT. .... laboratory;
- 1 (one) sample being the Seller’s sample (The
Seller’s sample);
- 1 (one) sample to be collected directly by the
Buyer’s representative at mother vessel (The
Buyer’s sample); and
- 1 (one) umpire sample to be retained by
Independent Surveyor until 90 (Ninety) days
after completion of loading or B/L date.
5.4. The Cost of inspection, sampling, and
analysis at the Loading Port shall be for the

PENENTUAN KUALITAS
5.4. Kualitas Batubara harus diperiksa secara
independen, diambil sampelnya, dan
dianalisis di Pelabuhan Pemuatan oleh
Surveyor Independen yang ditunjuk sesuai
dengan Standar ASTM yang sesuai dengan
instruksi Pembeli.
5.5. Surveyor Independen PT. .... menerbitkan
sertifikat pengambilan sampel dan analisis
(selanjutnya disebut "Certificate of
Analysis") untuk seluruh muatan Batubara
yang dimuat pada kapal nominasi Pembeli
di Pelabuhan Pemuatan. Simpan untuk
kesalahan penipuan atau kesalahan nyata,
penentuan kualitas batubara tersebut
berdasarkan Certificate of Analysis bersifat
final dan mengikat Penjual dan Pembeli
untuk tujuan Perjanjian ini, dan harus
menjadi dasar penyelesaian kecuali jika
penyesuaian diperlukan sesuai dengan
Pasal 7 ini.
5.6. Surveyor Independen PT. .... harus
mengambil sampel batubara yang
representatif saat batubara dimuat di kapal
induk dan semua sampel akan dimasukkan
dalam wadah kedap udara oleh Surveyor
Independen. Masing-masing sampel yang
diperoleh dibagi sebagai berikut:
- 1 (satu) sampel untuk analisis pengiriman di PT
Surveyor Independen. Laboratorium Sucofindo;
- 1 (satu) sampel menjadi sampel Penjual (sampel
Penjual);
- 1 (satu) sampel yang akan dikumpulkan
langsung oleh perwakilan Pembeli di kapal induk
(sampel Pembeli); dan
- 1 (satu) sampel wasit yang akan ditahan oleh
Surveyor Independen sampai 90 (sembilan puluh)
hari setelah selesainya tanggal muat atau B / L.
5.4. Biaya pemeriksaan, pengambilan sampel,
dan analisis di Pelabuhan Pemuatan adalah

5.5. The Shipment Sample shall be analysed by
appointed Independent Surveyor whose
Laboratory shall perform an analysis of the
characteristic specified in Article 4, and shall
issue the Certificate of Sampling and Analysis
certifying the results of such analysis. The
result of such analysis and/or certificate of
sampling and analysis shall be called
“shipment sample analysis”. Buyer shall have
the right at any time to appoint an inspection
agency (1 or more number of agencies) to
attend, collecting independent samples and
observe the procedures for determination of
quality and quantity of the shipment at Buyer’s
own cost. Buyer reserves the right to carry out
a pre-shipment inspection anywhere
(jetty/plot/stockyard or place where the coal is
stored for contract) for the coal quality to be
supplied under this Agreement.
5.6. In the event that, within 90 days after
completion of loading, either party wishes to
contest or challenge the result of the analysis
at the Loading port, then the umpire sample
shall be sent to the mutually agreed neutral
laboratory in 3rd country which will finally
determine the quality of the shipment on the
basis of such umpire sample.
5.7. The cost of analysis of the umpire sample by
the neutral laboratory shall be borne upon the
party who requesting further determination.
5.8. The costs for Buyer’s and Seller’s
representative activities shall be borne by
each Party.
5.9. The Buyer shall have the right to appoint a
representative(s) at its own cost to observe
the pre-shipment/stockpile sampling and
analysis before and during the loading
process of the coal, to observe the
preparation on-board the vessel, observe
sampling and loading activities on-board the
vessel and to perform the necessary activities
required to exercise the Buyer’s rights under
the Contract. BUYER and SELLER agree that

5.6. Dalam hal, dalam waktu 90 hari setelah
selesai memuat, salah satu pihak ingin
mengikuti atau menantang hasil analisis di
pelabuhan Pemuatan, sampel wasit dikirim
ke laboratorium netral yang disepakati
bersama di negara ketiga yang pada
akhirnya akan menentukan kualitas kiriman
berdasarkan sampel umpire tersebut.
5.7. Biaya analisis sampel wasit oleh
laboratorium netral harus ditanggung oleh
pihak yang meminta penentuan lebih lanjut.
5.8. Biaya untuk kegiatan perwakilan Pembeli
dan Penjual harus ditanggung oleh masing-
masing Pihak.
5.9. Pembeli berhak menunjuk perwakilan
dengan biaya sendiri untuk mengamati
pengambilan sampel pra-kiriman / stockpile
dan analisis sebelum dan selama proses
pemuatan batubara, untuk mengamati
persiapan kapal di atas, amati kegiatan
pengambilan sampel dan pemuatan kapal
dan untuk melakukan kegiatan yang

KETERPISAHAN
Ketentuan apapun dari Persetujuan ini
yang dilarang atau tidak dapat diterapkan
di wilayah hukum manapun, untuk
wilayah yurisdiksi tersebut, tidak efektif
sejauh larangan atau tidak memiliki
kekuatan tersebut tanpa membatalkan
ketentuan yang tersisa, dan larangan
atau tidak memiliki kekuatan semacam itu
di dalam yurisdiksi manapun tidak boleh
dibatalkan atau membuat ketentuan yang
tidak dapat diberlakukan seperti itu di
yurisdiksi lainnya. Jika ketentuan dalam
Perjanjian ini dianggap tidak berlaku,

akal sebagai akibat dari perubahan
keadaan yang berada di luar kendalinya,
Para Pihak akan diminta oleh pihak
tersebut untuk melakukan negosiasi
dengan itikad baik untuk tujuan
memperbaiki atau mengurangi situasi
yang tidak adil dan tidak masuk akal.
Pasal 19
SELURUH PERJANJIAN
Kesepakatan ini dibuat dalam Bahasa
inggris dan Indonesia. Jika terjadi
perselisihan mengenai interpretasi, versi
bahasa Indonesia akan berlaku.
