The Ship Owner and Charterer are collectively referred to as "Parties" and each is individually
called "Party".

Masing-masing Pihak dalam kedudukannya di atas terlebih dahulu menerangkan sebagai berikut:
Each Party in its capacity above shall first state as follows:

1. BAHWA, Penyewa adalah suatu perusahaan yang bergerak di bidang usaha Angkutan Laut
Domestik untuk Barang.
THAT, Renter is a company engaged in the business of Domestic Sea Transport for Goods.
2. BAHWA, Pemilik Kapal merupakan perusahaan yang bergerak di bidang usaha Pelayaran
Nasional dan Sewa Menyewa Angkutan Laut.
THAT, Ship Owner is a company engaged in the field of National Shipping and Leasing
Renting Sea Transport.
3. BAHWA, Penyewa berkeinginan untuk menggunakan jasa Pemilik Kapal dalam
melakukan sewa- menyewa angkutan laut secara Time Charter.
THAT, the Charterer wish to use the services of the Shipper in the conduct of Time
Charter's sea transport charter.

MAKA, berdasarkan keterangan-keterangan sebagaimana disebut di atas, Para Pihak sepakat untuk
saling mengikatkan diri melalui Perjanjian Sewa Menyewa Kapal secara “Time Charter” dengan
syarat-syarat dan ketentuan-ketentuan sebagai berikut :
THEN, on the basis of the foregoing statements, the Contracting Parties agree to bind each other
through the Charter Lease Rental Agreement on the terms and conditions as follows:

PASAL 1
RUANG LINGKUP PERJANJIAN
SCOPE OF THE AGREEMENT

1.1 Pemilik Kapal setuju untuk menyewakan Kapal kepada Penyewa berupa 1(satu) unit kapal
yaitu Self Propelled Oil Barge beserta para Anak Buah Kapal (ABK)/crew kapal dengan
rincian sebagai berikut:
The Ship Owner agrees to rent Ships to Tenants in the form of 1 (one) ship unit namely Self
Propelled Oil Barge and the Subsidiary of Fruit Ship (ABK) / crew ship with the following
details:

1.2 Spesifikasi teknis Kapal dan salinan dokumen-dokumen kelengkapan Kapal terlampir dalam
Perjanjian ini dan merupakan bagian yang tak terpisahkan dari Perjanjian ini (selanjutnya
disebut “Lampiran”).
The technical specifications of Ships and copies of Ship completion documents are hereby
incorporated herein and form an integral part of this Agreement (hereinafter "Appendix").

1.3 Pemilik Kapal menjamin bahwa Kapal telah dilengkapi dengan surat-surat yang masih
berlaku, dalam keadaan laik laut untuk berlayar dan bernotasi klas BKI serta memenuhi
ketentuan peraturan perundang-undangan RI mengenai perlayaran. Kelaikan Kapal wajib
dinilai oleh tim penilai independen dan penilaian tersebut wajib dinyatakan dalam pernyataan
tertulis yang sah.
The Owner of the Vessel guarantees that the Vessel has been furnished with valid papers, in
a sea-worthy condition for sailing and BKI-class berating and complying with the provisions
of the laws and regulations of the Republic of Indonesia concerning the voyage. Ships Values
shall be assessed by an independent appraisal team and the assessment shall be stated in a
valid written statement.

PASAL 2
SECTION 2
MAKSUD DAN TRAYEK
PURPOSE AND ROUTE

2.1 Maksud dan tujuan sewa-menyewa ini adalah secara “Time Charter”
The purpose and purpose of this lease is "Time Charter"

2.2 Trayek pengoperasian Kapal yang disetujui oleh Para Pihak meliputi wilayah perairan
Indonesia sekitarnya atau sesuai dengan RPT (Pengoperasian Kampal Tramper di Dalam
Negeri)

of neighboring Indonesia or in accordance with the RPT (Tramper Domestic Operations)

2.3 Kecuali atas persetujuan Pemilik Kapal terlebih dahulu secara tertulis, Penyewa tidak berhak
mengoperasikan Kapal di luar wilayah sebagaimana disebut pada ayat 2.2 di atas

PENGOPERASIAN KAPAL
SHIP OPERATION

3.1. Dalam hal Kapal terlambat berlayar yang disebabkan karena :
In case of a late ship sailing due to:

a. kelalaian ABK Kapal;

omission of crew;
b. kerusakan Kapal, baik karena mesin induk dan atau mesin bantu rusak maupun hal
lainnya;
Ship damage, either because the main engine and/or auaxiliary machine is damaged or
otherwise;
c. masalah ABK/crew Kapal;
ABK/ crew problem
d. masalah dokumen Kapal atau dokumen ABK/crew Kapal; dan
Shipboard document issues
e. masalah kerusakan atau kurang lengkapnya peralatan safety dan navigasi;
yang bukan merupakan kesalahan dari Penyewa, maka Kapal akan dihitung Off Hire
apabila keterlambatan keberangkatan lebih dari 4 x 24 jam, dan Penyewa dapat
memotong harga sewa secara prorata.
Damage or lack of safety equipment and navigation; which shall not be a mistake from
the Charterers, the Vessel shall be counted Off Hire if the delay of departure is more than
4x24 hours. And the Renter may deduct prorated rental rates.

3.2 Kapal tidak dianggap terlambat berlayar apabila terdapat cuaca buruk yang dapat dibuktikan
dengan surat keterangan yang dikeluarkan Syahbandar di pelabuhan tujuan atau keberangkatan
serta wajib dilengkapi dengan Berita Acara Kejadian yang dilampiri laporan cuaca yang
diterbitkan oleh Badan Meteorologi dan Geofisika (BMKG).
Ships shall not be deemed to be late in sailing in case of bad weather which can be proved by a
certificate issued by Syahbandar at the port of destination or departure

3.3 Dalam hal Kapal mengalami keterlambatan berlayar karena sebab sebagaimana diatur dalam
ayat 3.1 di atas, maka paling lambat 3 x 24 jam, Pemilik Kapal wajib melakukan
pemberitahuan kepada Penyewa dengan disertai Berita Acara yang ditandatangani oleh
Nahkoda. Terhadap hal ini, Pemilik Kapal wajib segera melakukan perbaikan atas kerusakan,
pengadaan spare part, perpanjangan surat-surat kapal maupun pemulihan atas hal-hal tersebut.
In the event that the Vessel is delayed in sailing for the reasons set forth in paragraph 3.1
above, at the latest 3 x 24 hours, the Shipper shall make notice to the Charterers accompanied
by the Minutes signed by the Master. To this end, the Owner of the Ship shall promptly make
repairs to the damage, the procurement of spare parts, the extension of the ship's letters and
the restoration of such matters.

3.4 Dalam hal keterlambatan atas perlayaran Kapal tidak dapat teratasi dalam jangka waktu 4 x 24
jam sejak dilakukannya pemberitahuan kepada Penyewa, maka Pemilik Kapal wajib segera
memberikan pengganti 1(satu) unit Kapal dengan spesifikasi teknis yang sama untuk
melanjutkan perlayaran.
In the event that any delay in the vessel's Shipment can not be resolved within 4 x 24 hours
after the notification to the Charterer, the Shipper shall immediately substitute 1 (one) Ship
unit with the same technical specification to continue the voyage.

3.5 Apabila dalam jangka waktu 7 x 24 jam, Kapal tetap tidak dapat berlayar atau Kapal pengganti
tidak dapat disediakan oleh Pemilik Kapal, maka Penyewa mempunyai hak memutuskan
Perjanjian ini secara sepihak.

 If within a period of 7 x 24 hours, the Vessel remains unable to sail or the substitute vessel can
not be provided by the Owner of the Vessel, the Charterers shall have the right to terminate
this Agreement unilaterally.

PASAL 4
SECTION 4
JENIS CARGO & MASA SEWA-MENYEWA
TYPE OF CARGO & RENTAL-RENTING TIME

4.1 Jenis cargo yang diangkut CPO “Crude Palm Oil” dan turunannya.
Type of cargo transported by CPO "Crude Palm Oil" and its derivatives.

4.2 Kecuali ditentukan lain dalam Perjanjian ini, masa sewa menyewa Kapal disepakati dengan
sistem “Time Charter” selama 1 (Satu) tahun dan dapat diperpanjang sesuai kesepakatan,

4.3 Terhitung sejak tanggal serah terima (delivery) Kapal dari Pemilik Kapal kepada Penyewa
berdasarkan Berita Acara On Hire Survey dan penyerahan kapal dari Penyewa ke Pemilik
Kapal berdasarkan Off Hire Survey.
Effective from the date of the ship's delivery from the Ship Owner to the Charterers based on
On Hire Survey Report and delivery of the vessel from the Renter to the Owner of the Vessel
based on Off Hire Survey.

4.4 Pemilik Kapal menjamin kepada Penyewa bahwa Kapal tidak akan disewakan kepada pihak
ketiga manapun selama Kapal masih dalam masa sewa
The Owner of the Vessel shall guarantee to the Charterer that the Vessel shall not be leased to
any third party while the Vessel is still in the lease

4.5 Dalam masa sewa menyewa, Penyewa memberikan waktu kepada Pemilik Kapal untuk
melakukan pengedokan Kapal setiap 30 (tiga puluh) bulan sekali. Masa pengedokan adalah
maksimal 30 (tiga puluh) hari kalender.
In the period of the lease, the Charter gives the Ship Owner time to conduct Ship Distribution
once every 30 (thirty) months. The dicing period is a maximum of 30 (thirty) calendar days.

4.6 Biaya clearence in-out serta biaya BBM dalam rangka pengedokan kapal menjadi tanggung
jawab Pemilik Kapal.
The cost of in-out clearance and the cost of fuel in the framework of decoying the ship shall be
the responsibility of the Owner of the Vessel.

PASAL 5
SECTION 5
HARGA DAN CARA PEMBAYARAN
PRICE AND TERMS OF PAYMENT

5.1 Para Pihak sepakat bahwa harga sewa Kapal per bulan (30hari) adalah Rp. 850.000.000
(Delapan Ratus Lima Puluh Juta Rupiah) termasuk Pajak Penghasilan (PPh), tidak termasuk
Pajak Pertambahan Nilai (PPn 10%).
The Contracting Parties agree that the rental price of the Ship per month (30hari) is Rp.
850.000.000 (Eight Hundred Fifty Million Rupiahs) including Income Tax (PPh), excluding
Value Added Tax (10% VAT).

5.2 Penyewa Kapal akan melakukan Pembayaran Sewa Kapal kepada Pemilik Kapal, sebesar 1
(satu) bulan harga sewa pada saat hand over kapal di Surabaya dan 1 (satu) bulan deposit.
The Charterers shall make Ship Rental Payments to Ship Owners, amounting to 1 (one) month
rental price upon handover of vessel in Surabaya and 1 (one) month deposit.

5.3 Pembayaran sewa kapal bulan berikutnya akan dilakukan 7 (tujuh) hari sebelum jatuh tempo
masa periode sewa.
The subsequent monthly rental payments shall be made 7 (seven) days before the expiry of the
rental period.

5.4 Pembayaran atas sewa Kapal dibayarkan Penyewa setelah Pemilik Kapal menyerahkan dan
Penyewa menerima dokumen penagihan lengkap berisi antara lain:
Payment of rental of Ships shall be paid by the Charterer after the Ship Owner submits and the
Renter receives the complete billing document containing among others:

a. invoice (tagihan) asli bermaterai cukup;

original invoice (bill) has enough stamp duty;

b. informasi detail rekening bank resmi Pemilik Kapal;

Details of the ship’s authorized bank account details;

c. faktur pajak;

5.5 Semua pembayaran dianggap sah setelah diterima oleh Pemilik Kapal dengan memberikan
tanda terima atau setelah transfer uang diterima ke dalam rekening bank Pemilik Kapal.

PASAL 6
SECTION 6
PAJAK
TAX

Segala bentuk pajak yang berkaitan dengan Perjanjian ini menjadi tanggung jawab masing-masing
Pihak sesuai dengan tanggung jawabnya dan ketentuan perundang-undangan mengenai perpajakan
yang berlaku. Denda atas keterlambatan dari pembayaran pajak tersebut menjadi tanggung-jawab
masing-masing Pihak sesuai dengan ketentuan yang berlaku.
Any tax relating to this Agreement shall be the responsibility of each Party in accordance with its
responsibilities and the applicable taxation laws and regulations. Fines for late payment of such
taxes shall be the responsibility of each Party in accordance with the applicable provisions.

SECTION 7
ON HIRE dan OFF HIRE

7.1 Kecuali ditentukan lain dalam Perjanjian ini, On Hire dan Off Hire Kapal dilakukan sebagai
berikut :

Unless otherwise specified in this Agreement, On Hire and Off Hire Vessels are performed as
follows:

PASAL 8
SECTION 8
KEWAJIBAN PARA PIHAK
THE PARTY’S LIABILITY

8.1 Selain dari yang disepakati berdasarkan Perjanjian ini, Pemilik Kapal mempunyai kewajiban
dan tanggung jawab atas:
Apart from those agreed upon under this Agreement, the Owner of the Vessel has the duty and
responsibility for:

a. Kelengkapan dokumen/sertifikat Kapal, navigasi dan perlengkapan Kapal sesuai dengan

standart ketentuan dan peraturan pelayaran untuk keperluan operasional Kapal.
Completeness of Ship documents / certificates, navigation and ship equipment in
accordance with standard terms and regulations of shipping for the operational
requirements of Ships.

b. Penyediaan Kapal kepada Penyewa dalam kondisi laik berlayar beserta para ABK/crew
Kapal yang berkompeten, mesin induk dan mesin bantu, mesin jangkar,
navigasi (radio, OWS, radar, GPS, safety fire, life raft, dll) disertai dengan sertifikat yang
masih berlaku.
Provision of Ships to Renters in sailing conditions along with crew of competent Ships /
crew, parent machines and auxiliary machines, anchor machines, navigation (radio,
OWS, radar, GPS, safety fire, life raft, etc.) accompanied by a valid certificate.

c. Pengurusan serta biaya perpanjangan dokumen/sertifikat Kapal survey dan dock tahunan
Kapal serta biaya dispensasi lainnya akibat dari kekurangan kelengkapan Kapal maupun
ABK/crew Kapal.
Arrangements and expenses for documents / certificates of the Ship of the annual survey
and boat docks and other dispensation costs resulting from the lack of completeness of
Ships and ABK / crew Ships.

d. Perawatan rutin, Lub oil dan perbaikan atas kerusakan Kapal serta pembuatan berita
acara apabila terjadi keterlambatan Kapal.
Routine maintenance, Lub oil and repair of damage to Ships and the making of event
news in case of Ship delay.

 e. Pelaporan kepada BKI atau instansi yang berwenang atas setiap perbaikan Kapal serta
mendapatkan persetujuan BKI terhadap hal tersebut.
Reporting to BKI or the authorized agency for any ship repair and obtaining BKI
approval against it.

f. Aspek keselamatan pelayaran Kapal dan pelestarian lingkungan dan perairan laut.
Ship safety aspect and environmental conservation and marine waters

g. Keselamatan dan keberadaan muatan Kapal, termasuk penanganan masalah kecelakaan

Kapal dan masalah ABK/crew Kapal.
Safety and the presence of cargo Ships, including handling Ship crash problems and
crew abk / crew problems.

h. Kebutuhan harian ABK (ransum/makanan), gaji/upah , dan lain-lain terkait dengan

kesejahteraan ABK/crew Kapal.
Daily needs of ABK (ration / food), salary / wages, etc. related to the welfare of crew /
crew.

i. Pengoperasian Kapal oleh ABK/crew Kapal dengan baik sesuai dengan maksud dan
tujuan pengoperasian Kapal berdasarkan Perjanjian ini.
Ship Operations by ABK / crew Ship well in accordance with the intent and purpose of
the operation of Ships pursuant to this Agreement.

j. Penggantian ABK/crew Kapal yang dinilai tidak dapat bekerja sebagaimana mestinya
dan menghambat pengoperasian Kapal atau terlibat pelanggaran atau tindakan melawan
hukum dengan alasan yang dapat dibuktikan.
Replacement of the crew of a ship that is judged to be unable to work properly and
hamper the operation of the Ship or to engage in violation or unlawful action for
provable reasons.

k. Segala akibat yang timbul atas pelanggaran atau tindakan melawan hukum yang
dilakukan ABK/crew Kapal maupun denda dan sanksi hukum yang timbul karena
kelalaian yang dilakukan oleh Pemilik Kapal.
Any consequences arising from violations or unlawful acts committed by ABK / crew of
the Ship or of fines and legal sanctions arising from negligence by the Shipper.

l. Asuransi Kapal.
Ship Insurance

m. Penyiapan pola trayek sesuai pelabuhan operasi yang diminta oleh Penyewa.
Setup of the route pattern according to the port of operation requested by the Charterers.

n. Keutuhan persediaan BBM Kapal dengan dibuktikan dengan laporan

pertanggungjawaban pemakaian BBM Kapal. Pemilik Kapal tidak berhak
memindahtangankan BBM kepada pihak ketiga manapun.
Supply Inventory of BBM Ship proved with accountability report of Ship Fuel
consumption. Shipowners are not entitled to transfer BBM to any third party.

o. Asuransi P & I dan Asuransi Hull Machenary menjadi tanggung jawab pemilik kapal
Insurance P & I and Hull Machenary Insurance are the responsibility of the ship owner

8.2 Selain dari yang disepakati berdasarkan Perjanjian ini, Penyewa mempunyai hak maupun
kewajiban dan tanggung jawab atas :
In addition to those agreed upon under this Agreement, the Charterers shall have the right or
obligation and responsibility for:

a. Bahan Bakar Minyak (BBM)/HSD dan penyediaan AIR TAWAR kapal dan Premi ABK ,
Biaya Cleaning cargo setelah muatan , selama masa Sewa.
Fuel Oil (BBM) / HSD and provision of WATER SUPPLY Vessel and Premium ABK,
Cargo Cleaning Cost after cargo, during Rental period.

b. Cargo Insurance, Document Cargo, Port Charges, Light Dues, Mooring / Unmooring,
Harbour dues, Agency Fees, Disbursement Fees, Cargo Expense, Port Communication
Fees, Pengaman dalam perjalanan (Security Fees), dan lain–lain biaya sehubungan
dengan pengoperasian Kapal di luar kewajiban dan tanggungan Pemilik Kapal baik di
dalam perjalanan maupun di pelabuhan.
Cargo Insurance, Document Cargo, Port Charges, Light Dues, Mooring / Unmooring,
Harbor Dues, Agency Fees, Disbursement Fees, Cargo Expenses, Port of
Communication Fees, Security Fees, and other costs associated with the operation of
Ships in outside the duty and responsibility of the Owner of the Vessel either on the way
or at the port.

8.3 Apabila salah satu Pihak melanggar kewajiban dan tanggung jawabnya masing-masing
sebagaimana diatur dalam Pasal ini, maka Pihak lainnya berhak memberikan peringatan tertulis
maupun lisan kepada Pihak yang melanggar tersebut dan apabila tidak dilakukan upaya
pemulihan, maka Pihak yang lainnya berhak memutuskan Perjanjian secara sepihak.
Where either Party violates its respective obligations and responsibilities provided for in this
Article, the other Contracting Party shall have the right to give written and oral warnings to
the infringing Party and, where no remedies are exercised, the other Contracting Party shall
have the right to conclude the Agreement unilaterally.

PASAL 9
SECTION 9
PENGAKHIRAN PERJANJIAN
TERMINATION OF THE AGREEMENT

9.1 Kecuali ditentukan lain berdasarkan Perjanjian ini maupun kesepakatan Para Pihak, Perjanjian
ini berakhir berdasarkan Pasal 4 ayat 4.1 Perjanjian ini.
Unless otherwise provided pursuant to this Agreement or the agreements of the Parties, this
Agreement terminates under Section 4, paragraph 4.1 of this Agreement.

9.2 Apabila dalam pelaksanaannya Pemilik Kapal tidak dapat memenuhi kewajibannya
sebagaimana diatur dalam Perjanjian ini, maka Penyewa dapat membatalkan Perjanjian ini
secara sepihak tanpa memberitahukan terlebih dahulu kepada Pemilik Kapal dan Pemilik Kapal
wajib bertanggung jawab serta mengganti semua kerugian yang timbul atas tidak dipenuhi
kewajibannya tersebut.
In the event that the Shipper's Owner fails to comply with its obligations under this Agreement,
the Charterers may cancel this Agreement unilaterally without prior notification to the Shipper
and Shipowners shall be responsible and liable for any loss arising from non-fulfillment of
such obligations.

9.3 Apabila dalam pelaksanaannya Penyewa Kapal tidak dapat memenuhi kewajibannya
sebagaimana diatur dalam Perjanjian ini, maka Pemilik Kapal dapat membatalkan Perjanjian
ini secara sepihak tanpa memberitahukan terlebih dahulu kepada Penyewa Kapal dan Penyewa
Kapal wajib bertanggung jawab serta mengganti semua kerugian yang timbul atas tidak
dipenuhi kewajibannya tersebut.
In the event that the Charterer may not fulfill its obligations under this Agreement, the Owner
of the Vessel may cancel this Agreement unilaterally without first notifying the Charterer and

the Charterer shall be liable and shall reimburse all losses arising from non-fulfillment of such
obligations.

9.4 Dengan berakhirnya Perjanjian ini, maka hak dan kewajiban Para Pihak yang timbul
berdasarkan Perjanjian ini berakhir dan Penyewa wajib menyerahkan kembali Kapal
berdasarkan ketentuan tempat, waktu dan kondisi On Hire dalam Pasal 7 Perjanjian ini.
With the termination of this Agreement, the rights and obligations of the Parties arising under
this Agreement expire and the Charterers shall re-ship the Vessel

9.5 Sehubungan dengan pengakhiran Perjanjian ini, Para Pihak dengan ini sepakat untuk
mengenyampingkan ketentuan Pasal 1266 Kitab Undang-Undang Hukum Perdata.
In connection with the termination of this Agreement, the Parties hereby agree to exclude the
provisions of Article 1266 of the Civil Code.

PASAL 10
SECTION 10
KEADAAN KAHAR
(FORCE MAJEURE)

10.1 Yang dimaksud dengan Keadaan Kahar (Force Majeure) dalam Perjanjian ini adalah peristiwa
yang terjadi di luar kemampuan Para Pihak dan bukan disebabkan oleh kesalahan ataupun
kelalaian Para Pihak termasuk diantaranya bencana alam (gempa bumi, tanah longsor, banjir
luar biasa/air pasang), kebakaran, perang, huru-hara, pemberontakan, situasi moneter,
perubahan kebijakan pemerintah dan epidemi yang secara langsung berhubungan dengan
pelaksanaan Perjanjian ini.
What is meant by Force Majeure in this Agreement is an event that occurs outside the
capabilities of the Parties and is not caused by errors or omissions of the Parties including
natural disasters (earthquakes, landslides, extraordinary floods / tides) fire, war, riots,
rebellion, monetary situation, changes in government policies and epidemics that are directly
related to the implementation of this Agreement.

10.2 Apabila terjadi Keadaan Kahar (Force Majeure), maka Para Pihak terlebih dahulu wajib
melakukan segala upaya yang dianggap perlu untuk mengatasi dan mengendalikan situasi
guna mengurangi kerugian.
In the event of a Force Majeure, the Parties shall first make all necessary efforts to overcome
and control the situation in order to reduce the loss.

10.3 Pihak yang berada dalam Keadaan Kahar (Force Majeure) berkewajiban untuk
memberitahukan secara tertulis kepada Pihak lainnya atau wakil yang ditunjuknya selambat-
lambatnya 7 (tujuh) hari kalender disertai bukti-bukti yang sah. Apabila pemberitahuan
melebihi jangka waktu tersebut maka Keadaan Kahar (Force Majeure) dianggap tidak terjadi.
A Party in a Force Majeure shall be obliged to notify in writing to the other Party or its
designated representative no later than 7 (seven) calendar days accompanied by valid
evidence. If the notice exceeds that time period then the Force Majeure shall be deemed not to
have occurred.

10.4 Segala akibat dan kerugian yang timbul dari Keadaan Kahar (Force Majeure) berdasarkan
Pasal ini akan diselesaikan oleh Para Pihak secara musyawarah mufakat atas usul dari Pihak
yang menderita kerugian akibat Keadaan Kahar (Force Majeure) dalam suatu kesepakatan
tertulis yang ditandatangani oleh Para Pihak atau kuasanya.
All consequences and losses arising from Force Majeure under this article shall be settled by
the Parties in a consensual manner on the proposal of a Party suffering loss resulting from
Force Majeure in a written agreement signed by the Parties or their proxies .

PASAL 11
SECTION 11
HUKUM YANG BERLAKU DAN PENYELESAIAN PERSELISIHAN
APPLICABLE LAW AND DISPUTE SETTLEMENT

11.1 Perjanjian ini tunduk pada dan karenanya wajib ditafsirkan menurut ketentuan dan peraturan
perundang-undangan Republik Indonesia terkait yang berlaku.
This Agreement is subordinate to and therefore shall be construed in accordance with the
applicable laws and regulations of the Republic of Indonesia.

11.2 Setiap perselisihan, pertentangan dan perbedaan pendapat yang berhubungan dengan
Perjanjian ini, sepanjang memungkinkan, diselesaikan secara musyawarah
Any disputes, disagreements and disagreements relating to this Agreement, to the extent
feasible, shall be resolved by deliberation

11.3 Apabila penyelesaian dengan cara musyawarah tidak mencapai kesepakatan, Para Pihak
sepakat untuk menyelesaikan perselisihan melalui Badan Arbitrase Nasional Indonesia
(BANI) berdasarkan ketentuan sebagaimana diatur dalam Undang-undang tentang Arbitrase
dan Alternatif Penyelesaian Sengketa beserta peraturan pelaksananya yang berlaku.
Keputusan yang dikeluarkan BANI merupakan keputusan yang bersifat final dan mengikat
Para Pihak.
If the settlement by consensus does not reach agreement, the Parties agree to settle the dispute
through the Indonesian National Arbitration Board (BANI) under the provisions of the Law on
Arbitration and Alternative Dispute Settlement and its applicable implementing regulations.
Decisions issued by BANI are final and binding decisions of the Parties.

11.4 Baik Pemilik Kapal maupun Penyewa tidak berhak untuk mengajukan gugatan di Pengadilan
Negeri atas masalah yang sedang dipersengketakan sampai masalah tersebut diputuskan oleh
BANI, kecuali untuk memberlakukan suatu ketetapan BANI yang diberikan sesuai dengan
ketentuan dalam Pasal ini.
Neither the Owner of the Vessel nor the Charterers shall have the right to file a lawsuit in the
District Court on the matter under dispute until the matter is decided by BANI, except to
enforce a BANI provision granted in accordance with the provisions of this Article.

11.5 Para Pihak sepakat untuk tidak saling mengungkapkan isi atau hasil keputusan BANI tanpa
ijin tertulis terlebih dahulu dari Pihak lainnya.
The Contracting Parties agree not to disclose the contents or the outcome of BANI's decision
without the prior written consent of the other Party.

11.6 Ketentuan-ketentuan yang diatur dalam Pasal ini akan tetap berlaku sekalipun Perjanjian
diakhiri dan/atau berakhir.
The provisions of this Article shall remain in force even if the Agreement terminates and / or
terminates.

PEMBERITAHUAN
NOTIFICATION

Setiap pemberitahuan yang akan disampaikan sehubungan dengan Perjanjian ini wajib disampaikan
secara langsung oleh satu Pihak kepada Pihak lainnya secara tertulis melalui pos tercatat dan
disertai tanda terima yang jelas atau melalui faksmili yang ditegaskan kembali penerimaannya
melalui telepon dan bukti tanda terima dikirim kembali ke alamat sebagai berikut:
Any notice to be conveyed in connection with this Agreement shall be communicated directly by
one Party to the other Party in writing by registered mail and accompanied by a clear receipt or by
facsimile confirmed by receipt by phone and receipt shall be sent back to the address as follows:

PASAL 13
SECTION 13
KETENTUAN LAIN-LAIN
MISCELLANEOUS PROVISIONS

13.1 Apabila suatu ketentuan dalam Perjanjian ini menjadi tidak sah atau tidak dapat diberlakukan
berdasarkan hukum yang berlaku, maka ketentuan lain yang terdapat dalam Perjanjian ini
tidak dapat dipengaruhi atau dihalangi keabsahan dan keberlakuannya.
If any provision of this Agreement becomes invalid or unenforceable under any applicable
law, then any other provisions contained in this Agreement shall not be affected or impaired
by its validity and effectiveness.

13.2 Segala sesuatu yang belum cukup diatur dalam Perjanjian ini akan diatur dalam suatu
addendum yang merupakan bagian yang tak terpisahkan dari Perjanjian ini.
Anything not sufficiently regulated in this Agreement shall be governed by an addendum
which is an integral part of this Agreement.

Demikianlah, Para Pihak menandatangani Perjanjian ini sebagai tanda persetujuan pada tanggal,
bulan dan tahun sebagaimana telah disebutkan pada bagian awal Perjanjian ini dan dibuat dalam
rangkap 2 (dua) yang sama bunyinya dan mempunyai kekuatan hukum yang sama serta di lengkapi
dengan materai yang cukup, setelah dibaca dan ditandatangani oleh masing-masing Pihak serta
disaksikan oleh saksi-saksi yang ditunjuk masing-masing pihak.

Thus, the Parties have signed this Agreement as a sign of approval on the date, month and year as
mentioned at the beginning of this Agreement and are made in duplicate 2 (two) which is equally
authentic and has the same legal power and is equipped with sufficient stamp duty, after which
