a. Pengertian dan Cara Melakukan Ekspansi

Ekspansi atau perluasan dapat dilakukan secara internal atau eksternal.

• Ekspansi Internal : Perusahaan melakukan investasi mulai dari awal,

seperti mendirikan perusahaan baru atau melakukan perluasan
perusahaan yang sudah ada.
• Ekspansi Eksternal : Perusahaan menggabungkan kegiatan
operasionalnya dengan perusahaan lain yang sudah ada.
 Penggabungan suatu perusahaan dengan perusahaan lain yang sudah ada
dapat dilakukan dengan berbagai cara :

perusahaan yang ukurannya
tidak sama dan hanya satu
perusahaan yang tetap
survival, yaitu perusahaan
yang lebih besar, sedangkan
perusahaan yang lebih kecil
melebur ke dalam perusahaan
yang besar.
Penggabungan dua yang mana perusahaan akuisitor
perusahaan yang membeli sebagian saham
ukurannya relative sama perusahaan yang diakuisisi,
menjadi satu perusahaan sehingga pengendalian
yang baru. manajemen perusahaan yang
diakuisisi berpindah kepada
perusahaan akuisitor, sementara
kedua perusahaan masing-
masing tetap beoperasi.
 b. Cara Melakukan Penggabungan
dan Perlakuan Akuntansi

Suatu perusahaan dapat melakukan penggabungan (merger)

dengan jalan membeli asset atau saham dari perusahaan lain dan
pembayarannya dapat dilakukan dengan tunai atau dengan
saham.
 • Perlakuan Akuntansi
Contoh :

Perusahaan ALFA merger dengan perusahaan BETA, yang dilakukan dengan membeli saham
perusahaan BETA dengan nilai Rp2 juta. Perusahaan BETA mempunyai utang Rp1 juta dan
modal saham Rp1,2 juta, sedangkan perusahaan ALFA mempunyai modal saham Rp10 juta dan
utang Rp5 juta sebelum dilakukan merger.

Jika diperlakukan sebagai transaksi pembelian, karena saham perusahaan BETA bernilai
Rp1,2 juta dibeli dengan harga Rp2 juta, maka terjadi goodwill sebesar Rp 0,8 juta,
(Rp2 juta – Rp1,2 juta).
